For the year ending 30 April 2026 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.
The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime.
The company has taken advantage of section 444(1) of the Companies Act 2006 and opted not to deliver to the registrar a copy of the company's Profit and Loss Account.

Notes to the Financial Statements
1. General Information
Pamaber Properties Limited is a private company, limited by shares, incorporated in Scotland, registered number SC147392 . The registered office is 4 Circus Gardens, Edinburgh, Lothian, EH3 6TN.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
2.2. Turnover
Turnover is measured at the fair value of the consideration received or receivable, net of discounts. Turnover includes rental income earned from operating leases. Turnover from an opertaing lease is recognised on a straight line basis over the term of the lease.
2.3. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:

2.4. Investment Properties
Investment properties are carried at fair value at each reporting date. Fair values are based on current market conditions and, where appropriate, are supported by valuations prepared by independent professional valuers. The valuations take into consideration factors including current market rents, location, size, condition and other property-specific characteristics.
Changes in fair value are recognised in profit or loss. No depreciation is provided on investment properties.
2.5. Taxation
Income tax expense represents the sum of the tax currently payable and deferred tax.
The tax currently payable is based on taxable profit for the year. Taxable profit differs from profit as reported in the statement of comprehensive income because of items of income or expense that are taxable or deductible in other years and items that are never taxable or deductible. The company's liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the end of the reporting period.
Deferred tax is recognised on timing differences between the carrying amounts of assets and liabilities in the financial statements and the corresponding tax bases used in the computation of taxable profit. Deferred tax liabilities are generally recognised for all taxable timing differences. Deferred tax assets are generally recognised for all deductible temporary differences to the extent that it is probable that taxable profits will be available against which those deductible timing differences can be utilised. The carrying amount of deferred tax assets is reviewed at the end of each reporting period and reduced to the extent that it is no longer probable that sufficient taxable profits will be available to allow all or part of the asset to be recovered.
Deferred tax assets and liabilities are measured at the tax rates that are expected to apply in the period in which the liability is settled or the asset realised, based on tax rates (and tax laws) that have been enacted or substantively enacted by the end of the reporting period. Deferred tax liabilities are presented within provisions for liabilities and deferred tax assets within debtors. The measurement of deferred tax liabilities and assets reflect the tax consequences that would follow from the manner in which the Company expects, at the end of the reporting period, to recover or settle the carrying amount of its assets and liabilities.
Current and deferred tax are recognised in profit or loss for the year, except when they relate to items that are recognised in other comprehensive income or directly in equity, in which case current and deferred tax are recognised in other comprehensive income or directly in equity respectively.

2.6. Leased assets
Rental income on freehold investment property under the terms of the operating lease is recognised 
in the profit and loss account on a straight line basis over the term of the lease. Costs incurred with earning the lease income, including depreciation, are recognsied as expenses. There are no non-canceliable operating leases entered into by the Company. All leases for properties in Scotland are in compliance with section 10 of the Private Housing (Tenancies) (Scotland) Act 2016. All leases for properties in England are in compliance with the Housing Act 1988 as amended by Part III of the Housing Act 1996.
2.7. Debtors
Short term debtors are measured at transaction price (which is usually the invoice price), less any impairment losses for bad and doubtful debts.
2.8. Creditors
Short term creditors are measured at transaction price (which is usually the invoice price). Loans and other financial liabilities are initially recognised at transaction price net of any transaction costs and subsequently measured at amortised cost determined using the effective interest method, with the exception of Directors loans.

The company's freehold investment property portfolio was valued at £1,335,000 by two independent professional valuers,DM Hall Chartered Surveyors on 22 March 2024 (properties in Scotland) and Standley Estates on 25 March 2024 (properties in England).
The directors have reviewed the valuation and consider that the stated fair value of £1,337,351 is an appropriate reflection of the fair value of the investment property portfolio at 30 April 2026.
The valuations were prepared on a market value basis.
No depreciation is charged on investment property.
The historical cost of freehold investment property is £1,938,704.

8. Deferred Taxation
At 30 April 2026 the comany had unrecognised deferred tax assets of £181,298 in respect of :
  • Capital losses brought forward of £123,840 and
  • Deductible temporary differences of £601,353 arising from the carrying value of investment properties below their tax base.
These deferred tax assets have not been recognised as it is not currently possible to determine with sufficient certainty when suitable future capital gains will arise against which losses and temporary differences can be utilised.

11. Related Party Transactions
As at 30 April 2025, a loan of £140,000 provided by Pamaber Lothian Ltd was held in Other Creditors. On 30 April 2026, Pamaber Lothian Ltd distributed a dividend in specie to its shareholders, Ms K Abernethy, Mrs L Verrillo and Ms P.J. Abernethy, to be satisfied by the transfer of the loan balance. The total liability of £140,000 has been transferred within Other Creditors to Directors, Ms K Abernethy and Ms P.J. Abernethy and shareholder Mrs L Verrillo. This has increased the Directors Loan balance at 30 April 2026 to £131,944 (2025: £38,611). Directors loans are interest-free and repayable on demand.
A balance in Other Creditors of £3,346 remains due to Pamaber Lothian Ltd at 30 April 2026, being interest arising on the loan during the year.
