Notes to the Financial Statements
1. General Information
Adriatic Properties Ltd is a private company, limited by shares, incorporated in England & Wales, registered number 16361220 . The registered office is 100 Boldmere Road, Sutton Coldfield, West Midlands, B73 5UB.
The presentation currency of the financial statements is in the Pound Sterling (£).
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
As at 31 December 2025, the balance sheet reflects net current liabilities amounting to £662,816. However, included in creditors amounts falling due within one year  are loans due to group companies amounting to £674,000. The group companies have given assurances that they will not request repayment of these loans if this would affect the ability of the company to continue to trade effectively. The director therefore considers preparing the financial statements on the going concern basis to be appropriate.
2.2. Turnover
Turnover is measured at the fair value of the consideration received or receivable, net of discounts and value added taxes. Turnover includes revenue earned from the rental of property.
2.3. Investment Properties
All investment properties are carried at fair value determined annually and derived from the current market rents and investment property yields for comparable real estate, adjusted if necessary for any difference in the nature, location or condition of the specific asset. No depreciation is provided for. Changes in fair value are recognised in the profit and loss account.
2.4. Taxation
Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.
Current or deferred taxation assets and liabilities are not discounted.
Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.
Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date.
Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in the financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.
Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.

9. Related Party Transactions
During the period, a loan of £675,000 was received from Adriatic Investments Limited. The loan is unsecured, repayable on demand and carries interest at 4.5% p.a.
On 1 December 2025 an investment property was transferred from Peercroft Limited, a group company, under the provisions of TCGA 1992 section 171 on a no gain no loss basis.
10. FRC's Ethical Standard - Provision Available for Small Entities
In common with other businesses of our size and nature we use our auditors to prepare and submit returns to the tax authorities and assist with the preparation of the financial statements.
11. Ultimate Parent Undertaking and Controlling Party
The company's parent undertaking is Adriatic Investments Limited, a company incorporated in the Isle of Man. The ultimate controlling party is Mark Weihe who controls 100% of the share capital of Adriatic Investments Limited.
12. Audit Information
The auditor's report on the accounts of Adriatic Properties Ltd for the period ended 31 December 2025 was unqualified.
