•	The Directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.

1	General information

The Company is a private company limited by share capital, incorporated in United Kingdom.

2	Accounting policies

Statement of compliance

These financial statements were prepared in accordance with Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland'.

Basis of preparation

These financial statements are prepared on the going concern basis, under the historical cost convention, and in accordance with the Companies Act 2006 and applicable accounting standards in the United Kingdom.

Trading Status
The Company has not traded during the year or the previous year, has incurred no liabilities and consequently, has made neither profit nor loss. None of the Directors received any emoluments in respect of their services to the Company.

Going concern
The Company is dormant and has not traded during the year. The Company's intermediate parent undertaking has confirmed its intention to continue to provide ongoing financial support to enable the Company to meet its liabilities as they fall due for a period of at least one year from the date of signing these financial statements. On this basis, the Directors have deemed it appropriate to prepare the financial statements on a going concern basis.

Fixed asset investments
Fixed asset investments are stated at historical cost less provision for any diminution in value.

3	Investments

The Company holds 100% of the 6.5% redeemable preference shares in Thomson Publishing Investments Limited, a Company incorporated in England and Wales. The Directors are of the opinion that value of the Company's investment is not less than the amount at which it is included in the balance sheet. Group accounts are not prepared as the Company is a wholly owned subsidiary of another company incorporated in England and Wales.
