1.	General information

The Resident Soho Holdings Limited is a private company, limited by shares, incorporated and registered in England and Wales. The Company's registered number is 07541358 and registered office address is Unit 4, The Whitehouse, 9 Belvedere Road, London, England, SE1 8YS.

The Company's principal activity is acting as a holding company.

2.Accounting policies

2.1

Basis of preparation of financial statements

The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006.

The preparation of financial statements in compliance with FRS 102 requires the use of certain critical accounting estimates. It also requires management to exercise judgement in applying the Company's accounting policies.

The following principal accounting policies have been applied:

Valuation of investments

Investments in subsidiaries are measured at cost less accumulated impairment.

Dividends

Equity dividends are recognised when they become legally payable. Interim equity dividends are recognised when paid. Final equity dividends are recognised when approved by the shareholders at an annual general meeting.

	The Company has no employees other than the directors, who did not receive any remuneration (2024: £nil).

5.	Controlling party

The Company's immediate and ultimate parent company is Mactaggart Hotel Holdings Limited, which is registered in England and Wales at 2 Babmaes Street, London, SW1Y 6HD. Mactaggart Hotel Holdings Limited produces consolidated financial statements that can be obtained from Companies House.

6.	Auditors' information

The auditors' report on the financial statements for the year ended 31 December 2025 was unqualified.

The audit report was signed on 13 August 2026 by David Lyons (Senior Statutory Auditor) on behalf of HaysMac LLP.
