Principal activities of the company

The principal activities of the Company during the year, and similarly to 2024, were that of fund marketing support to Nordea Investment Funds S.A.. The Company extended its license during 2025 to be able to provide discretionary portfolio management and investment advisory services.

Balance sheet statements

For the year ending 31 December 2025 the company was entitled to exemption under section 477 of the Companies Act 2006 relating to small companies.

The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.

  • 1. Accounting policies

    Basis of measurement and preparation

    These financial statements have been prepared in accordance with the provisions of Financial Reporting Standard 101

    Turnover policy

    in this case turnover is named revenue. Revenue is attributable to providing services to other group companies, consisting primarily of fund marketing support and share of fees from discretionary mandates, net of discounts and rebates allowed by the Company and value added taxes. Revenue is recognised to the extent that it is probable that the economic benefits will flow to the Company and revenue can be reliably measured. Revenue is recognised in the accounting period in which the services are rendered. The Company does not expect to have any contracts where the period between the transfer of the promised goods or services to the customer and payment by the customer exceeds one year. As a consequence, the Company does not adjust any of the transaction prices for the time value of money. The primary source of revenue of the Company is calculated through a profit split method. Under this method, the relevant profit is allocated, using an economically justified basis, between the Company and the other related parties participating in the underlying transactions. On the calculation of the revenue derived from this method, the Company takes into consideration inputs such as the value of the relevant assets under management and net income.

    Tangible fixed assets depreciation policy

    Tangible assets under the cost model are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management. Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated useful lives, using the straight-line method. Depreciation is provided on the following basis: Office equipment - 3 years The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date. Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in the Statement of Comprehensive Income.

    Other accounting policies

    additional accounting policies covering the recognition, measurement and presentation of significant items in the accounts. These policies address, among other matters, revenue recognition, taxation, financial instruments, foreign currency transactions, fixed assets, leases, provisions, employee-related matters and other areas material to the company's financial reporting.

Accruals falling due in more than one year relate to deferred remuneration, of which £6,890 (2024 - £15,646) relates to an executive payment plan for the performance of 2020 and contributes to £927 (2024 - £263) of the Directors' emoluments. The accrual is made up of an amount of £Nil (2024 - £3,720) of which is a cash bonus, and the remaining £6,890 (2024 - £11,926) is to be settled in cash but is dependent on a total shareholder return of the ultimate parent company index rate and represents the estimated current indexed value. The amount due is to be paid out in tranches over the years 2026 - 2028
