CHAIR'S REPORT
FOR THE YEAR ENDED 31 DECEMBER 2025

In 2025, the Gripple Foundation received £100,000 from Gripple Ltd's 1% pre-tax profit allocation to support charitable and community activity throughout the year.
The Foundation also received £26,126.47 in dividends from 200,976 gifted shares donated by Hugh Facey OBE, Roger Hall and Richard Fry. This brought total available funding to £126,126.47. We are grateful for their continued generosity and support.
To support charity and community work across all operating regions, funding was allocated across six regions on a per-head basis:
UK: £58,039.59 budget and £15,163.56 dividends.
EUR: £13,986.78 budget and £3,654.31 dividends.
INC: £20,154.18 budget and £5,265.69 dividends. The budget was reduced to £17,645.72 following a £2,508.46 expensed overspend at the end of 2024.
INDIA: £5,286.35 budget and £1,381.15 dividends.
CAN: £1,762.12 budget and £460.38 dividends. The budget was reduced to £1,568.55 following a £193.57 expensed overspend at the end of 2024.
JAPAN: £770.93 budget and £201.43 dividends.
In the UK, total funds of £73,203.10 supported more than 104 good causes.
Employees also raised £25,640 for causes personal to them through a wide range of fundraising activities, including:
Wear a Hat to Work Day, a 12-hour sponsored silence, cycle challenges, the Sheffield Half Marathon, an MMA tournament, the Great North Run, Polar Plunge, Wear It Pink Day, Movember, an 11-mile sponsored walk and many more.
Donations and employee fundraising supported the following areas:
Support 23%, Local hospices/hospitals 17%, Education 15%, Children 12%, Cancer care 8%, Homelessness 5%, Living with Disabilities 4%, Environmental 3%, Medical research 3%, Under privileged 3%, Animals 1%, Young People 1%.
Each year, employees nominate and vote for a Charity of the Year, which becomes a focus for Foundation and employee fundraising, awareness activity and engagement. In 2025, the Charity of the Year was Team Ted Foundation, a small charity that helps families create lasting memories for children living with cancer or terminal illness. Founded in memory of Teddy Kelly, the charity funds meaningful experiences that bring moments of joy when they are needed most. Through numerous events, an outstanding £40,354 was raised.
Gripple employees demonstrated exceptional commitment throughout the year, taking part in activities including raffles, the Senior Leadership Team's "Jail or Bail" fundraiser, the Sheffield Half Marathon, Team Ted Day at GLIDE House, a 24-hour spin-a-thon, The Big Pub Quiz, the Grad Ball and sports day raffle, a virtual Glasgow-to-Gripple ultra run and the Christmas market.
The Foundation also continued to match fund employee fundraising up to £500 per person.
A portion of the UK budget was dedicated to volunteer projects. In 2025, the Foundation organised 19 projects, bringing together volunteers from all sites and investing £8,993 in full or part funding.
Projects included storage reorganisation at Grimm & Co, cemetery entrance improvements with FoHPC, Riverside Corner clean-up, a Wild Work Day with SRWT, river stewardship activity at NBW, orchard and maintenance work with FoWBP, a dementia-friendly garden at Heeley City Farm, a garden makeover and emergency exit path at Taptonholme, and new facilities for Adventuring Angels.
The Foundation comprised 17 members representing all seven UK sites, supported by charity teams in each region. Their achievements reflect the dedication of teams globally and Gripple's commitment to being a force for good in the communities where it operates.
Looking ahead to 2026, Gripple Ltd will undergo a significant system change to improve business efficiency. As this may limit employee availability, the Foundation will take a flexible approach while continuing to provide meaningful opportunities for engagement. Priorities will include strengthening the Foundation's structure, improving engagement and communication, supporting regional collaboration, and building on progress with the Loadhog Foundation and GLIDE Foundation.

1. STATUTORY INFORMATION

Gripple Foundation is a private company, limited by guarantee , registered in England and Wales. The company's registered number and registered office address can be found on the Company Information page.

2. ACCOUNTING POLICIES

Basis of preparing the financial statements
These financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" including the provisions of Section 1A "Small Entities" and the Companies Act 2006. The financial statements have been prepared under the historical cost convention as modified by the revaluation of certain assets.

Investments
Investments held as fixed assets are stated at fair value.

The gain or loss on revaluation of fixed asset investments have not been recorded in the Profit and Loss account as required by FRS102 Section A as a 'true and fair' override has been applied. The investments are held for the long term benefit of the company and are not available for sale. Any revaluation of the investments is therefore purely notional and cannot be realised, and so it would be misleading to recognise any gain or loss on revaluation in the Profit and Loss account.

Any gain on revaluation is credited directly to a Revaluation Reserve. Until such a reserve has been created, any loss on revaluation is debited directly to the Income and Expenditure reserve.

The loss on revaluations to date have been included in the Income Account as there is no Revaluation Reserve.

Fixed asset investments were valued on a fair value basis on 31 December 2025 by the Gripple Foundation Board .

The fair value of the investment's is considered to be the Q4 share price. Although the shares are not tradeable (either by Articles or by intention), the shares maintain a right to future dividends, and the share price is determined by a formula which is based upon the past dividends.

The Donations Reserve represents the cost price of shares donated to the company.

The Revaluation Reserve will represent the revaluation gains (net) of the fixed asset investments.
