Statement of Directors' Responsibilities
             

The directors are responsible for preparing the Directors' Report and the financial statements in accordance with applicable law and regulations.

Company law requires the directors to prepare financial statements for each financial year. Under that law the directors have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law) including FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” Section 1A (Small Entities). Under company law the directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the company and of the profit or loss of the company for that period.


In preparing these financial statements, the directors are required to:
●select suitable accounting policies and apply them consistently;
●make judgements and accounting estimates that are reasonable and prudent;
●prepare the financial statements on the going concern basis unless it is inappropriate to presume that the company will continue in business.
The directors are responsible for keeping adequate accounting records that are sufficient to show and explain the company's transactions and disclose with reasonable accuracy at any time the financial position of the company and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.
                 

Disclosure of Information to Auditor

Each persons who are directors at the date of approval of this report confirms that:

●there is no relevant audit information (information needed by the company's auditor in connection with preparing the auditor's report) of which the company's auditor is unaware, and

Auditors
Henry Reeves and Co Limited, (Chartered Certified Accountants), were appointed auditors by the directors to fill the casual vacancy and they have expressed their willingness to continue in office in accordance with the provisions of Section 485 of the Companies Act 2006.

NOTES TO THE FINANCIAL STATEMENTS
for the financial year ended 31 December 2025

   
1. General Information
 
Azuma Foods UK Ltd is a company limited by shares incorporated and registered in the United Kingdom. The registered number of the company is 09201905. The registered office of the company is Dephna House Office, 605, 2 Portal Way, Acton, London, W3 6RT which is also the principal place of business of the company. The principal activity of the company is that of food wholesalers. The financial statements have been presented in Pound (£) which is also the functional currency of the company.
         
2. Summary of Significant Accounting Policies
 
The following accounting policies have been applied consistently in dealing with items which are considered material in relation to the company's financial statements.
 
Statement of compliance
The financial statements of the company for the financial year ended 31 December 2025 have been prepared in accordance with the provisions of FRS 102 Section 1A (Small Entities) and the Companies Act 2006.
 
Basis of preparation

The financial statements have been prepared on the historical cost basis.

The financial statements are prepared in Sterling, which is the functional currency of the entity, and to the nearest ?1.

 
Turnover

Revenue is recognised to the extent that is is probable that the economic benefits will flow to the Company and the revenue can be reliably measured. Revenue is measured as the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes. The following criteria must also be met before revenue is recognised.

Sales of goods

Revenue from the sale of goods is recognised when all of the following conditions are satisfied:

- the Company has transferred the significant risks and rewards of ownership to the buyer;

- the Company retains neither continuing managerial involvement to the degree usually associated with ownership nor effective control over the goods sold;

- the amount of revenue can be measured reliably;  

- it is probable that the Company will receive the consideration due under the transaction; and

- the costs incurred or to be incurred in respect of the transaction can be measured reliably.  

 
Impairment
A review for indicators of impairment is carried out at each reporting date, with the recoverable amount being estimated where such indicators exist. Where the carrying value exceeds the recoverable amount, the asset is impaired accordingly. Prior impairments are also reviewed for possible reversal at each reporting date.
 
Tangible assets and depreciation
Depreciation is calculated so as to write off the cost or valuation of an asset, less its residual value, over the useful economic life of that asset as follows:
 
  Plant and machinery - Straight line over 3 years
  Fixtures, fittings and equipment - Straight line over 3 years
 
If there is an indication that there has been a significant change in depreciation rate, useful life or residual value of tangible assets, the depreciation is revised prospectively to reflect the new estimates.
 
Stocks

Stocks are stated at the lower of costs and net realisable value, being the estimated selling price less costs to complete and sell. Cost is based on the cost of purchase on a first in, first out basis.

At each balance sheet date, stocks are assessed for impairment. If stock is impaired, the carrying amount is reduced to its selling price less costs to complete and sell. The impairment loss is recognised immediately in profit and loss.

 
Cash and cash equivalents
Cash and cash equivalents comprise cash at bank and in hand with financial institutions repayable without penalty on notice of not more than 24 hours. Cash equivalents are highly liquid investments that mature in no more than three months from the date of acquisition and that are readily convertible to known amounts of cash with insignificant risk of change in value.
 
Borrowing costs
All borrowing costs are recognised in profit and loss in the year in which they are incurred.
 
Taxation and deferred taxation

The taxation expense represents the aggregate amount of current and deferred tax recognised in the reporting period.

Current tax represents the amount expected to be paid or recovered in respect of taxable profit for the financial year and is calculated using the tax rates and laws that have been enacted or substantially enacted at the Statement of Financial Position date.

Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date where transactions or events have occurred at that date that will result in an obligation to pay more tax in the future, or a right to pay less tax in the future. Timing differences are temporary differences between the company's taxable profits and its results as stated in the financial statements. Deferred tax is measured on an undiscounted basis at the tax rates that are anticipated to apply in the periods in which the timing differences are expected to reverse, based on tax rates and laws that have been enacted or substantively enacted by the Statement of Financial Position date.

 
Foreign currencies
Foreign currency transactions are translated at the rates of exchange fulling at the Statement of Financial Position date. Non-monetary items that are measured in terms of historical cost in a foreign currency are translated at the rates of exchange ruling at the date of the transaction. The resulting exchange differences are dealt with in the Income Statement.
 
Financial Instruments
The company only enters in to basic financial instrument transactions that result in the recognition of financial assets and liabilities, such as trade and other debtors and creditors, and loans to and from third parties.
 
Ordinary share capital
The ordinary share capital of the company is presented as equity.
   
3. Going concern
 

The company is making recurring losses from trading activities, and in the current year has suffered a deterioration in turnover as a key customer has restructured their business. Previously, the company has been able to rely on working capital support and generous trade terms on its current liabilities from other group companies. However, the YE 31 December 2024 consolidated financial statements of the parent company, Azuma Foods International Holdings, Inc., included an Emphasis of Matter paragraph in relation to going concern.

Subsequently, on 26 March 2026, the parent company completed on a sale of property for a total consideration of $20.75 million. As a result, that company has confirmed that working capital support will be provided to Azuma Foods UK Limited in April 2026.

Additionally, Azuma Foods UK Limited has provided a forecast, inclusive of the aforementioned funding, which expects improved turnover and profitability in the company for the year ending 31 December 2026. This will be achieved by introducing staff with extensive sales experience, and refocusing on new product lines and contracts with major customers. On that basis, the company believes it will have sufficient cashflow to continue trading for at least twelve months from the date of signing the financial statements.

   
4. INFORMATION RELATING TO THE AUDITOR'S REPORT
 
The Audit Report was unqualified. There were no matters to which the auditor was required to refer by way of emphasis.
 
The financial statements were audited by Henry Reeves and Co Limited.
The Auditor's Report was signed by Stuart Relf FCCA (Senior Statutory Auditor) for and on behalf of Henry Reeves and Co Limited on 31st March 2026.

11. Related party transactions
The company has availed of the exemption under FRS 102 Section 1A in relation to the disclosure of transactions with group undertakings.
   
12. Events After the End of the Reporting Period
 
As referenced in Note 3, the company has been provided with confirmation from it's parent company that it will issue working capital support by way of a fixed loan agreement. This will be received in April 2026.

Azuma Foods International Inc, a company registered in the USA, is the parent of the largest and smallest group for which group accounts including Azuma Foods UK Limited are prepared. The parent company's registered office is 20201 Mack Street, Hayward, CA 945545.
