Notes to the Financial Statements
1. General Information
Borchard (UK) Ltd is a private company limited by shares incorporated in England and Wales.
The registered office is 5th Floor, Bevis Marks House, 24 Bevis Marks, London, EC3A 7JB.
The Company did not actively trade during the year. The Company held on account the proceeds of its' share issue.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with FRS 102 'The Financial Reporting Standard applicable in the UK and the Republic of Ireland' and the requirements of the Companies Act 2006. The disclosure requirements of Section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.
The financial statements are prepared in sterling, which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest pound.
The following principal accounting policies have been applied:
2.2. Going Concern Disclosure
The financial statements have been prepared on the going concern basis, which assumes that the Company will continue in operational existence for the foreseeable future, being a period of at least twelve months from the date of approval of these financial statements, and will be able to meet its debts as they fall due.
2.3. Investments
Current asset investments comprise cash and short-term investments, bonds and similar positions, and equities and similar positions that are held for trading purposes.
Investments are initially recognised at transaction price and are subsequently measured at fair value at each reporting date. Changes in fair value are recognised in profit or loss in the period in which they arise.
Dividend income is recognised in profit or loss when the Company's right to receive payment is established. Interest income is recognised in profit or loss using the effective interest method.
Fair values are determined using quoted market prices where available.
2.4. Cash and Cash Equivalents
Cash is represented by cash in hand and deposits with financial institutions repayable without penalty on notice of not more than 24 hours. Cash equivalents are highly liquid investments that mature in no more than three months from the date of acquisition and that are readily convertible to known amounts of cash with insignificant risk of change in value.
2.5. Financial Instruments
The Company only enters into basic financial instrument transactions that result in the recognition of financial assets and liabilities like trade and other debtors and creditors.
(i) Financial assets
Basic financial assets, including trade and other debtors, and amounts due from related companies, are initially recognised at transaction price, unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest.
Such assets are subsequently carried at amortised cost using the effective interest method. At the end of each reporting period financial assets measured at amortised cost are assessed for objective evidence of impairment. If an asset is impaired, the impairment loss is the difference between the carrying amount and the present value of the estimated cash flows discounted at the asset's original effective interest rate. The impairment loss is recognised in the Statement of Comprehensive Income.
Loans comprising corporate bonds held as investments are measured at fair value at each reporting date, with changes in fair value recognised in profit or loss in the period in which they arise. Fair values are determined using quoted market prices where available.

2.5. Financial Instruments - continued
Financial assets are derecognised when (a) the contractual rights to the cash flows from the asset expire or are settled, or (b) substantially all the risks and rewards of the ownership of the asset are transferred to another party or (c) control of the asset has been transferred to another party who has the practical ability to unilaterally sell the asset to an unrelated third party without imposing additional restrictions.
(ii) Financial liabilities
Basic financial liabilities, including trade and other creditors and accruals, are initially recognised at transaction price, unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future receipts discounted at a market rate of interest.
Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of business from suppliers. Trade creditors are classified as current liabilities if payment is due within one year or less. If not, they are presented as non-current liabilities.
Trade creditors are recognised initially at transaction price and subsequently measured at amortised cost using the effective interest method.
Financial liabilities are derecognised when the liability is extinguished, that is when the contractual obligation is discharged, cancelled or expires.
(iii) Offsetting
Financial assets and liabilities are offset and the net amounts presented in the financial statements when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.
2.6. Interest Receivable
Interest income is recognised in profit or loss using the effective interest method.

The Company has no employees other than the directors, who did not receive any remuneration. NIL (2024: NIL)

Current asset investments comprise cash and short-term investments, bonds and similar positions, and equities and similar positions, all of which are readily marketable and measured at fair value. At 31 December 2025, the total value of current asset investments was £7,510,309 (2024: £nil), comprising bonds and similar positions of £4,039,200, and equities and similar positions of £3,471,109. The fair values have been determined using quoted market prices at the reporting date.
The total income recognised on these investments in the period was £762,307 (2024: Nil), representing fair value remeasurement of £549,660 (2024: Nil), dividends received of £37,786 (2024: Nil), and interest income of £174,861 (2024: Nil).

8. Related Party Disclosures

9. Controlling Parties
The Company is a wholly-owned subsidiary of Borchard Lines Limited, a company registered in England and Wales. Its registered office and principal place of business is 5th Floor Bevis Marks House, 24 Bevis Marks, London, United Kingdom, EC3A 7JB.

The ultimate parent company and controlling party is Borlines Limited, a company incorporated in Bermuda.
10. Audit Information
The auditor's report on the accounts of Borchard (UK) Ltd for the year ended 31 December 2025 was unqualified.
