Financial instruments
Basic Financial Assets
Basic financial assets, which include debtors and cash and bank balances, are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method unless the arrangement constitutes as financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest. Financial assets classified as receivable within one year are not amortised.
Basic Financial Liabilities
Basic financial liabilities, including creditors, bank loans, loans from fellow group companies and preference shares that are classified as debt, are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest. Financial liabilities classified as payable within one year are not amortised.
Debt instruments are subsequently carried at amortised cost, using the effective interest rate method.
Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of business from suppliers. Amounts payable are classified as current liabilities if payment is due within one year or less. If not, they are presented as non-current liabilities. Trade creditors are recognised initially at transaction price and subsequently measured at amortised cost using the effective interest method.
Taxation
Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.
Current or deferred taxation assets and liabilities are not discounted.
Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.

Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date.
Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.
Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.

| 8. | DISCLOSURE UNDER SECTION 444(5B) OF THE COMPANIES ACT 2006 |
The Report of the Auditors was qualified on the following basis:
Basis for qualified opinion
Because management did not provide all of the financial information and payroll/personnel records requested, we were unable to obtain sufficient appropriate audit evidence in respect of specific audit procedures after accepting the engagement. Consequently, we were unable to determine whether adjustments to income, bank transactions, purchases, wages/payroll balances or related disclosures were necessary, as per the matters set out below:
(a) Sales receipts: sampled sales transactions were traced to sales invoices; however, because complete bank statements for the year were not provided, we could not complete our testing of the related receipts into the bank. However, all other sales and trade debtors testing was successfully completed.
(b) Bank transactions: although closing bank balances were agreed to closing bank statements and bank audit letters, complete bank statements for the year were not provided and we could not complete in-year bank receipts and payments testing.
(c) Purchases system transaction testing: we were able to verify the purchase transactions for which supporting purchase invoices were provided, with no issues noted; however, supporting documents were not provided for the balance of the selected sample and we could not complete the related transaction testing. However, all other purchases and trade creditors testing was successfully completed, including a purchases walk-through test.
(d) Payroll/personnel records: payroll balances, average headcount and payroll deductions were tested and agreed; however, personnel file evidence was not provided, so we could not complete testing over employee existence and employment documentation, including starters and leavers.
We believe that the above matters constitute an inability to obtain sufficient appropriate audit evidence, due to a management-imposed limitation of scope, after we had accepted the engagement. We have concluded that the effects on the financial statements of the above matters could be material, but not pervasive, and have thereby qualified our opinion, in accordance with paragraph 13(a) of ISA (UK) 705 (Revised June 2016) (Updated September 2025).
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditor responsibilities for the audit of the financial statements section of our report. We are independent of the company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our qualified opinion.
