Notes to the Financial Statements
1. General Information
Thanotech Ltd is a private company, limited by shares, incorporated in England & Wales, registered number 15854563 . The registered office is 210 Euston Road, London, NW1 2DA.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 Section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
The financial statements are presented in sterling, which is the company's functional currency, and are rounded to the nearest pound.
The current period covers the five months from 1 August 2025 to 31 December 2025 following a change in the company's accounting reference date. The comparative figures cover the period from 22 July 2024 to 31 July 2025, being 12 months and 10 days. In addition, the commercial terms governing the project management fee charged by the company were renegotiated with effect from 01st August 2025, and the rate charged reduced significantly from that date. For both reasons the comparative amounts are not directly comparable with those for the current period.
The company reported a loss for the period. As described in note 9, amounts invoiced to customers in advance of delivery were credited and repaid after the balance sheet date, and the related costs incurred during the period are not recoverable from those customers.
2.2. Going Concern Disclosure
The directors have not identified any material uncertainties related to events or conditions that may cast significant doubt about the company's ability to continue as a going concern.
2.3. Turnover
Turnover represents amounts receivable for services provided in the ordinary course of business, stated net of value added tax.
The company arranges the supply of software services to its customers, contracting directly with those customers and having primary responsibility for delivery of the projects concerned. Turnover comprises project management fees receivable. Costs charged by software partners are recharged to customers and are presented as other operating income, with the corresponding costs presented within administrative expenses.
Turnover is recognised by reference to the stage of completion of the underlying project at the balance sheet date. Where the outcome of a project cannot be estimated reliably, turnover is recognised only to the extent of costs incurred that are considered recoverable.
Amounts received from customers in advance of the related recharge are not recognised as income and are held within creditors (note 7).
2.4. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:
Computer Equipment 33.33% straight line on cost
2.5. Financial Instruments
The company holds only basic financial instruments, comprising trade and other debtors, cash at bank and in hand, trade and other creditors, and amounts owed by and to related parties.
Such instruments are recognised initially at transaction price and subsequently measured at amortised cost less any impairment. Amounts owed by and to related parties are interest free and repayable on demand, and are accordingly measured at the amounts advanced.
At each reporting date the company assesses whether there is objective evidence that a financial asset is impaired. Where such evidence exists, an impairment loss is recognised in profit or loss.

Page 4
2.6. Foreign Currencies
Transactions in foreign currencies are translated into sterling at the rate of exchange ruling on the date of the transaction. Monetary assets and liabilities denominated in foreign currencies are retranslated into sterling at the rate of exchange ruling at the balance sheet date. All exchange differences are recognised in arriving at operating profit.
2.7. Taxation
Income tax expense represents the sum of the tax currently payable and deferred tax.
The tax currently payable is based on taxable profit for the year. Taxable profit differs from profit as reported in the statement of comprehensive income because of items of income or expense that are taxable or deductible in other years and items that are never taxable or deductible. The company's liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the end of the reporting period.
Deferred tax is recognised on timing differences between the carrying amounts of assets and liabilities in the financial statements and the corresponding tax bases used in the computation of taxable profit. Deferred tax liabilities are generally recognised for all taxable timing differences. Deferred tax assets are generally recognised for all deductible temporary differences to the extent that it is probable that taxable profits will be available against which those deductible timing differences can be utilised. The carrying amount of deferred tax assets is reviewed at the end of each reporting period and reduced to the extent that it is no longer probable that sufficient taxable profits will be available to allow all or part of the asset to be recovered.
Deferred tax assets and liabilities are measured at the tax rates that are expected to apply in the period in which the liability is settled or the asset realised, based on tax rates (and tax laws) that have been enacted or substantively enacted by the end of the reporting period. Deferred tax liabilities are presented within provisions for liabilities and deferred tax assets within debtors. The measurement of deferred tax liabilities and assets reflect the tax consequences that would follow from the manner in which the Company expects, at the end of the reporting period, to recover or settle the carrying amount of its assets and liabilities.
Current and deferred tax are recognised in profit or loss for the period, except when they relate to items that are recognised in other comprehensive income or directly in equity, in which case current and deferred tax are recognised in other comprehensive income or directly in equity respectively.
