Notes to the Financial Statements
1. General Information
UNIVERSAL SECURITIES & INVESTMENTS LIMITED is a private company, limited by shares, incorporated in England & Wales, registered number 05187654 . The registered office is Suite 327 Linen Hall, 162-168 Regent Street, London, W1B 5TB.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
These financial statements have been prepared in accordance with FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” (“FRS 102”), Section 1A, and the requirements of the Companies Act 2006 applicable to companies subject to the small companies’ regime. The financial statements are presented in sterling (£), which is the Company’s functional currency, and monetary amounts are rounded to the nearest £. The financial statements have been prepared under the historical cost convention.
2.2. Going Concern Disclosure
The directors have assessed the Company’s ability to continue as a going concern and, based on their assessment, have concluded that there are no material uncertainties related to events or conditions that may cast significant doubt on the Company’s ability to continue as a going concern. Accordingly, the financial statements have been prepared on a going concern basis.
2.3. Significant judgements and estimations
Critical judgements include determining when remittance-processing services are complete, whether customer/safeguarded funds and related liabilities are recognised, and whether rebate income is reported net. Key estimation matters include useful lives and impairment of payment licences, recoverability of the long-term deposit and measurement of deferred-tax timing differences.
2.4. Turnover
The company acts as payment service provider holding an API licence assisting business and individuals to make payments overseas. Authorised and regulated since 2004.
Turnover from the rendering of services is recognised by reference to the stage of completion of the contract. Revenue is recognized upon execution of underlying foreign remittance transactions.
Other Trading Income
Other trading income primarily relates to rebate income earned on qualifying transactions processed to Pakistan. For each qualifying transaction, the processing bank in Pakistan provided an incentive, referred to as a rebate. This income was recognised within Other Trading Income. In accordance with the relevant commercial arrangements, a portion of the rebate received was shared with the Company’s pay-in partners. The amounts shared with these partners are adjusted within this other trading income.
Rebate income
Rebate income is recognised when the qualifying remittance transaction is processed and the company's entitlement is established. Amounts contractually payable to pay-in partners are presented as an expense. The conclusion is based on responsibility for fulfilment, pricing discretion and exposure to risk.
Customer-advance accounting policy
Customer advances are recognised as current liabilities when funds are received before the related remittance transaction is executed. Revenue is recognised when the company has completed its contracted processing service and the underlying transaction has been executed. Amounts relating to incomplete or cancelled transactions remain payable to customers or are refunded, as appropriate.
Safeguarding of Customer Funds
Universal Securities & Investments Limited is an Authorised Payment Institution and is required to safeguard relevant customer funds in accordance with the Payment Services Regulations 2017.
The Company applies the segregation method for safeguarding customer funds. Relevant funds received from payment service users are segregated from the
Company's own funds and held in designated safeguarding arrangements in accordance with Regulation 23 of the Payment Services Regulations 2017 and the applicable requirements of CASS 15 and PS25/12.
The Company does not use the insurance or guarantee method of safeguarding.

2.4. Turnover - continued
The safeguarded customer funds are held separately from the Company's own funds and are not available for use in the ordinary course of the Company's business. The Board retains overall oversight of the safeguarding arrangements, with operational responsibility delegated to the Chief Financial Officer.
2.5. Intangible Fixed Assets and Amortisation - Other Intangible
Intangible assets comprise licences, directly attributable implementation costs and development costs relating to the Company's technology platform used to process international payments. The total capitalised development and other intangible asset costs at the year end amounted to £416,261, including £82,602 of additions during the year.
The development costs relate to the Company's technology platform, including the website, mobile applications, web applications, back-office systems, middleware and APIs. Development expenditure is capitalised where it meets the relevant recognition criteria and is directly attributable to the development of the platform.
The assets are amortised over their estimated useful economic lives of 10 years from the date they are available for use. At 30 June 2026 their remaining weighted-average useful life was approximately 6 years.
Development costs relating to work still in progress are not amortised until the relevant asset or component is available for use.
At 30 June 2026, management reviewed the intangible assets for impairment and identified no impairment requiring recognition at the year end.
2.5. Impairment of Non-Financial Assets
At each reporting date, management reviews the carrying amounts of the Company’s non-financial assets, including intangible assets, for any indication of impairment. Where indicators of impairment are identified, the relevant assets are assessed to determine whether their carrying value is recoverable.
Management has considered the performance and future prospects of the Company and reviewed the intangible assets, including the development costs relating to the Company’s technology platform. Based on this assessment, management has identified no indicators of impairment at 30 June 2026 and therefore no impairment loss has been recognised in the financial statements.
2.6. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:
Motor Vehicles 20% Writing down value
Fixtures & Fittings 25% Writing down value
Computer Equipment 25% Writing down value
2.7. Financial Instruments
Basic financial instruments comprise trade debtors, cash at bank, long-term deposits, trade creditors, customer advances, amounts due to a director and accruals. They are initially measured at transaction price and subsequently at amortised cost, less impairment where applicable.
Credit risk: The principal exposures arise from cash deposits and trade debtors. Cash is held with regulated institutions and counterparty exposure is monitored.
Liquidity risk: The company maintains cash resources to meet customer settlements and operating liabilities as they fall due.
2.8. Foreign Currencies
Transactions in foreign currencies are recorded at the exchange rate prevailing at the date of the transaction. Foreign currency monetary items are translated at the closing rate at the end of the reporting period. Exchange differences arising from the settlement of monetary items or from the translation of monetary items at rates different from those at which they were initially recorded or reported in previous financial statements are recognized in the profit and loss account in the period in which they arise. Non-monetary items measured at historical cost in a foreign currency are not re-translated. The company does not currently engage in any foreign currency hedging activities.

Page 6
2.9. Taxation
Income tax expense represents the sum of the tax currently payable and deferred tax.
The tax currently payable is based on taxable profit for the year. Taxable profit differs from profit as reported in the statement of comprehensive income because of items of income or expense that are taxable or deductible in other years and items that are never taxable or deductible. The company's liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the end of the reporting period.
Deferred tax is recognised on timing differences between the carrying amounts of assets and liabilities in the financial statements and the corresponding tax bases used in the computation of taxable profit. Deferred tax liabilities are generally recognised for all taxable timing differences. Deferred tax assets are generally recognised for all deductible temporary differences to the extent that it is probable that taxable profits will be available against which those deductible timing differences can be utilised. The carrying amount of deferred tax assets is reviewed at the end of each reporting period and reduced to the extent that it is no longer probable that sufficient taxable profits will be available to allow all or part of the asset to be recovered.
Deferred tax assets and liabilities are measured at the tax rates that are expected to apply in the period in which the liability is settled or the asset realised, based on tax rates (and tax laws) that have been enacted or substantively enacted by the end of the reporting period. Deferred tax liabilities are presented within provisions for liabilities and deferred tax assets within debtors. The measurement of deferred tax liabilities and assets reflect the tax consequences that would follow from the manner in which the Company expects, at the end of the reporting period, to recover or settle the carrying amount of its assets and liabilities.
Current and deferred tax are recognised in profit or loss for the year, except when they relate to items that are recognised in other comprehensive income or directly in equity, in which case current and deferred tax are recognised in other comprehensive income or directly in equity respectively.
2.10. Cash and Cash Equivalents
Cash and cash equivalents include cash in hand, deposits held at call with banks, and other short-term liquid investments that are readily convertible to known amounts of cash and subject to an insignificant risk of changes in value. Current assets include cash at bank only as of 30 June 2026.
2.11. Provisions
Provisions are recognized when the company has a present obligation (legal or constructive) as a result of a past event, and it is probable that the company will be required to settle the obligation and the amount of the obligation can be reliably estimated. Provisions are measured at the best estimate of the expenditure required to settle the obligation at the reporting date.
2.12. Employee Benefits
The company contributes to a defined contribution pension scheme for its employees. Contributions are recognized as an expense when employees have rendered services entitling them to the contributions.
Contributions recognised as an expense during the year were £3,755 (2025: £2,640). Contributions of £1,798 were outstanding at 30 June 2026 and were paid after the reporting date.
2.13. Related Party Transactions

Transactions with directors, such as loans or other benefits, are disclosed regardless of materiality.
