TRUSTEES' REPORT (INCLUDING DIRECTORS' REPORT)
FOR THE YEAR ENDED 31 DECEMBER 2025
- 1 -

The Trustees present their annual report and financial statements for the year ended 31 December 2025.

The financial statements have been prepared in accordance with the accounting policies set out in note 1 to the financial statements and comply with the Charity's governing document, the Companies Act 2006, FRS 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Charities SORP "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)".

Objectives and activities

Background information

The Fountain Centre was established in 1998 at the Royal Surrey County Hospital, Guildford, to provide a caring environment for patients diagnosed with cancer, balancing traditional approaches to cancer treatment with a range of support and wellbeing services. Following a significant rebuild and extension of the Royal Surrey Cancer Centre, the Fountain Centre now has a presence across the whole site. The main Centre is located on Level B Outpatients, with two further treatment rooms on Level A in the Radiotherapy department, which opened in April 2012. The Fountain Centre also has a dedicated information area in the new Cancer Centre waiting room, ensuring patients can access support and resources from the moment they arrive, as well as a family room on Onslow Ward. The garden, which includes a family support cabin, was redesigned in 2025 to provide a welcoming outdoor space for patients and families. Within these spaces, patients, their families and carers can make informed choices about their future and become active in their own self-management.

The Fountain Centre operates under a rolling two-year Service Level Agreement (SLA) with the hospital, which is scheduled for renewal in April 2027. Most staff are employed by the Royal Surrey NHS Foundation Trust, which is then, in most cases, reimbursed by the Fountain Centre. The hospital currently provides the accommodation and associated utilities for the Fountain Centre, to which the Fountain Centre contributes to its operational costs. All volunteers — vital to the Centre's daily operations — are recruited through the Royal Surrey Volunteer Service. The Fountain Centre also funds the provision of books, leaflets, and audio-visual materials to ensure visitors have free access to information. Additionally, the Centre maintains a dedicated resource website offering patients information and advice. Since 2022, the Centre has significantly expanded its virtual and online services

Public benefit

The Trustees confirm that they have complied with their duty under section 17 of the Charities Act 2011 to have due regard to the Charity Commission’s guidance on public benefit. The activities of the charity provide clear public benefit by offering free services that support the mental, physical and emotional wellbeing of individuals affected by cancer, enabling them to make informed decisions and actively manage their health and recovery.

Future Strategy and purpose

The Fountain Centre is a registered charity committed to expanding its reach and impact, continuously seeking ways to develop its premises, facilities and services to meet the rising number of people using the Centre year on year. In 2025, with the guidance of an external consultancy, the Fountain Centre developed a new five-year strategy for 2025–2030. As part of this review, four main strategic objectives were identified to focus and direct future development. Trustees discussed the establishment of a new designated fund to cover the investment required over the next two years to implement the improvement of equal access for all patients, managing future capacity issues and working with lived experience partners to shape future services. This will be finalised in the first quarter of 2026.

A Strategy Steering Group has been established to translate these objectives into action — overseeing the development of operational plans, driving forward key workstreams, and ensuring accountability for progress. The group meets regularly and reports to the Board, providing the governance structure through which the new Business Plan is being built and delivered.

As previously reported, the Directors of the charity’s trading company, Fountain Centre Services Limited in consultation with the Fountain Centre’s Board of Trustees, decided in December 2024 to end its chargeable activities in order to concentrate on addressing the growing requirements at the Centre. The company remained dormant at the end of 2025, pending finalisation of the charity’s future strategy.

The Trustees review the Charity’s objectives and activities to ensure they continue to reflect its aims. In carrying out this review, the Trustees have considered the Charity Commission’s general guidance on public benefit and are satisfied that it meets the criteria in full.

While the current financial position of The Fountain Centre remains healthy, Trustees are mindful that the economic climate remains challenging. This may impact not only the Centre directly, but also the availability of external funding from grant-making bodies. In response, Trustees work closely with the Head of The Fountain Centre to regularly assess ongoing demand for the service and explore how it can continue to be sustainably funded. The Board actively considers both medium- and long-term funding strategies, and the Head of the Centre provides updates on fundraising progress and developments at each quarterly Board meeting.

Governance

We have continued to maintain good governance through regular meetings of the Board of Trustees and its constituent cornerstone groups and these have been well attended. The majority of these meetings have been held face to face but trustees have continued to use video conference facilities where these have been more convenient for the members concerned.

The Trustees are grateful for the unstinting efforts of their staff and volunteers during this demanding period.

Achievements and performance

In 2025, the Fountain Centre experienced continued and significant growth in demand for its services. We received 1,467 referrals, up from 1,378 in 2024 and 1,056 in 2022 — an increase of nearly 40% over three years. We delivered over 11,000 appointments across therapy, counselling and wellbeing services, representing a 40% rise in sessions since 2022. Therapy appointments in the first half of 2025 alone rose by over 9% on the same period in 2024.

Following two years of substantial growth — families referred to our family support service rising from 53 in 2022 to 127 in 2024, and children and young people referred rising from 90 to 252 over the same period — referral numbers saw a slight dip in 2025, with 114 families and 209 children and young people referred. The reason for this reduction has not yet been established, but referrals have continued to come through consistently across the year, and overall demand for the family support service remains high. This will continue to be monitored through 2026 alongside the wider referral trends reported elsewhere in this document.

A significant step forward in 2025 was the launch of a new structured exercise programme, beginning with breast cancer patients. Led by our oncology physiotherapist, the ten-week programme supports strength, mobility, cardiovascular fitness and fatigue management. Following a successful pilot, the service moved to the Surrey Sports Park in September 2025. By December, an exercise specialist had been recruited to support the physiotherapist in delivering a combination of ten-week exercise programmes alongside workshops. This partnership with the Surrey Sports Park will be key in developing a clear exercise pathway and service for people living with and beyond cancer.

Our research partnership with the University of Surrey continues across two active studies: a twelve-week exercise programme for bowel cancer patients, which achieved an 82% completion rate, and an eight-week online exercise study for prostate patients. Our PhD study in cancer coaching has been completed and a published article is now available. We are working with a national professional body to translate the findings into recognised national standards for cancer coaching, a genuine contribution to the field.

The Collaboration in Care (CIC) quality improvement project with NHS England concluded with clear findings, recording a 30% increase in referrals since the project went live. The project demonstrated the importance of a standardised process to ensure all appropriate Royal Surrey Cancer patients are informed about Fountain Centre support, and continues to shape our approach to patient engagement and equity of access. The Corridor Rebranding project on Level B, shaped directly by patient feedback gathered through the CIC project, gave visible expression to this commitment, with new boards and screens focused on concerns patients actually identify with — fatigue, anxiety, talking to children and joint pain.

Our partnership with Citizens Advice continued to provide vital welfare and financial advice for patients facing financial difficulty as a result of their diagnosis. We are working through the implications of Macmillan's decision to reduce its funding for the national benefits advice service from May 2026, which will significantly affect local capacity and places additional responsibility on us to consider how we respond.

There have been important leadership and staff developments during the year. We developed a clear management structure, strengthening the operational and governance foundations of the organisation. A Band 7 physiotherapist was permanently appointed from April, strengthening our clinical exercise and rehabilitation offer. Royal Surrey Charity approved the funding for a Royal Surrey clinical psychologist who will work closely with our team to provide Level 4 support for the most complex patient presentations. In terms of professional development, our acupuncturist continues his PhD focused on cancer care, our Psychological Support Lead achieved a distinction in her MSc in Psychology and Mental Health, and our Head of Centre completed the NHS Rosalind Franklin Leadership Programme.

In 2025, the Fountain Centre reported total income of £824,597 and total expenditure of £734,766, a positive operating position reflecting prudent financial management and the commitment of our donors, funders and supporters. The Board has identified over-reliance on a single major donor as our top financial risk and has responded by appointing a new Trustee with significant fundraising experience, and ensuring this is a key element of the future strategy

Fundraising practices

In 2025, we delivered a range of fundraising activities, including a fashion show and Christmas concert, raising £48,700. We were the principal charity beneficiary of the Guildford Lions Fireworks Event and the Albury Festival. We are grateful for the continued support of our donors, particularly those contributing through Gift Aid, which generated £36,802 during the year. We also benefited from sustained funding for specific activities and roles. Our strong fundraising performance resulted in income exceeding operational expenditure in 2025. Enhancements to our website improved the accessibility and efficiency of online donations, increasing direct contributions while reducing associated costs. Regular hospital sales continue to generate both income and heightened awareness of our work.

Financial review

The net incoming resources for the year amounted to £116,398 (2024: £157,515) including net incoming resources of £28,691 (2024: £133,028) related to designated and restricted funds. At the end of the year, total funds stood at £1,157,774 (2024: £1,041,376) which is comprised of General Unrestricted Funds of £553,694 (2024: £451,287), Designated Funds of £250,515 (2024: £259,058) and Restricted Funds of £353,565 (2024: £331,031).

Fundraising events raised sums of £91,909 in 2025 (2024: £80,860). In addition, general unrestricted donations were £376,042 (2024: £309,944) (see note 2).

Reserves policy

The Trustees have established a policy whereby the aim is to hold General Reserves which equate to a minimum of six months of the annual running costs of operating the Fountain Centre. While we currently exceed this reserve target we closely monitor the funding needs of the charity on an ongoing basis, balancing the desire to maintain reserves with the cash requirements of developing the future strategy. The Trustees formally review the continuing appropriateness of the reserves policy on a regular basis.

Investment policy

As reported previously, due to a significant legacy and a few large donations, The Fountain Centre’s investment strategy was revised at the end of 2019 to manage these funds appropriately. These funds have been set aside to cover the ongoing costs of posts and their associated services currently covered by grants, which, with termination dates, may possibly not be renewed. The Fountain Centre board felt it was appropriate to set these funds aside due to concerns regarding accessing future grants, thereby ensuring continuity around these posts and the value they add to patient support.

The board continued to consult with its Independent Financial Adviser (IFA) on the charity’s investment portfolio and in the summer of 2024 decided to close its existing funds, replacing them with a fund managed by Rathbones, on a discretionary basis. These investments, then valued at c. £456K were transferred to Rathbones during the third quarter of 2024. At 31 December 2025 the value of these investments stood at £461,869 (£363K at 31 December 2024).

Major risks

The Trustees have assessed the major risks to which the Charity is exposed, and are satisfied that systems are in place to mitigate exposure to the major risks.

Trustees recognise that, while steps have been taken to reduce exposure to funding and operational risks, challenges remain. External risks have been mitigated to some extent through a broader approach to fundraising. Internally, procedures are in place to manage risk through authorisation protocols and the requirement for Trustee approval on major projects and annual budgets. These measures are kept under review to ensure they remain appropriate in a changing environment.

Policies and the risk register are reviewed regularly, and all clinical governance matters are addressed during monthly meetings held within the hospital. Finance and Governance meetings have standing agenda items, providing a forum to discuss any incidents, complaints, or emerging risks. The Head of the Fountain Centre reports into the Royal Surrey Cancer governance system, ensuring clinical risks and operational matters are considered within the broader NHS framework, and reports quarterly to the Charity's Finance and Governance Committee, providing regular oversight at Board level.

As part of our strategic review, risk management has become an increasingly central consideration. Among the risks identified in 2024, meaningful progress was made across all key priorities. A new Trustee was recruited to bring dedicated expertise to income development. An external consultancy was engaged to support the development of the new strategy, which included identifying areas of concern, most notably the need to diversify our income streams and to review our governance arrangements against the Charity Governance Code. This work has begun and will continue into 2026. Active steps were also taken to develop and strengthen our relationship with Royal Surrey, recognising this partnership as fundamental to the long-term sustainability and integration of our services. Volunteer training compliance was reported to the Board as part of the governance review, and by 2025 the position had improved significantly, with compliance recorded at above 95%.

Structure, governance and management

The organisation is a charitable company limited by guarantee and registered as a charity on 26 October 2001.

At its meeting in May 2024, the Board of Trustees agreed to adopt the Charity Governance Code in order to improve the charity’s adherence to best standards and to work towards its full implementation. The Board had reviewed its performance against the Code’s first three principles by autumn 2025 and a number of improvements were made as a result. At its meeting in November 2025 the Board decided in light of recent changes to the Code to commission an external review of the charity’s governance as it was felt this would speed up implementation.

Members of the charitable company guarantee to contribute an amount not exceeding £10 to the assets of the charitable company in the event of a winding up. At 31 December 2025, the number of members was 10 (2024: 10) with the total of guarantees of £100 (2024: £100).

The company was established under a Memorandum of Association which sets out the objects and powers of the charitable company and is governed under its Articles of Association. These Articles were reviewed in the first half of 2022 and the Board agreed changes which were reported on previously.

The Directors, together with the Treasurer and the Head of Fountain Centre, are responsible for the operational management of the company and for the financial and other controls, procedures and risk assessments to ensure proper husbandry of resources.

The board of Trustees meet on a regular basis to consider and review the charity’s activities, general progress and current financial position. Decisions are then made on matters such as the investment of the charity’s funds and the level of reserves appropriate to each fund in order to meet their objectives.

At the charity’s annual meeting in July 2025 four trustees/directors – Diana Roberts, Victoria Mumford, Janice Whitby and Matt Jarratt – stood down and offered themselves for re-election. All four trustees were unanimously re-elected for a period of 3 years.

the financial statements do not accord with those records; or

3

the financial statements do not comply with the accounting requirements of section 396 of the Companies Act 2006 other than any requirement that the financial statements give a true and fair view, which is not a matter considered as part of an independent examination; or

Unrestricted funds are donations and other incoming resources receivable or generated for the objects of the charity without further specified purpose and are available as general funds. All income is included when receivable.

Designated funds are unrestricted funds earmarked by the trustees for particular purposes.

Restricted funds are to be used for specific purposes as laid down by the donor. Expenditure which meets these criteria is charged to the fund, together with a fair allocation of management and support costs.

1.4
Income
Income is recognised when the Charity is legally entitled to it after any performance conditions have been met, the amounts can be measured reliably, and it is probable that income will be received.

Voluntary income is received by way of donations and gifts and is included in full in the Statement of Financial Activities when receivable. The value of services provided by volunteers has not been included.

Gift aid and discretionary trust fund distribution tax credits are recognised with the income to which they relate.

Legacies are treated as received when funds are notified as receivable. Receipt of a legacy, in whole or in part, is only considered probable when the amount can be measured reliably, and the charity has been notified of the executor's intention to make a distribution.

(Continued)
- 13 -

Income from government and other grants whether capital grants or revenue grants is recognised when the charity has entitlement to the funds, any performance conditions attached to the grants have been met, it is probable that the income will be received and the amount can be measured reliably and is not deferred.

1.5
Expenditure

Resources expended are recognised in the period in which they are incurred. Resources expended include attributable VAT which cannot be recovered.

Governance costs represent the general running of the charity and which are not in respect of the direct management and costs of generating funds and the day to day delivery of the main objectives.

Support costs are directly attributed to the activity to which they relate.

1.6
Tangible fixed assets

Tangible fixed assets are initially measured at cost and subsequently measured at cost or valuation, net of depreciation and any impairment losses.

Depreciation is recognised so as to write off the cost or valuation of assets less their residual values over their useful lives on the following bases:

Leasehold improvements
20% straight line per annum

The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset, and is recognised in the statement of financial activities.

1.7
Fixed asset investments

Fixed asset investments are initially measured at transaction price excluding transaction costs, and are subsequently measured at fair value at each reporting date. Changes in fair value are recognised in net income/(expenditure) for the year. Transaction costs are expensed as incurred.

A subsidiary is an entity controlled by the Charity. Control is the power to govern the financial and operating policies of the entity so as to obtain benefits from its activities.

1.8
Cash and cash equivalents

Cash and cash equivalents include cash in hand, deposits held at call with banks, other short-term liquid investments with original maturities of three months or less, and bank overdrafts. Bank overdrafts are shown within borrowings in current liabilities.

1.9
Financial instruments

The Charity has elected to apply the provisions of Section 11 ‘Basic Financial Instruments’ and Section 12 ‘Other Financial Instruments Issues’ of FRS 102 to all of its financial instruments.

Financial instruments are recognised in the Charity's balance sheet when the Charity becomes party to the contractual provisions of the instrument.

Debtors are measured at their transaction value less any impairment losses. They are measured at their recoverable amounts. Cash at bank and in hand are basic financial assets and include deposits held at call with banks, other short-term liquid investments with maturities of three months or less.

Creditors are measured at transaction price and recognised when the charity has a present obligation resulting from a past event and the obligation can be measured or estimated reliably (usually the invoice price).

Covenants

The Fountain Centre's occupation of premises at Royal Surrey County Hospital has developed over a number of years, including covenants with the Trust dated 19 July 2002 and 21 February 2003 relating to an extension to the Centre's facilities, in exchange for which the Fountain Centre was permitted to use the relevant area. All areas currently occupied by the Fountain Centre, including this area, are now governed under a Service Level Agreement with the Trust, the current agreement having been signed on 1 May 2025, effective from 1 May 2025 to 30 April 2027.

Designated Funds

Garden Project Fund

This fund has now been completely spent following completion of the redevelopment of the garden in 2025.

Pennington

This designated fund has been used over a number of years to provide equipment and wellbeing support for patients and their families. There was £1,741 of expenditure in 2025 (2024: £0), spent on bags of kindness and other patient wellbeing support, bringing the fund to a close with no balance remaining.

Outreach Unit Fund

This fund was established from unrestricted general funds in 2016 to meet the perceived need to expand premises and facilities to meet the rising demand for cancer treatment care. As there was little or no prospect of additional Trust space becoming available for the Fountain Centre, the management team and trustees explored a number of options, including the purchase of a vehicle to contain treatment rooms, the lease of premises near to the Fountain Centre, and the development of satellite units at Frimley Park and Ashford St Peters hospitals.

Space requirements and the continuing need for this fund, will be reviewed in 2026 as part of the new business plan.

Family Support Services

A children's counsellor was recruited in March 2017 to support children under 18 of parents with cancer. Within six months, the counsellor had over 140 child clients to review over and beyond the period of treatment of the children's parents. This significant uptake pointed to the need and importance of this work which the trustees agreed to support through the establishment of this designated fund supplemented by support from third parties up to September 2017. Subsequently the demand led to the recruitment of additional staff and development of the service, largely funded by a five-year National Lottery grant to September 2022. In October 2022 the Fountain Centre was awarded a five year grant by the Luigi Francescon Trust to maintain and develop the Family Support Services. The designated fund is being retained to meet any additional costs not covered by the grant and to provide continuity of service when the current grant expires.

Luigi Francescon Trust

The Trust, who had provided funding in 2019 to provide a new building for children’s counselling, provided funds to finance the development of online services launched during the pandemic and to offset the salary costs of those staff who were not redeployed in the Royal Surrey County Hospital. In 2022, following the ending of the funding for the Family support service by the National lottery, the Luigi Francescon Trust agreed to take over the funding of the Family support service for a further 3 years, until October 2025. This grant will pay for two full time counsellors. The Luigi Francescon Trust has continued to support The Fountain Centre by providing further funding for a number of posts. In addition to the 3 years funding of the Family Support Service, they committed to a further 1 year funding for 5 other posts. It was agreed that future funding would be agreed on a year on year basis. The fund received donations of £394,659 in 2025 (2024 - £417,634) and had outgoings of £360,540  (2024 - £257,064).

Ashford Outreach

As a result of changes in plans for Fountain Centre activity at Ashford, the donors agreed to transfer the balance of the fund to the charity's Unrestricted Funds.
