Estimates and assumptions
Following the decision to wind down the trading part of the company in 2018, certain key assumptions have been made in calculating the possible direct and indirect tax impact on realisation. The assumptions and estimates are based on parameters available when the financial statements were prepared. Existing circumstances and assumptions about future developments, however, may change due to market changes or circumstances arising that are beyond the control of the Directors. Such changes are reflected in the assumptions when they occur. Determining fair values and net realisable value of assets In August 2018 independent valuations have been sought for the properties at Louth and Market Weighton in determining the rental yield on the freehold properties. This valuation has been used in valuing fair values of the properties at hand. Fair values are categorised into different levels in a fair value hierarchy based on the inputs used in the valuation techniques as follows. - Level 1: quoted prices (unadjusted) in active markets for identical assets or liabilities. - Level 2: inputs other than quoted prices included in Level 1 that are observable for the asset or liability, either directly (i.e. as prices) or indirectly (i.e. derived from prices). - Level 3: inputs for the asset or liability that are not based on observable market data (unobservable inputs) If the inputs used to measure the fair value of an asset or a liability fall into different levels of the fair value hierarchy, then the fair value measurement is categorised in its entirety in the same level of the fair value hierarchy as the lowest level input that is significant to the entire measurement. Further information about the assumptions made in measuring fair values is included in the note to the accounts - Investment property. Defined benefit pension buy out provision The company directors have recorded a provision of costs expected to be incurred for the sponsored pension scheme, RBM Agricultural Ltd. Pension Scheme following wind down of operations by the employer RBM Agricultural Ltd. These costs have been included in the Profit and loss account and are based on valuations prepared by the Pensions Actuary for the Trustees of the Scheme. The final valuation of the Scheme has not been sanctioned as at the date of agreeing the financial statements and actual results may differ substantially. The level of provision and the assumptions made has been disclosed in the note to the accounts. Estimated Taxation As a result of the decision to wind down the company, certain assumptions have been made in calculating the possible direct and indirect tax impact of the realisation. For the purpose of providing estimates it was assumed that the S75 valuation deficit is £5.22 m.

Pension commitments
The company sponsored a defined benefit scheme, RBM Agricultural Ltd. Pension Scheme and has an open ended legal obligation to fund the Scheme by making any necessary contributions over time. As the sponsoring company has ceased operational trading the Trustees are obliged to secure the cost of members' benefits using deferred and immediate annuity policies. The Scheme deficit was estimated on a buy out basis, under Section 75 of the Pensions Act 1995 (as amended by the Pensions Act 2004 and subsequent regulations) in 2019 and a subsequent triennial valuation in October 2022. In the triennial valuations, the estimated liabilities exceeded the scheme asset funds and as the deficit is funded by the company, the directors considered it prudent that full provision be made in the financial statements. The valuation presented should be considered as a guide. The Scheme Trustees at the date of presenting the financial statements continue to be in ongoing consultations with the Pensions Regulator and Scheme Actuary in establishing the actual cost of purchasing deferred and immediate annuities. This is dependent on market rates of interest and expectations as to future morbidity rates at the time of winding up, together with the supply and demand for such annuities at the time. The valuation for comparison between assets and liabilities of the Scheme is subject to an agreed effective date chosen by the Trustees and the certification of the provision required made by the Scheme Actuary. The level of provision and the assumptions used in the valuation of the Scheme is disclosed below. - Estimated Buy Out result Value of the Assets: Market Value as at 31 December 2024 - £5,982,247 Liabilities: Actuarial Scheme Liabilities as at 31 October 2022 - (£7,208,000) Apparent scheme deficit - (£1,225,753) The above figures are based on latest triennial valuation at 31 October 2022. Against this contingent liability the company has made the following grants to the sponsored pension scheme; 1) lodged funds of £2m with solicitors to be held in an interest bearing escrow account for the purpose of introducing further funds to the pension scheme should the situation arise, and 2) granted the scheme charge over two properties owned at Market Weighton and Louth valued at £1.5m Given the uncertainty relating to the valuation of the scheme’s liabilities it is not deemed prudent to adjust the formal provision in the accounts as set. The adjustment will be reviewed when the results of the 2025 triennial valuation to the scheme is completed and becomes available for assessment.
