Notes to the Financial Statements
1. General Information
Marldell Limited is a private company, limited by shares, incorporated in England & Wales, registered number 09341996 . The registered office is Marldell Barn, West Meon, Petersfield, GU32 1JP.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
2.2. Research and Development
In the research phase of an internal project it is not possible to demonstrate that the project will generate future economic benefits and hence all expenditure on research is recognised as an expense when it is incurred. Intangible assets are recognised from the development phase of a project if and only if certain specific criteria are met in order to demonstrate the asset will generate probable future economic benefits and that its cost can be reliably measured. Capitalised development costs are not amortised until the asset is available for use; after that point, they are amortised on a straight‑line basis over their estimated useful life.
If it is not possible to distinguish between the research phase and the development phase of an internal project the expenditure is treated as if it were all incurred in the research phase only.
2.3. Intangible Fixed Assets and Amortisation - Intellectual Property
Patents and other acquired intellectual property rights are recognised as intangible assets at cost, which includes directly attributable legal and registration fees. These assets arise from contractual or legal rights and are therefore capitalised when the rights are obtained.
Patents are amortised on a straight‑line basis over their estimated useful life, commencing when future economic benefits are expected to be consumed.
2.4. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:
Computer Equipment 25% on cost
2.5. Taxation
Income tax expense represents the total of current and deferred tax.
Amounts receivable under the SME Research & Development tax relief scheme are recognised within the tax line, as they form part of the company’s corporation tax position and are not presented as operating income.
The tax currently payable is based on taxable profit for the year. Taxable profit differs from profit as reported in the statement of comprehensive income because of items of income or expense that are taxable or deductible in other years and items that are never taxable or deductible. The company's liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the end of the reporting period.
Deferred tax is recognised on timing differences between the carrying amounts of assets and liabilities in the financial statements and the corresponding tax bases used in the computation of taxable profit. Deferred tax liabilities are generally recognised for all taxable timing differences. Deferred tax assets are generally recognised for all deductible temporary differences to the extent that it is probable that taxable profits will be available against which those deductible timing differences can be utilised. The carrying amount of deferred tax assets is reviewed at the end of each reporting period and reduced to the extent that it is no longer probable that sufficient taxable profits will be available to allow all or part of the asset to be recovered.
Deferred tax assets and liabilities are measured at the tax rates that are expected to apply in the period in which the liability is settled or the asset realised, based on tax rates (and tax laws) that have been enacted or substantively enacted by the end of the reporting period. Deferred tax liabilities are presented within provisions for liabilities and deferred tax assets within debtors. The measurement of deferred tax liabilities and assets reflect the tax consequences that would follow from the manner in which the Company expects, at the end of the reporting period, to recover or settle the carrying amount of its assets and liabilities.
Current and deferred tax are recognised in profit or loss for the year, except when they relate to items that are recognised in other comprehensive income or directly in equity, in which case current and deferred tax are recognised in other comprehensive income or directly in equity respectively.

9. Transition to FRS 102
On transition from FRS 105 to FRS 102, the company reviewed the classification of certain prototype and development‑phase costs previously presented within Plant & Machinery. In accordance with FRS 102 Section 18 and IAS 38, these costs meet the criteria for recognition as intangible development expenditure, as they relate to the design, construction and testing of prototypes undertaken during the development phase. As a result, the brought‑forward balance has been reclassified from tangible fixed assets to intangible assets.
No depreciation had been charged historically on these items because under the correct accounting treatment (intangible development assets), such costs are not amortised until the asset is available for use.
This adjustment represents a presentation reclassification only and there is no effect on prior‑year profit, total assets, or equity.
