2.Accounting policies
|
|
|
Basis of preparation of financial statements
|
The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with FRS 102 'The Financial Reporting Standard applicable in the UK and the Republic of Ireland' and the requirements of the Companies Act 2006. The disclosure requirements of Section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.
The following principal accounting policies have been applied:
The Directors have prepared cash flow forecasts covering a period of at least twelve months from the date of approval of these financial statements. Whilst the Company incurred a loss during the year and had net liabilities at 31 December 2025 of £8,521,589 (2024: £5,217,583 net liabilities), the Directors expect trading to improve through growth in the Company's recurring subscription revenue and have identified actions to reduce costs should performance be below forecast. In addition, the Company's principal borrowings are unsecured convertible loan notes which are not due for repayment until 2028 and 2029.
Having considered the forecasts and the actions available to management, the Directors have a reasonable expectation that the Company has adequate resources to continue in operational existence for the foreseeable future.
Accordingly, they continue to adopt the going concern basis in preparing these financial statements.
Revenue is recognised to the extent that it is probable that the economic benefits will flow to the Company and the revenue can be reliably measured. Revenue is measured as the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes.
Revenue from Software as a Service ("SAAS") is recognised on a straight line basis over the period of the contract.
Revenue in respect of software projects are recognised on a percentage completion basis, being the proportion of work performed to date on the estimated total work for the project.
Grants are accounted under the accruals model as permitted by FRS 102. Grants relating to expenditure on tangible fixed assets are credited to profit or loss at the same rate as the depreciation on the assets to which the grant relates. The deferred element of grants is included in creditors as deferred income.
Grants of a revenue nature are recognised in the Statement of Comprehensive Income in the same period as the related expenditure.

NOTES TO THE FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31 DECEMBER 2025
2.Accounting policies (continued)
Interest income is recognised in profit or loss using the effective interest method.
Finance costs are charged to profit or loss over the term of the debt using the effective interest method so that the amount charged is at a constant rate on the carrying amount. Issue costs are initially recognised as a reduction in the proceeds of the associated capital instrument.
Defined contribution pension plan
The Company operates a defined contribution plan for its employees. A defined contribution plan is a pension plan under which the Company pays fixed contributions into a separate entity. Once the contributions have been paid the Company has no further payment obligations.
The contributions are recognised as an expense in profit or loss when they fall due. Amounts not paid are shown in accruals as a liability in the Statement of Financial Position. The assets of the plan are held separately from the Company in independently administered funds.
Tax is recognised in profit or loss except that a charge attributable to an item of income and expense recognised as other comprehensive income or to an item recognised directly in equity is also recognised in other comprehensive income or directly in equity respectively.
The current income tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the reporting date in the countries where the Company operates and generates income.
Tangible fixed assets under the cost model are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management.
Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated useful lives, using the straight-line method.
Depreciation is provided on the following basis:
The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date.
Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in profit or loss.

NOTES TO THE FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31 DECEMBER 2025
During the year, the Company identified an error in the accounting for corporation tax in the comparative period. A corporation tax recoverable recognised in a previous financial year was incorrectly released to the Statement of Income and Retained Earnings during the comparative year, despite the Company continuing to have an entitlement to recover the amount from HM Revenue & Customs.
The comparative figures have therefore been restated to reverse the incorrect tax charge and reinstate the corporation tax recoverable asset.
The effect of the restatement was to reduce the taxation charge for the year ended 31 December 2024 by £191,308 and recognise a corporation tax recoverable balance of £191,308 as at 31 December 2024. As a result of this adjustment the retained earnings balance was increased by £191,308.
The correction has no impact on the Company's cash flows.
There is no ultimate controlling party.
