ENGIE Renewable Gases UK Limited (formerly Ixora Energy Limited)
For the 15 Month Period Ended 31 December 2024
The directors present their Strategic Report for ENGIE Renewable Gases UK Limited (formerly Ixora Energy Limited) (the “Company”) for the 15 month period ended 31 December 2024. The comparative information is for the year ended 30 September 2023.
Review of the business and future developments
The principal activity of the Company is the provision of management services to four anaerobic digestion (“AD”) biomass plants based in the South West of the United Kingdom, together with the origination and development of new AD site opportunities. These services include operational oversight, commercial support, finance, sustainability, regulatory compliance and administrative support.
During the 15 month period ended 31 December 2024, the Company generated turnover of £5,864,976 (year ended 30 September 2023
-
£4,035,232) and operating loss of £5,045,945 (year ended 30 September 2023
-
profit of £1,696,153). The results reflect the Company’s role as the central management and development entity for the Renewable Gases UK business, including activity associated with integration into the ENGIE Group, group management, business development and support functions. As the current period covers 15 months compared with a 12 month comparative period, the results are not directly comparable.
Principal factors affecting the business during the period included inflationary cost pressures and interest rate conditions, geopolitical uncertainty affecting energy markets and supply chains, and continued UK Government focus on energy security, energy sovereignty and the transition to low
-
carbon domestic energy production. These factors influenced cost management, investment appraisal, supply chain resilience and stakeholder sentiment towards domestically produced renewable energy.
The directors expect the Company to continue providing management and support services to Renewable Gases activities in the UK. The business unit’s future focus will remain on the safe and reliable operation of existing assets, optimisation of production, cost control, regulatory compliance and development opportunities where commercially appropriate.
Principal risks and uncertainties
The principal risks and uncertainties facing the Company arise from its role in supporting the Renewable Gases UK group and from the wider strategic, regulatory and operational environment in which the group operates. These risks are summarised below.
Operational and asset performance risk
The Company’s performance is linked to the operational performance of the renewable gas assets it supports. Plant availability, feedstock quality, maintenance activity and production volumes can affect the wider group’s financial performance. This risk is managed through operational oversight, planned maintenance and regular review of operational and financial performance.

Strategic Report (continued)
For the 15 Month Period Ended 31 December 2024
Principal risks and uncertainties (continued)
Regulatory and compliance risk
The group operates in a regulated sector and is subject to environmental, health and safety, sustainability and subsidy scheme requirements. Failure to comply with these requirements could result in financial penalties, loss or restriction of subsidy income, reputational damage or operational disruption. The Company supports compliance through established operational, finance and reporting processes.
Strategic and policy risk
The Company’s future activities and development opportunities are influenced by the wider strategic environment for renewable gas, including government support for the energy transition, energy security and domestic low
-
carbon energy production. Changes in policy, subsidy mechanisms, planning requirements or stakeholder sentiment could affect the timing, viability or prioritisation of new AD site opportunities. The Company manages this risk through ongoing monitoring of policy and regulatory developments, disciplined investment appraisal and alignment with ENGIE Group governance and strategic objectives.
Financial risk management and policies
The Company’s principal financial instruments comprise intercompany balances, cash, trade and other receivables, trade and other payables and borrowings. The principal financial risks arising from these instruments are credit risk, liquidity risk and cash flow risk. The Company has limited exposure to foreign exchange risk.
The directors review these risks regularly and have implemented policies and controls to manage exposures prudently and support the Company’s operational and financial resilience.
The Company transacts primarily in sterling and therefore has minimal foreign exchange risk. Where exposures to other currencies arise, the Company has in place a euro
-
denominated bank account to settle foreign currency invoices. There are no forward foreign exchange contracts in place.
Credit risk arises principally from cash deposits and trade and other receivables and is considered low, as the majority of receivables relate to intercompany recharges. The Company manages this risk by dealing with creditworthy counterparties and monitoring receivable balances on an ongoing basis. Where appropriate, management assesses the recoverability of outstanding balances and recognises expected credit losses in accordance with the applicable financial reporting framework.
Liquidity and cash flow risk
The Company manages liquidity and cash flow risk by monitoring forecast and actual cash flows to ensure sufficient funds are available to meet liabilities as they fall due. The Company has access to the ENGIE Group cash pooling system, which helps ensure sufficient funds are available to meet short
-
term working capital requirements. The directors review liquidity requirements regularly, taking into account the timing of operational expenditure, debt servicing obligations and expected receipts.

Key performance indicators
The directors use a combination of financial and non
-
financial measures considered relevant to the business to monitor the Company’s performance. The KPIs presented for the current period have evolved since the ENGIE acquisition in September 2023, reflecting the change in focus of the Company’s activities from the previous ownership structure to its current role supporting existing Renewable Gases UK operations and the origination and development of new AD site opportunities.
The principal key performance indicators now used by the directors are set out below together with comparative information and commentary.

ENGIE Renewable Gases UK Limited (formerly Ixora Energy Limited)
For the 15 Month Period Ended 31 December 2024
The directors present their report together with the audited financial statements of the Company for the 15 month period ended 31 December 2024. The comparative information is for the year ended 30 September 2023.
The Company extended its accounting period to 31 December 2024 in order to achieve alignment with the ENGIE group reporting period end.
ENGIE Renewable Gases UK Limited (formerly Ixora Energy Limited) is a wholly owned subsidiary of the Group headed by ENGIE S.A. (the “Group”).
The comparative period reflected the Company's position as the ultimate parent company of a group and, accordingly, was prepared on a different consolidation basis. Following the acquisition by the ENGIE Group, the Company is consolidated as part of the wider ENGIE Group and no longer prepares consolidated financial statements. The current period financial statements have therefore been prepared on a standalone company basis. Consequently, the current period is not directly comparable with the prior year.
The principal activity of the Company is the provision of management services to four Anaerobic Digestion (“AD”) biomass plants based in the South West of the United Kingdom, together with the origination and development of new AD site opportunities. Management services provided include day
-
to
-
day operations and maintenance, feedstock and digestate management, biological monitoring, environmental, health and safety management, regulatory and compliance activities, and finance and administrative support.
The loss for the period, after taxation, amounted to £9,042,445 (year ended 30 September 2023
-
£4,623,753).
The directors do not recommend the payment of a dividend for the 15 month period ended 31 December 2024 (year ended 30 September 2023

£Nil).
The directors who held office during the period and up to the date of signature of the financial statements were as follows:

Directors' Report (continued)
For the 15 Month Period Ended 31 December 2024
Directors' responsibilities statement
The directors are responsible for preparing the Strategic Report, the Directors’ Report and the financial statements in accordance with applicable law and regulations.
Company law requires the directors to prepare financial statements for each financial period. Under that law the directors have elected to prepare the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice), including Financial Reporting Standard 101 ‘Reduced Disclosure Framework’. Under company law the directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the Company and of the profit or loss of the Company for that period.
In preparing these financial statements, the directors are required to:
•
select suitable accounting policies and then apply them consistently;
•
make judgements and accounting estimates that are reasonable and prudent;
•
state whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements; and
•
prepare the financial statements on the going concern basis unless it is inappropriate to presume that the Company will continue in business.
The directors are responsible for keeping adequate accounting records that are sufficient to show and explain the Company’s transactions and disclose with reasonable accuracy at any time the financial position of the Company and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the Company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.
The directors have assessed the Company’s ability to continue as a going concern for a period of at least twelve months from the date of approval of these financial statements. This assessment has considered the Company’s financial position, forecast cash flows, liquidity requirements, and the support available from Group through its parent undertaking, ENGIE Bioz S.A.
In making their assessment, the directors have reviewed the Company’s latest forecasts and budgets, including downside scenarios. These demonstrate that the Company has adequate financial resources to meet its liabilities as they fall due. The directors have also considered reasonably possible changes in trading performance, including market price variability, cost changes, and working capital movements.
Based on this review, and taking account of the confirmed financial support, the directors consider that the Company will have adequate resources to continue in operational existence for the foreseeable future. For this reason, the financial statements have been prepared on a going concern basis.
Since the acquisition by ENGIE S.A, the Company will continue to enhance and increase the operating capacity of each individual plant. Further acquisitions and developments are planned in the coming years to grow biomethane production, revenue and profits.
Qualifying third party indemnity provisions
The Company maintains appropriate Directors’ and Officers’ Liability Insurance on behalf of the directors. In addition, individual qualifying third party indemnities are given to the directors which comply with the provisions of Section 234 of the Companies Act 2006, and were in force throughout the period and up to the date of signing the Directors’ Report.
ENGIE Renewable Gases UK Limited (formerly Ixora Energy Limited)
Directors' Report (continued)
For the 15 Month Period Ended 31 December 2024
With effect from 1 January 2024, employees previously employed by Halstow Energy Limited (formerly Ixora HR Limited) transferred to the Company under the Transfer of Undertakings (Protection of Employment) Regulations 2006. Following the transfer, the Company employed staff supporting the management and operation of the Renewable Gases UK business.
The Company is committed to equal opportunities and gives full and fair consideration to applications for employment from disabled persons, having regard to their particular aptitudes and abilities. If an employee becomes disabled during employment, reasonable efforts are made to continue their employment and to arrange appropriate training, career development and promotion opportunities.
The Company communicates with employees through regular management updates and team briefings. Employees are informed of matters affecting them and of the performance and objectives of the business, and their views are considered through normal management and communication channels. The Company also continues to invest in staff development and training to support best practice and safe working environments.
Matters covered in the Strategic Report
The Company’s principal risks and uncertainties, financial risk management objectives and future developments are included in the Strategic Report.
Post balance sheet events
In December 2025, the Company received a capital injection of £95m, which was used to repay outstanding Group loan balances in full in January 2026. The transaction had the effect of converting debt funding into equity funding and strengthening the Company’s balance sheet after the reporting date.
Disclosure of information to auditor
Each of the persons who are directors at the time when this Directors' Report is approved has confirmed that:
•
so far as the director is aware, there is no relevant audit information of which the Company's auditor is unaware; and
•
the director has taken all the steps that ought to have been taken as a director in order to be aware of any relevant audit information and to establish that the Company's auditor is aware of that information.
The auditor, Constantin, will be proposed for reappointment in accordance with section 485 of the Companies Act 2006.

Independent Auditor's Report to the Members of ENGIE Renewable Gases UK Limited (formerly Ixora
Report on the audit of the financial statements
In our opinion the financial statements of ENGIE Renewable Gases UK Limited (formerly Ixora Energy Limited) (the ‘Company’):
•
give a true and fair view of the state of the Company’s affairs as at 31 December 2024 and of its loss for the 15 month period then ended;
•
have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice, including Financial Reporting Standard 101 “Reduced Disclosure Framework” and
•
have been prepared in accordance with the requirements of the Companies Act 2006.
We have audited the financial statements which comprise:
•
the Statement of Comprehensive Income;
•
the Statement of Changes in Equity; and
•
the related notes 1 to 28 which include the material accounting policy information.
The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 101 “Reduced Disclosure Framework” (United Kingdom Generally Accepted Accounting Practice).
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditor's responsibilities for the audit of the financial statements section of our report.
We are independent of the Company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the Financial Reporting Council’s (the ‘FRC’s’) Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.
Conclusions relating to going concern
In auditing the financial statements, we have concluded that the directors’ use of the going concern basis of accounting in the preparation of the financial statements is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the Company’s ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.
Our responsibilities and the responsibilities of the directors with respect to going concern are described in the relevant sections of this report.
ENGIE Renewable Gases UK Limited (formerly Ixora Energy Limited)
Independent Auditor's Report to the Members of ENGIE Renewable Gases UK Limited (formerly Ixora
Energy Limited) (continued)
The other information comprises the information included in the Annual Report, other than the financial statements and our Auditor’s Report thereon. The directors are responsible for the other information contained within the Annual Report. Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon.
Our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the course of the audit, or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.
We have nothing to report in this regard.
Responsibilities of directors
As explained more fully in the Directors’ Responsibilities Statement, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.
In preparing the financial statements, the directors are responsible for assessing the Company’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the Company or to cease operations, or have no realistic alternative but to do so.
Auditor’s responsibilities for the audit of the financial statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an Auditor's Report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.
A further description of our responsibilities for the audit of the financial statements is located on the FRC’s website at:
www.frc.org.uk/auditorsresponsibilities
. This description forms part of our Auditor’s Report.
Extent to which the audit was considered capable of detecting irregularities, including fraud
Irregularities, including fraud, are instances of non
-
compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below.
We considered the nature of the Company’s industry and its control environment, and reviewed the Company’s documentation of their policies and procedures relating to fraud and compliance with laws and regulations. We also enquired of management and the directors about their own identification and assessment of the risks of irregularities, including those that are specific to the Company’s business sector.
ENGIE Renewable Gases UK Limited (formerly Ixora Energy Limited)
Independent Auditor's Report to the Members of ENGIE Renewable Gases UK Limited (formerly Ixora
Energy Limited) (continued)
Extent to which the audit was considered capable of detecting irregularities, including fraud (continued)
We obtained an understanding of the legal and regulatory framework that the Company operates in and identified the key laws and regulations that had a direct effect on the determination of material amounts and disclosures in the financial statements. These include the UK Companies Act and tax legislation.
We discussed among the audit engagement team regarding the opportunities and incentives that may exist within the organisation for fraud and how and where fraud might occur in the financial statements.
In common with all audits under ISAs (UK), we are also required to perform specific procedures to respond to the risk of management override. In addressing the risk of fraud through management override of controls, we tested the appropriateness of journal entries and other adjustments; assessed whether the judgements made in making accounting estimates are indicative of a potential bias; and evaluated the business rationale of any significant transactions that are unusual or outside the normal course of business.
In addition to the above, our procedures to respond to the risks identified included the following:
•
reviewing financial statement disclosures by testing to supporting documentation to assess compliance with provisions of relevant laws and regulations described as having a direct effect on the financial statements;
•
performing analytical procedures to identify any unusual or unexpected relationships that may indicate risks of material misstatement due to fraud;
•
enquiring of management and legal counsel concerning actual and potential litigation and claims, and instances of non
-
compliance with laws and regulations; and
•
reading minutes of meetings of those charged with governance.
Report on other legal and regulatory requirements
Opinions on other matters prescribed by the Companies Act 2006
In our opinion, based on the work undertaken in the course of the audit:
•
the information given in the Strategic Report and the Directors’ Report for the financial year for which the financial statements are prepared is consistent with the financial statements; and
•
the Strategic Report and the Directors’ Report have been prepared in accordance with applicable legal requirements.
In the light of the knowledge and understanding of the Company and its environment obtained in the course of the audit, we have not identified any material misstatements in the Strategic Report or the Directors’ Report.
Matters on which we are required to report by exception
Under the Companies Act 2006 we are required to report in respect of the following matters if, in our opinion:
•
adequate accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or
•
the financial statements are not in agreement with the accounting records and returns; or
•
certain disclosures of directors’ remuneration specified by law are not made; or
•
we have not received all the information and explanations we require for our audit.
We have nothing to report in respect of these matters.
ENGIE Renewable Gases UK Limited (formerly Ixora Energy Limited)
Independent Auditor's Report to the Members of ENGIE Renewable Gases UK Limited (formerly Ixora
Energy Limited) (continued)
This report is made solely to the Company’s members, as a body, in accordance with Chapter 3 of Part 16 of the Companies Act 2006. Our audit work has been undertaken so that we might state to the Company’s members those matters we are required to state to them in an Auditor’s Report and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the Company and the Company’s members as a body, for our audit work, for this report, or for the opinions we have formed.

ENGIE Renewable Gases UK Limited (formerly Ixora Energy Limited)
Notes to the Financial Statements
For the 15 Month Period Ended 31 December 2024
ENGIE Renewable Gases UK Limited (formerly Ixora Energy Limited) (the "Company") is a private company limited by shares and incorporated in England and Wales under the Companies Act 2006. The address of the registered office is given on the Company Information page and the nature of the Company's operations and its principal activity are given in the Strategic Report and the Directors' Report.
Basis of preparation of financial statements
The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Financial Reporting Standard 101 'Reduced Disclosure Framework' ("FRS 101") and the Companies Act 2006.
The preparation of financial statements in compliance with FRS 101 requires the use of certain critical accounting estimates. It also requires management to exercise judgement in applying the Company's accounting policies (see note 3).
The presentational and functional currency of these accounts is GBP. The level of rounding is to the nearest pound.
The following principal accounting policies have been applied:
These are the Company’s first financial statements prepared in accordance with FRS 101 and consequently the Company has applied the transition requirements of paragraphs 6 to 33 of IFRS 1, except for the requirements of paragraphs 6 and 21. The Company previously prepared its annual financial statements under Section 1A of Financial Reporting Standard 102 ("FRS 102"), the Financial Reporting Standard applicable in the UK and the Republic of Ireland.
There are no adjustments on transition to FRS 101 for the Company for the current period or prior year.
No equity reconciliation has been included as there are no transition adjustments.

Exemption from preparing consolidated financial statements
The financial statements contain information about the Company as an individual company and do not contain consolidated financial information as the parent of a group. The Company has taken advantage of the exemption conferred by s401 of the Companies Act 2006 not to produce consolidated financial statements as it is included in the consolidated accounts ENGIE S.A.
The directors have assessed the Company’s ability to continue as a going concern for a period of at least twelve months from the date of approval of these financial statements. This assessment has considered the Company’s financial position, forecast cash flows, liquidity requirements, and the support available from the Group through its parent undertaking, ENGIE Bioz S.A.

Accounting policies (continued)
Turnover represents the fair value of the consideration received or receivable for the provision of services in the ordinary course of business, net of value added tax and other sales related taxes. To determine whether to recognise revenue, the Company follows a 5
-
step process as follows:
•
Identifying the contract with a customer;
•
Identifying the performance obligations;
•
Determining the transaction price;
•
Allocating the transaction price to the performance obligations; and
•
Recognising revenue when / as performance obligation(s) are satisfied.
Turnover is recognised when control of the services has transferred to the customer and the amount of revenue can be measured reliably. The Company’s principal revenue stream arises from management, administrative and support services provided to Group undertakings.
Turnover is recognised over time as the services are provided, reflecting the continuous transfer of control to the customer, typically based on the costs incurred or amounts recharged in accordance with intercompany agreements.
Interest receivable and similar income
Interest receivable and similar income is recognised in profit or loss using the effective interest method.
Interest payable and similar expenses
Interest payable and similar expenses are charged to profit or loss over the term of the debt using the effective interest method so that the amount charged is at a constant rate on the carrying amount. Issue costs are initially recognised as a reduction in the proceeds of the associated capital instrument.

Current and deferred taxation
Tax is recognised in profit or loss except that a charge attributable to an item of income and expense recognised as other comprehensive income or to an item recognised directly in equity is also recognised in other comprehensive income or directly in equity respectively.
The current income tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the reporting date in the countries where the Company operates and generates income.
Deferred tax balances are recognised in respect of all timing differences that have originated but not reversed by the reporting date, except that:
•
The recognition of deferred tax assets is limited to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits; and
•
Any deferred tax balances are reversed if and when all conditions for retaining associated tax allowances have been met.
Deferred tax balances are not recognised in respect of permanent differences. Deferred tax is determined using tax rates and laws that have been enacted or substantively enacted by the reporting date.
No net deferred tax has been recognised for the period (year ended 30 September 2023
-
£Nil).
Pillar Two of the Organisation for Economic Co
-
Operation and Development's (“OECD's”) Two Pillar Solution provides for the taxation of income of large groups at a minimum effective rate of 15% on a jurisdictional basis.
The Company is a wholly
-
owned subsidiary of ENGIE S.A., which is incorporated in France and is the ultimate parent undertaking for the ENGIE Group. The Group is within scope of the OECD Pillar Two model rules.
Pillar Two legislation received Royal Assent on 11 July 2023 in the United Kingdom and applies to accounting periods beginning on or after 31 December 2023. As the Group’s effective tax rate in the UK is above 15%, the Company does not suffer any additional Pillar Two top
-
up taxes by the application of Pillar Two.
The Company has applied the mandatory temporary exception to the requirements of IAS 12 under which a company does not recognise or disclose information about deferred tax assets and liabilities related to Pillar Two income taxes.
The Company operates a defined contribution plan for its employees. A defined contribution plan is a pension plan under which the Company pays fixed contributions into a separate entity. Once the contributions have been paid the Company has no further payment obligations.
The contributions are recognised as an expense in profit or loss when they fall due. Amounts not paid are shown in accruals as a liability in the Balance Sheet. The assets of the plan are held separately from the Company in independently administered funds.

Monetary assets and liabilities denominated in foreign currencies are translated into sterling at rates of exchange ruling at the reporting date.
Transactions in foreign currencies are translated into sterling at the rate ruling on the date of the transaction.
Exchange gains and losses are recognised in profit or loss.
Recognition and measurement
Intangible assets are recognised where it is probable that the expected future economic benefits attributable to the asset will flow to the Company and the cost of the asset can be measured reliably.
Intangible assets are initially measured at cost. Cost comprises directly attributable expenditure necessary to prepare the asset for its intended use, including relevant external costs and internal costs directly attributable to development activities.
Internally generated intangible assets – development costs
Development expenditure is capitalised as an intangible asset when the recognition criteria are met, including:
•
technical feasibility of completion;
•
intention and ability to complete and use the asset;
•
probable future economic benefits; and
•
availability of adequate resources to complete the development.
Capitalised development costs include:
•
directly attributable external costs, including contractor, engineering and consultancy fees; and
•
directly attributable internal costs, including payroll and related costs of employees engaged in development activities, where such time is identifiable and can be reliably measured.
Expenditure that does not meet the above criteria is recognised as an expense as incurred.

Accounting policies (continued)
Intangible assets (continued)
Intangible assets under development
Expenditure incurred on the design and development of a ‘Standardised AD Design’ for application across the Company’s greenfield development pipeline is capitalised as an intangible asset under development.
Assets under development are not amortised until they are complete and available for use and are tested for impairment at least annually.
Upon being brought into use, development intangible assets are amortised on a straight
-
line basis over their estimated useful economic lives.
For the Standardised AD Design works, the useful economic life is 30 years, reflecting the expected operating life of the underlying AD plants and the period over which the economic benefits of the standardised design are realised.
Amortisation commences when the asset is first available for use.
Intangible assets are reviewed for impairment where there is an indication that the carrying value may not be recoverable. Assets under development are tested for impairment annually.
An impairment loss is recognised where the carrying amount exceeds the recoverable amount.
Tangible fixed assets under the cost model are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management.
Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated useful lives.
Depreciation is provided on the following basis:
|
|
|
|
|
|
|
3 - 20 years straight line |
|
|
|
|
|
|
|
|
|
|
|
2 - 3 years straight line |
Depreciation charged on assets during the period is recognised in "administrative expenses" in profit or loss. Assets under construction are not depreciated until they come into use at which point they are transferred to the asset class under which they will be reported and depreciated.
The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date.

Accounting policies (continued)
Tangible fixed assets (continued)
Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in profit or loss.
Impairment of fixed assets
Assets that are subject to depreciation are assessed at each reporting date to determine whether there is any indication that the assets are impaired. Where there is any indication that an asset may be impaired, the carrying value of the asset (or cash
-
generating unit to which the asset has been allocated) is tested for impairment. An impairment loss is recognised as the amount by which the asset's carrying amount exceeds its recoverable amount. The recoverable amount is the higher of an asset's (or CGU's) fair value less costs to sell and its value in use. For the purposes of assessing impairment, assets are grouped at the lowest levels for which there are separately identifiable cash flows (CGUs). Non
-
financial assets that have been previously impaired are reviewed at each reporting date to assess whether there is any indication that the impairment losses recognised in prior periods may no longer exist or may have decreased.
Exceptional items are transactions that fall within the ordinary activities of the Company but are presented separately due to their size or incidence.
Investments in subsidiaries are measured at cost less accumulated impairment.
Maintenance spares represent specific spare parts which are held in central stores for the purpose of lifecycle, repairs and maintenance activity across the Group operations. These items are held at the lower of cost and net realisable value after making allowance for obsolete and slow moving items. Cost is based on the purchase price, not including delivery. Net realisable value is based on estimated selling price, less selling costs expected to be incurred.
Maintenance spares may be expensed to profit or loss (repairs and maintenance) when transferred for use by Group companies.
At each reporting date, stocks are assessed for impairment. If stock is impaired, the carrying amount is reduced to net realisable value. The impairment loss is recognised immediately in profit or loss.

Notes to the Financial Statements
For the 15 Month Period Ended 31 December 2024
Accounting policies (continued)
The Company classifies its financial assets into one of the categories below, depending on the purpose for which the asset was acquired. The Company’s accounting policy for each category is as follows:
Fair value through profit or loss
The Company does not have any assets held for trading nor does it voluntarily classify any financial assets as being at fair value through profit or loss.
These assets arise from financial assets where the objective is to hold these assets in order to collect contractual cash flows and the contractual cash flows are solely payments of principal and interest. They are initially recognised at fair value plus transaction costs that are directly attributable to their acquisition or issue and are subsequently carried at amortised cost using the effective interest rate method, less provision for impairment.
Impairment provisions for current trade debtors are recognised based on the simplified approach within IFRS 9 using a provision matrix in the determination of the lifetime expected credit losses. During this process the probability of the non
-
payment of the trade debtors is assessed. This probability is then multiplied by the amount of the expected loss arising from default to determine the lifetime expected credit loss for the trade debtors. For trade debtors, which are reported net, such provisions are recorded in a separate provision account with the loss being recognised within cost of sales in profit or loss. On confirmation that the trade debtor will not be collectable, the gross carrying value of the asset is written off against the associated provision.
The Company’s financial assets measured at amortised cost comprise trade and other debtor and cash and cash equivalents in the Balance Sheet. Cash and cash equivalents includes cash in hand, deposits held at call with banks, other short term highly liquid investments with original maturities of three months or less.
Derecognition of financial assets
Financial assets are derecognised only when the contractual rights to the cash flows from the asset expire, or when it transfers the financial asset and substantially all the risks and rewards of ownership to another entity.
The Company recognises financial liabilities when the Company becomes a party to the contractual provisions of the instruments. The Company classifies its financial liabilities as other short
-
term monetary liabilities. The Company does not have any liabilities held for trading nor does it voluntarily classify any financial liabilities as being at fair value through profit or loss. The Company’s accounting policy is as follows:
•
Trade creditors and other short
-
term monetary liabilities, which are initially recognised at fair value and are subsequently carried at amortised cost using the effective interest method.
Derecognition of financial liabilities
Financial liabilities are derecognised when, and only when, the Company's obligations are discharged, cancelled, or they expire.

Critical accounting judgements and key sources of estimation uncertainty
The preparation of the financial statements requires management to make judgements, estimates and assumptions that affect the application of accounting policies and the amounts reported in the financial statements. Actual outcomes may differ from these estimates.
Critical accounting judgements
The following judgements, apart from those involving estimates, are those that management has made in applying the Company’s accounting policies and that have had the most significant effect on the amounts recognised in the financial statements:
•
Revenue recognition – judgement is applied in identifying performance obligations and determining the timing of recognition in respect of management services provided to group undertakings.
•
Intangible assets recognition – judgement is required in determining whether development expenditure meets the criteria for capitalisation, including assessment of technical feasibility and expected future economic benefits.
Key sources of estimation uncertainty
The following are key assumptions concerning the future, and other key sources of estimation uncertainty at the Balance Sheet date, that present a significant risk of material adjustment to the carrying amounts of assets and liabilities within the next financial year:
•
Impairment of investments in subsidiary undertakings – Management applies judgement in assessing at each reporting date whether there are indicators of impairment. Where such indicators exist, the recoverable amount is determined based on the higher of value in use and fair value less costs of disposal. Determining the recoverable amount requires assumptions over future cash flows of the underlying businesses, including future profitability, dividend flows, discount rates and long
-
term growth assumptions. Changes in these assumptions could result in a material impairment charge.
•
Intangible assets amortisation – estimation is involved in determining the useful economic life over which future economic benefits may be realised.
•
Stock valuation – estimates relate to the condition, obsolescence risk and expected recoverability of these maintenance spares through ongoing operational use.
•
Expected credit losses on debtors – estimates include assumptions regarding recoverability, taking into account counterparty credit risk within the ENGIE group, historical experience and current economic conditions.
No other areas were considered to involve a significant risk of material adjustment to the carrying amounts of assets and liabilities within the next financial year.

Notes to the Financial Statements
For the 15 Month Period Ended 31 December 2024
During the period, the Company identified that certain maintenance spares previously included within tangible fixed assets did not meet the definition of property, plant and equipment and should instead be classified as stock.
This reclassification has been made to align the Company’s accounting treatment with ENGIE Group accounting policies for maintenance stock.
Accordingly, comparative information has been restated to reflect the reclassification from tangible fixed assets to stocks.
The effect of this reclassification on the prior period is summarised below:
Comparative figures have been restated to reflect the correction of this prior period classification matter. The adjustment had no impact on profit for the prior period, net assets, or opening retained earnings.
All turnover during the current period and prior year was classified under one class of business being AD management services.
All turnover during the current period and prior year arose within the United Kingdom.
During the period, the Company received and recognised £1,023,938 (year ended 30 September 2023
-
£Nil) of insurance proceeds relating to a warranty and indemnity claim arising from the acquisition of Rainbarrow Farm AD LLP (formerly JV Energen LLP).

Factors that may affect future tax charges
Finance Act 2021, which was substantively enacted on 24 May 2021, has enacted an increase in the UK corporation tax main rate to 25% from 1 April 2023. As this rate change had been substantively enacted before the balance sheet date, the closing deferred tax assets and liabilities have been calculated at 25%, on the basis that this is the rate at which those assets and liabilities are expected to unwind.
The Company has trading losses and unrelieved non
-
trade loan relationship deficits carried forward at the reporting date of £1,521,551 (year ended 30 September 2023
-
£1,521,551) available for offset against future profits of the business. A deferred tax asset has been recognised on these losses only up to the level of the Company's deferred tax liabilities relating to fixed asset timing differences. The deferred tax asset on the remaining losses at the reporting date of £377,761 (year ended 30 September 2023
-
£269,687) has not been recognised as its recoverability is uncertain.
Standardised AD design works includes external consultant spend plus capitalisation of internal time.
