NOTES TO THE ACCOUNTS
FOR THE YEAR ENDED 31/05/2026
1. ACCOUNTING POLICIES
1a. Basis Of Accounting
The accounts have been prepared under the historical cost convention.
The accounts have been prepared in accordance with FRS102 section 1A - The Financial Reporting Standard applicable in the UK and Republic of Ireland and the Companies Act 2006 .
1b. Going Concern
These financial statements have been prepared on the going concern basis.
It was anticipated that the company would make a significant loss in the first period whilst it was developing its products for market and a small loss in the year to 31 May 2025 which has transpired. A significant profit in the year to 31 May 2026 is anticipated and post year end management figures support this assertion.
The company shareholders and investors have pledged sufficient funds to ensure the company is able to trade through the loss making period and then generate returns on their investments.
1c. Depreciation
Depreciation has been provided at the following rates in order to write off the assets over their estimated useful lives.
Equipmentstraight line 20 & 25%
1d. Intangible Assets
The intangible asset represents the underlying software engine acquired which enables the company to run its games. This software is constantly maintained with all such costs written off to the profit and loss account. All costs in relation to ongoing games which do have a limited commercial life are written off to profit and loss account when incurred.
The ongoing development costs to improve and enhance this platform are capitalised in line with FRS 102 Section 1A.
Amortisation is provided on a straight line basis over seven years. This basis will be reviewed annually for impairment and reduced useful life.
1e. Pension Costs
The company operates a defined contribution pension scheme. The pension charge represents the amounts payable by the company to the fund in respect of the year.
1f. Foreign Currency
Transactions in currencies, other than the functional currency of the company, are recorded at the rate of the exchange on the date the transaction occurred. Monetary items denominated in other currencies are translated at the rate prevailing at the end of the reporting period. All differences are taken to the profit and loss account. Non-monetary items that are measured at the historic cost in a foreign currency are not retranslated.

S Gaming Limited

1g. Corporation Tax
Taxation represents the sum of tax currently payable and deferred tax. The company's liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the end of the reporting period. Deferred tax is recognised on all timing differences between the carrying amounts of assets and liabilities in the financial statements and the corresponding tax bases used in the computation of taxable profit. The carrying amount of deferred tax assets is reviewed at the end of each reporting period and reduced to the extent that it is no longer probable that sufficient taxable profits will be available to allow all or part of the asset to be recovered. Deferred tax assets and liabilities are measured at the tax rates that are expected to apply in the period in which the liability is settled or the asset realised, based on tax rates (and tax laws) that have been enacted or substantively enacted by the end of the reporting period.
The company has made significant profits since the year end and and it is anticipated that the tax losses will be utilised entirely over the next two accounting periods. It is therefore considered appropriate to recognise the accumulted tax losses as a deferred tax asset at this time.

There are two loans facilites repayable by 29 September 2025 and 29 September 2026. S Gaming Limited

12. EXCEPTIONAL ITEM
During the year the company recognised a bad debt charge of £111,744 in respect of amounts due from Halo, an FX counterparty that entered administration. The company has a claim of £186,241 in respect of GBP trade proceeds, which is included within other debtors. Based on information provided by the administrators regarding the estimated shortfall in customer funds, management's best estimate is that approximately 40% of the claim will be recovered. Accordingly, the carrying amount of the Halo debtor has been reduced to £74,497 and the bad debt charge has been recognised in the profit and loss account.
