ID1 GROUP LTD Notes to the Accounts for the year ended 31 December 2025
1
Statutory information
ID1 GROUP LTD is a private company, limited by shares, registered in Scotland, registration number SC682837. The registered office is 5 South Charlotte Street, Edinburgh, Midlothian, EH2 4AN, Scotland.
2
Compliance with accounting standards
These financial statements have been prepared in accordance with FRS 102 ‘The Financial Reporting Standard applicable in the UK and Republic of Ireland’, Section 1A, applicable to small entities.
3
Accounting policies
The principal accounting policies adopted in the preparation of the financial statements are set out below and have remained unchanged from the previous year, and also have been consistently applied within the same accounts.
Basis of preparation
The financial statements have been prepared in accordance with FRS 102, Section 1A, applicable to small entities, and under the historical cost convention except where another measurement basis is required or permitted by FRS 102.
Accruals
Expenditure is accounted for on an accruals basis. Where services relate to the reporting period but are invoiced or paid after the year end, the costs are recognised as accruals within creditors and reflected in the profit and loss account of the relevant year.
Presentation currency
The financial statements are presented in pound sterling (£). The company operates a branch in Poland which is treated as a foreign operation and has Polish zloty (PLN) as its functional currency. The results and financial position of the Polish branch are translated into sterling for inclusion in these financial statements.
Foreign exchange
Transactions denominated in currencies other than the relevant functional currency are translated at the exchange rate applicable at the date of the transaction. Monetary assets and liabilities denominated in foreign currencies are retranslated at the reporting-date rate, with resulting exchange differences recognised in profit or loss where appropriate. The company operates a branch in Poland which is treated as a foreign operation and has Polish zloty (PLN) as its functional currency. For inclusion in the company’s sterling financial statements, the assets and liabilities of the Polish branch are translated at the closing exchange rate at the reporting date. Income and expenses are translated using exchange rates that approximate the rates at the dates of the underlying transactions, with transaction-date rates used for material transactions where appropriate. Exchange differences arising from translation of the Polish foreign operation are recognised in other comprehensive income and accumulated within a foreign currency translation reserve. Due to limitations in the accounts presentation template, the foreign currency translation reserve and certain translation movements may be presented within software-generated categories or labels described as “Revaluation reserve”, “Gain/(loss) on revaluation of land and buildings”, “Revaluations”, “Fair value adjustments” or “At valuation”. Where these labels are used to present foreign currency translation movements or translated carrying amounts in these financial statements, they do not represent a revaluation or fair value remeasurement of the underlying assets.

ID1 GROUP LTD Notes to the Accounts for the year ended 31 December 2025
Exchange rates applied
For the year ended 31 December 2025, the assets and liabilities of the Polish branch were translated at the closing exchange rate of PLN 4.8399 = £1 at 31 December 2025. Income and expenses were translated using rates that appropriately approximate the exchange rates at the dates of the underlying transactions. Material property disposal transactions were translated using transaction-date exchange rates. Differences arising between the translation of the branch income statement and the translation of its closing net assets are recognised in other comprehensive income as foreign currency translation differences and are not treated as ordinary trading foreign exchange gains or losses.
Financial instruments
The company’s financial assets and liabilities are classified as basic financial instruments in accordance with FRS 102 Section 11. Basic financial assets, including trade and other debtors, loans receivable and cash at bank, are initially recognised at transaction price and subsequently measured at amortised cost using the effective interest method, less impairment. Basic financial liabilities, including trade and other creditors and borrowings, are initially recognised at transaction price and subsequently measured at amortised cost using the effective interest method. The company assesses at each reporting date whether there is objective evidence of impairment of any financial asset. Interest income and expense on loans are recognised within finance income and finance costs respectively.
Going concern
The financial statements have been prepared on a going concern basis. The directors have considered the company’s cash flows, resources and plans for at least twelve months from the date of approval of these financial statements. On this basis they consider that the company has adequate resources to continue in operational existence for the foreseeable future.
Turnover
The company generated no trading turnover during the year. Interest arising on loan receivables is recognised on an accruals basis using the effective interest method and is presented within finance income.
Tangible fixed assets and depreciation
Tangible fixed assets are stated at cost less accumulated depreciation and impairment. Depreciation is charged so as to write off the cost of assets over their estimated useful economic lives, using the following rates:
Fixtures & fittings
20%
Foreign currency translation reserve
The current-year foreign currency translation difference recognised in other comprehensive income is £76,463. The comparative movement for the year ended 31 December 2024 was £(28,434). The cumulative foreign currency translation reserve at 31 December 2025 is £361,967. Accounting software does not provide a dedicated foreign currency translation reserve field within the accounts template used by the company and the balance is therefore presented within the software-generated “Revaluation reserve” category. These amounts arise from the translation of the company’s Polish foreign operation into sterling and do not represent revaluations of land, buildings, investment property or other assets.

ID1 GROUP LTD Notes to the Accounts for the year ended 31 December 2025
Comparative information
During the preparation of the financial statements for the year ended 31 December 2025, the directors identified a presentation error affecting the comparative statement of financial position at 31 December 2024, whereby certain liabilities had not been correctly reflected in reported net assets. Net assets and shareholders’ funds previously reported at 31 December 2024 were £843,724. The corrected comparative net assets and shareholders’ funds presented in these financial statements are £791,686, representing a reduction of £52,038. The correction does not affect the previously reported profit or loss for the year ended 31 December 2024. The comparative statement of financial position and related reserves have been corrected accordingly. Comparative presentation within the income statement has also been reclassified by moving £5,127 of external services from cost of sales to administrative expenses, in order to align the comparative presentation with the current year. This reclassification has no effect on the previously reported operating result, profit or loss, net assets or shareholders’ funds.
Investment property
Investment property is property held to earn rental income, for capital appreciation, or both. Investment property is initially recognised at cost. Where fair value can be measured reliably without undue cost or effort, investment property is subsequently measured at fair value, with changes in fair value recognised in profit or loss. Investment property forming part of the company’s Polish foreign operation is translated into sterling in accordance with the company’s foreign currency accounting policy. Foreign currency translation differences arising solely from translation of the Polish operation are recognised separately in other comprehensive income and are not treated as economic fair value gains or losses. Investment property is derecognised on disposal when the risks and rewards of ownership have transferred to the purchaser. Any resulting gain or loss on disposal is recognised in profit or loss.

The £3,943 movement presented by the accounting software as a “Net gain from fair value adjustments” represents a foreign currency translation adjustment required to reconcile the sterling opening balance and disposal movement. It does not represent a separate economic fair value revaluation arising during the year. The gain arising on the relevant property disposal is recognised in the income statement within the gain on sale of property.

Other investments comprise long-term loan receivables and related financial assets of the company’s Polish operations. During the year, amounts that became contractually due within twelve months of the reporting date were reclassified from long-term investments to current asset investments. The movement presented by the accounting software within the “Disposals” line therefore includes maturity reclassifications and does not represent a sale of those financial assets. The £34,076 movement presented by the software as a “Fair value adjustment” represents a foreign currency translation adjustment arising on translation of the Polish branch balances into sterling and does not represent a fair value remeasurement. The table heading “Valuation” is a software-generated presentation label and does not indicate that the loan receivables are measured at fair value. Long-term investments at 31 December 2025 amounted to £505,676. Amounts classified as current asset investments are disclosed separately in Note 9.
