STRATEGIC REPORT
FOR THE 18 MONTHS TO ENDED 31 DECEMBER 2025
- 1 -
The directors present the strategic report for the 18 months to ended 31 December 2025.
BUSINESS REVIEW
The directors consider that the results for the 18 months and the financial position at the end of the year satisfactory. Trading performance continues to grow together with profitability. The 18 months YE performance achieved a Sales Turnover of £28.3m (2024: 12 months £21.1m) and producing Pre-Tax Profit of £0.356m (2024: £1.3m).
Neal Soils Suppliers Ltd “NSS” has continued to take advantage of opportunities in its sector, and its financial outcome for the period was below expectations. The Company continues to focus on improving business operations in 2026, following significant ongoing investment in updating the soil washplant.
The trading results for the period and the company's financial position at the end of the year are shown in the attached financial statements.
The directors consider the operations of Neal Soil Suppliers Ltd “NSS” and its wholly owned subsidiary DEG Workshop Ltd “DEG” (Previously known as Neal Aggregate Suppliers Ltd “NAS”) as one trading operation. NSS pay the overheads excluding interest for DEG. The two operations yearend figures reveal combined sales of £30.33m and a net profit before tax of £0.353m for the 18 months.
The business remains a leading supplier of various grades of soil, compactable materials, recycled aggregates and soil treatments. It is also one of the largest independent suppliers of soil and aggregates in South East Wales, operating from a 120-acre treatment and processing facility. The site can process more than 1 million tonnes of material each year through both dry processing and wet processing via DEG and its washplant. NAS was established in 2010 at Ty To Maen Farm to refine the Company’s soil and hard-core materials through a soil washery facility. Improvements to the washplant, which began during the year, are expected to increase processing capacity and enhance product quality. During 2025 new workshops were built at NSS premises to service Group plant and vehicles and its subsidiary NAS was renamed DEG Workshops, started managing these operations.
In 2019, the Welsh construction and demolition sectors generated an estimated 3.43 million tonnes of waste. The largest shares came from civil engineering construction (36%), general building (16%) and domestic building construction (16%), while the remaining six sectors each accounted for less than 10% of total construction and demolition waste. The results indicated that the construction & demolition sector was on course for achieving waste prevention, recycling and landfill targets set by Welsh Government.
The most recent Welsh Government data has reported the recycling rate has gone up from 66.6% in 2023-24 to 68.4% in 2024-25 – a complete transformation from around 5% pre devolution. Since new workplace recycling measures were introduced in Wales, requiring all businesses, public and third sector workplaces and collectors to keep key recyclable materials separate.
NEAL SOIL SUPPLIERS LTD.
STRATEGIC REPORT (CONTINUED)
FOR THE 18 MONTHS TO ENDED 31 DECEMBER 2025
- 2 -
Since then, an extra 8,187 tonnes of recyclable material has been collected from workplaces by local authorities – up 42% on the previous year. Residual waste collected from workplaces has also dropped by 15.8%.
This means thousands of tonnes of additional valuable recyclable materials are being fed back into the economy instead of being incinerated or landfilled.
Just 0.7% of waste was disposed of via landfill in 2024 to 2025 – a vast decrease on the 95% sent prior to devolution. (Source Welsh Gov.)
The Non-Hazardous Waste Treatment & Disposal industry in Wales has seen significant changes, including landfill site closures and rising recycling rates. The industry is expected to grow at a compound annual rate of 2.2% to £4.8 billion over the five years through 2025-26, including estimated revenue growth of 1.8% in 2025-26. The industry operates under the SIC industry code E38.210, covering waste disposal, waste treatment, and renewable electricity. (Source Welsh Gov.)
The Company’s customers remain unchanged and range from national house builders, civil engineers and developers to local authorities and government agencies located In Wales and England. The company’s strategy is to continue to improve profitability by specialising in handling higher value material with less volumes which will improve its gross margins.
This financial period has also been influenced by various factors:
Weather conditions will continue to be an important factor that effects supply and demand for the company’s operations. The unpredictable weather extremes caused by climate change over the last few years can influence both customer demand for materials and soil recycling operations.
There has been a continued requirement for investment in professional fees in respect of the EcoPark and on the 120-acre treatment and processing facility at Ty To Maen Farm, the Company continues with infrastructure improvements to satisfy ever increasing regulatory requirements. This covers both DEG operations and its associated company Atlantic Recycling Ltd.
Increased security measures to protect the whole of the Ecopark.
Rising Costs, both labour and fuel effecting operating costs.
RECENT DEVELOPMENTS
The Company is part of a larger Group with the ultimate holding company being Dauson Environmental Group Ltd. Following the restructuring of Group activities in 2009 greater efficiencies have been achieved and together with significant investment in both processing facilities and compliant infrastructure over the last 17 years and a satisfactory level of income continues to be achieved.
The demand for recycled aggregate continues to be strong and the company plans to increase its production capacity during 2026 by investment in additional mobile and fixed plant installations that will process new waste streams more efficiently, together with the production of products using recycled materials.
The company operate within the Haulage, Soil and Aggregate recycling sector of the Group.

CRITICAL ISSUES FACING THE COMPANY
The Company continues to play a vital role in respect of services, compliance, and managerial support to its sister companies, being the main point of contact with regulatory authorities for all the Group business operating on the Ecopark and therefore continues to maintain high skill standards and a broad knowledge base.
INTERNAL ANALYSIS
The Company for nearly 30 years’ experience in its industry sector with a long history of managing environments effectively. It can react quickly with extensive resources and well located to take advantage of any growth opportunities presented to the Company and its sister companies. It has a positive track record of reacting to and dealing with the many challenges that a company operating in this sector is exposed.
EXTERNAL ANALYSIS
The Company continues to maintain a dominant regional position in its sector as entry costs continue to be high. With its ongoing plans to enhance its products, competing on more favourable terms with its supply of recycled products in the sand and aggregate market throughout South Wales and now also England. Having now established itself as a major supplier of sand and aggregate, Neal Soil Suppliers continues to compete on a ‘like for like’ basis with virgin material suppliers.
ENERGY EFFICIENCY ACTIONS UNDERTAKEN
With sustainability amongst the Groups core values, we are committed to lowering our carbon and energy consumption wherever possible. To better understand our carbon impact, the Group have partnered with Auditel to help measure our baseline Scope 1, 2 and 3 emissions. This will allow us to identify our emission hotspots, which will inform our short-, medium- and long-term Net Zero strategy. Overtime, we hope to increase the accuracy of our carbon reporting methods, hence allowing us to make better informed carbon reduction decisions. To increase energy efficiency in newly constructed buildings, we have begun installing light sensors, hence preventing unnecessary energy usage when rooms are unoccupied. We will also ensure that our 24-hour guardsmen will check that all heating and electrical appliances are switched off during holidays, weekends and out of office hours. In addition, we have plans to build a solar farm, which will contribute to our goal of increasing our renewable energy consumption. By harnessing solar power, we aim to reduce our reliance on fossil fuels and lower our carbon footprint. This project is a key part of our broader strategy to transition to sustainable energy sources and achieve our carbon reduction targets.

Opinion
We have audited the financial statements of Neal Soil Suppliers Ltd. (the 'company') for the 18 months to ended 31 December 2025 which comprise the statement of income and retained earnings, the balance sheet and notes to the financial statements, including significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 The Financial Reporting Standard applicable in the UK and Republic of Ireland (United Kingdom Generally Accepted Accounting Practice).
In our opinion the financial statements:
give a true and fair view of the state of the company's affairs as at 31 December 2025 and of its profit for the 18 months to then ended;
have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and
have been prepared in accordance with the requirements of the Companies Act 2006.
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditor's responsibilities for the audit of the financial statements section of our report. We are independent of the company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC’s Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.
Conclusions relating to going concern
In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.
Our responsibilities and the responsibilities of the directors with respect to going concern are described in the relevant sections of this report.

Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.
We have nothing to report in this regard.

Responsibilities of directors
As explained more fully in the directors' responsibilities statement, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error. In preparing the financial statements, the directors are responsible for assessing the company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the company or to cease operations, or have no realistic alternative but to do so.
Auditor's responsibilities for the audit of the financial statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor's report that includes our opinion. Reasonable assurance is a high level of assurance but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.
Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:
We gained an understanding of the legal and regulatory framework applicable to the company and the industry in which it operates, and considered the risk of acts by the company that were contrary to applicable laws and regulations, including fraud. We designed audit procedures to respond to the risk, recognising that the risk of not detecting a material misstatement due to fraud is higher than the risk of not detecting one resulting from error, as fraud may involve deliberate concealment by, for example, forgery or intentional misrepresentations, or through collusion.
We focussed on laws and regulations which could give rise to a material misstatement in the financial statements, including, but not limited to, the Companies Act 2006 and UK tax legislation. Our tests included agreeing the financial statement disclosures to underlying supporting documentation, enquiries with management and enquiries of legal counsel. There are inherent limitations in the audit procedures described above and, the further removed non-compliance with laws and regulations is from the events and transactions reflected in the financial statements, the less likely we would become aware of it. We did not identify any key audit matters relating to irregularities, including fraud. As in all our audits, we also addressed the risk of management override of internal controls, including testing journals and evaluating whether there was evidence of bias by the directors that represented a risk of material misstatement due to fraud.

INDEPENDENT AUDITOR'S REPORT
TO THE MEMBERS OF NEAL SOIL SUPPLIERS LTD. (CONTINUED)
- 11 -
As part of an audit in accordance with ISAs (UK), we exercise professional judgment and maintain professional scepticism throughout the audit. We also:
•
Identify and assess the risks of material misstatement of the financial statements, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal control.
•
Obtain an understanding of internal control relevant to the audit in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the internal control.
•
Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures made by the directors.
•
Conclude on the appropriateness of the directors' use of the going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the company's ability to continue as a going concern. If we conclude that a material uncertainty exists, we are required to draw attention in our auditor's report to the related disclosures in the financial statements or, if such disclosures are inadequate, to modify our opinion. Our conclusions are based on the audit evidence obtained up to the date of our auditor's report. However, future events or conditions may cause the company to cease to continue as a going concern.
•
Evaluate the overall presentation, structure and content of the financial statements, including the disclosures, and whether the financial statements represent the underlying transactions and events in a manner that achieves fair presentation.
We communicate with those charged with governance regarding, among other matters, the planned scope and timing of the audit and significant audit findings, including any significant deficiencies in internal control that we identify during our audit.
A further description of our responsibilities is available on the Financial Reporting Council’s website at: https://www.frc.org.uk/auditorsresponsibilities. This description forms part of our auditor's report.
This report is made solely to the company's members, as a body, in accordance with Chapter 3 of Part 16 of the Companies Act 2006. Our audit work has been undertaken so that we might state to the company's members those matters we are required to state to them in an auditor's report and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the company and the company's members as a body, for our audit work, for this report, or for the opinions we have formed.

Neal Soil Suppliers Ltd. is a private company limited by shares incorporated in England and Wales. The registered office is Atlantic Ecopark, Newton Road, Rumney, Cardiff, CF3 2EJ.
1.1
Reporting period
During the period, the directors changed the Company's accounting reference date from 30 June 2025 to 31 December 2025. Consequently, the current financial statements cover the period from 1 July 2024 to 31 December 2025, being a period of 18 months. The comparative information relates to the 12-month period ended 30 June 2024.
The directors believe that aligning the Company's year end with its natural business cycle and principal trading season provides more relevant and meaningful information to shareholders and other users of the financial statements.
Due to the change in accounting reference date, the comparative amounts presented are for a 12-month period and are therefore not entirely comparable.

Fixed asset investments
Fixed asset investments are initially recorded at cost, and subsequently stated at cost less any accumulated impairment losses.
Listed investments are measured at fair value with changes in fair value being recognised in profit or loss.
1.7
Impairment of fixed assets
At each reporting period end date, the company reviews the carrying amounts of its tangible assets to determine whether there is any indication that those assets have suffered an impairment loss. If any such indication exists, the recoverable amount of the asset is estimated in order to determine the extent of the impairment loss (if any). Where it is not possible to estimate the recoverable amount of an individual asset, the company estimates the recoverable amount of the cash-generating unit to which the asset belongs.

Recoverable amount is the higher of fair value less costs to sell and value in use. In assessing value in use, the estimated future cash flows are discounted to their present value using a pre-tax discount rate that reflects current market assessments of the time value of money and the risks specific to the asset for which the estimates of future cash flows have not been adjusted. If the recoverable amount of an asset (or cash-generating unit) is estimated to be less than its carrying amount, the carrying amount of the asset (or cash-generating unit) is reduced to its recoverable amount. An impairment loss is recognised immediately in profit or loss, unless the relevant asset is carried at a revalued amount, in which case the impairment loss is treated as a revaluation decrease.
Recognised impairment losses are reversed if, and only if, the reasons for the impairment loss have ceased to apply. Where an impairment loss subsequently reverses, the carrying amount of the asset (or cash-generating unit) is increased to the revised estimate of its recoverable amount, but so that the increased carrying amount does not exceed the carrying amount that would have been determined had no impairment loss been recognised for the asset (or cash-generating unit) in prior years. A reversal of an impairment loss is recognised immediately in profit or loss, unless the relevant asset is carried at a revalued amount, in which case the reversal of the impairment loss is treated as a revaluation increase.
1.8
Stocks
Stocks are stated at the lower of cost and estimated selling price less costs to complete and sell. Cost comprises direct materials and, where applicable, direct labour costs and those overheads that have been incurred in bringing the stocks to their present location and condition.
1.9
Financial instruments
A financial asset or financial liability is recognised only when the entity becomes a party to the contractual provisions of the instrument.
Other financial assets
Other financial assets, including investments in equity instruments which are not subsidiaries, associates or joint ventures, are initially measured at fair value, which is normally the transaction price. Such assets are subsequently carried at fair value and the changes in fair value are recognised in profit or loss, except that investments in equity instruments that are not publicly traded and whose fair values cannot be measured reliably are measured at cost less impairment.

Impairment of financial assets
Financial assets, other than those held at fair value through profit and loss, are assessed for indicators of impairment at each reporting end date.
Financial assets are impaired where there is objective evidence that, as a result of one or more events that occurred after the initial recognition of the financial asset, the estimated future cash flows have been affected. If an asset is impaired, the impairment loss is the difference between the carrying amount and the present value of the estimated cash flows discounted at the asset’s original effective interest rate. The impairment loss is recognised in profit or loss.
If there is a decrease in the impairment loss arising from an event occurring after the impairment was recognised, the impairment is reversed. The reversal is such that the current carrying amount does not exceed what the carrying amount would have been, had the impairment not previously been recognised. The impairment reversal is recognised in profit or loss.
Derecognition of financial assets
Financial assets are derecognised only when the contractual rights to the cash flows from the asset expire or are settled, or when the company transfers the financial asset and substantially all the risks and rewards of ownership to another entity, or if some significant risks and rewards of ownership are retained but control of the asset has transferred to another party that is able to sell the asset in its entirety to an unrelated third party.
Other financial liabilities
Derivatives, including interest rate swaps and forward foreign exchange contracts, are not basic financial instruments. Derivatives are initially recognised at fair value on the date a derivative contract is entered into and are subsequently re-measured at their fair value. Changes in the fair value of derivatives are recognised in profit or loss in finance costs or finance income as appropriate, unless hedge accounting is applied and the hedge is a cash flow hedge.
Debt instruments that do not meet the conditions in FRS 102 paragraph 11.9 are subsequently measured at fair value through profit or loss. Debt instruments may be designated as being measured at fair value through profit or loss to eliminate or reduce an accounting mismatch or if the instruments are measured and their performance evaluated on a fair value basis in accordance with a documented risk management or investment strategy.
Derecognition of financial liabilities
Financial liabilities are derecognised when the company’s contractual obligations expire or are discharged or cancelled.
1.10
Taxation
The tax expense represents the sum of the tax currently payable and deferred tax.

ACCOUNTING POLICIES
(Continued)
- 20 -
Current tax
The tax currently payable is based on taxable profit for the year. Taxable profit differs from net profit as reported in the profit and loss account because it excludes items of income or expense that are taxable or deductible in other years and it further excludes items that are never taxable or deductible. The company’s liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the reporting end date.
Deferred tax
Deferred tax liabilities are generally recognised for all timing differences and deferred tax assets are recognised to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. Such assets and liabilities are not recognised if the timing difference arises from goodwill or from the initial recognition of other assets and liabilities in a transaction that affects neither the tax profit nor the accounting profit.
The carrying amount of deferred tax assets is reviewed at each reporting end date and reduced to the extent that it is no longer probable that sufficient taxable profits will be available to allow all or part of the asset to be recovered. Deferred tax is calculated at the tax rates that are expected to apply in the period when the liability is settled or the asset is realised. Deferred tax is charged or credited in the profit and loss account, except when it relates to items charged or credited directly to equity, in which case the deferred tax is also dealt with in equity. Deferred tax assets and liabilities are offset when the company has a legally enforceable right to offset current tax assets and liabilities and the deferred tax assets and liabilities relate to taxes levied by the same tax authority.
1.11
Retirement benefits
Contributions to defined contribution plans are recognised as an expense in the period in which the related service is provided. Prepaid contributions are recognised as an asset to the extent that the prepayment will lead to a reduction in future payments or a cash refund.
1.12
Leases
As lessee
Assets held under finance leases and hire purchase contracts are recognised in the balance sheet as assets and liabilities at the lower of the fair value of the asset and the present value of the minimum lease payments, which is determined at the inception of the lease term. Any initial direct costs of the lease are added to the amount recognised as an asset.
Lease payments are apportioned between finance charges and reduction of the outstanding lease liability using the effective interest method. Finance charges are allocated to each period so as to produce a constant rate of interest on the remaining balance of the liability.

Foreign exchange
Transactions in currencies other than pounds sterling are recorded at the rates of exchange prevailing at the dates of the transactions. At each reporting end date, monetary assets and liabilities that are denominated in foreign currencies are retranslated at the rates prevailing on the reporting end date. Gains and losses arising on translation in the period are included in profit or loss.
2
JUDGEMENTS AND KEY SOURCES OF ESTIMATION UNCERTAINTY
In the application of the company’s accounting policies, the directors are required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.
The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods.
Key sources of estimation uncertainty
The estimates and assumptions which have a significant risk of causing a material adjustment to the carrying amount of assets and liabilities are as follows.
Provisions
Provisions are included against bad debts. These provisions require management's best estimate of the costs that will be incurred based on contractual agreements, historical experience and current knowledge of the trading difficulties of customers.
Useful economic life of tangible fixed assets
The annual depreciation charge for tangible assets is sensitive to changes in the estimated useful economic lives and residual values of the assets. The useful economic lives and residual values are re-assessed annually. They are amended when necessary to reflect current estimates, based on technological advancements, future investments, economic utilisation and the physical condition of the assets.
