Accounting policies
Company information

Heart of London Business Alliance is a private company limited by guarantee incorporated in England and Wales. The registered office is 80-81 St Martin's Lane, London, WC2N 4AA.

1.1
Accounting convention

These financial statements have been prepared in accordance with FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” (“FRS 102”) and the requirements of the Companies Act 2006 as applicable to companies subject to the small companies regime. The disclosure requirements of section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.

The financial statements are prepared in sterling, which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest £.

The financial statements have been prepared under the historical cost convention. The principal accounting policies adopted are set out below.

These financial statements are prepared on the going concern basis. The directors have a reasonable expectation that the company will continue in operational existence for the foreseeable future.

1.2
Income and expenditure

Income represents primarily amounts receivable (excluding value added tax) in respect of BID levy from business rates payers of the Heart of London Business Alliance. Other incomes recognised are voluntary contributions receivable from other project partners and sponsors during the financial year ending 31 March 2026. Revenue is recognised to the extent that it is probable that the economic benefits will flow to the company and the revenue can be reliably measured. Revenue is measured as the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes. The following criteria must also be met before revenue is recognised:

Rendering of services

Revenue from a contract to provide services is recognised in the period in which the services are provided in accordance with the stage of completion of the contract when all the following conditions are satisfied:

1.3
Tangible fixed assets

Tangible fixed assets are initially measured at cost and subsequently measured at cost or valuation, net of depreciation and any impairment losses.

Depreciation is recognised so as to write off the cost or valuation of assets less their residual values over their useful lives on the following bases:

Land and buildings Leasehold
20% straight line basis
Fixtures, fittings & equipment
33.3% reducing balance

The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset, and is credited or charged to surplus or deficit.

1.4
Impairment of fixed assets

At each reporting period end date, the company reviews the carrying amounts of its tangible assets to determine whether there is any indication that those assets have suffered an impairment loss. If any such indication exists, the recoverable amount of the asset is estimated in order to determine the extent of the impairment loss (if any). Where it is not possible to estimate the recoverable amount of an individual asset, the company estimates the recoverable amount of the cash-generating unit to which the asset belongs.

1.5
Cash and cash equivalents

Cash and cash equivalents are basic financial assets and include cash in hand, deposits held at call with banks, other short-term liquid investments with original maturities of three months or less, and bank overdrafts. Bank overdrafts are shown within borrowings in current liabilities.

1.6
Financial instruments

The company has elected to apply the provisions of Section 11 ‘Basic Financial Instruments’ and Section 12 ‘Other Financial Instruments Issues’ of FRS 102 to all of its financial instruments.

Financial instruments are recognised in the company's balance sheet when the company becomes party to the contractual provisions of the instrument.

Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.

1.7
Provisions

Provisions are recognised when the company has a present legal or constructive obligation as a result of a past event, it is probable that the company will be required to transfer economic benefits in settlement, and the amount can be estimated reliably.

The company operates Business Improvement Districts ("BIDs") which are established for fixed terms and require renewal through a statutory ballot process in order to continue operating beyond the current BID term.

The Directors consider that the company has a constructive obligation to undertake the BID renewal process. The company exists solely to operate the BID arrangements and continuation of its activities is dependent upon successful renewal of the BIDs. Accordingly, provision is made over the BID term for the estimated costs directly attributable to undertaking the renewal process.

The provision is based on the Directors' best estimate of the expenditure required to complete future renewal activities, taking into account previous renewal exercises and current expected costs.

1.8
Employee benefits

The costs of short-term employee benefits are recognised as a liability and an expense.

1.9
Retirement benefits

Payments to defined contribution retirement benefit schemes are charged as an expense as they fall due.

1.10
Leases

Rentals payable under operating leases, including any lease incentives received, are charged to profit or loss on a straight line basis over the term of the relevant lease except where another more systematic basis is more representative of the time pattern in which economic benefits from the leases asset are consumed.

2
Judgements and key sources of estimation uncertainty

In the application of the company’s accounting policies, the directors are required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.

The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods.

Key sources of estimation uncertainty

The estimates and assumptions which have a significant risk of causing a material adjustment to the carrying amount of assets and liabilities are as follows.

Bad debts provision

The bad debts provision is estimated by reference to historic collections of BID levy income outstanding per BID area, but also taking into consideration relevant social and economic factors.

BID renewal cost provision

The BID renewal cost provision is based on similar costs incurred in prior ballots, adjusted for the number of BID areas to be renewed.

The provision for BID Renewal Costs represents the directors' estimate of the costs expected to be incurred in relation to the statutory renewal of the company's Business Improvement Districts ("BIDs").

The directors consider that as a result of past events, there is a valid expectation from its members to undertake the ballot renewal process as continuation of the company's activities is dependent upon successful BID renewal. This condition creates a constructive obligation.

The provision includes estimated costs relating to stakeholder engagement, communications, ballot administration, project management and other directly attributable renewal expenditure.

The provision is expected to be utilised during the next BID renewal cycle.

The valuation of the provision requires management judgement in respect of both the estimated future costs of renewal activities and the timing of those costs.
