Group Strategic Report
for the Year Ended 31 December 2025
The directors present their strategic report of the company and the group for the year ended 31 December 2025.
REVIEW OF BUSINESS AND OUTLOOK
Sirius Engineering Group is a design and build enabling works specialist delivering integrated consultancy, ground engineering and contracting services to the land development sector. Operating across the United Kingdom from regional offices in Durham, Leeds, Warrington and Llanelli, the Group provides services including demolition, earthworks, remediation, drilling and civil engineering, supported by a cutting-edge plant and technologies division. The Group also provides geotechnical, environmental and planning consultancy services.
The Group's competitive advantage lies in its ability to provide a single integrated solution from initial investigation through to development readiness, often on a design and build basis. This enables clients to de-risk complex brownfield and greenfield sites and progress technically challenging developments with confidence.
Operating since 2003, Sirius has developed a stable repeat-business client base across several principal sectors including residential, commercial and retail development, waste management and renewable energy. In 2023, coinciding with its 20th anniversary, the Group transitioned to employee ownership, supporting long-term succession and aligning the future success of the business with the people who have helped to build it.
The results for the year and the financial position of the Group are set out on pages 13 to 39.
Key Performance Indicators:
The Group's KPIs for the year were:
| 2025 | 2024 |
| £'000s | £'000s |
| Turnover | 69,232 | 48,954 |
| Gross Profit % | 23.9% | 24.2% |
| EBITDA | 8,419 | 4,702 |
| EBITDA % | 12.2% | 9.6% |
Financial Performance
The Directors are pleased to report a strong financial performance for the year ended 31 December 2025. The Group delivered turnover of £69.2 million (2024: £49.0 million) and profit before taxation of £5.1 million (2024: £1.7 million), reflecting continued growth across the Group's integrated service offering, strong operational delivery and the successful execution of a number of significant projects throughout the year.
The Group also strengthened its balance sheet, increasing net assets to £13.7 million and generating strong operating cash flows during the period. During the year, the Group continued to invest in its specialist plant fleet and technologies, committing over £3 million to new equipment to support operational delivery, improve efficiency and strengthen service capability across the Group.
Sirius Engineering Group Ltd (Registered number: 04660007)
Group Strategic Report
for the Year Ended 31 December 2025
Market Outlook
The Group's principal market remains the residential land development sector. Notwithstanding wider economic challenges, underlying housing demand across the UK continues to exceed supply. The UK Government's stated objective to deliver 1.5 million new homes over the current Parliament provides favourable medium and long-term market fundamentals for the Group's services and supports continued demand for remediation, ground engineering, infrastructure and enabling works.
Since the year end, geopolitical developments have increased uncertainty within both the UK and global economy. Ongoing international tensions have contributed to volatility in energy markets, higher fuel prices and inflationary pressures across parts of the construction supply chain. In addition, continued uncertainty regarding economic growth, interest rates and consumer confidence has led to more cautious investment and development decisions within certain sectors.
As a result, the Directors anticipate that trading conditions during the first half of 2026 will be more challenging than those experienced during the record performance achieved in 2025. Whilst the Group entered the year with a healthy order book and strong operational pipeline, project commencements and client decision-making have generally lengthened in response to current market conditions.
Despite these short-term headwinds, the Directors remain confident in the Group's long-term outlook. Alongside its established residential offering, the Group continues to secure opportunities within adjacent sectors including infrastructure, industrial and commercial development, environmental services and renewable energy projects, often through existing client relationships that value the Group's technical expertise and proven delivery capability. The Group continues to invest in its people and operational capabilities in order to capitalise on opportunities as market conditions improve.
PRINCIPAL RISKS AND UNCERTAINTIES
The principal risks and uncertainties facing the Group and how they may affect its performance, position or future prospects are set out below:
Health, safety and environmental
The Group is subject to health, safety and environmental risks inherent in the work undertaken. The Board and business unit leads promote a strong health and safety culture underpinned by procedures that are continually assessed to ensure best practice. Ongoing training is provided to employees, and the Group employs four full-time qualified health and safety professionals, supported by external specialist consultants where required.
Financial risk management
The Group seeks to minimise financial risk through the preparation of budgets and forecasts, regular monitoring of actual performance against those forecasts and maintaining adequate sources of finance to meet the requirements of the business. The Group's principal financial instruments comprise bank balances, hire purchase agreements, trade and subcontract creditors and trade debtors arising from its operations.
Credit risk
Amounts receivable relate largely to applications on contracts across the Group's stable customer base. The Group has policies concerning credit offered to customers and regularly monitors amounts outstanding by both ageing and credit limit.
Liquidity risk
The Group manages working capital and cash availability through negotiation with clients and suppliers and regular cash flow forecasting to ensure that sufficient funds are available to meet amounts due.
Recruitment and retention of skilled employees
The construction and engineering sectors continue to experience challenges in recruiting and retaining skilled employees. The Group mitigates this risk through investment in training and development, apprenticeship programmes, competitive employee benefits and the provision of a safe and positive working environment.
Fuel and supply chain inflation
The Group is exposed to fluctuations in fuel prices and wider supply chain cost inflation, which may impact project margins. This risk is mitigated through proactive procurement, strategic supplier relationships, disciplined contract pricing and continued investment in operational efficiency.
Market conditions and client investment
The Group's principal market remains linked to residential land development and wider construction activity. A reduction in developer confidence, planning delays or funding constraints may affect the timing of project commencements. The Group mitigates this risk through strong client relationships, a healthy operational pipeline and continued diversification into adjacent sectors including infrastructure, industrial and commercial development, environmental services and renewable energy.

SECTION 172(1) STATEMENT

As an employee-owned business, the Board's approach to decision making is naturally aligned with the long-term interests of employees and wider stakeholders. The Directors recognise that the sustainable success of the Group depends upon maintaining strong relationships with customers, suppliers, employees and local communities, whilst continuing to invest in operational capability and technical expertise.

Employees are fundamental to the Group's success, and the Board remains committed to fostering a culture of engagement, collaboration, safety and continuous professional development. Throughout the year, the Group continued to invest in training, workforce development and succession planning across its engineering and operational teams.
A notable initiative during the year was the introduction of the Group's Plant Operator Apprenticeship Scheme, which has proven successful in attracting and developing new talent. The programme supports the Group's long-term skills strategy whilst creating valuable career opportunities within the communities in which it operates.
Customers
The Group's reputation is built upon long-standing customer relationships, repeat business and the consistent delivery of technically robust, high-quality solutions. The Directors regularly review project performance and market opportunities to ensure that the Group continues to respond to evolving client requirements.
Suppliers and Subcontractors
The Group recognises the importance of maintaining fair and mutually beneficial relationships with suppliers, subcontractors and service partners. Suppliers are treated fairly and payment practices are managed responsibly and consistently with commercial agreements wherever possible.
The Directors have established procedures to ensure that external suppliers are individually approved and meet the health and safety, regulatory and financial standards required by the Group. Strong supplier relationships assist in ensuring continuity of service, managing supply chain risks and delivering value to clients.
Health, Safety and Environment
The Board places significant emphasis on health, safety and environmental performance. The Group continues to invest in systems, training and compliance procedures to protect employees, subcontractors, customers and members of the public, while seeking to deliver projects responsibly and minimise environmental impacts wherever practical.
Communities and Social Value
The Directors recognise the importance of making a positive contribution to the communities in which the Group operates. Alongside creating employment opportunities, supporting apprenticeships and engaging local supply chains, the Group supports local charities, grassroots sports clubs and community initiatives.
During 2025, the Group established an employee-led Charity Committee, enabling employees to nominate and vote for the Group's chosen charity partner and organise fundraising activities throughout the year. The Directors believe this initiative strengthens employee engagement and reinforces the Group's employee-owned culture.
The Group also continued to support local sports clubs, community events and charitable initiatives, including its role as headline sponsor of KidsOut Leeds and sponsorship activity in support of the Royal National Lifeboat Institution and the Great North Air Ambulance Service. The Board believes these activities create meaningful social value, strengthen community relationships and reflect the values of the Group as a responsible employee-owned business.

Key decisions during the year included significant investment in the Group's specialist plant fleet and technologies, the introduction of the Plant Operator Apprenticeship Scheme and continued investment in operational capability and technical expertise. In making these decisions, the Board considered the long-term benefits for employees, customers, suppliers, employee owners and the wider communities in which the Group operates.
The Board considers that throughout the year it has acted in accordance with its duties under Section 172 of the Companies Act 2006 and has had regard to the interests of the Company's stakeholders when making decisions and promoting the long-term success of the Group.

Feedback received through these relationships helps inform decision-making and supports the continued development and long-term success of the business. |
STREAMLINED ENERGY AND CARBON REPORTING
Under the Companies (Directors' Report) and Limited Liability Partnerships (Energy and Carbon) Regulations 2018, we are mandated to disclose our UK energy use and associated greenhouse gas (GHG) emissions. As a minimum, we are required to report the GHG emissions from fuel combustion, purchased energy and transport vehicles, under Streamlined Energy and Carbon Reporting (SECR). Additionally, the use of an intensity ratio and an outline of implemented efficiency measures are required under the Streamlined Energy and Carbon Reporting (SECR) regulations.
To ensure a high level of transparency is achieved, robust and recognised reporting methods are implemented. The reporting methodology involves usage of the DESNZ 2025 (Department for Energy Security and Net Zero) emissions factors to calculate and assess our UK operational emissions.
The SECR reporting period covers Sirius Engineering Group Limited's operations from 1st January 2025 to 31st December 2025 and our calculations are for the following scopes:
- Site-related energy - Onsite fuel combustion (Scope 1), combustion of natural gas at site (Scope 1), and purchased building electricity consumption (Scope 2).
- Transportation - Fuel combustion in company owned or operated vehicles (Scope 1), electricity consumption in electric company vehicles (Scope 2), and expensed business travel in personal or short-term hire vehicles (Scope 3).
Calculation Methodology
Sirius Engineering Group Ltd (Registered number: 04660007)
Report of the Directors
for the Year Ended 31 December 2025
| Sirius Engineering Group Limited's emissions have been assessed in accordance with the 'GHG Protocol Corporate Accounting and Reporting Standard' and in line with DESNZ's 'Environmental reporting guidelines: including Streamlined Energy and Carbon Reporting Requirements'. The DESNZ 2025 emission conversion factors were used to quantify the emissions associated with Sirius Engineering Group Limited's UK operations for the specified reporting period. | Report of the Directors |
for the Year Ended 31 December 2025
STATEMENT OF DIRECTORS' RESPONSIBILITIES
The directors are responsible for preparing the Group Strategic Report, the Report of the Directors and the financial statements in accordance with applicable law and regulations.
Company law requires the directors to prepare financial statements for each financial year. Under that law the directors have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). Under company law the directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the company and the group and of the profit or loss of the group for that period. In preparing these financial statements, the directors are required to:
| - | select suitable accounting policies and then apply them consistently; |
| - | make judgements and accounting estimates that are reasonable and prudent; |
| - | state whether applicable accounting standards have been followed, subject to any material departures disclosed and explained in the financial statements; |
| - | prepare the financial statements on the going concern basis unless it is inappropriate to presume that the company will continue in business. |
The directors are responsible for keeping adequate accounting records that are sufficient to show and explain the company's and the group's transactions and disclose with reasonable accuracy at any time the financial position of the company and the group and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and the group and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.
STATEMENT AS TO DISCLOSURE OF INFORMATION TO AUDITORS
So far as the directors are aware, there is no relevant audit information (as defined by Section 418 of the Companies Act 2006) of which the group's auditors are unaware, and each director has taken all the steps that he or she ought to have taken as a director in order to make himself or herself aware of any relevant audit information and to establish that the group's auditors are aware of that information.
ON BEHALF OF THE BOARD:
Report of the Independent Auditors to the Members of
Sirius Engineering Group Ltd
Opinion
We have audited the financial statements of Sirius Engineering Group Ltd (the 'parent company') and its subsidiaries (the 'group') for the year ended 31 December 2025 which comprise the Consolidated Statement of Comprehensive Income, Consolidated Balance Sheet, Company Balance Sheet, Consolidated Statement of Changes in Equity, Company Statement of Changes in Equity, Consolidated Cash Flow Statement and Notes to the Consolidated Cash Flow Statement, Notes to the Financial Statements, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice).
In our opinion the financial statements:
| - | give a true and fair view of the state of the group's and of the parent company affairs as at 31 December 2025 and of the group's profit for the year then ended; |
| - | have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and |
| - | have been prepared in accordance with the requirements of the Companies Act 2006. |
Basis for opinion
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the group in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.
Conclusions relating to going concern
In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the group's and the parent company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.
Our responsibilities and the responsibilities of the directors with respect to going concern are described in the relevant sections of this report.
Other information
The directors are responsible for the other information. The other information comprises the information in the Group Strategic Report and the Report of the Directors, but does not include the financial statements and our Report of the Auditors thereon.
Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon.
In connection with our audit of the financial statements, our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact. We have nothing to report in this regard.
Opinions on other matters prescribed by the Companies Act 2006
In our opinion, based on the work undertaken in the course of the audit:
| - | the information given in the Group Strategic Report and the Report of the Directors for the financial year for which the financial statements are prepared is consistent with the financial statements; and |
| - | the Group Strategic Report and the Report of the Directors have been prepared in accordance with applicable legal requirements. |
Matters on which we are required to report by exception
In the light of the knowledge and understanding of the group and the parent company and its environment obtained in the course of the audit, we have not identified material misstatements in the Group Strategic Report or the Report of the Directors.
We have nothing to report in respect of the following matters where the Companies Act 2006 requires us to report to you if, in our opinion:
| - | adequate accounting records have not been kept by the parent company, or returns adequate for our audit have not been received from branches not visited by us; or |
| - | the parent company financial statements are not in agreement with the accounting records and returns; or |
| - | certain disclosures of directors' remuneration specified by law are not made; or |
| - | we have not received all the information and explanations we require for our audit. |
Report of the Independent Auditors to the Members of
Sirius Engineering Group Ltd
Responsibilities of directors
As explained more fully in the Statement of Directors' Responsibilities set out on page eight, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.
In preparing the financial statements, the directors are responsible for assessing the group's and the parent company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the group or the parent company or to cease operations, or have no realistic alternative but to do so.
Auditors' responsibilities for the audit of the financial statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue a Report of the Auditors that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.
Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below.
Based on our understanding of the industry, we have considered applicable laws and regulations which may be fundamental to the company's ability to operate or to avoid a material penalty, and we considered the extent to which non-compliance might have a material effect on the financial statements. We considered management's incentives and opportunities for fraudulent manipulation of the financial statements (including the risk of override of controls), and determined that the principal risks were related to the posting of inappropriate manual journal entries to manipulate financial performance, management bias in significant accounting estimates and any significant one-off or unusual transactions.
We discussed among the audit engagement team the opportunities and incentives that may exist within the organisation for fraud and how and where fraud might occur in the financial statements.
Audit procedures performed by the engagement team included:
| - | Enquiry of management and those charged with governance around actual and potential litigation and claims. |
| - | Enquiry of entity staff to identify any instances of non-compliance with laws and regulations. |
| - | Reviewing financial statement disclosures and testing to supporting documentation to assess compliance with applicable laws and regulations |
| - | Auditing the risk of management override of controls, including through testing journal entries and other adjustments for appropriateness, and evaluating the business rationale of significant transactions outside the normal course of business. |
| - | Challenging estimates and judgements made by management in their significant accounting estimates. |
| - | Revenue recognition; agreeing a sample of revenue transactions to gain assurance over the occurrence and accuracy of revenue and also to ensure revenue has been recognised in the correct period. |
Because of the inherent limitations of an audit, there is a risk that we will not detect all irregularities, including those leading to a material misstatement in the financial statements or non-compliance with regulation. The risk increases the more that compliance with a law or regulation is removed from the events and transactions reflected in the financial statements, as we will be less likely to become aware of instances of non-compliance. The risk is also greater regarding irregularities occurring due to fraud rather than error, as fraud involves intentional concealment, forgery, collusion, omission or misrepresentation.
A further description of our responsibilities for the audit of the financial statements is located on the Financial Reporting Council's website at www.frc.org.uk/auditorsresponsibilities. This description forms part of our Report of the Auditors.
Report of the Independent Auditors to the Members of
Sirius Engineering Group Ltd
Use of our report
This report is made solely to the company's members, as a body, in accordance with Chapter 3 of Part 16 of the Companies Act 2006. Our audit work has been undertaken so that we might state to the company's members those matters we are required to state to them in a Report of the Auditors and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the company and the company's members as a body, for our audit work, for this report, or for the opinions we have formed.

| 4. | MAJOR NON-CASH TRANSACTIONS |
New hire purchase agreements with a total value at inception of £2,186,822 (2024 : £438,104) were entered into during the year.
| 5. | SUPPLIER FINANCE ARRANGEMENTS |
The company finances its annual insurance premium through an arrangement with a premium finance provider. Under the arrangement the finance provider settles the premium due to the insurer in full at the inception of the policy, and the company repays the finance provider by 10 equal monthly instalments commencing in the month of renewal. Interest is charged at 4.75% per annum and is recognised within interest payable. No security has been given, other than the finance provider's right to cancel the policy and recover any return premium. This is the company's only supplier finance arrangement.
Amounts owed under the arrangement are included within creditors: amounts falling due within one year, in other creditors.

The insurer is paid in full at inception of the policy, and so the initial recognition of the liability of £513,921 (2024: £930,376) was a non-cash transaction that is not reflected in the statement of cash flows. Instalments paid to the finance provider are presented within financing activities. There were no other non-cash changes in the carrying amount during the year (2024: none).
The arrangement is not a significant source of liquidity for the company. Were it to be withdrawn, the company would settle the premium directly from its own cash resources or existing facilities.

Notes to the Consolidated Financial Statements
for the Year Ended 31 December 2025
| 1. | ACCOUNTING POLICIES |
General information and basis of preparation
Sirius Engineering Group Ltd is a private company, limited by shares, incorporated in the United Kingdom. The address of the registered office is given in the company information on page 1 of these financial statements. The nature of the group's operations and its principal activities are set out in the Strategic Report on page 2.
The financial statements have been prepared in accordance with applicable accounting standards including Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and the Republic of Ireland" (FRS102) and the Companies Act 2006. The financial statements have been prepared on a going concern basis under the historical cost convention. The financial statements are prepared in sterling which is the functional currency of the group and rounded to the nearest pound.
The significant accounting policies applied in the preparation of these financial statements are set out below. These policies have been consistently applied to all years presented unless otherwise stated.
Basis of consolidation
The consolidated financial statements incorporate the financial statements of the company and its subsidiary companies. The results of the subsidiaries acquired are consolidated for the periods from the date on which control passed and are accounted for under the purchase method.
As permitted by section 408 of the Companies Act 2006, the profit and loss account of the parent company is not presented as part of these financial statements.
Critical accounting judgements and key sources of estimation uncertainty
In the application of the groups accounting policies, which are described above, the directors are required to make judgements, estimates and assumptions about the carrying amounts of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.
The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised if the revision affects only that period, or in the period of the revision and future periods if the revision affects both current and future periods.
The judgement (apart from those involving estimations) that management has made in the process of applying the groups accounting policies and that has the most significant effect on the amounts recognised in the financial statements is the stage of completion of contracts and revenue recognition.
The group undertakes a number of long term construction contracts. Accounting for these contracts requires a number of assumptions and estimates to be made in relation to the stage of completion and expected outcome of the contract. Each contract has an expected value and is costed appropriately to give an expected margin. Any future changes to estimates of contract revenue or contract costs resulting in a change to the estimated loss or profit of the contract is regularly reviewed by management to ensure accurate reporting of revenue recognition.
Turnover
Turnover is stated net of VAT and is recognised when the significant risks and rewards are considered to have been transferred to the buyer.
Turnover for the supply of services represents the value of services provided under contracts to the extent that there is a right to consideration and is recorded at the fair value of the consideration received or receivable. Where a contract has only been partially completed at the balance sheet date turnover represents the fair value of the service provided to date based on the stage of completion of the contract activity at the balance sheet date.
Turnover also includes income from consultancy together with the disposal of shares in joint venture entities acquired with a view to develop and sell.
Construction contracts
Where the outcome of a construction contract can be estimated reliably, revenue and costs are recognised by reference to the stage of completion of the contract activity at the balance sheet date. Stage of completion is measured by reference to the right to consideration in respect of performance of contractual obligations.
Where the outcome of a construction contract cannot be estimated reliably, contract revenue is recognised to the extent of contract costs incurred where it is probable that they will be recoverable. Contract costs are recognised as expenses in the period in which they are incurred.
When it is probable that total contract costs will exceed total contract revenue, the expected loss is recognised as an expense immediately.
Sirius Engineering Group Ltd (Registered number: 04660007)
Notes to the Consolidated Financial Statements - continued
for the Year Ended 31 December 2025
Goodwill
Goodwill arising on the acquisition of subsidiary undertakings and businesses, representing any excess of the fair value of the consideration given over the fair value of the identifiable assets and liabilities acquired, is capitalised and written off on a straight line basis over its useful economic life, which is ten years. Provision is made for any impairment.
Negative goodwill is similarly included in the balance sheet and is credited to the profit and loss in the periods expected to benefit, which is ten years.
Goodwill also includes an amount paid in connection with the acquisition of business assets in 2012 which was amortised in full in the year of acquisition.
Tangible fixed assets
Tangible fixed assets are stated at cost (or deemed cost) less accumulated depreciation and accumulated impairment losses. Cost includes costs directly attributable to making the asset capable of operating as intended.
Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life or, if held under a finance lease, over the lease term, whichever is the shorter.
| Improvements to leasehold property | - 20% on cost and 80% on cost |
| Plant and machinery | - 20% on reducing balance, 20% on cost and 15% on cost |
| Fixtures and fittings | - 33% on cost, 25% on cost, 20% on cost and 4.76% on cost |
| Motor vehicles | - 33% on cost and 25% on cost |
| Computer equipment | - 50% on cost, 33% on cost and 25% on cost |
Investments in associates
Investments in associate undertakings are recognised at cost.
Investments in SPV companies are recognised at cost.
Stocks
Stocks are stated at the lower of cost and estimated selling price less costs to complete and sell. Cost includes all costs of purchase, costs of conversion and other costs incurred in bringing stock to its present location and condition. Provision is made for damaged, obsolete and slow-moving stock where appropriate.
Work in progress is valued at the lower of cost and net realisable value.
Taxation
Current tax represents the amount of tax payable or receivable in respect of the taxable profit (or loss) for the current or past reporting periods. It is measured at the amount expected to be paid or recovered using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.
Deferred tax represents the future tax consequences of transactions and events recognised in the financial statements of current and previous periods. It is recognised in respect of all timing differences, with certain exceptions. Timing differences are differences between taxable profits and total comprehensive income as stated in the financial statements that arise from the inclusion of income and expense in tax assessments in periods different from those in which they are recognised in the financial statements. Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.
Deferred tax is measured using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date that are expected to apply to the reversal of timing differences.
Research and development
Expenditure on research and development is written off in the year in which it is incurred.
Foreign currencies
Assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rate of exchange ruling at the date of transaction. Exchange differences are taken into account in arriving at the operating result.
Sirius Engineering Group Ltd (Registered number: 04660007)
Notes to the Consolidated Financial Statements - continued
for the Year Ended 31 December 2025
| 1. | ACCOUNTING POLICIES - continued |
Hire purchase and leasing commitments
Assets obtained under hire purchase contracts or finance leases are capitalised in the balance sheet. Those held under hire purchase contracts are depreciated over their estimated useful lives. Those held under finance leases are depreciated over their estimated useful lives or the lease term, whichever is the shorter.
The interest element of these obligations is charged to profit or loss over the relevant period. The capital element of the future payments is treated as a liability.
Rentals paid under operating leases are charged to profit or loss on a straight line basis over the period of the lease.
Pension costs and other post-retirement benefits
The group operates a defined contribution pension scheme. Contributions payable to the group's pension scheme are charged to profit or loss in the period to which they relate.
Amounts recoverable on contracts
Amounts recoverable on contracts are stated at cost plus attributable profit to the extent that such profit is reasonably certain and after making provision for any foreseeable losses in completing contracts, less payments on account received.
Non-controlling interests
Amounts attributable to non-controlling interests are calculated on the basis of their shareholdings in subsidiaries at the balance sheet date.
Debtors and creditors receivable/payable within one year
Debtors and creditors with no stated interest rate and receivable or payable within one year are recorded at transaction price. Any losses arising from impairment are recognised in the profit and loss.
Impairment
Assets not measured at fair value are reviewed for any indication that the asset may be impaired at each balance sheet date. If such indication exists, the recoverable amount of the asset, or the asset's cash generating unit, is estimated and compared to the carrying amount. Where the carrying amount exceeds its recoverable amount, an impairment loss is recognised in profit or loss.
Loans and borrowings
Loans and borrowings are initially recognised at the transaction price including transaction costs. Subsequently, they are measured at amortised cost using the effective interest rate method, less impairment. If an arrangement constitutes a financing transaction it is measured at present value.
Provisions
Provisions are recognised when the company has an obligation at the balance sheet date as a result of a past event, it is probable that an outflow of economic benefits will be required in settlement and the amount can be reliably estimated.
| 2. | TURNOVER |
The turnover and profit before taxation are attributable to the one principal activity of the group.
