STRATEGIC REPORT
FOR THE YEAR ENDED 31 DECEMBER 2025

Introduction

The Directors present their annual report and financial statements for the period ended 31 December 2025.

Business review

The principal activity of the company is a holding company for companies within the CMI Offshore Group for of the company is the development of projects in the marine and offshore oil sectors, combined with the acquisition and operation of such assets in niche emerging markets.

Historically our main areas of operation have been Kazakhstan, Turkmenistan, Malaysia and Australia, with additional operations in Azerbaijan, and Venezuela in the pre-sanctions era, with some assets currently in Angola and the Caribbean. The group does not have any operations in the United Kingdom and remains focused in developing markets outside Europe and North America.

In Kazakhstan we remain focused on the Air Cushion Vessel (ACV) market where we designed, built and delivered the world’s first open-seas self-propelled hoverbarge.  Our management contract for this unique asset came to an end in May 2024 but we have since built on our ACV experience and expertise and in early 2025 the CMI Offshore Group acquired two used hovercraft which were rebuilt and upgraded during 2025 and the first half of 2026, and have now been delivered to new owners.  During the year we also completed the initial design of a new series of 14m hovercraft which are being built in Malaysia using high technology composite materials for onward sale to an existing customer. We are now able to offer a full range of air cushion vessels for all commercial and other requirements.

The CMI Offshore Group has also developed a design for a Surface Effect highspeed 40m crewboat capable of carrying over 80 passengers at speeds of 45 knots which will also be built out of composite materials.  An order has been placed to build a series of these vessels with the first unit to be delivered at the end of 2027.

In Turkmenistan in early 2025 we received an offer for the purchase of the majority of our fleet involving both the assets and the team who have worked with us for over ten years of excellent and safe operations. We decided to take advantage of this and accordingly have exited from the Turkmenistan marine operations business for now although we retain our office and business registration in Turkmenistan. The sale of these assets generated a significant amount of cash and profits which is reflected in the profits for the year, and in the strong balance sheet of the group.  These funds are available for future investment.

Surya Nautika Sdn Bhd, our Malaysian business, comprised a fleet of modern crewboats as well as a separate division providing subsea inspection/repair/maintenance (IRM) for the offshore oil industry.  As reported last year these results have been disappointing with a failure to deliver profits and during 2025 we disposed of our shares in the Malaysian business to our local management team enabling Surya Nautika to be 100% locally owned.  We hope that this will improve the prospects of the business whilst enabling us to work closely together on projects in the future.

The remaining vessels in Australia, Angola and the Caribbean have all performed in line with commitments from end-users and to the company’s satisfaction.

Finally in 2025, the group expanded its geographic range of operations and, with local partners, has set up Eastern CMI Offshore India Private Ltd, to focus on the opportunities provided in this large expanding market.  We look forward to future investment and operations in the Indian market.

The net profit for the year amounted to $4,738,912 (2024: $5,999,222) comprising a dividend received of $4,739,296. As at December 31st 2025 equity attributable to the shareholders amounted to $9,515,757.

Our philosophy remains that of focusing on niche markets where there are barriers to entry and where high
degrees of localization are required always supported by group expertise, experience and resources.

STRATEGIC REPORT (CONTINUED)
FOR THE YEAR ENDED 31 DECEMBER 2025

Financial key performance indicators

As the entity had no trading activity during the year, no key financial performance indicators were considered relevant. The directors have focused on preserving the entity's financial position with an adequate working capital.

Non-financial key performance indicators

The Directors consider non-financial key performance indicators for the group to be the ongoing safety record and safety performance of its vessels.

Principal risks and uncertainties

Given the Company’s non-trading nature, the directors consider the principal risks to be limited and primarily linked to the performance and financial stability of the wider group. The directors continue to monitor these risks and maintain close oversight of group developments.

Future outlook

The Company is expected to continue operating as a holding entity with no direct trading activities. Its future performance will therefore remain closely linked to the profitability, cash generation and strategic direction of its underlying subsidiaries.

Dividend income is anticipated to remain the Company’s primary source of revenue. The directors expect that the subsidiaries will continue to generate sufficient distributable reserves to support ongoing dividend flows, subject to prevailing market conditions and the wider group’s funding requirements.

Overall, the Company is well-positioned to continue fulfilling its role within the group, with no significant changes to its activities anticipated in the foreseeable future.

This report was approved by the board on 23 July 2026 and signed on its behalf.

INDEPENDENT AUDITORS' REPORT TO THE MEMBERS OF CMI OFFSHORE MARINE LTD

Opinion

We have audited the financial statements of CMI Offshore Marine Ltd (the 'Company') for the year ended 31 December 2025, which comprise the Statement of Comprehensive Income, the Statement of Financial Position, the Statement of Changes in Equity and the related notes, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 ‘The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice).

In our opinion the financial statements:

∙give a true and fair view of the state of the Company's affairs as at 31 December 2025 and of its profit for the year then ended;
∙have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and
∙have been prepared in accordance with the requirements of the Companies Act 2006.

Basis for opinion

We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the Company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the United Kingdom, including the Financial Reporting Council's Ethical Standard and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

Conclusions relating to going concern

In forming our opinion, we have considered the adequacy of the disclosures made in the financial statements concerning the Company's ability to continue as a going concern. The Company reported a profit for the year ended 31 December 2025 and, as of that date, the Company had net current assets.

The financial statements do not include any adjustments that would result from a failure to continue as a going concern.

In auditing the financial statements, we have concluded that the Directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.

Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the Company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.

Our responsibilities and the responsibilities of the Directors with respect to going concern are described in the relevant sections of this report.

Other information

The other information comprises the information included in the Annual Report other than the financial statements and our Auditors' Report thereon. The Directors are responsible for the other information contained within the Annual Report. Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon. Our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the course of the audit, or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.

We have nothing to report in this regard.

Opinion on other matters prescribed by the Companies Act 2006

In our opinion, based on the work undertaken in the course of the audit:

∙the information given in the Strategic Report and the Directors' Report for the financial year for which the financial statements are prepared is consistent with the financial statements; and
∙the Strategic Report and the Directors' Report have been prepared in accordance with applicable legal requirements.

Matters on which we are required to report by exception

In the light of the knowledge and understanding of the Company and its environment obtained in the course of the audit, we have not identified material misstatements in the Strategic Report or the Directors' Report.

We have nothing to report in respect of the following matters in relation to which the Companies Act 2006 requires us to report to you if, in our opinion:

∙adequate accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or
∙the financial statements are not in agreement with the accounting records and returns; or
∙certain disclosures of Directors' remuneration specified by law are not made; or
∙we have not received all the information and explanations we require for our audit.

Responsibilities of directors

As explained more fully in the Directors' Responsibilities Statement set out on page 3, the Directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the Directors determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

In preparing the financial statements, the Directors are responsible for assessing the Company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the Directors either intend to liquidate the Company or to cease operations, or have no realistic alternative but to do so.

INDEPENDENT AUDITORS' REPORT TO THE MEMBERS OF CMI OFFSHORE MARINE LTD (CONTINUED)

Auditors' responsibilities for the audit of the financial statements

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an Auditors' Report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.

Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:
-Enquiry of management and those charged with governance to identify any instances of non-compliance with laws and regulations;

-Reviewing financial statement disclosures and testing to supporting documentation to assess compliance with applicable laws and regulations;

-Performing audit work over the risk of management override of controls, including testing of journal entries and other adjustments for appropriateness, evaluating the business rationale of significant transactions outside the normal course of business and reviewing accounting estimates for bias.

The potential effect of these laws and regulations on the financial statements varies considerably.

Firstly, the Company is subject to laws and regulations that directly affect the financial statements including financial reporting legislation (including related companies legislation), distributable profits legislation and taxation legislation and we assessed the extent of compliance with these laws and regulations as part of our procedures on the related financial statement items.

Secondly, the Company is subject to many other laws and regulations where the consequence of noncompliance could have a material effect on amounts or disclosures in the financial statements, for instance the imposition of fines or litigation. We identified the following areas as those most likely to have such an effect: health and safety, data protection laws, employment law recognising the nature of the Company’s activities.

Auditing standards limit the required audit procedures to identify non-compliance with these laws and regulations to enquiry of the directors and other management and inspection of regulatory and legal correspondence, if any.

Therefore, if a breach of operational regulations is not disclosed to us or evident from relevant correspondence,
an audit will not detect that breach.

Because of the inherent limitations of an audit, there is a risk that we will not detect all irregularities, including those leading to a material misstatement in the financial statements or non-compliance with regulation. This risk increases the more that compliance with a law or regulation is removed from the events and transactions reflected in the financial statements, as we will be less likely to become aware of instances of non-compliance. The risk is also greater regarding irregularities occurring due to fraud rather than error, as fraud involves intentional concealment, forgery, collusion, omission or misrepresentation.

We communicate with those charged with governance regarding, among other matters, the planned scope and timing of the audit and significant audit findings, including any significant deficiencies in internal control that we identify during our audit.

Use of our report

This report is made solely to the Company's members, as a body, in accordance with Chapter 3 of Part 16 of the Companies Act 2006. Our audit work has been undertaken so that we might state to the Company's members those matters we are required to state to them in an Auditors' Report and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the Company and the Company's members, as a body, for our audit work, for this report, or for the opinions we have formed.

2.1

Basis of preparation of financial statements

The financial statements are prepared on a going concern basis, under the historical cost convention and in accordance with Financial Reporting Standard 102, the Financial Reporting Standard applicable in the United Kingdom and the Republic of Ireland and the Companies Act 2006.

The preparation of financial statements in compliance with FRS 102 requires the use of certain critical accounting estimates. It also requires management to exercise judgment in applying the Company accounting policies.

2.2

Exemption from preparing consolidated financial statements

The Company is a parent company that is also a subsidiary included in the consolidated financial statements of a larger group by a parent undertaking established under the law of any part of the United Kingdom and is therefore exempt from the requirement to prepare consolidated financial statements under section 400 of the Companies Act 2006.

The Company and its subsidiary undertakings are included by full consolidation in the consolidated financial statements of its parent, CMI Nouveau Ltd Level 5A, Maple House, 149 Tottenham Court Road, London, United Kingdom, W1T 7NF.

2.3

Going concern

The Company meets its working capital requirements through its strong net current asset position, alongside support from group companies. Having considered this, the directors are confident that the Company will continue to receive support from its parent, CMI Nouveau Ltd, for a period of at least twelve months from the signing of the financial statements.

On this basis the directors consider it appropriate to prepare the financial statements on a going concern basis.

Non-monetary items measured at historical cost are translated using the exchange rate at the date of the transaction and non-monetary items measured at fair value are measured using the exchange rate when fair value was determined.

Foreign exchange gains and losses resulting from the settlement of transactions and from the translation at period-end exchange rates of monetary assets and liabilities denominated in foreign currencies are recognised in profit or loss except when deferred in other comprehensive income as qualifying cash flow hedges.

when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.

Basic financial assets

Basic financial assets, which include trade and other receivables, cash and bank balances, are initially measured at their transaction price including transaction costs and are subsequently carried at their amortised cost using the effective interest method, less any provision for impairment, unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest.

Discounting is omitted where the effect of discounting is immaterial. The Company's cash and cash equivalents, trade and most other receivables due with the operating cycle fall into this category of financial instruments.

Impairment of financial assets

Financial assets are assessed for indicators of impairment at each reporting date.

Financial assets are impaired when events, subsequent to their initial recognition, indicate the estimated future cash flows derived from the financial asset(s) have been adversely impacted. The impairment loss will be the difference between the current carrying amount and the present value of the future cash flows at the asset(s) original effective interest rate.

If there is a favourable change in relation to the events surrounding the impairment loss then the impairment can be reviewed for possible reversal. The reversal will not cause the current carrying amount to exceed the original carrying amount had the impairment not been recognised. The impairment reversal is recognised in the profit or loss.

Financial liabilities

Financial liabilities and equity instruments are classified according to the substance of the contractual arrangements entered into. An equity instruments any contract that evidences a residual interest in the assets of the Company after the deduction of all its liabilities.

Basic financial liabilities, which include trade and other payables and other loans are initially measured at their transaction price after transaction costs. When this constitutes a financing transaction, whereby the debt instrument is measured at the present value of the future receipts discounted at a market rate of interest. Discounting is omitted where the effect of discounting is immaterial.

Debt instruments are subsequently carried at their amortised cost using the effective interest rate method.

Trade payables are obligations to pay for goods and services that have been acquired in the ordinary course of business from suppliers. Trade payables are classified as current liabilities if the payment is due within one year. If not, they represent non-current liabilities. Trade payables are initially recognised at their transaction price and subsequently are measured at amortised cost using the effective interest method. Discounting is omitted where the effect of discounting is immaterial.
