1.2
Going concern
Atruet the time of approving the financial statements, the directors have a reasonable expectation that the company has adequate resources to continue in operational existence for the foreseeable future. Thus the directors continue to adopt the going concern basis of accounting in preparing the financial statements.
In assessing the appropriateness of the going concern basis, the directors have considered the Company's financial position, its expected trading performance and cash flow requirements for a period of at least 12 months from the date of approval of these financial statements.
The Company continues to operate with the financial and operational support of its shareholders and the wider Group. The shareholders have demonstrated their continued commitment to the Company through significant additional equity funding during the year. On 24 February 2025, a Share Capital Increase of £180,000 was completed, followed by a further Share Capital Increase of £488,522 on 11 June 2025. In aggregate, the shareholders provided £668,522 of additional equity funding during 2025, strengthening the Company's capital base and providing additional liquidity to support its operations.
In addition to the support provided by the shareholders, the Company continues to benefit from the financial support of its ultimate parent company, Cafetex S.A., and the wider Group. Cafetex S.A. has confirmed its intention to continue providing such financial support as may be required to enable the Company to meet its liabilities as they fall due for a period of at least 12 months from the date of approval of these financial statements. Such support may include the provision of additional funding and the continued management of the timing of settlement of amounts due to Group companies, where appropriate.
In reaching their conclusion, the directors have considered the financial resources available to the wider Group, the significant financial support already provided by the shareholders and the continued commitment of Cafetex S.A. to the Company. The directors are satisfied that Cafetex S.A. has both the intention and the financial capacity to provide the necessary support throughout the going concern assessment period.
Accordingly, having considered the Company's forecasts together with the financial support already demonstrated by its shareholders and the ongoing support available from Cafetex S.A. and the wider Group, the directors have a reasonable expectation that the Company will have adequate resources to continue in operational existence and to meet its liabilities as they fall due for the foreseeable future. The directors therefore consider it appropriate to continue to adopt the going concern basis in preparing these financial statements.

Deferred tax
Deferred tax liabilities are generally recognised for all timing differences and deferred tax assets are recognised to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. Such assets and liabilities are not recognised if the timing difference arises from goodwill or from the initial recognition of other assets and liabilities in a transaction that affects neither the tax profit nor the accounting profit.
The carrying amount of deferred tax assets is reviewed at each reporting end date and reduced to the extent that it is no longer probable that sufficient taxable profits will be available to allow all or part of the asset to be recovered. Deferred tax is calculated at the tax rates that are expected to apply in the period when the liability is settled or the asset is realised. Deferred tax is charged or credited in the profit and loss account, except when it relates to items charged or credited directly to equity, in which case the deferred tax is also dealt with in equity. Deferred tax assets and liabilities are offset when the company has a legally enforceable right to offset current tax assets and liabilities and the deferred tax assets and liabilities relate to taxes levied by the same tax authority.

The costs of short-term employee benefits are recognised as a liability and an expense, unless those costs are required to be recognised as part of the cost of stock or fixed assets.

Termination benefits are recognised immediately as an expense when the company is demonstrably committed to terminate the employment of an employee or to provide termination benefits.
