2.Accounting policies
|
|
|
Basis of preparation of financial statements
|
The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with FRS 102 'The Financial Reporting Standard applicable in the UK and the Republic of Ireland' and the requirements of the Companies Act 2006. The disclosure requirements of Section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.
The preparation of financial statements in compliance with FRS 102 requires the use of certain critical accounting estimates. It also requires management to exercise judgment in applying the Company's accounting policies (see note 3).
The financial statements are presented in GBP (£).
The directors, having made the necessary enquiries, are confident that the Company has adequate resources to continue in operational existence for the foreseeable future. The directors, shareholders and related group companies (under common control) have undertaken to provide continuing financial support to the Company to ensure that it can meet its financial liabilities as they fall due for the foreseeable future. In addition, they will support the Company during initial stages of the project until it becomes self-sustaining. The directors are therefore satisfied to prepare the financial statements on a going concern basis.
Stocks are stated at the lower of cost and net realisable value, being the estimated selling price less costs to complete and sell. Cost is based on the cost of purchase on a first in, first out basis.
At each reporting date, stocks are assessed for impairment. If stock is impaired, the carrying amount is reduced to its selling price less costs to complete and sell. The impairment loss is recognised immediately in profit or loss.
Short-term debtors are measured at transaction price, less any impairment. Loans receivable are measured initially at fair value, inclusive of transaction costs, and are measured subsequently at amortised cost using the effective interest method, less any impairment.
Short-term creditors are measured at the transaction price. Other financial liabilities, including bank loans, are measured initially at fair value, including transaction costs, and are measured subsequently at amortised cost using the effective interest method.

Foreign currency translation
|
Functional and presentation currency
The Company's functional and presentational currency is GBP (£).
Transactions and balances
Foreign currency transactions are translated into the functional currency using the spot exchange rates at the dates of the transactions.
At each period end foreign currency monetary items are translated using the closing rate. Non-monetary items measured at historical cost are translated using the exchange rate at the date of the transaction and non-monetary items measured at fair value are measured using the exchange rate when fair value was determined.
Foreign exchange gains and losses resulting from the settlement of transactions and from the translation at period-end exchange rates of monetary assets and liabilities denominated in foreign currencies are recognised in profit or loss except when deferred in other comprehensive income as qualifying cash flow hedges.
Tax is recognised in profit or loss except that a charge attributable to an item of income and expense recognised as other comprehensive income or to an item recognised directly in equity is also recognised in other comprehensive income or directly in equity respectively.
The current income tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the reporting date in the countries where the Company operates and generates income.

Judgments in applying accounting policies and key sources of estimation uncertainty
|
Preparation of the financial statements requires management to make significant judgments and estimates. Judgments and estimates are continually evaluated and are based on historical experience and other factors, including expectations of future events that are believed to be reasonable under the circumstances. Actual results may ultimately differ from these estimates.

3.Judgments in applying accounting policies (continued)
In the process of applying the Company accounting policies, management has made the following judgments and estimates, which have the most significant effect on the amounts recognized in the financial statements:
Determining net realisable value of stocks
Management estimates the net realisable values of stocks, taking into account the most reliable evidence available at each reporting date. The future realisation of these stocks may be affected by future market-driven changes that may reduce future selling prices.
Going concern
The director has a reasonable expectation that the group has adequate resources to continue in operational existence for the foreseeable future. As disclosed in Note 2.2, the directors, shareholders and related group companies (under common control) have undertaken to provide continuing financial support to the Company to ensure that it can meet its financial liabilities as they fall due for the foreseeable future. In addition, they will support the Company during initial stages of the project until it becomes self-sustaining. The directors are therefore satisfied to prepare the financial statements on a going concern basis.
The Company has no employees other than the directors, who did not receive any remuneration (2024 - £NIL).
