| 1. | STATUTORY INFORMATION |
Ryan Tax Services NI Limited is a
The current reporting period has been extended to a 17 month period to align with the group. Due to this change, the prior year comparatives are not directly comparable.
The company passed a special resolution on 6 November 2025 changing its name from Inspired Corporate Advisory Ltd to Ryan Tax Services NI Limited.
| 2. | ACCOUNTING POLICIES |
Basis of preparing the financial statements
The financial statements have been prepared on a basis other than going concern given that subsequent to the year end, the directors plan to hive up the trade and assets to Ryan Tax Services UK Limited as part of the group's restructuring process. As a result, Ryan Tax Services NI Limited will cease to trade as an individual entity.
Critical accounting judgements and key sources of estimation uncertainty
In the application of the company accounting policies, the directors are required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.
The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods.
Critical judgements
The following judgement (apart from those involving estimates) has had the most significant effect on amounts recognised in the financial statements.
Share-based payments
The company assessed that it is not probable that vesting will occur during the service period. Vesting of these share options is contingent upon the occurrence of an initial public offering or other qualifying liquidity event. When assessing the probability, the directors have considered the factors and likelihood of the share options vesting. As a result, no expense has been recognised in the financial statements in relation to the share options held by employees.

Turnover
Turnover is measured at the fair value of the consideration received or receivable and represents amounts receivable for goods supplied and services rendered, stated net of discounts and of Value Added Tax.
The company performs services for clients under engagement-specific contracts. Such contracts generally specify the agreed upon scope of the engagement, the time periods covered by the engagement, the client’s responsibility in providing information to and cooperating with the Company, and the fee payable to the Company.
The services performed are recognised with reference to the stage of completion of the transaction, measuring it against the proportion of the service contract being completed and when the performance obligations are satisfied.
Turnover from contracts which are generated from Research and Development claims, Capital Allowance and Patent Box claims recognises the stage of completion when the claim has been filed or completed reports provided to client. Fees are calculated on a percentage of the claim value.
Turnover from tax advisory or compliance is recognised when or as the performance obligation is satisfied. This includes engagements on time and expenses incurred, fixed fee or a combination fee basis.
Tangible fixed assets
Tangible fixed assets are initially measured at cost and subsequently measured at cost or valuation, net of depreciation and any impairment losses.
Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life or, if held under a finance lease, over the lease term, whichever is the shorter.
| Motor vehicles | - 20% straight line |
| Office equipment | - 20% straight line |
| Leasehold Property | - 20% straight line |
| Plant and machinery | - 20% straight line |
Taxation

Current or deferred taxation assets and liabilities are not discounted.
Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the statement of financial position date.

Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the statement of financial position date.
Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the period end and that are expected to apply to the reversal of the timing difference.
Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.

Vesting of these share options is contingent upon the occurrence of an initial public offering or other qualifying liquidity event. The directors have assessed the likelihood of a qualifying liquidity event occurring and concluded that vesting is not probable as at 31 December 2025. As a result, no expense has been recognised in the financial statements in relation to the share options held by employees. |
Employee benefits
The cost of unused holiday entitlement is recognised in the period in which the employee's services are received.
Change in accounting estimate - work in progress
Following the acquisition of the Company during the year, the directors reviewed the recoverability and measurement of work in progress relating to contingent fee engagements, in order to align with the Group. Due to the inherent uncertainty in the outcome of these engagements and the absence of an enforceable right to consideration until the relevant contingency is satisfied, the directors concluded that the appropriate estimate of work in progress at the reporting date is nil.
The effect of the change was to decrease work in progress by £517,017 at the reporting date and decrease profit before tax by £517,017 for the current year. Comparative figures have not been restated.
