Significant Risk Factors |
Market Risk |
In the normal course of business, the Company and its investments enter into transactions where risks exist due to fluctuations in the market. The value of the investments held by the Company may decline in response to certain events and conditions affecting the general economy, overall market changes, local, regional, or global political, social, or economic instability, and currency, interest rate and price fluctuations. A 5% fluctuation in the value of the investment as of 31 December 2025, would have an approximate impact of $721,788. The Company conducts business in various countries but is not exposed to foreign currency exchange rate risk arising from transactions entered into in the normal course of business. |
Credit Risk |
Credit risk represents the potential loss that would occur if counterparties fail to perform pursuant to the terms of their obligations. The Company is subject to credit risk to the extent any financial institution with which it conducts business is unable to fulfill contractual obligations on its behalf. The extent of the Company's exposure to credit risk with respect to its investments approximates their carrying value as recorded in the Company's Balance Sheet. |
The Company will attempt to reduce its risk of loss by evaluating each borrower's credit worthiness and the value of its collateral, by limiting the maximum amount loaned or invested in any single borrower, by taking security interests in the borrower's assets, and, in some situations, by obtaining guarantees. Currently there is no publicly available credit rating for the borrower. |
Liquidity Risk |
Liquidity risk represents the possibility that the Company may not be able to rapidly adjust the size of its positions in times of high volatility and financial stress at a reasonable price. While no secondary or active market currently exists for the investments, positions are collateralised to mitigate this risk. As of 31 December 2025, loans corresponding to investments held by the Company had original maturities of up to 30 months. |
Fair Value of Investments |
Assets and liabilities carried at fair value on the Company's Balance Sheet are classified among the following three levels based on the observability of the inputs used to determine fair value: |
Level 1-Quoted market prices in active markets for identical assets or liabilities; |
Level 2-Significant other observable inputs (e.g., quoted prices for similar items in active markets, quoted prices for identical or similar items in markets that are not active, inputs other than quoted prices that are observable, such as interest rates and yield curves, and market-corroborated inputs); and |
Level 3-Valuation that is generated from model-based techniques that use inputs that are significant and unobservable in the market. These unobservable assumptions reflect estimates of inputs that market participants would use in pricing the asset or liability. Valuation techniques used include use of option pricing models, discounted cash flow models and similar techniques. |
The following table sets forth by level within the fair value hierarchy, the Company assets at fair value at 31 December 2025: |
