For The Year Ended 31 December 2025
| 1. | STATUTORY INFORMATION |
W. Livingstone Limited is a
The presentation currency of the financial statements is the Pound Sterling (£).
| 2. | ACCOUNTING POLICIES |
Basis of preparing the financial statements
Critical accounting judgements and estimations
The preparation of the financial statements requires management to make judgements, estimates and assumptions that affect the amounts reported for assets and liabilities as at the balance sheet date and the amounts reported for revenues and expenses during the year. However, the nature of estimation means that actual outcomes could differ from those estimates. The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised if the revision affects only that period, or in the period of the revision and future periods if the revision affects both current and future periods.
The key sources of estimation uncertainty that have a significant effect on the amounts recognised in the financial statements include estimation of the value of the stock particularly the used car stock.
Going concern - alternative basis of preparation
Since the financial year-end but prior to the date of signing the financial statements, the entire trade and assets of the company have been sold and as such, the company has ceased trading. Subsequently, the Directors have approved a plan which will result in the company entering members voluntary liquidation. Accordingly, the financial statements have been prepared on a basis other than going concern.
The company's fixed assets have been adjusted to reflect their estimated net realisable value. No provision has been made for costs expected to arise in connection with the members voluntary liquidation as the Directors do not expect these costs to be significant.
Turnover
Revenue is recognised to the extent that it is probable that the economic benefits will flow to the Company and the revenue can be reliably measured. Revenue is measured as the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes. The following criteria must also be met before revenue is recognised:
Car sales turnover is recognised when a sales contract is signed by the customer and workshop and forecourt turnover is recognised when the goods and services are delivered to the customer.

Tangible fixed assets
| Freehold property | - |
| Fixed plant and equipment | - |
| Fixtures and fittings | - |
| Computer equipment | - |
The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date.
Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in profit or loss.
Land and buildings were revalued in 1998 and subsequently revalued in 2025. An amount equal to the excess of the annual depreciation charge on the new deemed cost over the notional historical cost depreciation charge is transferred annually from the revaluation reserve to the retained earnings reserve.
Stocks
Stocks are valued at the lower of cost and net realisable value, after making due allowance for obsolete and slow moving items.
Financial instruments
Basic financial instruments are recognised at amortised cost, except for investments in non-convertible preference and non-puttable ordinary shares which are measured at fair value, with changes recognised in profit or loss. Derivative financial instruments are initially recorded at cost and thereafter at fair value with changes recognised in profit or loss.
Taxation
Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.
Current or deferred taxation assets and liabilities are not discounted.
Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the statement of financial position date.
Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the statement of financial position date.
Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.
Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.
Defined contribution pension plan
The Company operates a defined contribution plan for its employees. A defined contribution plan is a pension plan under which the Company pays fixed contributions into a separate entity. Once the contributions have been paid the Company has no further payment obligations.
The contributions are recognised as an expense in profit or loss when they fall due. Amounts not paid are shown in accruals as a liability in the Statement of Financial Position. The assets of the plan are held separately from the Company in independently administered funds.

Debtors
Short-term debtors are measured at transaction price, less any impairment. Loans receivable are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method, less any impairment.
Cash and cash equivalents
Cash is represented by cash in hand and deposits with financial institutions repayable without penalty on notice of not more than 24 hours. Cash equivalents are highly liquid investments that mature in no more than three months from the date of acquisition and that are readily convertible to known amounts of cash with insignificant risk of change in value.
Creditors
Short-term creditors are measured at the transaction price. Other financial liabilities, including bank loans, are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method.

| 10. | DISCLOSURE UNDER SECTION 444(5B) OF THE COMPANIES ACT 2006 |
Emphasis of matter
Financial statements prepared on a basis other than going concern
We draw attention to Note 2 of the financial statements which explains that the company has ceased trading and the Directors intend to enter a members voluntary liquidation. Accordingly, the Directors do not consider it to be appropriate to adopt the going concern basis of accounting in preparing the financial statements. As such, the financial statements have been prepared on a basis other than going concern as described in Note 2. Our opinion is not modified in respect of this matter.
The Report of the Auditors was unqualified.

| 12. | POST BALANCE SHEET EVENTS |
Since the financial year-end, the company sold its entire trade and assets and ceased trading. The Directors intend to place the company into a members voluntary liquidation, which is detailed in Note 2 to the financial statements. The company's fixed assets have been adjusted to reflect their net realisable value. No provision has been made for anticipated future costs expected to be incurred as part of the aforementioned members voluntary liquidation as the Directors expect these costs to be insignificant.
