Notes to the Financial Statements
1. General Information
Cobloc Limited is a private company, limited by shares, incorporated in England & Wales, registered number 05657569 . The registered office is 19a Queen Square, Leeds, West Yorkshire, LS2 8AF.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements are prepared under the historical cost convention and in accordance with the FRS 102 Section 1A Small Entities - The Financial Reporting Standard applicable in the UK and Republic of Ireland and the Companies Act 2006.
2.2. Going Concern Disclosure
The balance sheet shows net liabilities of £177,125 (2024: net assets £115,379), principally because amounts owed to and by connected companies and balances carried forward from earlier years have been brought into line with those companies' own accounts and with the certified service charge statements of the blocks the company manages. The company's underlying trading is profitable and it meets its liabilities from its management fee income. Cobourg Living Ltd, which is owed £138,292 by the company, has confirmed that it will not seek repayment for at least twelve months from the date of approval of these financial statements, and the directors have confirmed that they will continue to provide the company with such financial support as it requires for the same period. On this basis the directors consider it appropriate to prepare the financial statements on the going concern basis.
2.3. Turnover
Turnover is measured at the fair value of the consideration received or receivable, net of discounts and value added taxes. Turnover includes revenue earned from the sale of goods and from the rendering of services. Turnover is reduced for estimated customer returns, rebates and other similar allowances.
Sale of goods
Turnover from the sale of goods is recognised when the significant risks and rewards of ownership of the goods has transferred to the buyer. This is usually at the point that the customer has signed for the delivery of the goods.
Rendering of services
Turnover from the rendering of services is recognised by reference to the stage of completion of the contract. The stage of completion of a contract is measured by comparing the costs incurred for work performed to date to the total estimated contract costs. Turnover is only recognised to the extent of recoverable expenses when the outcome of a contract cannot be estimated reliably.
Service charge monies
The company acts as managing agent for the blocks it manages. Service charge contributions demanded from leaseholders are held on trust for the leaseholders under section 42 of the Landlord and Tenant Act 1987 and are not the company's income. Monies held in the designated client bank accounts, the leaseholder balances due to the blocks and the amounts payable on behalf of the blocks are included in the balance sheet, and the net funds held for the blocks (sinking funds, section 20 major-works funds and accumulated block surpluses or deficits) are shown within other creditors and other debtors. The blocks' income and expenditure is reported in separate certified service charge statements and is not included in the profit and loss account.
2.4. Intangible Fixed Assets and Amortisation - Goodwill
Goodwill is the difference between amounts paid on the acquisition of a business and the fair value of the separable net assets. It is amortised to the profit and loss account on a straight-line basis over its estimated economic life of 20 years.
2.5. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives: plant and machinery 15% and 33% straight line. All tangible fixed assets were fully depreciated at both year ends.
Plant & Machinery 15% and 33% straight Line

2.6. Taxation
Income tax expense represents the sum of the tax currently payable and deferred tax.
The tax currently payable is based on taxable profit for the year. Taxable profit differs from profit as reported in the statement of comprehensive income because of items of income or expense that are taxable or deductible in other years and items that are never taxable or deductible. The company's liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the end of the reporting period.
Deferred tax is recognised on timing differences between the carrying amounts of assets and liabilities in the financial statements and the corresponding tax bases used in the computation of taxable profit. Deferred tax liabilities are generally recognised for all taxable timing differences. Deferred tax assets are generally recognised for all deductible temporary differences to the extent that it is probable that taxable profits will be available against which those deductible timing differences can be utilised. The carrying amount of deferred tax assets is reviewed at the end of each reporting period and reduced to the extent that it is no longer probable that sufficient taxable profits will be available to allow all or part of the asset to be recovered.
Deferred tax assets and liabilities are measured at the tax rates that are expected to apply in the period in which the liability is settled or the asset realised, based on tax rates (and tax laws) that have been enacted or substantively enacted by the end of the reporting period. Deferred tax liabilities are presented within provisions for liabilities and deferred tax assets within debtors. The measurement of deferred tax liabilities and assets reflect the tax consequences that would follow from the manner in which the Company expects, at the end of the reporting period, to recover or settle the carrying amount of its assets and liabilities.
Current and deferred tax are recognised in profit or loss for the year, except when they relate to items that are recognised in other comprehensive income or directly in equity, in which case current and deferred tax are recognised in other comprehensive income or directly in equity respectively.

The directors are establishing the status of the judgment, which they do not consider to be a valid claim against the company, and no provision has been made in these financial statements.
10. Post Balance Sheet Events
The bounce back loan was repaid in full in June 2026. Coboodle Ltd's financial statements for the year ended 31 December 2025, approved on 1 September 2026, show net liabilities and rely on the company's confirmation that its loan of £43,500 will not be called in for twelve months; the directors consider the balance recoverable.
11. Related Party Transactions
The company is connected with Cobourg Living Ltd (formerly Hancock & Bentley Limited), Coboodle Ltd and Northern Eye UK Limited through common directors and shareholders. At 31 December 2025 the company owed Cobourg Living Ltd £138,292 (2024: £144,118 within other creditors) and Northern Eye UK Limited £5,871 net (2024: £332,954 shown as owed by Northern Eye UK Limited, written off in the year — note 3), and was owed £43,500 by Coboodle Ltd (2024: £nil), advanced during the year. All balances are interest-free, unsecured and repayable on demand; Cobourg Living Ltd has confirmed it will not seek repayment within twelve months of the approval of these financial statements. Balances of £122,346 recorded in the name of Hancock & Bentley Limited, which Cobourg Living Ltd does not claim, were released in the year (note 3). During the year the company charged Cobourg Living Ltd a sourcing fee of £1,931 and paid Cobourg Living Ltd £6,600 on behalf of a block under management for communal broadband. A loan of £5,530 to a director, Mr J Barnett, was outstanding throughout the year (2024: £5,530); no interest is charged.
12. Exceptional Items
Exceptional items
Items of income and expense that are material by size or nature and arise from the correction of balances carried forward from earlier years are presented separately on the face of the profit and loss account as "Amounts written off historic balances (net)" and analysed below:
Exceptional items and other operating income
Amount owed by Northern Eye UK Limited written off (338,826) -
Leaseholder balances brought forward from before 2024 written off (157,168) -
Adjustment to funds held for the blocks (17,035) -
Balances owed to Cobourg Living Ltd (formerly Hancock & Bentley Limited) released 122,346 -
Creditor balances brought forward from before 2024 released 51,634 -
Deferred income brought forward from 2023 released 24,972 -
Amounts written off historic balances (net) (314,077) -
Historic PAYE liability released (other operating income) 7,988 -
During the year the company reconciled the balances it had carried forward from earlier years to the finalised accounts of the connected companies concerned, to HM Revenue & Customs' records and to the certified service charge statements of the blocks it manages. The amount shown in the 2024 balance sheet as owed by Northern Eye UK Limited (£332,954) was not recognised by that company, whose finalised accounts show the company owing it £5,871 net; the difference has been written off. Leaseholder debtor and creditor balances brought forward from the company's previous accounting system, which are not reflected in the certified block statements, have been written off and released respectively. Balances recorded in the name of Hancock & Bentley Limited (now Cobourg Living Ltd) that Cobourg Living Ltd does not claim have been released, together with deferred income carried forward from 2023 and a PAYE liability that HM Revenue & Customs confirms is not due. The directors have chosen to reflect these corrections in the current year rather than restate the comparative figures.
