Strategic Report
For the year ended 31 December 2025
Page 1
The directors present the strategic report for the year ended 31 December 2025.
Fair review of the business
The company, incorporated in England and Wales in the United Kingdom, is a wholly owned subsidiary of Real Chemistry International LLC (previously AJW Communications LLC), incorporated in the United States of America.
The results of the company for the year are set out in the Statement of Comprehensive Income. The company made a profit before tax of £3,640,935 (2024: £2,810,743). Profit before tax excluding transfer pricing is £10,138,036 (2024: £6,588,317).
The company generated turnover of £50,746,470 in 2025, compared to £35,253,694 in 2024, an increase of 44%. The increase is attributed to heightened business levels following the continuing transfer of activity from the company's sister companies, ISO Health Limited, Twist Mktg Limited, and W2O Pure Communications Limited, as part of the group's structural simplification strategy. All strategic decisions are undertaken by the parent, ensuring strategic goals drive the business with greater collaboration with fellow group entities.
The company generated gross profit of £11,827,346 in 2025, compared to £7,519,648 in 2024, an increase of 57%. Gross profit excluding transfer pricing is £18,324,443 (2024: £11,297,222). The increase in gross profit (excluding transfer pricing) is due to the increase in revenue as stated above. Operating profit increased to £3,764,404 in 2025 from £2,641,333 in 2024, an increase of 43%.

The Balance Sheet shows the company's financial position. The company's net liabilities position improved during the year. Net current liabilities decreased from £6,017,521 at 31 December 2024 to £4,120,445 at 31 December 2025 and net liabilities of £2,919,791 compared to £5,638,623 at the end of 2024. The improvement was primarily driven by the profit in the year and the increase in cash reserves. The strengthened financial position reflects the continued growth in business activity in part due to the continued transfer of operations from other Group entities.
Principal risks and uncertainties
The company's activities are based principally on agreed contracts with clients that provide a significant level of continuity in supporting ongoing income streams.
Nevertheless, as is typical in the industry, the key risk the company faces is a reduction in spend from clients, or the loss of clients through cancellation of a contract or a competitive pitch process. In addition, a large proportion of revenue is derived from one customer, and there is a risk should that client not renew its contract. Management endeavour to mitigate these risks by:
maintaining a wide portfolio of projects across different regions and departments of customers;
working closely with clients to ensure that projects achieve their key objectives;
winning new clients; and
developing the range of services provided to each client to strengthen and deepen the client relationship.
The company is exposed to the normal risk of trade debtors defaulting on payment. The wide spread of projects across different regions and departments of customers, together with credit control procedures in place, minimises the risk of such default.

The principal financial assets employed by the company are cash and cash equivalents. The company's cash position is monitored daily and reported on a regular basis, taking account of historical and expected future trading performance, to ensure sufficient cash reserves and effective working capital management.
Business model and development in the year
The company operates in a contract and project-based environment, which relies heavily on existing client relationships and the ability to win new client business. Historically the business has performed well in these disciplines and, as such, the Board remains confident about the company's prospects for the future.
During the year the company expanded its international footprint with the opening of a branch in Dubai, United Arab Emirates, on 18 December 2025 (see "Branches outside the United Kingdom" in the directors' report below), increasing the group's global presence.
The directors' engagement with employees, clients, suppliers and other stakeholders during the year, and the effect of that engagement on the principal decisions taken, is described in the Section 172(1) statement below, which also satisfies the corresponding directors' report disclosure requirements (see "Strategic report cross-reference" in the directors' report).
The company depends on the commitment, talent, creative abilities, and technical skills of its people. Engagement and clear communication are important. Engagement with the workforce is achieved through:
The systematic provision of information covering the matters that concern both the business in general and employees specifically. This is done through event-specific electronic communications, regular UK and group wide emails and business line or business unit specific emails, and several electronic platforms for employee reference including an intranet;
Annual employee engagement surveys; and
Townhalls including regular calls from the global leadership population.
The company engages with its customers through dedicated client relationship teams. The company develops various services, with an emphasis on innovation for clients and managing any conflicts of interest with multiple agencies. Due diligence is undertaken for all new clients and written contracts must be in place before commencing any significant work.
Key performance indicators
The management team monitor various key performance indicators, including billing, turnover and profitability, compared with budget and prior years on a project basis. Refer to "Fair review of the business" above for the operating results for the year.
Non-financial key performance indicators
The company also monitors non-financial key performance indicators covering employee and environmental matters, to the extent necessary for an understanding of the business.
On environmental matters, the company applies the group's Environmental Policy (published at www.realchemistry.com), which sets out the group's approach to managing and reducing the environmental impact of its operations. Quantified energy and emissions data is reported in the Energy and carbon report in the directors' report below.
Section 172(1) statement
The directors are aware of their duty under section 172(1) of the Companies Act 2006 to act in the way they consider, in good faith, would be most likely to promote the success of the company for the benefit of its members as a whole. In doing so, the directors have had regard to the matters set out in section 172(1)(a) to (f) during the year ended 31 December 2025, as described below. This statement also fulfils, and should be read as satisfying, the related disclosures on employee engagement and on engagement with suppliers, customers and others that would otherwise be required in the directors' report (see "Strategic report cross-reference" below).

Page 3
Likely long-term consequences of decisions (s172(1)(a)): The directors take a long-term view, consistent with the company's role within the wider Real Chemistry group. The principal development in the year was the continued transfer of activity from the company's sister companies (see "Fair review of the business" above) into the company, as part of the group's structural simplification strategy, intended to build scale and enable greater collaboration across the group for the benefit of clients.
Interests of employees (s172(1)(b)): The company employed an average of more than 250 people during the year. The directors recognise the importance of engaging with employees and having regard to their interests, and that the company depends on the commitment, talent, creative abilities and technical skills of its people. Employees are kept informed of, and engaged in, matters concerning the business and its performance through event-specific and group-wide electronic communications, business-line and business-unit updates, the group intranet and other electronic platforms, annual employee engagement surveys, and townhalls (including regular calls from the global leadership population), as well as through individual performance reviews, which provide a two-way opportunity to discuss individual and business performance and development.
These channels were also used to keep employees informed of, and address any concerns arising from, the principal decision taken during the year to transfer activity from the company's sister companies into the company as part of the group's structural simplification strategy (see "Fair review of the business" above), reflecting the directors' regard for the interests of affected employees throughout that process.
The company also supports its people through a range of wellbeing benefits available throughout the year, and through training covering both technical skills and broader personal development, reflecting the directors' ongoing commitment to employee health, wellbeing and growth.
Business relationships with clients, suppliers and others (s172(1)(c)): The company operates in a contract and project-based environment that relies heavily on existing client relationships and on winning new client business. These relationships are managed through dedicated client relationship teams, with an emphasis on innovation and on managing potential conflicts of interest arising from acting for multiple clients. Due diligence is undertaken for all new clients, and written contracts are put in place before significant work commences.
The company also maintains relationships with a range of suppliers, which are fostered through fair dealing and adherence to the group's Third Party Code of Conduct (see "High standards of business conduct (s172(1)(e))" below), including through agreeing clear payment terms with suppliers at the outset of a business relationship and paying in accordance with those terms, provided the supplier has complied with its own terms and conditions.
In taking the principal decision during the year to transfer activity from the company's sister companies into the company as part of the group's structural simplification strategy (see "Fair review of the business" above), the directors had regard to existing client and supplier relationships, seeking to ensure continuity of service and minimal disruption throughout the transition.
Impact on the community and the environment (s172(1)(d)): The directors consider the impact of the company's operations on the community and the environment, applying the group's Environmental Policy referred to under "Non-financial key performance indicators" above.
High standards of business conduct (s172(1)(e)): The directors are committed to maintaining a reputation for high standards of business conduct. The group operates a Third Party Code of Conduct, published on the Real Chemistry website, which provides a confidential, anonymous channel for reporting concerns, and the company manages conflicts of interest arising from acting for multiple clients.

Acting fairly between members (s172(1)(f)): The company is a wholly owned subsidiary of Real Chemistry International LLC. The directors act fairly in the context of that ownership and maintain an open and constructive relationship with the parent, having regard to the interests of the group as a whole.
In making decisions, the directors also had regard to the principal risks and uncertainties and the key performance indicators set out elsewhere in this strategic report.

Auditor
The auditor, Moore Kingston Smith LLP, is deemed to be reappointed under section 487(2) of the Companies Act 2006.
Streamlined Energy and Carbon Reporting (SECR)
The company is required to report on its UK energy use and associated greenhouse gas emissions under the Streamlined Energy and Carbon Reporting (SECR) framework (The Companies (Directors' Report) and Limited Liability Partnerships (Energy and Carbon Report) Regulations 2018, SI 2018/1155).
This disclosure covers the year ended 31 December 2025, with FY2024 shown as a comparative. It has been prepared on an operational control basis covering the company's three UK premises - London, Manchester (coworking) and Edinburgh (coworking). The company's new branch in Dubai, United Arab Emirates, opened on 18 December 2025 (see “Branches outside the United Kingdom” in the directors' report), is outside the United Kingdom and is accordingly excluded from this disclosure. Emissions have been calculated in accordance with the GHG Protocol Corporate Standard, applying the UK Government's (DESNZ/DEFRA) 2024 and 2025 conversion factors.
Energy consumption (kWh)
The company's FY2025 energy use, set out below, is above the 40 MWh threshold below which a company may instead disclose as a low-energy user, and full disclosure is accordingly given. The company held no company-owned vehicles or fleet during either year, so no transport fuel is reported in the table below; business travel undertaken in employees' own vehicles is instead reported directly in tCO2e in the emissions table that follows (see Methodology notes for further detail).

Year-on-year comparability
The year-on-year increase in reported energy use and associated emissions is substantially attributable to two factors: an increase in the company's occupied floor area during FY2025 of the London office, following the addition of further office space part-way through the year, with a full year of that additional space's consumption to be reflected for the first time in FY2026; and the inclusion of a full year of reporting for Edinburgh that was only reported for part of FY2024. Taken together, these factors mean that part of the increase reflects a genuine expansion of the company's premises, while part reflects expanded reporting coverage, rather than the entire increase representing a comparable rise in the company's pre-existing energy consumption.
Measures taken to improve energy efficiency
The company continues to benefit from energy efficiency measures maintained across its UK premises by its landlords and building operators, including efficient lighting and controls, restricted operating hours for mechanical plant, renewable electricity supply, and ongoing monitoring and optimisation of building energy use. The company will continue to work with its landlords and building operators to identify further opportunities to improve energy efficiency going forward.
The company's approach to energy use and efficiency is guided by the group's Environmental Policy, published on the Real Chemistry website.
Methodology notes
The specific conversion factors applied were: electricity at 0.207 kg CO2e/kWh for 2024 and 0.177 kg CO2e/kWh for 2025; natural gas at 0.183 kg CO2e/kWh for both years, on a gross calorific value basis; and business travel at 0.2686 kg CO2e/mile for 2024 and 0.26915 kg CO2e/mile for 2025, using the “Average car - Unknown fuel” factor. Business travel is calculated on this distance basis, rather than converted into kWh, as the specific fuel type and consumption of employees' vehicles is not known to the company. Scope 2 emissions are reported on a location-based basis. Fugitive refrigerant emissions are estimated using a screening method, in the absence of primary purchase, recharge or disposal records for the company's coworking premises. The underlying data is drawn from third-party building energy reports, invoiced consumption and employee expense claims for business mileage.
Strategic report
As permitted by section 414C(11) of the Companies Act 2006, the company has chosen to set out in its strategic report information otherwise required by Schedule 7 to the Large and Medium-sized Companies and Groups (Accounts and Reports) Regulations 2008 to be contained in this directors' report. It has done so in respect of: (i) likely future developments; (ii) the company's engagement with employees; (iii) the company's business relationships with suppliers, customers and others; and (iv) the company's financial risk management objectives and policies and its exposure to price, credit, liquidity and cash flow risk (Sch 7, para 6). That information is set out in the strategic report, principally within the Section 172(1) statement (items (i) to (iii)) and within "Principal risks and uncertainties" (item (iv)).
Statement of disclosure to auditor
So far as each person who was a director at the date of approving this report is aware, there is no relevant audit information of which the company’s auditor is unaware. Additionally, the directors individually have taken all the necessary steps that they ought to have taken as directors in order to make themselves aware of all relevant audit information and to establish that the company’s auditor is aware of that information.
Going concern
The directors consider that the company has access to sufficient funding to meet its financial obligations as they fall due. In forming their decision, the directors have considered the fact that the parent company has provided a letter confirming that it will provide financial support as required for at least one year from the date of signing of these financial statements. As a result, the directors continue to adopt the going concern basis of accounting in preparing the financial statements.

Directors' Responsibilities Statement
For the year ended 31 December 2025
Page 10
The directors are responsible for preparing the annual report and the financial statements in accordance with applicable law and regulations.
Company law requires the directors to prepare financial statements for each financial year. Under that law the directors have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). Under company law, the directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the company and of the profit or loss of the company for that period.
In preparing these financial statements, the directors are required to:
select suitable accounting policies and then apply them consistently;
make judgements and accounting estimates that are reasonable and prudent;
state whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements; and
prepare the financial statements on the going concern basis unless it is inappropriate to presume that the company will continue in business.
The directors are responsible for keeping adequate accounting records that are sufficient to show and explain the company’s transactions and disclose with reasonable accuracy at any time the financial position of the company and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 The Financial Reporting Standard applicable in the UK and Republic of Ireland (United Kingdom Generally Accepted Accounting Practice).
In our opinion the financial statements:
give a true and fair view of the state of the company's affairs as at 31 December 2025 and of its profit for the year then ended;
have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and
have been prepared in accordance with the requirements of the Companies Act 2006.
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditor's responsibilities for the audit of the financial statements section of our report. We are independent of the company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC’s Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.
Conclusions relating to going concern
In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.
Our responsibilities and the responsibilities of the directors with respect to going concern are described in the relevant sections of this report.
The other information comprises the information included in the annual report other than the financial statements and our auditor's report thereon. The directors are responsible for the other information contained within the annual report. Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon.
Our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the course of the audit, or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.
We have nothing to report in this regard.

Opinions on other matters prescribed by the Companies Act 2006
In our opinion, based on the work undertaken in the course of our audit:
the information given in the Strategic Report and the Directors' Report for the financial year for which the financial statements are prepared is consistent with the financial statements; and
the Strategic Report and the Directors' Report have been prepared in accordance with applicable legal requirements.
Matters on which we are required to report by exception
In the light of the knowledge and understanding of the company and its environment obtained in the course of the audit, we have not identified material misstatements in the Strategic Report or the Directors' Report.
We have nothing to report in respect of the following matters in relation to which the Companies Act 2006 requires us to report to you if, in our opinion:
adequate accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or
the financial statements are not in agreement with the accounting records and returns; or
certain disclosures of directors' remuneration specified by law are not made; or
we have not received all the information and explanations we require for our audit.
Responsibilities of directors
As explained more fully in the Directors' Responsibilities Statement, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.
In preparing the financial statements, the directors are responsible for assessing the company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the company or to cease operations, or have no realistic alternative but to do so.
Real Chemistry UK Limited (formerly Weisscomm Partners Limited)
Independent Auditor's Report

Page 13
Auditor's responsibilities for the audit of the financial statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor's report that includes our opinion. Reasonable assurance is a high level of assurance but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.
As part of an audit in accordance with ISAs (UK) we exercise professional judgement and maintain professional scepticism throughout the audit. We also:
Identify and assess the risks of material misstatement of the financial statements, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal control.
Obtain an understanding of internal control relevant to the audit in order to design audit procedures that are appropriate in the circumstances, but not for the purposes of expressing an opinion on the effectiveness of the company’s internal control.
Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures made by the directors.
Conclude on the appropriateness of the directors’ use of the going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the company’s ability to continue as a going concern. If we conclude that a material uncertainty exists, we are required to draw attention in our auditor’s report to the related disclosures in the financial statements or, if such disclosures are inadequate, to modify our opinion. Our conclusions are based on the audit evidence obtained up to the date of our auditor’s report. However, future events or conditions may cause the company to cease to continue as a going concern.
Evaluate the overall presentation, structure and content of the financial statements, including the disclosures, and whether the financial statements represent the underlying transactions and events in a manner that achieves fair presentation.
We communicate with those charged with governance regarding, among other matters, the planned scope and timing of the audit and significant audit findings, including any significant deficiencies in internal control that we identify during our audit.

Explanation as to what extent the audit was considered capable of detecting irregularities, including fraud
Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below.
The objectives of our audit in respect of fraud, are; to identify and assess the risks of material misstatement of the financial statements due to fraud; to obtain sufficient appropriate audit evidence regarding the assessed risks of material misstatement due to fraud, through designing and implementing appropriate responses to those assessed risks; and to respond appropriately to instances of fraud or suspected fraud identified during the audit. However, the primary responsibility for the prevention and detection of fraud rests with both management and those charged with governance of the company.
Our approach was as follows:
We obtained an understanding of the legal and regulatory requirements applicable to the company and considered that the most significant are the Companies Act 2006, UK financial reporting standards as issued by the Financial Reporting Council, and UK taxation legislation.
We obtained an understanding of how the company complies with these requirements by discussions with management and those charged with governance.
We assessed the risk of material misstatement of the financial statements, including the risk of material misstatement due to fraud and how it might occur, by holding discussions with management and those charged with governance.
We inquired of management and those charged with governance as to any known instances of non-compliance or suspected non-compliance with laws and regulations.
Based on this understanding, we designed specific appropriate audit procedures to identify instances of non-compliance with laws and regulations. This included making enquiries of management and those charged with governance and obtaining additional corroborative evidence as required.
There are inherent limitations in the audit procedures described above. We are less likely to become aware of instances of non-compliance with laws and regulations that are not closely related to events and transactions reflected in the financial statements. Also, the risk of not detecting a material misstatement due to fraud is higher than the risk of not detecting one resulting from error, as fraud may involve deliberate concealment by, for example, forgery or intentional misrepresentations, or through collusion.
This report is made solely to the company's members, as a body, in accordance with Chapter 3 of Part 16 of the Companies Act 2006. Our audit work has been undertaken so that we might state to the company's members those matters we are required to state to them in an auditor's report and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the company and the company's members as a body, for our audit work, for this report, or for the opinions we have formed.

Company information
Real Chemistry UK Limited (formerly Weisscomm Partners Limited) is a private company limited by shares incorporated in England and Wales. The registered office is 10 Chiswell Street, London, England, EC1Y 4UQ.
1.1
Basis of preparation
These financial statements have been prepared in accordance with FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland (September 2024)” (“FRS 102”) and the requirements of the Companies Act 2006.
The financial statements are prepared in sterling, which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest £.
The financial statements have been prepared under the historical cost convention. The principal accounting policies adopted are set out below.
1.2
Going concern
At the time of approving the financial statements, the directors have a reasonable expectation that thetrue company and group have adequate resources to continue its operations for the foreseeable future, which is considered to be at least 12 months from the date of approval of the financial statements.
In making this assessment, the directors have reviewed the group’s forecasts, projections, and available resources, including current cash reserves, available credit facilities, and expected future cash flows. They have also considered potential risks and uncertainties, including the impact of external factors on trading performance and liquidity.
The directors’ assessment has been supported by the group’s improved trading performance in the year, with turnover increasing from £35.3m in 2024 to £50.7m in 2025, representing growth of approximately 43.9%. Operating profit increased from £2.6m in 2024 to £3.8m in 2025, representing growth of approximately 42.5%. Profit before taxation increased from £2.8m in 2024 to £3.6m in 2025, and profit for the financial year increased from £2.1m to £2.7m.
The directors have also considered the group’s liquidity position, including cash at bank and in hand of £7.7m at the year end compared with £4.2m in the prior year. Current assets increased to £21.8m from £17.6m, whilst creditors falling due within one year were £25.9m compared with £23.7m in the prior year. As a result, net current liabilities reduced from £6.0m in 2024 to £4.1m in 2025, and the current ratio improved from approximately 0.75x to 0.84x.
The group remains in a net liabilities position, although net liabilities reduced from £5.6m in 2024 to £2.9m in 2025. The directors have taken this position into account alongside the group’s profitability, improved cash reserves and the financial support available from the parent company.
As part of this evaluation, the directors have also considered the financial support provided by the parent company. The group has received a formal letter of support from the parent, confirming it's able and willing to provide financial assistance as needed to ensure that the group can meet its obligations as they fall due. This support is a significant factor in the directors’ assessment of the company's ability to continue as a going concern.

Based on this review, and taking into account the parent company's commitment, the directors believe that the company is well-positioned to manage its business risks successfully. Therefore, the directors continue to adopt the going concern basis in preparing the financial statements.
No material uncertainties that cast significant doubt on the company's ability to continue as a going concern have been identified.
1.3
Turnover
Revenue comprises sales of goods or services provided to customers net of value added tax and other sales taxes, less an appropriate deduction for actual and expected returns and discounts. Revenue is recognised when performance obligations are satisfied and the control of goods or services is transferred to the buyer. Where the performance obligation is satisfied over time, revenue is recognised in accordance with its progress towards complete satisfaction of that performance obligation.
When cash inflows are deferred and represent a financing arrangement, the promised consideration is adjusted for the effects of the time value of money, which is recognised as interest income.
The nature, timing of satisfaction of performance obligations and significant payment terms of the company's major sources of revenue are as follows:
Fixed-fee
In fixed-fee professional service arrangements, a pre-established fee is agreed for the engagement of specified services. The company recognises revenue for professional services performed under these arrangements monthly over the specified contract term.
The company applies either the input method or the output method, depending on the project scope. When milestones are included in the project scope, the output method is applied; otherwise, the input method is used based on effort incurred. This evaluation is performed on a contract-by-contract basis.
Time-and-expense
Time-and-expense arrangements require the client to pay based on the number of hours worked by revenue-generating professionals at contractually agreed-upon rates. Revenue is recognised over time using the input method, based on hours incurred at agreed-upon rates as work is performed.
In some cases, time-and-expense arrangements are subject to a cap. Management assesses the work performed on a periodic basis to ensure that the cap has not been exceeded.
1.4
Intangible fixed assets other than goodwill
Intangible assets acquired separately from a business are recognised at cost and are subsequently measured at cost less accumulated amortisation and accumulated impairment losses.
All intangible assets are considered to have a finite useful life. If a reliable estimate of the useful life cannot be made, the useful life shall not exceed ten years.
Amortisation is recognised so as to write off the cost of assets less their residual values over their useful lives on the following bases:
Software
10% - 33% straight line

1.5
Tangible fixed assets
Tangible fixed assets are initially measured at cost and subsequently measured at cost, net of depreciation and any impairment losses.
Depreciation is recognised so as to write off the cost of assets less their residual values over their useful lives on the following bases:
Leasehold improvements
10% straight line
Fixtures and fittings
20% straight line
Computer equipment
33% straight line
Office equipment
20% straight line
The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset, and is credited or charged to profit or loss.
1.6
Impairment of fixed assets
At each reporting period end date, the company reviews the carrying amounts of its tangible and intangible assets to determine whether there is any indication that those assets have suffered an impairment loss. If any such indication exists, the recoverable amount of the asset is estimated in order to determine the extent of the impairment loss (if any).
Recoverable amount is the higher of fair value less costs to sell and value in use. In assessing value in use, the estimated future cash flows are discounted to their present value using a pre-tax discount rate that reflects current market assessments of the time value of money and the risks specific to the asset for which the estimates of future cash flows have not been adjusted.
If the recoverable amount of an asset is estimated to be less than its carrying amount, the carrying amount of the asset is reduced to its recoverable amount. An impairment loss is recognised immediately in profit or loss.
1.7
Cash and cash equivalents
Cash and cash equivalents are basic financial assets and include cash in hand and deposits held at call with banks.
1.8
Financial instruments
Basic financial assets
Financial assets are recognised in the company's balance sheet when the company becomes party to the contractual provisions of the instrument. Financial assets are classified into specified categories, depending on the nature and purpose of the financial assets.
Financial assets held at amortised cost
Financial instruments are classified as financial assets measured at amortised cost where the objective is to hold these assets in order to collect contractual cash flows, and the contractual cash flows are solely payments of principal and interest. They arise principally from the provision of goods and services to customers (e.g. trade debtors). They are initially recognised at fair value plus transaction costs directly attributable to their acquisition or issue, and are subsequently carried at amortised cost using the effective interest rate method, less provision for impairment where necessary.

Impairment of financial assets
The expected credit losses on financial assets are estimated based on the ageing of financial assets and the company's historical credit loss experience, adjusted for factors that are specific to the debtors, general economic conditions and an assessment of both the current as well as the forecast direction of conditions at the reporting date, including time value of money where appropriate.
Derecognition of financial assets
Financial assets are derecognised only when the contractual rights to the cash flows from the asset expire, or when it transfers the financial asset and substantially all the risks and rewards of ownership to another entity.
Basic financial liabilities
Other financial liabilities, including trade creditors, are initially measured at fair value net of transaction costs directly attributable to the issuance of the financial liability. They are subsequently measured at amortised cost using the effective interest method. For the purposes of each financial liability, interest expense includes initial transaction costs and any premium payable on redemption.
Derecognition of financial liabilities
Financial liabilities are derecognised when, and only when, the company’s obligations are discharged, cancelled, or they expire.
1.9
Equity instruments
Equity instruments issued by the company are recorded at the proceeds received, net of transaction costs. Dividends payable on equity instruments are recognised as liabilities once they are no longer at the discretion of the company.
1.10
Taxation
The tax expense represents the sum of the tax currently payable and deferred tax.
Current tax
The tax currently payable is based on taxable profit for the year. Taxable profit differs from net profit as reported in the profit and loss account because it excludes items of income or expense that are taxable or deductible in other years and it further excludes items that are never taxable or deductible. The company’s liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the reporting end date.
Deferred tax
Deferred tax liabilities are generally recognised for all timing differences and deferred tax assets are recognised to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. Such assets and liabilities are not recognised if the timing difference arises from goodwill or from the initial recognition of other assets and liabilities in a transaction that affects neither the tax profit nor the accounting profit.
The carrying amount of deferred tax assets is reviewed at each reporting end date and reduced to the extent that it is no longer probable that sufficient taxable profits will be available to allow all or part of the asset to be recovered. Deferred tax is calculated at the tax rates that are expected to apply in the period when the liability is settled or the asset is realised. Deferred tax is charged or credited in the profit and loss account, except when it relates to items charged or credited directly to equity, in which case the deferred tax is also dealt with in equity. Deferred tax assets and liabilities are offset when the company has a legally enforceable right to offset current tax assets and liabilities and the deferred tax assets and liabilities relate to taxes levied by the same tax authority.

1.11
Employee benefits
The costs of short-term employee benefits are recognised as a liability and an expense.
The cost of any unused holiday entitlement is recognised in the period in which the employee’s services are received.
Termination benefits are recognised immediately as an expense when the company is demonstrably committed to terminate the employment of an employee or to provide termination benefits.
1.12
Retirement benefits
Payments to defined contribution retirement benefit schemes are charged as an expense as they fall due.
1.13
Leases
As lessee
At inception, the company assesses whether a contract is, or contains, a lease. A lease arises where the contract conveys the right to control the use of an identified asset for a period of time in exchange for consideration. Control of the use of an asset occurs where the company has both the right to direct the use of the asset, and the right to obtain substantially all the economic benefits from that use.
Where a tangible asset is acquired through a lease, the company recognises a right-of-use asset and a lease liability at the lease commencement date. Right-of-use assets are included within the same line items on the Balance sheet as owned assets.
The right-of-use asset is initially measured at cost, which comprises the initial measurement of the lease liability adjusted for lease payments made at or before the commencement date less any lease incentives or grants received, plus initial direct costs and an estimate of the cost of obligations to dismantle, remove or restore the underlying asset and the site on which it is located.
The right-of-use asset is subsequently adjusted for remeasurements of the lease liability and applies the relevant cost model, fair value model or revaluation model as set out within the accounting policies for the applicable asset class. Where the cost model is applied, the asset is depreciated from the commencement date to the earlier of the end of the useful life of the right-of-use asset or the end of the lease term, and is periodically reduced by impairment losses, if any.
The lease liability is initially measured at the present value of the lease payments that are unpaid at the commencement date, discounted using the interest rate implicit in the lease or, if that rate cannot be readily determined, the company's incremental borrowing rate or the company’s obtainable borrowing rate. Lease payments included in the measurement of the lease liability comprise fixed payments less any lease incentives receivable, variable lease payments that depend on an index or a rate, amounts expected to be payable under residual value guarantees, the exercise price of any purchase options that the company is reasonably certain to exercise, and any penalties for early termination of a lease.
At each financial period end, the lease liability is adjusted to reflect payments made and interest accrued. Also, the lease liability is remeasured to reflect lease modifications and any changes to the factors considered at initial measurement, as set out above. When the lease liability is remeasured in this way, a corresponding adjustment is made to the carrying amount of the right-of-use asset, or recognised in profit or loss if the carrying amount of the right-of-use asset has been reduced to zero.

The company has elected not to recognise right-of-use assets and lease liabilities for short-term leases of machinery that have a lease term of 12 months or less, or for leases of low-value assets when the cost of the asset is less than £500. The payments associated with these leases are recognised in profit or loss on a straight-line basis over the lease term.
1.14
Foreign exchange
Transactions in currencies other than pounds sterling are recorded at the rates of exchange prevailing at the dates of the transactions. At each reporting end date, monetary assets and liabilities that are denominated in foreign currencies are retranslated at the rates prevailing on the reporting end date. Gains and losses arising on translation in the period are included in profit or loss.
1.15
The company has a transfer pricing contract with the companies in the group. The policy provides for an annual floating royalty payment payable to the ultimate parent company to reflect the provision of certain marketing and advertising consulting services and the granting of rights to use certain network resources and intellectual property by the company. The contract also details the mark-up to be recognised when cross charging staff time between jurisdictions.

Judgements and key sources of estimation uncertainty
In the application of the company’s accounting policies, the directors are required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.
The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods.
Key sources of estimation uncertainty
The estimates and assumptions which have a significant risk of causing a material adjustment to the carrying amount of assets and liabilities are as follows.
Turnover
The company recognises revenue for professional services performed under fixed fee arrangements on a monthly basis over the specified contract term. The company applies the input or output method depending on the project scope. When milestones are included in the project scope the output method is applied, otherwise the input method is applied.
Leases
Management has exercised judgement in determining the lease term of its office. The lease includes a non-cancellable period with a break option partway through the term. Given the strategic importance of the office location and the investment in leasehold improvements, management considers it reasonably certain that the break clause will not be exercised.
The company has also applied estimation in determining the incremental borrowing rate used to discount future lease payments. This rate reflects the interest rate the company would have to pay to borrow over a similar term, and with a similar security, the funds necessary to obtain an asset of a similar value to the right-of-use asset in a similar economic environment.
These judgements and estimates significantly affect the measurement of lease liabilities and right-of-use assets. They are reviewed at each reporting date and updated as necessary to reflect changes in facts and circumstances.
