Notes to the Financial Statements
1. General Information
NOQ Events Ltd is a private company, limited by shares, incorporated in England & Wales, registered number 11805571 . The registered office is 242 Westbourne Studios, Acklam Road, Unit 222, London, United Kingdom, W10 5JJ.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
2.2. Going Concern Disclosure
The directors have not identified any material uncertainties related to events or conditions that may cast significant doubt about the company's ability to continue as a going concern.
2.3. Turnover
Turnover is recognised at the fair value of the consideration received or receivable for goods and services provided in the normal course of business, and is shown net of VAT and other sales related taxes. The fair value of consideration takes into account trade discounts, settlement discounts and volume rebates.
Turnover is recognised when the significant risks and rewards are considered to have been transferred to the customer.
2.4. Intangible Fixed Assets and Amortisation - Other Intangible
Intangible assets are stated at cost or valuation, net of amortisation and any provision for impairment. Amortisation is provided on all intangible assets at rates to write off the cost or valuation of each asset over its expected useful life as follows:
Intangible assets           10 years straight line
2.5. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:
Fixtures & Fittings 3 years straight line
Computer Equipment 3 years straight line
Residual value represents the estimated amount which would currently be obtained from disposal of an asset, after deducting estimated costs of disposal, if the asset were already of the age and in the condition expected at the end of its useful life.
The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset, and is credited or charged to profit or loss.
2.6. Stocks and Work in Progress
Stocks and work in progress are valued at the lower of cost and net realisable value after making due allowance for obsolete and slow-moving stocks. Cost includes all direct costs and an appropriate proportion of fixed and variable overheads. Work-in-progress is reflected in the accounts on a contract by contract basis by recording turnover and related costs as contract activity progresses.
2.7. Foreign Currencies
Transactions in foreign currencies are recorded at the rate of exchange at the date of the transaction. Monetary assets and liabilities denominated in foreign currencies at the Balance Sheet date are reported at the rates of exchange prevailing at that date.
Exchange differences are recognised in the Profit and Loss Account in the period in which they arise except for exchange differences arising on gains or losses on non-monetary items which are recognised in the Statement of Comprehensive Income.
Page 3
Page 4
2.8. Taxation
Current tax
Current tax is provided at amounts expected to be paid (or recoverable) using the tax rates and laws that have been enacted or substantively enacted at the Balance Sheet date.
Deferred tax
Deferred tax arises as a result of including items of income and expenditure in taxation computations in periods different from those in which they are included in the Company's financial statements. Deferred tax is provided in full on timing differences which result in an obligation to pay more or less tax at a future date, at the average tax rates that are expected to apply when the timing differences reverse, based on current tax rates and laws. Deferred tax assets and liabilities are not discounted.
The carrying amount of deferred tax assets are reviewed at each reporting date and a valuation allowance is set up against deferred tax assets so that the net carrying amount equals the highest amount that is more likely than not to be recovered based on current or future taxable profit.
2.9. Pensions
The company operates a defined pension contribution scheme. Contributions are charged to the profit and loss account as they become payable in accordance with the rules of the scheme.
2.10. Interest income
Interest income is recognised when it is probable that the economic benefits will flow to the Company and the amount of revenue can be measured reliably. Interest income is accrued on a time basis, by reference to the principal outstanding at the effective interest rate applicable, which is the rate that exactly discounts estimated future cash receipts through the expected life of the financial asset to that asset's net carrying amount on initial recognition.
2.11. Employee benefits
Defined contribution schemes
The Company operates a defined contribution scheme. The amount charged to the Profit and Loss Account in respect of pension costs and other post-retirement benefits is the contributions payable in the financial year. Differences between contributions payable in the financial year and contributions actually paid are included as either accruals or prepayments in the Balance Sheet.
2.12. Share-Based Payments
The company operates share option and share-based award arrangements for certain employees and advisers. Where equity-settled awards are granted to employees, the fair value of the award at the date of grant is recognised as an expense in profit or loss over the relevant vesting period, with a corresponding credit recognised in equity.
The fair value of awards is measured at the grant date using the Black-Scholes option pricing model, taking into account the exercise price, expected life, expected volatility, risk-free interest rate and expected dividend yield.
Where an award vests in separate tranches with different vesting dates, each tranche is treated separately and the related expense is recognised over the vesting period applicable to that tranche.
Non-market vesting conditions, including continued service conditions, are not included in the grant-date fair value but are reflected by adjusting the number of awards expected to vest at each reporting date. The cumulative charge recognised is therefore based on the number of awards ultimately expected to vest.
Where awards are granted to persons other than employees, including advisers, the company recognises the fair value of the goods or services received where this can be measured reliably. Where this cannot be measured reliably, the fair value of the equity instruments granted is used.
At each reporting date, the company revises its estimate of the number of awards expected to vest and recognises the effect of any revision in profit or loss, with a corresponding adjustment to equity.

Share-Based Payments
During the year ended 31 December 2025, the company had share option and share-based award arrangements in place covering EMI options, non-tax advantaged options and advisory /performance-based share awards.
At 1 January 2025, the company had 61,298 advisory / performance-based share awards outstanding. During the year, the company granted a further 130,000 EMI options and 30,000 non-tax advantaged options. No options or awards were treated as exercised or lapsed in the working paper during the year. At 31 December 2025, total options and share-based awards outstanding were therefore 221,298.
The employee options are subject to service-based vesting conditions and vest in separate tranches over the relevant vesting periods. Each separately vesting tranche is accounted for over its individual vesting period. The advisory awards are subject to separate performance conditions.
The principal awards included in the year-end share-based payment calculation were as follows:
Award type Grant date Awards Exercise price Fair value
Advisory 23 May 2023 61,298 £0.00 £0.00
EMI 3 January 2025 130,000 £1.49 £1.07
NTA 27 June 2025 30,000 £0.82 £0.57
The fair value of the awards was calculated using the Black-Scholes model. The main assumptions used included an expected life of 10 years, volatility ranging from approximately 55.16% to 58.74%, risk-free rates ranging from approximately 3.97% to 4.39%, and a nil dividend yield. A 20% expected employee dropout rate has been applied in the working paper when calculating the expected fair value charge.
The total share-based payment expense recognised in profit or loss for the year ended 31 December 2025 was £77,688. The corresponding credit has been recognised in equity.
The company applies the disclosure exemptions available under FRS 102 Section 1A. Accordingly, the above disclosure is provided on a proportionate basis to explain the nature and financial effect of the company’s share-based payment arrangements.
