A.Welton Holdings Limited is a private company limited by shares incorporated in England and Wales. The registered office is D.H.Welton & Co Ltd, Corn Street, Failsworth, Manchester, M35 0UE.
The prior period was the first accounting period from incorporation on 9 December 2023, to 31 December 2024, representing a lengthened period. Consequently, as this period is a 12 month period, the balances presented for the period within the financial statements (including the related notes) are not entirely comparable with the prior period.
The financial statements are prepared in sterling, which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest £1.
At the time of approving the financial statements, the director has a reasonable expectation that the company has adequate resources to continue in operational existence for the foreseeable future, based on the continued financial support of group companies.
At the balance sheet date, other creditors: amounts falling due within one year, includes £120,000 deferred consideration. A fellow group company has confirmed they will provide cash flow support should A.Welton Holdings Limited require it to settle the balance.
In addition, other creditors: amounts falling due after more than one year, includes £5,012 owed to fellow group companies. This group liability will not be sought until cash flow permits.
Thus, the director continues to adopt the going concern basis of accounting in preparing the financial statements.
Dividend income receivable from subsidiary companies is recognised in the period they are voted.
Basic financial assets, which include debtors and cash and bank balances, are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest. Financial assets classified as receivable within one year are not amortised.
Financial assets are derecognised only when the contractual rights to the cash flows from the asset expire or are settled, or when the company transfers the financial asset and substantially all the risks and rewards of ownership to another entity, or if some significant risks and rewards of ownership are retained but control of the asset has transferred to another party that is able to sell the asset in its entirety to an unrelated third party.
Financial liabilities and equity instruments are classified according to the substance of the contractual arrangements entered into. An equity instrument is any contract that evidences a residual interest in the assets of the company after deducting all of its liabilities.
Basic financial liabilities, including creditors, bank loans, loans from fellow group companies and preference shares that are classified as debt, are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest. Financial liabilities classified as payable within one year are not amortised.
Debt instruments are subsequently carried at amortised cost, using the effective interest rate method.
Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of business from suppliers. Amounts payable are classified as current liabilities if payment is due within one year or less. If not, they are presented as non-current liabilities. Trade creditors are recognised initially at transaction price and subsequently measured at amortised cost using the effective interest method.
Financial liabilities are derecognised when the company’s contractual obligations expire or are discharged or cancelled.
Equity instruments issued by the company are recorded at the proceeds received, net of transaction costs. Dividends payable on equity instruments are recognised as liabilities once they are no longer at the discretion of the company.
In 2024, the company purchased the shares of ANW Holdings Limited resulting in deferred consideration of £900,000 to be repaid over five years. This is included within other creditors. The balance incurs no interest. As a result, this should have been discounted to a present value using a market rate of interest. As such, a prior year restatement has been processed to ensure the financial statements are on a comparable basis.
As a result of the prior year adjustment, interest payable for 2024 increased by £55,825, based on the market rate of interest of 8.5%. Profit for the period has decreased by £55,825. The value of the deferred consideration has decreased by £187,415 and the value of the investment in subsidiaries has fallen by £243,239. Therefore, the net assets as at 31 December 2024 have decreased by £55,825.
In the application of the company’s accounting policies, the director is required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.
The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods.
The estimates and assumptions which have a significant risk of causing a material adjustment to the carrying amount of assets and liabilities are as follows.
The carrying value of shares held in subsidiaries is assessed at each balance sheet date, considering future profitability, cash flow and the likely sales value to ascertain if there is any permanent diminution in value.
As at 31 December 2025, there has been no impairments to the investment (2024: Nil)
Refer to Note 5, showing the fixed assets investment balance impacted by this key accounting estimate
In 2024, the company acquired the shares in ANW Holdings Limited for £900,000 which is being repaid over 5 years and incurs no interest. At 31 December 2025, the actual liability is £600,000 (2024: £780,000).
In accordance with FRS 102, the creditor has been recognised initially at its present value using a market rate of interest for a comparable borrowing. The director has applied a discount rate of 8.5% per annum based on their assessment of the rate that would have been available to the company for a similar unsecured borrowing with comparable terms.
The valuation of the liability is sensitive to changes in both the discount rate applied and the expected timing of repayment. A change in either assumption would result in a corresponding charge to the carrying value of the liability on initial recognition and the amount of finance expense recognised over the remaining term of the facility.
The director considers that the assumptions adopted represent their best estimate based on the information available at the reporting date. However, if the expected repayment date or an appropriate market borrowing rate were to differ from those estimates, the carrying amount of the liability and the related finance costs recognised in future periods could be materially affected.
