Directors' report period ended 31 March 2026

The directors present their report with the financial statements of the company for the period ended 31 March 2026

Principal activities of the company

The principal activity of the company is to provide young people and families with quality second hand clothing and footwear for 4-18 year olds. This is achieved by retailing high-quality pre-loved children’s clothing online and at our Glasgow shop at affordable prices; through our outreach and engagement work which empowers families and young people to make more sustainable clothing choices; and by using funding from our social partners to provide free clothing packages to families in particular need. During 2025/26 we provided over 900 packages of clothing for families. We also chose to close our shop and initiated the move back to our city centre warehouse location.

Notes to the Financial Statements

for the Period Ended 31 March 2026

  • 1. Accounting policies

    Basis of measurement and preparation

These financial statements have been prepared in accordance with the provisions of Section 1A (Small Entities) of Financial Reporting Standard 102

    Turnover policy

Turnover is measured at the fair value of the consideration received or receivable, net of discounts and value added taxes. Turnover includes revenue earned from the sale of goods and from the rendering of services. Turnover from the sale of goods is recognised when the significant risks and rewards of ownership of the goods have transferred to the buyer. Turnover from the rendering of services is recognised by reference to the stage of completion of the contract. The stage of completion of a contract is measured by comparing the costs incurred for work performed to date to the total estimated contract costs.

    Tangible fixed assets depreciation policy

Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is calculated to write down the cost less estimated residual value of all tangible fixed assets, other than freehold land, over their expected useful lives, using the straight line method. The rates applicable are: Plant & equipment 33.3% Leasehold improvements 33.3%

    Other accounting policies

Going concern The directors have a reasonable expectation that the company has adequate resources to continue in operational existence for the foreseeable future. The company has therefore adopted the going concern basis in preparing its financial statements. Grants Income from annual grants is recognised in the period in which the grant relates. Any annual grants received in advance and grants whose performance conditions have not been fulfilled are included as deferred income in other creditors. Government revenue based grants are recognised in the Profit and Loss Account in the same period as the expenditure to which the grant relates. Income from other grants and donations is recognised on receipt. Taxation The company is not registered for VAT and all expenditure includes VAT where applicable. A current tax liability is recognised for the corporation tax payable on the taxable profit of the current and past periods. A current tax asset is recognised in respect of a tax loss that can be carried back to recover tax paid in a previous period. Deferred tax is recognised in respect of all timing differences between the recognition of income and expenses in the financial statements and their inclusion in tax assessments. Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. Deferred tax is measured using the tax rates and laws that have been enacted or substantively enacted by the reporting date and that are expected to apply to the reversal of the timing difference, except for revalued land and investment property where the tax rate that applies to the sale of the asset is used. Current and deferred tax assets and liabilities are not discounted. Stock Stock of goods for resale is valued at the lower of cost and net realisable value. As stock is acquired by donation of used clothing, there is no stock value included in the accounts. Financial Instruments Interest-bearing loans which are basic financial instruments are initially recognised at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method. Other basic financial instruments are initially recognised at transaction value and subsequently measured at their settlement value.

COMMUNITY INTEREST ANNUAL REPORT

Company Number: SC583287 (Scotland)

Year Ending: 31 March 2026

Company activities and impact

We have prepared an impact report which you can find here; https://apparelxchange.co.uk/pages/our-story Here are some extracts; During 2025, we provided - 855 clothing packages - 79 of which were delivered by Merry-go-round - 9787 garments or pairs of footwear worth £35,786 - partnered with Glasgow City Council and 10 social organisations to reach people - made improvements to our referal system, warehouse layout and signage. During 2025 we ran 63 sessions covering climate impacts from fashion and what we can do about it while being creative: - 113 pupils received workshops in Primary and Secondary schools in Glasgow; - 430 people attended community workshops in our retail space, online and in workplaces. Volunteering 18 individuals and 232 people from 50 corporate partners volunteered with us during 2025. We have hosted 2 social lunches for our volunteers and made improvements to our training process. We increased our time to support volunteers, funded by the Volunteer Support Fund.

Consultation with stakeholders

We have a variety of stakeholders; local authority, social enterprise and charity partners, customers, beneficiaries and volunteers. We undertake individual feedback which accumulates into annual evaluation which reviews our services to partners and beneficiaries, our volunteering and our customers. We completed an evaluation of the Glasgow City Council Preloved Clothing Service for 2025/26. This included an online survey and 1 focus group with Glasgow City Council. The evaluation was fully completed with a detailed report in May 2026. Findings found that quality and quantity of clothing in packages met expectation, with customer service and communications being highly rated too. We also evaluated our clothing services which are funded via smaller grants with similar results. We requested feedback from our volunteers via informal chats with the Volunteer Coordinator and the volunteer. Most feedback was positive. We also looked at the outcomes for volunteers who had left ApparelXchange, ranging from employment, to focusing on university, to relocation by the Home Office. During 2025, we ran a variety of workshops. We didn’t evaluate these due to capacity and lack of contact details from participants. We are pausing our workshops for 2026/27 as we have moved back to our warehouse location and need to consolidate our activities.
