LIFETIME HOMES (WARRINGTON) LIMITED

Directors' report period ended 31 March 2026

The directors present their report with the financial statements of the company for the period ended 31 March 2026

Principal activities of the company

Lifetime Homes (Warrington) Limited (LTH) is a wholly owned subsidiary of Warrington Housing Association Limited (WHA). It is a general commercial company, limited by shares under the Companies Act 2006. LTH's vision reflects that of the parent company: 'Our vision is to work with and for our customers to help make Warrington a great place to live, in which the potential of individuals and communities can be realised.' The purpose of LTH is to further the aims and objectives of WHA by carrying out activities that directly or indirectly enhance all the businesses of the Group. LTH owns a small portfolio of properties for market rent and manages market and sub-market rent properties on behalf of third parties.

Political and charitable donations

£125k Gift Aid was due to Warrington Housing Association Limited, the parent company (2025: £133k), of which £125k was distributed (2025: £133k).

Additional information

Review of 2025-26 Market Rent Portfolio: our 4 x market rent properties in Chester Road continue to perform well financially. The quality and location of the properties ensures that they remain attractive to private renters and turnover of customers is very low. Financial Performance: The Board is reporting a profit before tax of £125k (2025: £133k). Following the Gift Aid distribution, reserves have remained at £30k (2025: £30k). Future Plans: The Business Plan of the Parent Company has been updated for 2026-27 and this has been reflected in LTH's own Business Plan: 'Our vision is to create welcoming homes for all, where customers and communities feel safe and supported.' LTH has the following business objectives for the coming year: Continue to manage LTH's established market rent portfolio, ensuring high-quality, compliant services that meet private rented sector needs. Maintain effective management of market rent and affordable rent properties for third parties, ensuring consistent service standards and clear communication. Embed the long-term management of third-party properties within LTH, strengthening assurance and performance reporting. Pursue proportionate and sustainable growth opportunities aligned with LTH's strategic and financial capacity. Regularly review the governance relationship between the parent company and LTH to ensure clarity, appropriate independence and proportionate assurance. Insurance policies are in place that indemnify board members and directors against liability when acting for LTH. Statement of Directors' responsibilities: The Directors are responsible for preparing the Directors' Report and the financial statements in accordance with applicable laws and regulations. Company law requires the Directors to prepare financial statement for each financial year. Under that law the Directors have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdome Accounting Standards and applicable law), including Financial Reporting Standard 102, 'The Financial Reporting Standard applicable in the UK and the Republic of Ireland'. Under company law, the Directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the company and of the profit or loss of the company for that period. In preparing those financial statements, the Directors are required to: Select suitable accounting policies and then apply them consistently Make judgements and accounting estimates that are reasonable and prudent and Prepare the financial statements on the going concern basis unless it is inappropriate to presume that the Company will continue in business. The Directors are responsible for keeping adequate accounting records that are sufficient to show and explain the company's transactions and disclose with reasonable accuracy at any time the financial position of the company and enable it to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the Company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. So far as each of the directors at the time the report is approved are aware: There is no relevant audit information of which the company's auditor is unaware; and The Directors have taken all steps that they ought to have taken as Directors in order to make themselves aware of any relevant audit information and to establish that the company's auditor is aware of that information. Going Concern LTH had net current liabilities of £118k at 31 March 2026 (2025: £79k). The Directors have considered this position as part of their assessment of the Company's ability to continue as a going concern. The majority of LTH's turnover is generated from a stand-alone contractual arrangement that continues to deliver positive operating surpluses and cash inflows. Financial forecasts and cash flow projections demonstrate that the Company is expected to remain profitable and meet its liabilities as they fall due, without requiring financial support from the parent company, WHA. The Directors have also considered the potential loss or non-renewal of contracts. Given the nature of the Company's operations, there are no significant long-term commitments that would prevent and orderly cessation of activities if required, and appropriate exit strategies have been identified. Having considered current trading, contracted income and forecast cash flows, the Directors have a reasonable expectation that the Company had adequate resources to continue in operational existence for at least twelve months from the approval of these financial statements. Accordingly, the going concern basis has been adopted in preparing the financial statements. Financial forecasts for the next five years have been prepared. Annual General Meeting The annual general meeting will be held on 16 September 2026. Auditors A resolution to reappoint RSM UK Audit LLP will be proposed at the forthcoming annual general meeting. In preparing this report, the Directors have taken advantage of the small companies exemptions provided by part 15 of the Companies Act 2006.

LIFETIME HOMES (WARRINGTON) LIMITED

Notes to the Financial Statements

for the Period Ended 31 March 2026

  • 1. Accounting policies

    Basis of measurement and preparation

These financial statements have been prepared in accordance with the provisions of Section 1A (Small Entities) of Financial Reporting Standard 102

    Turnover policy

Turnover represents rent and service charges receivable for market rent properties owned by LTH plus management fees received for properties managed on behalf of third parties. Service charge income is recognised when expenditure is incurred as this is the point at which the service has been performed and the revenue recognition criteria met.

    Other accounting policies

Interest payable and receivable: Interest payable is charged; interest receivable is credited to the statement of comprehensive income for the year. Taxation: Current tax is recognised for the amount of income tax payable in respect of the taxable profit for the current or past reporting periods using the tax rates and laws that have been enacted or substantively enacted by the reporting date. Deferred tax is recognised in respect of all timing differences at the reporting date, except as otherwise indicated. Deferred tax assets are only recognised to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. If and when all conditions for retaining tax allowances for the cost of a fixed asset have been met, the deferred tax is reversed. Deferred tax is calculated using the tax rates and laws that have been enacted by the reporting date that are expected to apply to the reversal of the timing difference. The tax expense (income) is presented either in profit or loss, other comprehensive income or equity depending on the transaction that resulted in the tax expense (income). Deferred tax liabilities are presented within the provision for liabilities and deferred tax assets within debtors. Value Added Tax: LTH charges value added tax (VAT) on its income and is able to recover part of the VAT it incurs on expenditure. The financial statements include VAT to the extent that it is suffered by LTH and not recoverable by HM Revenue & Customs. The balance of VAT payable or recoverable at the year end is included as a current liability or asset. Gift Aid: There is a Deed of Covenant in place and LTH covenants to make a qualifying charitable donation (as defined in Section 191 of Part 6 of the Corporation Tax Act 2010) to WHA within 9 months from the end of the financial year. Debtors: Short-term debtors are measured at transaction price, less any impairment. Creditors: Short-term creditors are measured at transaction price. Non-current debt instruments which meet the necessary conditions in FRS102, are initially recognised at transaction value adjusted for any directly attributable transaction cost and subsequently measured at amortised cost using the effective interest method, with interest-related charges recognised as an expense in finance costs in the Statement of Income and Retained Earnings. Discounting is omitted where the effect of discounting is immaterial. A financial liability is derecognised only when the contractual obligation is extinguished, that is, when the obligation is discharged, cancelled or expires. Cash and Cash Equivalents: Cash and cash equivalents comprise cash in hand and demand deposits.
