The financial statements have been prepared under the historical cost convention.

The financial statements have been prepared on a going concern basis as Squarespace, Inc., the direct parent company, will continue to support the Company as required for a period of at least twelve months and one day from the signing of the audit report.

Related party exemption
The company has taken advantage of exemption, under the terms of Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', not to disclose related party transactions with wholly owned subsidiaries within the group.

Critical accounting judgements and key sources of estimation uncertainty
With regard to the accounting policies adopted by the company, the directors are required to make
judgements, estimates and assumptions about the carrying amounts of assets and liabilities that are not readily available from other sources. Such estimates are based on historical experience and other relevant factors and may differ from actual results. All estimates, and associated underlying assumptions, are reviewed on an ongoing basis.

Turnover
Turnover is measured at the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes.

Turnover is calculated on a cost plus basis, and is recharged to a fellow group company.

Tangible fixed assets
Tangible fixed assets are initially measured at cost and subsequently measured at cost, net of depreciation and any impairment losses.

Depreciation is recognised so as to write off the cost of assets less their residual values over their useful lives on the following method:

Computer Equipment - 3 years

Financial instruments
Basic Financial Instruments, as covered by Section 11 of FRS 102, are measured at amortised cost. The company does not have any Other Financial Instruments, as covered by Section 12 of FRS 102.

2. ACCOUNTING POLICIES - continued
Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date.

Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.

Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.

Hire purchase and leasing commitments
Rentals paid under operating leases are charged to profit or loss on a straight line basis over the period of the lease.

Pension costs and other post-retirement benefits
The company operates a defined contribution pension scheme. Contributions payable to the company's pension scheme are charged to profit or loss in the period to which they relate.

Share-based payments
Equity-settled transactions are awards of shares, or options over shares, that are provided to employees in exchange for the rendering of services. The cost of equity-settled transactions is measured at fair value on grant date. The company operates two equity-settled share option schemes. The first arose following a transaction completed during the prior year pursuant to which the existing equity-settled awards were converted into cash-settled awards at a fixed amount per unit. The second is a separately granted scheme where awards are subject to vesting conditions that must be satisfied before the options may be exercised.

Awards arising from Squarespace, Inc. (Parent Cash Awards)
In the prior year, a transaction was completed within the Squarespace group. As a result of the transaction, the equity-settled awards were converted into cash-settled awards at the group level at a fixed amount per unit and subject to the same vesting terms and conditions as the previous equity-settled award. The fair value was independently determined using the market rate of underlying shares at the date of grant. As the obligation to settle the awards lies with Squarespace, Inc., they continue to be treated as equity-settled in the Company's individual financial statements.

Share options
The company has granted a separate tranche of equity-settled share options which are independent of the Squarespace, Inc. transaction and are subject to vesting conditions that must be satisfied before the options may be exercised. The fair value is measured at the date of grant. Account is taken of these vesting conditions in estimating the number of awards expected to vest. The cumulative expense is only recognised to the extent that the vesting conditions are considered likely to be met.

The cost of the share-based payment transactions are recognised as an expense with a corresponding increase in equity over the vesting period. The cumulative charge to profit or loss is calculated based on the grant date fair value of the award, the incremental fair value arising from modifications , the best estimate of the number of awards that are likely to vest and the expired portion of the vesting period. For share option awards, the cumulative expense is revised at each reporting date to reflect the updated best estimate of the number of options expected to vest. The amount recognised in profit or loss for the period is the cumulative amount calculated at each reporting date less amount already recognised in previous periods.

11. SHARE-BASED PAYMENT TRANSACTIONS

Awards arising from Squarespace, Inc. (Parent Cash Awards)
At the start of the prior year the company had equity-settled share based compensation with its employees under one equity incentive plan.

The equity offered was that of Squarespace, Inc., which at the time of the RSU grant was the ultimate parent company.

The shares vested as to 25% of the shares subject to the award on the first anniversary of the vesting commencement date and 6.25% on each succeeding quarterly vesting date thereafter, so that all of the shares subject to the award are fully vested on the fourth anniversary of the vesting commencement date, subject to the participant not ceasing to be an employee throughout each such vesting date. Vesting shall cease immediately upon the participant ceasing to be an employee.

During the prior year, after a transaction within the Squarespace group, all vested RSUs were settled at a price of $46.50 per share. The unvested RSUs were converted into a cash settled "Parent Cash Award" at a value of $46.50 for each previously issued RSUs under the old equity scheme. The new Parent Cash Awards follow the same vesting schedule as the previously issued RSUs and require continuing employment as a vesting condition. As the obligation to settle the awards lies with Squarespace, Inc. they continue to be treated as equity-settled in the individual company financial statements.

At the start of the year there were 34,241 awards outstanding. During the period nil (2024: 23,075) awards were issued, 11,512 (2024: nil) were forfeited, and 11,514 (2024: 8,761) were vested. There were 11,216 awards outstanding at the end of the period. The average weighted exercise price was $46.50 for the year.

An expense of £151,615 (2024: £484,301) has been recognised within wages as an employee cost for these options.

Share Options
The equity offered was that of Spaceship HoldCo, Inc.

The shares vested as to 20% of the shares subject to the award on the first anniversary of the vesting commencement date and 5% on each succeeding quarterly vesting date thereafter, so that all of the shares subject to the award are fully vested on the fifth anniversary of the vesting commencement date, subject to the participant not ceasing to be an employee throughout each such vesting date. Vesting shall cease immediately upon the participant ceasing to be an employee.

The fair value of these options was determined using the Hull-White lattice model. Key inputs to the model include the stock and strike price, contractual term, expected volatility, risk-free rate and the exercise multiple.

During the period 1,411,320 (2024: nil) awards were issued, 475,205 (2024: nil) were forfeited, and nil (2024: nil) were vested. There were 936,115 (2024: nil) awards outstanding at the end of the period. The average weighted exercise price was $0.57 for the year.

An expense of £175,613 (2024: nil) has been recognised within wages as an employee cost for these options.
