NOTES TO THE FINANCIAL STATEMENTS

For the financial period from 23 May 2025 to 31 December 2025
1. Accounting policies

The principal accounting policies are summarised below.

General information and basis of accounting

Tide Insurance Services Limited (“the Company”) is a private company limited by shares, domiciled and incorporated in England and Wales on 23 May 2025 under company number 16470554. The registered office is 4th Floor The Featherstone Building, 66 City Road, London, United Kingdom, EC1Y 2AL.

The principal activity of the Company is that of an insurance intermediary. The Company's immediate and ultimate parent undertaking is Tide Holdings Limited, a company registered in England and Wales under company number 10366510, which holds 100% of the Company's issued ordinary share capital. Tide Holdings Limited's registered office is 4th Floor The Featherstone Building, 66 City Road, London, United Kingdom, EC1Y 2AL.

These financial statements have been prepared in accordance with Section 1A of FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” (“FRS 102”) and the requirements of the Companies Act 2006. The Company is a qualifying entity for the purposes of the small companies regime under section 384 of the Companies Act 2006, and these financial statements have been prepared taking advantage of the reduced disclosure framework available to small entities.

This is the Company's first period of account, covering the period from incorporation on 23 May 2025 to 31 December 2025. Consequently there are no comparative figures.

The financial statements are prepared in sterling, which is the functional and presentational currency of the Company. Monetary amounts are rounded to the nearest whole £. The financial statements have been prepared under the historical cost convention.

As a small entity choosing to apply the reduced disclosures of Section 1A, the Company is exempt from the requirement to prepare a statement of changes in equity and a statement of cash flows (FRS 102 para 1A.7) and has not done so.

Going concern

The Company is a wholly owned subsidiary of Tide Holdings Limited. At 31 December 2025 the Company reported net liabilities of £13,704. In adopting the going concern basis of preparing the financial statements, the directors have considered the Company's forecasts and the financial support available from its parent undertaking, including capital injected after the period end (see note 8). Based on this, the directors have a reasonable expectation that the Company has adequate resources to continue in operational existence for the foreseeable future, and continue to adopt the going concern basis of accounting.

Turnover

Turnover represents commission income earned in the period, recognised in the period in which the related services are provided and shown net of VAT.

Taxation

Current tax
Current tax, including UK corporation tax, is provided at amounts expected to be paid (or recovered) using tax rates and laws that have been enacted or substantively enacted by the balance sheet date.

Deferred tax
Deferred tax is recognised in respect of all timing differences at the balance sheet date, except as otherwise required by FRS 102. No deferred tax asset has been recognised in respect of losses carried forward, as there is insufficient evidence of suitable future taxable profits against which they could be recovered.

Cash and cash equivalents

Cash and cash equivalents comprise cash at bank and in hand.

Financial instruments

The Company holds only basic financial instruments as defined by FRS 102 Section 11, comprising cash at bank, trade and other creditors, and amounts due to/from Group undertakings. These are initially recognised at transaction price and subsequently measured at amortised cost.

Ordinary share capital

Ordinary shares are classified as equity. Proceeds received on issue of shares are credited to called up share capital at nominal value, with any premium credited to a share premium account.

Creditors

Creditors are recognised where the Company has a present obligation resulting from a past event that will probably result in an outflow of economic benefits, and are stated at amortised cost.

2. Critical accounting judgements and key sources of estimation uncertainty

In preparing these financial statements the directors have not had to make any judgements, estimates or assumptions that have a significant effect on the amounts recognised, other than as set out in note 1 in respect of deferred tax.
