CORFU VILLAS LIMITED

Directors' report period ended 31 December 2025

The directors present their report with the financial statements of the company for the period ended 31 December 2025

Principal activities of the company

Results and dividends The profit for the year, after taxation, amounted to £775,664 (2024: £93,985). The directors do not recommend the payment of a dividend (2024: £Nil). Going concern As at 31 December 2025, the Company had net current assets of £7,734,429 (2024: £7,088,984) and net assets of £7,991,335 (2024: £7,198,925). The Company held cash and cash equivalents of £252,147 at the Balance Sheet date (2024: £216,278) and participates in a group cash-pooling arrangement through which surplus funds are deposited with, and additional liquidity can be accessed from, REWE Zentralfinanz eG as required. The directors have prepared cash flow forecasts covering a period of at least 12 months from the date of approval of these financial statements (the "going concern assessment period"). The forecasts indicate that, under both the base case and reasonably possible downside scenarios, the Company may require additional funding from its parent company, DerTour UK Limited, to meet its obligations as they fall due during the going concern assessment period. The going concern assessment includes a base case scenario, which incorporates management's expectations of future trading performance based on current booking trends, forecast business activity and historical experience. A reasonably possible downside scenario has also been considered, reflecting lower-than anticipated sales levels during the assessment period. DER Touristik Group GmbH has indicated its intention to provide such financial support as may be required by the Group to enable it to meet its obligations as they fall due throughout the going concern assessment period. The ultimate parent company REWE ZentralFinanz eG has in turn extended a revolving credit facility to DER Touristik Group GmbH during the going concern assessment period. In assessing going concern, the directors have therefore considered the ability of the wider group to provide ongoing financial support and have taken account of these support arrangements. As with any company placing reliance on other group entities for financial support, the directors acknowledge that there can be no certainty that this support will continue although, at the date of approval of these financial statements, they have no reason to believe that it will not do so. Consequently, the directors are confident that the Group and Company will have sufficient funds to continue to meet its liabilities as they fall due for at least 12 months from the date of approval of the financial statements and therefore have prepared the financial statements on a going concern basis.

Notes to the Financial Statements

for the Period Ended 31 December 2025

  • 1. Accounting policies

    Basis of measurement and preparation

These financial statements have been prepared in accordance with the provisions of Financial Reporting Standard 101

    Turnover policy

Turnover represents the invoiced value of services provided exclusive of value added tax, in respect of holidays taken for departure dates up to the reporting date. Turnover is generated from the sale of a bundled performance obligation, being a holiday package, with a fixed price. Income is not treated as earned until departure date. Income from the rendering of services is recognised in accordance with the stage of completion. Stage of completion is measured by the number of departed nights in a booking that fall in a particular year. Total revenue for a booking is assumed to accrue evenly across each day.

    Tangible fixed assets depreciation policy

Tangible assets Tangible fixed assets under the cost model are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management. Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated useful lives, as shown below: Right-of-use properties Fixtures and fittings Computer equipment- Over the lease term- 5 or 10 years- 4 years The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date. Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in profit or loss.

    Valuation information and policy

Valuation of investments Investments in subsidiaries are measured at cost less accumulated impairment.
