STRATEGIC REPORT
FOR THE YEAR ENDED 31 DECEMBER 2025

Introduction

The directors present their strategic report of the Company for the year ended 31 December 2025.

The principal activity of the Company in the year under review was that of a specialist soft fruit grower.

Review of the business

Turnover increased to £27.7m in 2025 from £23.1 million in 2024. This is a year-on-year increase of 20% as a result of improved yields and growing techniques. Asparagus production continues to expand, with sales increasing by 39% in 2025.

An operating profit of £3.4 million is seen in 2025 (£2.5m in 2024). This represents a careful control of labour and direct costs to maintain year on year gross margin as turnover has increased.

The Directors of The New Forest Fruit Company remain positive and very confident in the business. They are very aware of the pressures of ever-increasing wage costs and increased efficiency and lean operation remain a top focus. Our long-term strategic plans, budgets and cash flows support this view.

Net Assets increased in the year to £12.3M.

STRATEGIC REPORT (CONTINUED)
FOR THE YEAR ENDED 31 DECEMBER 2025

Principal risks and uncertainties

Weather and Climate
Being in the UK the farm will always be at some risk from our ever-changing, unpredictable weather systems. This is seen from the effect of the weather on the 2023 turnover from which the business has recovered in 2024 and 2025.

It is difficult to eliminate the risk of a poor harvest due to poor weather and lack of sunshine however measures are being taken by the company to improve efficiencies and workforce management to keep labour costs to a minimum when harvests are lower than expected.

The business is also at risk to changes to our climate as prolonged hot weather and draught become more prevalent. This is expected to increase the requirement for water over coming years, particularly as fruit production volumes have also increased. The directors are therefore investigating options to increase water security including constructing new reservoirs and boreholes.

Storm damage also presents a risk to polytunnels which can cause loss of crops and destruction of company assets. Over the years we have invested in strengthening our polytunnels and have been successful in obtaining insurance. Whilst this cannot eliminate the risk a major storm presents; it does afford us some protection from the catastrophic effects of extreme weather systems.

Labour Costs
A recurring challenge for the industry is the increase in labour rate. The minimum wage increased to £12.21 and further conditions relating to workers’ hours and pay are often imposed by supermarkets and the Home Office.

Cost of labour is of critical importance to the business, being the largest single element of our cost base. We continue to strive to make labour savings by increasing efficiencies and reviewing tasks to ensure relevance, necessity, and ultimately a benefit to production. We constantly scrutinise activities & processes to find savings. We measure all tasks, monitor, and perform detailed analysis of the data available to us.

Labour Supply
Supply of labour is always a concern for a business which is heavily labour intensive. The Seasonal Agricultural Workers Scheme (SAWS) has been effective in ensuring sufficient “top up” of our workers when required. We were reassured by the government’s announcement in 2024 that this scheme will continue until at least 2029. We continue to invest in improving staff accommodation and social areas, making The New Forest Fruit Company an attractive place to work.

Euro Exchange Rate
The GBP/EUR exchange rate is an uncertainty but the average rate in 2025 was comparable to 2024. The company monitors the euro exchange rate regularly and whenever possible will buy when sterling is strong against the euro to protect against any sudden adverse movement.

FOR THE YEAR ENDED 31 DECEMBER 2025

Development & Performance

During 2025 we continued to strengthen our management team to build upon our production efficiency gains in 2024.

We have continued to invest in our worker accommodation in 2025 to continue improving the living standards for our workforce. We have also recruited since the yearend to strengthen our accommodation management team.

We have also continued to utilise robots for UV treatment of crops which is at a commercial level of development. This reduces our dependency on a labour force that is increasing in cost.

The business strives to innovate wherever possible with developments continually sought throughout the farm. This year saw continued developments in grape and asparagus production.

One of the strengths of the business is the volume of analysis and data that is readily available. Over the years a variety of systems have been developed, providing timely management information that is used to monitor performance against budget and previous years and assist managers with decision making.

Harvest results are reported daily. KPI’s are issued to management staff on a weekly basis.
The KPI monitors fruit picked/sold, alongside direct & indirect labour costs. As labour accounts for half of all costs, we focus strongly on this area of expenditure.

Directors review a 13 week cashflow forecast every week. The management accounts are reviewed quarterly. Individual managers receive expenditure reports for their relevant areas as required. Each manager is expected to understand their budget and be accountable and able to explain any variances to the directors.

∙certain disclosures of directors' remuneration specified by law are not made; or
∙we have not received all the information and explanations we require for our audit.

Responsibilities of directors

As explained more fully in the Directors' Responsibilities Statement set out on page 4, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

In preparing the financial statements, the directors are responsible for assessing the Company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the Company or to cease operations, or have no realistic alternative but to do so.

INDEPENDENT AUDITOR'S REPORT TO THE MEMBERS OF THE NEW FOREST FRUIT COMPANY LIMITED (CONTINUED)

Auditor's responsibilities for the audit of the financial statements

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an Auditor's Report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.

Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:

∙The Company is subject to laws and regulations that directly affect the financial statements including financial reporting legislation, and general regulations such as health and safety, general data protection regulation and copyright law. There are no idustry specific laws and regulations which would be deemed to have a significant impact on the  financial statements. We assessed the extent of compliance with the appropriate laws and regulations as part of our procedures on the related financial statement items.

∙We understood how the Company is complying with those legal and regulatory frameworks by, making inquiries to management and those responsible for legal and compliance procedures.

∙The engagement partner assessed whether the engagement team collectively had the appropriate competence and capabilities to identify or recognise non-compliance with laws and regulations. The assessment did not identify any issues in this area.

∙We assessed the susceptibility of the Company's financial statements to material misstatement, including how fraud might occur. Audit procedures performed by the engagement team included:
°Identifying and assessing the design effectiveness of controls management has in place to prevent and detect fraud.
°Understanding how those charged with governance considered and addressed the potential for override of controls or other inappropriate influence over the financial reporting process;
°Challenging assumptions and judgments made by management in its significant accounting estimates; and
°Identifying and testing journal entries, in particular any journal entries posted with unusual account combinations.

∙As a result of the above procedures, we considered the opportunities and incentives that may exist within the organisation for fraud and identified the greatest potential for fraud in the following areas:
°Posting of unusual journals and complex transactions;
°Misappropriation of funds through fraudulent purchase ledger;
°Manipulation of amounts subject to significant judgments or estimate.

Because of the inherent limitations of an audit, there is a risk that we will not detect all irregularities, including those leading to a material misstatement in the financial statements or non-compliance with regulation. This risk increases the more that compliance with a law or regulation is removed from the events and transactions reflected in the financial statements, as we will be less likely to become aware of instances of non-compliance. The risk is also greater regarding irregularities occurring due to fraud rather than error, as fraud involves intentional concealment, forgery, collusion, omission or misrepresentation.

A further description of our responsibilities for the audit of the financial statements is located on the Financial Reporting Council's website at: www.frc.org.uk/auditorsresponsibilities. This description forms part of our Auditor's Report.

2.Accounting policies (continued)

2.4

Revenue

Revenue is recognised to the extent that it is probable that the economic benefits will flow to the Company and the revenue can be reliably measured. Revenue is measured as the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes. The following criteria must also be met before revenue is recognised:

Sale of goods

Revenue from the sale of goods is recognised when all of the following conditions are satisfied:
∙the Company has transferred the significant risks and rewards of ownership to the buyer;
∙the Company retains neither continuing managerial involvement to the degree usually associated with ownership nor effective control over the goods sold;
∙the amount of revenue can be measured reliably;
∙it is probable that the Company will receive the consideration due under the transaction; and
∙the costs incurred or to be incurred in respect of the transaction can be measured reliably.

2.5

Operating leases: the Company as lessee

Rentals paid under operating leases are charged to profit or loss on a straight-line basis over the lease term.

Benefits received and receivable as an incentive to sign an operating lease are recognised on a straight-line basis over the lease term, unless another systematic basis is representative of the time pattern of the lessee's benefit from the use of the leased asset.

2.6

Interest income

Interest income is recognised in profit or loss using the effective interest method.

2.7

Finance costs

Finance costs are charged to profit or loss over the term of the debt using the effective interest method so that the amount charged is at a constant rate on the carrying amount. Issue costs are initially recognised as a reduction in the proceeds of the associated capital instrument.

2.8

Borrowing costs

All borrowing costs are recognised in profit or loss in the year in which they are incurred.

2.9

Pensions

Defined contribution pension plan

The Company operates a defined contribution plan for its employees. A defined contribution plan is a pension plan under which the Company pays fixed contributions into a separate entity. Once the contributions have been paid the Company has no further payment obligations.

The contributions are recognised as an expense in profit or loss when they fall due. Amounts not paid are shown in accruals as a liability in the Statement of Financial Position. The assets of the plan are held separately from the Company in independently administered funds.

2.10

Current and deferred taxation

The tax expense for the year comprises current and deferred tax. Tax is recognised in profit or loss except that a charge attributable to an item of income and expense recognised as other comprehensive income or to an item recognised directly in equity is also recognised in other comprehensive income or directly in equity respectively.

The current income tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the reporting date in the countries where the Company operates and generates income.

Deferred tax balances are recognised in respect of all timing differences that have originated but not reversed by the reporting date, except that:
∙The recognition of deferred tax assets is limited to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits; and
∙Any deferred tax balances are reversed if and when all conditions for retaining associated tax allowances have been met.

Deferred tax balances are not recognised in respect of permanent differences except in respect of business combinations, when deferred tax is recognised on the differences between the fair values of assets acquired and the future tax deductions available for them and the differences between the fair values of liabilities acquired and the amount that will be assessed for tax. Deferred tax is determined using tax rates and laws that have been enacted or substantively enacted by the reporting date.

2.11

Tangible fixed assets

Tangible fixed assets under the cost model are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management.

Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated useful lives, using straight-line and reducing balance methods.

Depreciation is provided on the following basis:

Freehold property
-
0% on land, 10 years, 15 years, 20 years and 50 years straight line
Plant and machinery
-
10%-20% on cost and 10%-20% on reducing balance
Motor vehicles
-
20% on reducing balance
Tractors
-
20% on reducing balance
Improvements
-
20% on cost and 10% on cost

The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date.

Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in profit or loss.

NOTES TO THE FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31 DECEMBER 2025

2.Accounting policies (continued)

2.12

Investment property

Investment property is carried at fair value determined annually by external valuers and derived from the current market rents and investment property yields for comparable real estate, adjusted if necessary for any difference in the nature, location or condition of the specific asset. No depreciation is provided. Changes in fair value are recognised in profit or loss.

2.13

Valuation of investments

Investments in unlisted Company shares, whose market value can be reliably determined, are remeasured to market value at each reporting date. Gains and losses on remeasurement are recognised in the Statement of Income and Retained Earnings for the period. Where market value cannot be reliably determined, such investments are stated at historic cost less impairment.

2.14

Stocks

Stocks are stated at the lower of cost and net realisable value, being the estimated selling price less costs to complete and sell. Cost is based on the cost of purchase on a first in, first out basis. Work in progress and finished goods include labour and attributable overheads.

At each reporting date, stocks are assessed for impairment. If stock is impaired, the carrying amount is reduced to its selling price less costs to complete and sell. The impairment loss is recognised immediately in profit or loss.

The stocks were professionally valued at the year end by Symonds & Sampson LLP.

2.15

Debtors

Short-term debtors are measured at transaction price, less any impairment. Loans receivable are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method, less any impairment.

2.16

Cash and cash equivalents

Cash is represented by cash in hand and deposits with financial institutions repayable without penalty on notice of not more than 24 hours. Cash equivalents are highly liquid investments that mature in no more than three months from the date of acquisition and that are readily convertible to known amounts of cash with insignificant risk of change in value.

2.17

Creditors

Short-term creditors are measured at the transaction price. Other financial liabilities, including bank loans, are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method.

2.18

Provisions for liabilities

Provisions are recognised when an event has taken place that gives rise to a legal or constructive obligation, a transfer of economic benefits is probable and a reliable estimate can be made.

Provisions are measured as the best estimate of the amount required to settle the obligation, taking into account the related risks and uncertainties.

Increases in provisions are generally charged as an expense to profit or loss.

2.19

Financial instruments

The Company has elected to apply the provisions of Section 11 “Basic Financial Instruments” of FRS 102 to all of its financial instruments.

Financial instruments are recognised in the Company's Statement of Financial Position when the Company becomes party to the contractual provisions of the instrument.

Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.

Basic financial assets

Basic financial assets, which include trade and other debtors, cash and bank balances, are initially measured at their transaction price (adjusted for transaction costs except in the initial measurement of financial assets that are subsequently measured at fair value through profit and loss) and are subsequently carried at their amortised cost using the effective interest method, less any provision for impairment, unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest.

Discounting is omitted where the effect of discounting is immaterial. The Company's cash and cash equivalents, trade and most other debtors due with the operating cycle fall into this category of financial instruments.

2.20

Dividends

Equity dividends are recognised when they become legally payable. Interim equity dividends are recognised when paid. Final equity dividends are recognised when approved by the shareholders at an annual general meeting.

2.21

Going concern

The directors have prepared and reviewed budgets & forecasts for the 12 month period from the date that these financial statements are authorised for issue. They have concluded that the Company remains a going concern and there is no material uncertainty surrounding this. Accordingly, the accounts have been drawn up on a going concern basis.

Fixed asset residual values:

The directors have reviewed the asset lives and associated residual values of all fixed asset classes and have concluded that asset lives and residual values are appropriate.

Impairment of stocks:

The directors have assessed stocks held at the reporting date for impairment and have concluded the basis of valuation is appropriate.

Capital commitments

At 31 December 2025 the Company had capital commitments as follows:

2025

£

Contracted for but not provided in these financial statements

390,000

At the balance sheet date, the Company was party to a contract for the manufacture of machinery, under which £156,000 of stage payments remained to be invoiced by the supplier. The Company had previously recorded costs of £234,000 under the contract, which are included within assets under construction. The Company is currently in dispute with the supplier and is seeking to terminate the contract and recover amounts previously paid. The supplier disputes the Company's position and is seeking to enforce the contract, including payment of the remaining £156,000 and delivery of the machinery. The outcome of the dispute remains uncertain. If the contract was not under dispute a capital commitment of £156,000 would have been included in the above amount and so this disclosure has been made for transparency. For the avoidance of doubt, management does not recognise that there will arise any liability in respect of this amount and intends to robustly defend its position.

28.

Pension commitments

The Company operates a defined contributions pension scheme. The assets of the scheme are held separately from those of the Company in an independently administered fund. The pension cost charge represents contributions payable by the Company to the fund and amounted to £365,228 (2024 - £197,277). Contributions totalling £116,956 (2024 - £11,094) were payable to the fund at the reporting date are included in creditors.
