STRATEGIC REPORT
FOR THE YEAR ENDED 31 DECEMBER 2025
The directors present their strategic report for the year ended 31 December 2025.
REVIEW OF BUSINESS
Monika Spruth & Philomene Magers Limited has operated a gallery for contemporary art in Central London's Mayfair since 2006. The company exhibits and sells works by artists it primarily represents on the Primary Market. It currently works with approximately 80 artists and estates. The programme continued to balance established mid-career positions with emerging artists, reflecting the company's long-term strategy.
In 2025 the gallery presented a programme of solo and group exhibitions across its London premises and participated in key international fairs. The year began with an exhibition by Joseph Kosuth. This was followed by the group exhibition "Songs before Sunrise" and solo exhibitions by Gala Porras-Kim and Kaari Upson. The year concluded with the group exhibition "Seriously".
The current year pre-tax profit of £1,366,919 (prior period £(1,748,917)) reflects a significant recovery. This was driven by improved sales performance across the year, supported by a more favourable trading environment for the company's market segment and disciplined cost management.
Following the volatility experienced in previous years, market conditions improved during 2025 in key segments relevant to the company. Against this backdrop, turnover increased by £7.4m (+66%) to £18.5m (2024: £11.1m). While the global art market remained selective and price-sensitive in certain categories, the company benefited from renewed demand for primary market works by its roster of artists and from stronger sales conversion.
Gross profit increased by £3.5m (+216%) to £5.2m, resulting in a gross margin of 28% of sales (2024: 15%), an improvement of 13 percentage points year on year. This was primarily due to the strong increase in turnover, while variable costs - mainly production and logistics - remained relatively stable in relation to sales, and costs that are largely fixed in the short term - such as art fairs and exhibitions - stayed broadly constant in absolute terms. This reflects the gallery's strategy of continuing to invest selectively in fairs, exhibitions, logistics and production to support the programme and long-term artist development. Administrative expenses increased by £0.5m (+15%) to £4.2m, mainly reflecting inflation across cost categories, including salaries. As a result, the company achieved an operating profit of £1.3m (2024: operating loss of £1.8m).
PRINCIPAL RISKS AND UNCERTAINTIES
The key business risks and uncertainties affecting the business are considered to be:
Economic Risk
The company's performance is influenced by broader economic conditions in the UK and internationally. The art market can react quickly to changes in consumer confidence, interest rates, inflation, and geopolitical developments. Demand can be uneven across segments and price points, and this may affect sales volumes and the timing of transactions.
Financial Risk
The company maintains funds and conducts transactions in Sterling, US dollars and Euros. Where practicable, the company seeks to align purchase and sale currencies for individual transactions to reduce foreign exchange exposure. The company does not currently use forward contracts or other hedging instruments.
The company monitors liquidity closely and manages working capital through active oversight of inventory, receivables and payables. While the business generates cash over time, the timing of sales and settlement can vary; the company therefore maintains appropriate cash reserves.
Pricing Risk
Demand and pricing in the art market can be volatile and are influenced by collector sentiment, institutional visibility and broader market trends. The company mitigates this risk through long-term artist development, careful inventory management and active engagement with collectors and institutions.
POSITION OF THE COMPANY AT THE BALANCE SHEET DATE
Based on the performance in 2025 and current trading, the directors consider the company to be in a strong financial position as it enters 2026. The outlook for 2026 is positive and the directors expect a similar level of performance to 2025, while recognising that results remain sensitive to market conditions and the timing of high-value transactions.
MONIKA SPRUTH & PHILOMENE MAGERS LIMITED (REGISTERED NUMBER: 05858134)
STRATEGIC REPORT
FOR THE YEAR ENDED 31 DECEMBER 2025
KEY PERFORMANCE INDICATORS
The company measures its financial performance primarily through growth in turnover and profitability, alongside operational indicators such as sales conversion at art fairs and overall profit margin. In 2025, turnover increased significantly compared with 2024 and the company returned to profitability. The company continued to focus on disciplined cost management while supporting the exhibition programme and sales activity.

In preparing these financial statements, the directors are required to: |
| - | select suitable accounting policies and then apply them consistently; |

ON BEHALF OF THE BOARD:
REPORT OF THE INDEPENDENT AUDITORS TO THE MEMBERS OF
MONIKA SPRUTH & PHILOMENE MAGERS LIMITED
Opinion
We have audited the financial statements of Monika Spruth & Philomene Magers Limited (the 'company') for the year ended 31 December 2025 which comprise the Statement of Comprehensive Income (including P&L account), Balance Sheet, Statement of Changes in Equity, Cash Flow Statement and Notes to the Financial Statements, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice).
In our opinion the financial statements:
| - | give a true and fair view of the state of the company's affairs as at 31 December 2025 and of its profit for the year then ended; |
| - | have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and |
| - | have been prepared in accordance with the requirements of the Companies Act 2006. |
Basis for opinion
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.
Conclusions relating to going concern
In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.
Our responsibilities and the responsibilities of the directors with respect to going concern are described in the relevant sections of this report.
Other information
The directors are responsible for the other information. The other information comprises the information in the Strategic Report and the Report of the Directors, but does not include the financial statements and our Report of the Auditors thereon.
Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon.
In connection with our audit of the financial statements, our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact. We have nothing to report in this regard.
Opinions on other matters prescribed by the Companies Act 2006
In our opinion, based on the work undertaken in the course of the audit:
| - | the information given in the Strategic Report and the Report of the Directors for the financial year for which the financial statements are prepared is consistent with the financial statements; and |
| - | the Strategic Report and the Report of the Directors have been prepared in accordance with applicable legal requirements. |
Matters on which we are required to report by exception
In the light of the knowledge and understanding of the company and its environment obtained in the course of the audit, we have not identified material misstatements in the Strategic Report or the Report of the Directors.
We have nothing to report in respect of the following matters where the Companies Act 2006 requires us to report to you if, in our opinion:
| - | adequate accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or |
| - | the financial statements are not in agreement with the accounting records and returns; or |
| - | certain disclosures of directors' remuneration specified by law are not made; or |
| - | we have not received all the information and explanations we require for our audit. |
REPORT OF THE INDEPENDENT AUDITORS TO THE MEMBERS OF
MONIKA SPRUTH & PHILOMENE MAGERS LIMITED
Responsibilities of directors
As explained more fully in the Statement of Directors' Responsibilities set out on page four, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.
In preparing the financial statements, the directors are responsible for assessing the company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the company or to cease operations, or have no realistic alternative but to do so.
Auditors' responsibilities for the audit of the financial statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue a Report of the Auditors that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.
The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:
We considered the central laws and regulations to the entity and identified those of significance to the entity. The significant laws and regulations include UK company law, UK tax law, and health and safety at work regulations. We undertook an enquiry of management and those charged with governance to evaluate those of significance and any instances of non-compliance.
Through discussion, and where appropriate, written representation, we obtained an understanding of the entity’s policies and procedures on fraud risks, including knowledge of any actual, suspected or alleged fraud.
Where necessary documentation scrutiny was used to determine the significance of any instances of non-compliance of central laws and regulations.
We communicated relevant identified laws and regulations and potential fraud risks to all engagement team members and remained alert to any indications of fraud or non-compliance with laws and regulations throughout the audit.
The risk of management override of controls and understatement of revenue were identified to have the greatest risk of material misstatement from irregularities, including fraud, on the financial statements. Our audit procedures to respond to these risks included enquiries of management about their own identification and assessment of the risks of regularities, sample testing on the posting of journals, reviewing of regulatory correspondence and professional fees, detailed substantive testing on the completeness of income, and reviewing accounting estimates for biases.
Because of the inherent limitations of an audit, there is a risk that we will not detect all irregularities, including those leading to a material misstatement in the financial statements or non-compliance with regulation. This risk increases the more that compliance with a law or regulation is removed from the events and transactions reflected in the financial statements, as we will be less likely to become aware of instances of non-compliance. The risk is also greater regarding irregularities occurring due to fraud rather than error, as fraud involves intentional concealment, forgery, collusion, omission or misrepresentation.
A further description of our responsibilities for the audit of the financial statements is located on the Financial Reporting Council's website at www.frc.org.uk/auditorsresponsibilities. This description forms part of our Report of the Auditors.
REPORT OF THE INDEPENDENT AUDITORS TO THE MEMBERS OF
MONIKA SPRUTH & PHILOMENE MAGERS LIMITED
Use of our report
This report is made solely to the company's members, as a body, in accordance with Chapter 3 of Part 16 of the Companies Act 2006. Our audit work has been undertaken so that we might state to the company's members those matters we are required to state to them in a Report of the Auditors and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the company and the company's members as a body, for our audit work, for this report, or for the opinions we have formed.

These estimates which relate to the carrying values of assets and liabilities, where not readily available from other sources are based on underlying assumptions and experience. Actual results may differ from these estimates. The estimates and assumptions are viewed on an on-going basis. The significant estimates and judgements are as follows: |
(i) Useful economic lives of tangible assets
The annual depreciation charge for tangible assets is sensitive to changes in the estimated useful economic lives and residual values of the assets. These are re-assessed annually and amended when necessary to reflect current estimates and judgements.
(ii) Stock
The impairment of stock is considered annually by the directors on an item by item basis. Where necessary a write down provision is applied based upon an estimation of realisable value.
