Caseware UK (AP4) 2024.0.164 2024.0.164 2026-03-311701370001568770002026-03-31For the year ended 31 March 2026, the company reported a deficit of £373,000 and, at that date, net liabilities of £696,000. The net liability position principally reflects the timing of income recognition, working capital movements and the historical funding model under which the company operates. The Directors have considered the impact of these factors as part of their assessment of the company's ability to continue as a going concern. High Value Manufacturing Catapult has secured core grant funding from Innovate UK to support its activities until 31 March 2028, following approval of the organisation's current five-year business and delivery plan. The current funding settlement provides for total committed funding of approximately £813 million across the Catapult Network over the period to March 2028. HVM Catapult continues to engage closely with Innovate UK regarding future funding arrangements, and the risk associated with successor funding is actively monitored through the company's risk management and governance processes. The Directors have reviewed detailed cash flow forecasts through to 30 September 2027, extending to within six months of the end of the current Grant Funding Agreement period. These forecasts indicate that the company will have sufficient financial resources to meet its obligations as they fall due. Accordingly, the Directors have a reasonable expectation that the company has adequate resources to continue in operational existence for at least twelve months from the date of approval of these financial statements. The financial statements have therefore been prepared on a going concern basis.220060003138200024707000380330002323700011890000152420002025-04-0107708659falsefalsefalse70100 - Activities of head offices 74909 - Other professional, scientific and technical activities not elsewhere classified6051false 07708659 2025-04-01 2026-03-31 07708659 2024-04-01 2025-03-31 07708659 2026-03-31 07708659 2025-03-31 07708659 2024-04-01 07708659 1 2025-04-01 2026-03-31 07708659 1 2024-04-01 2025-03-31 07708659 4 2025-04-01 2026-03-31 07708659 4 2024-04-01 2025-03-31 07708659 5 2025-04-01 2026-03-31 07708659 5 2024-04-01 2025-03-31 07708659 d:Director1 2025-04-01 2026-03-31 07708659 d:Director2 2025-04-01 2026-03-31 07708659 d:Director3 2025-04-01 2026-03-31 07708659 d:Director4 2025-04-01 2026-03-31 07708659 d:Director4 2026-03-31 07708659 d:Director5 2025-04-01 2026-03-31 07708659 d:Director6 2025-04-01 2026-03-31 07708659 d:Director7 2025-04-01 2026-03-31 07708659 d:Director8 2025-04-01 2026-03-31 07708659 d:Director9 2025-04-01 2026-03-31 07708659 d:Director10 2025-04-01 2026-03-31 07708659 d:Director11 2025-04-01 2026-03-31 07708659 d:Director11 2026-03-31 07708659 d:Director12 2025-04-01 2026-03-31 07708659 d:Director12 2026-03-31 07708659 d:Director13 2025-04-01 2026-03-31 07708659 d:Director13 2026-03-31 07708659 d:Director14 2025-04-01 2026-03-31 07708659 d:Director14 2026-03-31 07708659 d:Director15 2025-04-01 2026-03-31 07708659 d:Director15 2026-03-31 07708659 d:Director16 2025-04-01 2026-03-31 07708659 d:Director16 2026-03-31 07708659 d:RegisteredOffice 2025-04-01 2026-03-31 07708659 e:PlantMachinery 2025-04-01 2026-03-31 07708659 e:PlantMachinery 2026-03-31 07708659 e:PlantMachinery 2025-03-31 07708659 e:PlantMachinery e:OwnedOrFreeholdAssets 2025-04-01 2026-03-31 07708659 e:FurnitureFittings 2025-04-01 2026-03-31 07708659 e:OfficeEquipment 2025-04-01 2026-03-31 07708659 e:OfficeEquipment 2026-03-31 07708659 e:OfficeEquipment 2025-03-31 07708659 e:OfficeEquipment e:OwnedOrFreeholdAssets 2025-04-01 2026-03-31 07708659 e:OwnedOrFreeholdAssets 2025-04-01 2026-03-31 07708659 e:CurrentFinancialInstruments 2026-03-31 07708659 e:CurrentFinancialInstruments 2025-03-31 07708659 e:CurrentFinancialInstruments e:WithinOneYear 2026-03-31 07708659 e:CurrentFinancialInstruments e:WithinOneYear 2025-03-31 07708659 e:ReportableOperatingSegment1 2025-04-01 2026-03-31 07708659 e:ReportableOperatingSegment1 2024-04-01 2025-03-31 07708659 e:ReportableOperatingSegment2 2025-04-01 2026-03-31 07708659 e:ReportableOperatingSegment2 2024-04-01 2025-03-31 07708659 e:ReportableOperatingSegment3 2025-04-01 2026-03-31 07708659 e:ReportableOperatingSegment3 2024-04-01 2025-03-31 07708659 e:ReportableOperatingSegment5 2025-04-01 2026-03-31 07708659 e:ReportableOperatingSegment5 2024-04-01 2025-03-31 07708659 e:UKTax 2025-04-01 2026-03-31 07708659 e:UKTax 2024-04-01 2025-03-31 07708659 e:RetainedEarningsAccumulatedLosses 2025-04-01 2026-03-31 07708659 e:RetainedEarningsAccumulatedLosses 2026-03-31 07708659 e:RetainedEarningsAccumulatedLosses 2024-04-01 2025-03-31 07708659 e:RetainedEarningsAccumulatedLosses 2025-03-31 07708659 e:RetainedEarningsAccumulatedLosses 2024-04-01 07708659 e:AcceleratedTaxDepreciationDeferredTax 2026-03-31 07708659 e:AcceleratedTaxDepreciationDeferredTax 2025-03-31 07708659 e:TaxLossesCarry-forwardsDeferredTax 2026-03-31 07708659 e:TaxLossesCarry-forwardsDeferredTax 2025-03-31 07708659 e:OtherDeferredTax 2026-03-31 07708659 e:OtherDeferredTax 2025-03-31 07708659 d:FRS102 2025-04-01 2026-03-31 07708659 d:Audited 2025-04-01 2026-03-31 07708659 d:FullAccounts 2025-04-01 2026-03-31 07708659 d:CompanyLimitedByGuarantee 2025-04-01 2026-03-31 07708659 e:EntityControlledByKeyManagementPersonnel1 2025-04-01 2026-03-31 07708659 e:EntityControlledByKeyManagementPersonnel1 2026-03-31 07708659 e:EntityControlledByKeyManagementPersonnel2 2025-04-01 2026-03-31 07708659 e:EntityControlledByKeyManagementPersonnel2 2026-03-31 07708659 e:EntityControlledByKeyManagementPersonnel3 2025-04-01 2026-03-31 07708659 e:EntityControlledByKeyManagementPersonnel3 2026-03-31 07708659 e:WithinOneYear 2026-03-31 07708659 e:WithinOneYear 2025-03-31 07708659 e:BetweenOneFiveYears 2026-03-31 07708659 e:BetweenOneFiveYears 2025-03-31 07708659 2 2025-04-01 2026-03-31 07708659 f:PoundSterling 2025-04-01 2026-03-31 07708659 e:OtherRelatedPartyRelationshipType1ComponentTotalRelatedParties 2025-04-01 2026-03-31 07708659 e:OtherRelatedPartyRelationshipType2ComponentTotalRelatedParties 2025-04-01 2026-03-31 07708659 e:OtherRelatedPartyRelationshipType1ComponentTotalRelatedParties 2026-03-31 07708659 e:OtherRelatedPartyRelationshipType2ComponentTotalRelatedParties 2026-03-31 iso4217:GBP xbrli:pure

STRATEGIC REPORT
FOR THE YEAR ENDED 31 MARCH 2026

Principal activities

The High Value Manufacturing (HVM) Catapult is a strategic research and innovation hub for UK manufacturing, helping academia, industry and government solve the world’s toughest engineering challenges. Established and supported by key stakeholder, Innovate UK, its network of centres work together to accelerate industrial transformation, tackling key objectives in support of net zero, healthy living and national security.

It operates its activities through six centres of innovation: Centre for Processing Innovation (CPI), Manufacturing Technology Centre (MTC), National Manufacturing Institute Scotland (NMIS), NCC, University of Sheffield Advanced Manufacturing Research Centre (AMRC) and Warwick Manufacturing Group (WMG).

HVM Catapult is limited by guarantee, being a not-for-profit organisation. The organisation applies for and manages funding from external sources on behalf of the HVM Catapult network and issues grants with the funding received in order to achieve its company objectives in line with needs of key stakeholders.

Establishing and maintaining the network of national centres with world-leading technical capabilities requires a sustained investment from the public and private sectors. The centres also need to create a critical mass of activity surrounding them which will anchor the activities of globally mobile companies in the UK.

The six centres that form HVM Catapult receive funding from HVM Catapult for long-term investment in infrastructure, expertise and skills development; collaborative research and development projects (CR&D), funded jointly by the public and private sectors and awarded on a competitive basis; and business funded research and development (R&D) contracts. The HVM Catapult model requires the centres to invest the core funding they receive to ensure their asset base and capability is at the leading edge. That capability is used to support industry on commercially funded projects and, together with industry, win competitive funding for collaborative research projects.

S172 statement

Directors' statement of compliance with duty to promote the success of the company
The directors of HVM Catapult must act in accordance with a set of general duties which are detailed in section 172 of the Companies Act 2006. These duties include a duty by the directors of HVM Catapult to act in a way they consider, in good faith, would be most likely to promote the success of the company for the benefit of the stakeholders as a whole and, in doing so, have had regard to and recognise the importance of considering all stakeholders and other matters set out in section 172 of the act in its decision making.

Engagement with our Stakeholders

Government stakeholders
These stakeholders are key to the future success of the business, providing the financial framework which aids business growth and stability. The directors provide information on company strategy and performance, being honest and transparent at all times.

Customers
The primary customer providing grant income is Innovate UK. A good working relationship is maintained through regular tactical meetings and formal quarterly review sessions on operations and strategy. All obligations under the grant funding agreement are being met appropriately. Its experienced staff are dedicated to ensuring the Catapult continues to exceed in the areas of governance and delivery.

STRATEGIC REPORT (CONTINUED)
FOR THE YEAR ENDED 31 MARCH 2026

Engagement with our Stakeholders (continued)

Members
The members of the HVM Catapult company represent the network of national centres which provide research and innovation capabilities to support UK manufacturing industries. The directors engage closely with the member representatives on areas of national and regional strategic priority and in the development of HVM Catapult long-term mission and goals in order to facilitate transformative collaboration with partners across key sectors and industries.

Suppliers
The company operates with limited suppliers for goods and services. Suppliers are paid promptly within their payment terms.

Employees
The majority of HVM Catapult employees work on a hybrid basis from home and from its offices in Birmingham and London. The organisation engages with employees through established internal communication channels, including monthly online meetings, quarterly in-person team days, an online newsletter and news portal and quarterly employee surveys.

During the year, the Executive Leadership Team (ELT) continued to support the embedding of HVM Catapult’s purpose, values and behaviours, shared organisational updates and strengthened team cohesion.

Volunteering leave is provided to employees to contribute positively to their communities, with colleagues contributing 107 hours of volunteering time.

All employees have continued to complete mandatory training within the required timeframes with a 94.33% completion rate with the shortfall being new starters.

HVM Catapult remains committed to equality, diversity, inclusion and human rights, reflected in its policies, its approach to modern slavery compliance and its status as a signatory to the Inclusivity in Innovation Charter. Engaging with employees remains fundamental to creating an inclusive culture and positive working environment.

Business review and results

In a time of global uncertainties HVM Catapult has not been directly impacted by global economic challenges - for example around energy costs due to the nature of its business. There has been an impact as a result of the increase in national insurance.

The results for HVM Catapult for the year show a pre-tax loss of £0.4m driven by minor timing differences on expenses incurred and claim eligibility (2025: pre-tax profit £3.8m).

Turnover, including revenue grants, is £169.5m (2025: £160.4m). The company had net current liabilities of £0.8m (2025: £0.6m).

In the period from April 2025 to March 2026 HVM Catapult delivered against £169.5m in grant funding. This compares with £160.4m achieved in the previous year. The £169.5m comprises of £163.6m of core funding and £5.9m of R&D projects income.

At the heart of the Catapult's offer is access to leading-edge, full-scale manufacturing equipment and the expertise to develop new processes and technologies.

STRATEGIC REPORT (CONTINUED)
FOR THE YEAR ENDED 31 MARCH 2026

Key Performance Indicators (KPIs)

Turnover, including revenue grants, is £169.5m (2025: £160.4m). The company had net current liabilities of £0.8m (2025: £0.6m).

The board believes KPIs provide a comprehensive understanding of the performance and development of the business in its complex environment of public and commercial activities.

Principal risks and uncertainties

The execution of HVM Catapult's strategy and the management and operation of the business are all subject to a number of risks. These are reviewed regularly by the board and the Audit and Risk Committee and mitigating actions implemented. Principal risks and uncertainties are:

∙Changes in UK government policy, innovation priorities or the wider innovation landscape which could require significant changes to strategic plans, operating model, funding arrangements or delivery priorities;

∙Future Grant Funding Agreement case development and confirmation - current funding cycle runs to March 2028;

∙Failure to demonstrate sufficient impact and value for money for strategic investment as technological and industrial needs evolve, resulting in reduced confidence from stakeholders;

∙Geopolitical, economic and market uncertainty or shocks leading to reduced industrial investment in research, development and innovation resulting in weaker commercial demand and financial pressure across the network;

∙Cyber security and information security failures potentially resulting in business disruption, losses, contractual breaches or reputational damage;

∙HVM Catapult and its network partners do not invest in future capabilities at the appropriate speed, scale or direction of innovation and capability relevance diminishes, reducing ability to deliver impact for customers/stakeholders; and

∙Dependency on certain key investors, sectors or large organisations and any risks or external impacts that may affect those sectors would pose a financial risk for parts of the network.

Future developments

During 2026, HVM Catapult marks its fifteenth year of operation. Looking ahead, the network will continue to work closely with UK Research and Innovation (UKRI) and Innovate UK to support the development and implementation of their evolving strategies. HVM Catapult will also contribute to the development of plans for the next phase of the Catapult Network, supporting delivery of the UK Government's industrial strategy and continued investment in innovation-led economic growth.

This report was approved by the board and signed on its behalf.

DIRECTORS' REPORT (CONTINUED)
FOR THE YEAR ENDED 31 MARCH 2026

Qualifying third party indemnity provisions

The company has granted an indemnity to its directors against liabilities in respect of proceedings brought by third parties, subject to the conditions set out in section 234 of the Companies Act 2006. Such qualifying third-party indemnity provision remains in force as at the date of approving the Directors' Report.

Political contributions

The company made no political donations during the year or previous period.

Carbon reporting

The company does not need to comply with energy reporting as its usage is less than 40,000kWh a year.

Whilst not currently required to provide any statutory carbon reports, the HVM Catapult is seeking to develop a broader sustainability strategy, which will also enhance the Catapult's environmental data capture, enabling carbon reporting and carbon reduction in future.

Dividends

No portion of the income of the company shall be paid or transferred to any members of the company except where it is payment in good faith for remuneration for services rendered or core grant allocation funding or repayment of out-of-pocket expenses to directors.

Matters covered in the Strategic Report

The Strategic Report includes the Business Review, s172 compliance statement, Employee engagement and engagement with suppliers and customers, Key Performance Indicators, Principal risks and uncertainties and future developments.

Going concern

For the year ended 31 March 2026, the company reported a deficit of £373,000 and, at that date, net liabilities of £696,000.

The financial statements have therefore been prepared on a going concern basis.

GOVERNANCE REPORT
FOR THE YEAR ENDED 31 MARCH 2026

The HVM Catapult model requires centres invest the Innovate UK core funding they receive through the HVM Catapult to maintain world leading facilities, assets and capabilities in areas of strategic priority. These capabilities support industry through commercially funded projects and enable centres to secure competitive collaborative research and development funding, helping to drive innovation and growth in UK manufacturing. The core funding is governed by a grant funding agreement and HVM Catapult is responsible for governance around this arrangement and the prompt and accurate reporting to its stakeholders.

The Board comprises a non-executive Chair, seven independent non-executive directors and two executive directors. Each non-executive director (NED) serves for an initial three-year period and may serve up to nine years subject to the Board being satisfied with a director's performance, independence and commitment. The Board's policy is to appoint and retain NEDs who can apply leading knowledge and experience to the governance of HVM Catapult, and to review and refresh regularly the skills and experience the Board requires across industry, research and policy backgrounds. The process for appointing new directors is conducted by the Nominations Committee.

The Board meets on a quarterly basis to cover matters relating to governance, risk, performance and Board responsibilities. The Board also recognises the importance of close engagement with the six HVM Catapult centres. During the year, centre CEOs attended a number of Board meetings and strategy discussions to contribute to sessions on network performance, strategic opportunities and delivery challenges.

The Board is committed to high standards of corporate governance, which it considers are critical to business integrity and to maintaining stakeholders' trust in the company. HVM Catapult expects all directors and employees to act with honesty, integrity and professionalism and to uphold the highest standards of business conduct.

GOVERNANCE REPORT (CONTINUED)
FOR THE YEAR ENDED 31 MARCH 2026

A Board effectiveness review is undertaken annually, led by the Chair, together with an annual strategic performance review undertaken with the core funding stakeholder. An externally facilitated, independent Board effectiveness review is undertaken every third year.

The Audit & Risk Committee oversees the effectiveness of the internal control and risk management framework. The committee reviews the risk register at each meeting and reports regularly to the Board, with a full Board review of principal risks undertaken at least annually. The committee also oversees compliance, assurance and audit activity and maintains an annual programme of assurance reviews covering key policies, controls and governance arrangements.

The committee has established a programme of engagement with the audit committees and equivalent governance bodies within the HVM Catapult centres to support the sharing of risk and assurance information and good practice across the network.

The Nominations Committee supports the Board by ensuring it has the appropriate balance of skills, experience, independence and diversity to discharge its responsibilities effectively. The committee oversees Board and committee succession planning and appointment processes and monitors Board effectiveness through annual reviews and periodic external evaluations.

The Remuneration Committee supports the Board by overseeing remuneration policies and practices to ensure they are aligned with strategic objectives and principles for HVM Catapult. The committee provides assurance that remuneration decisions are transparent, proportionate and appropriately governed.

Health and safety remains a key area of focus for the Board. Responsibility for maintaining safe working practices rests with management and employees throughout the organisation. Centres operating with HVM Catapult funding are expected to uphold high standards of health and safety management and to pursue continuous improvement in performance.

The Board is committed to promoting equality, diversity and inclusion and respecting human rights throughout HVM Catapult and the wider network. This commitment is reflected in the organisation's policies, the Inclusivity in Innovation Charter and its approach to modern slavery compliance.

INDEPENDENT AUDITOR'S REPORT TO THE MEMBERS OF HIGH VALUE MANUFACTURING CATAPULT

Opinion

We have audited the financial statements of High Value Manufacturing Catapult (the 'company') for the year ended 31 March 2026, which comprise the Profit and Loss Account, the Statement of Comprehensive Income, the Balance Sheet, the Statement of Changes in Equity, the Statement of Cash Flows and notes to the financial statements, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 ‘The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice).

In our opinion:

∙the financial statements give a true and fair view of the state of the company's affairs as at 31 March 2026 and of its loss for the year then ended;

∙the financial statements have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and

∙the financial statements have been prepared in accordance with the requirements of the Companies Act 2006.

Basis for opinion

We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the 'Auditor's responsibilities for the audit of the financial statements' section of our report. We are independent of the company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

Conclusions relating to going concern

We are responsible for concluding on the appropriateness of the directors' use of the going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the company's ability to continue as a going concern. If we conclude that a material uncertainty exists, we are required to draw attention in our report to the related disclosures in the financial statements or, if such disclosures are inadequate, to modify the auditor’s opinion. Our conclusions are based on the audit evidence obtained up to the date of our report. However, future events or conditions may cause the company to cease to continue as a going concern.

In our evaluation of the directors' conclusions, we considered the inherent risks associated with the company's business model, including effects arising from macro-economic uncertainties, such as inflationary pressures, changes in government funding priorities and supply chain disruption. We assessed and challenged the reasonableness of estimates made by the directors and the related disclosures and analysed how those risks might affect the company's financial resources or ability to continue operations over the going concern period.

INDEPENDENT AUDITOR'S REPORT TO THE MEMBERS OF HIGH VALUE MANUFACTURING CATAPULT (CONTINUED)

Conclusions relating to going concern (continued)

In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.

Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.

Our responsibilities and the responsibilities of the directors with respect to going concern are described in the relevant sections of this report.

Other information

The other information comprises the information included in the Annual Report and financial statements, other than the financial statements and our Auditor's Report thereon. The directors are responsible for the other information contained within the Annual Report and financial statements. Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon.

Our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether there is a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.

We have nothing to report in this regard.

Opinions on other matters prescribed by the Companies Act 2006

In our opinion, based on the work undertaken in the course of the audit:

∙the information given in the Strategic Report and the Directors' Report for the financial year for which the financial statements are prepared is consistent with the financial statements; and

∙the Strategic Report and the Directors' Report have been prepared in accordance with applicable legal requirements.

INDEPENDENT AUDITOR'S REPORT TO THE MEMBERS OF HIGH VALUE MANUFACTURING CATAPULT (CONTINUED)

Matter on which we are required to report under the Companies Act 2006

In the light of the knowledge and understanding of the company and its environment obtained in the course of the audit, we have not identified material misstatements in the Strategic Report or the Directors' Report.

Matters on which we are required to report by exception

We have nothing to report in respect of the following matters in relation to which the Companies Act 2006 requires us to report to you if, in our opinion:

∙adequate accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or

∙the financial statements are not in agreement with the accounting records and returns; or

∙certain disclosures of directors' remuneration specified by law are not made; or

∙we have not received all the information and explanations we require for our audit.

Responsibilities of directors

As explained more fully in the Directors' Responsibilities Statement set out on page 4, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

In preparing the financial statements, the directors are responsible for assessing the company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the company or to cease operations, or have no realistic alternative but to do so.

INDEPENDENT AUDITOR'S REPORT TO THE MEMBERS OF HIGH VALUE MANUFACTURING CATAPULT (CONTINUED)

Auditor's responsibilities for the audit of the financial statements

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an Auditor's Report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists.

Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.

Irregularities, including fraud, are instances of non-compliance with laws and regulations. The extent to which our procedures are capable of detecting irregularities, including fraud, is detailed below:

∙We obtained an understanding of the legal and regulatory frameworks applicable to the company, through inquiry of management, and determined that those most directly relevant to specific assertions in the financial statements are those related to the reporting framework (being FRS 102 ‘The Financial Reporting Standard applicable in the UK and Ireland’ and the Companies Act 2006) and relevant tax legislation in the UK;

∙We obtained an understanding of how the company is complying with those legal and regulatory frameworks by making enquiries of management. We corroborated our enquiries through our testing of legal and professional fees incurred in the year;

∙We assessed the susceptibility of the financial statements to material misstatement, including how fraud might occur, by making enquiries of management and those charged with governance, and updating our understanding of the company’s operations, financial reporting obligations and control environment, including around compliance with laws and regulations. We considered the risk of fraud to be higher through the potential for management override of controls;

∙We assessed the susceptibility of the company's financial statements to material misstatement, including how fraud might occur and the risk of management override of controls. Audit procedures performed by the engagement team included:

−Meeting with management from different parts of the business to understand where it is considered there was a susceptibility of fraud;

−Identifying and testing journal entries, with a focus on those relating to management estimates and entries determined to be large or relating to unusual transactions;

−Completing audit procedures to conclude on the compliance of disclosures in the Annual Report and financial statements with applicable financial reporting requirements.

∙These audit procedures were designed to provide reasonable assurance that the financial statements were free from fraud or error. The risk of not detecting a material misstatement due to fraud is higher than the risk of not detecting one resulting from error and detecting irregularities that result from fraud is inherently more difficult than detecting those that result from error, as fraud may involve collusion, deliberate concealment, forgery or intentional misrepresentations. Also, the further removed non-compliance with laws and regulations is from events and transactions reflected in the financial statements, the less likely we would become aware of it;

Auditor's responsibilities for the audit of the financial statements (continued)

∙The engagement partner's assessment of the appropriateness of the collective competence and capabilities of the engagement team included consideration of the engagement team's understanding of, and practical experience with, entities operating in a publicly funded research and innovation environment through appropriate training and participation.

A further description of our responsibilities for the audit of the financial statements is located on the Financial Reporting Council's website at: www.frc.org.uk/auditorsresponsibilities. This description forms part of our Auditor's Report.

Use of our report

This report is made solely to the company's members, as a body, in accordance with Chapter 3 of Part 16 of the Companies Act 2006. Our audit work has been undertaken so that we might state to the company's members those matters we are required to state to them in an Auditor's Report and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the company and the company's members as a body, for our audit work, for this report, or for the opinions we have formed.

NOTES TO THE FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31 MARCH 2026

1.

General information

High Value Manufacturing Catapult is a private company limited by guarantee, incorporated in England and Wales. Its registered number is 07708659, and its registered head office is located at iCentrum, 6 Holt Street, Birmingham, England, B7 4BP.

2.Accounting policies

2.1

Basis of preparation of financial statements

The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006.

The preparation of financial statements in compliance with FRS 102 requires the use of certain critical accounting estimates. It also requires management to exercise judgement in applying the company's accounting policies (see note 3).

The following principal accounting policies have been applied:

2.2

Going concern

For the year ended 31 March 2026, the company reported a deficit of £373,000 and, at that date, net liabilities of £696,000.

The financial statements have therefore been prepared on a going concern basis.

2.3

Foreign currency translation

Functional and presentation currency

The company's functional and presentation currency is GBP and all values are rounded to the nearest thousand pounds (£000) except where otherwise stated.

2.Accounting policies (continued)

2.3
Foreign currency translation (continued)

Transactions and balances

Foreign currency transactions are translated into the functional currency using the spot exchange rates at the dates of the transactions.

At each period end foreign currency monetary items are translated using the closing rate. Non-monetary items measured at historical cost are translated using the exchange rate at the date of the transaction and non-monetary items measured at fair value are measured using the exchange rate when fair value was determined.

Foreign exchange gains and losses resulting from the settlement of transactions and from the translation at period-end exchange rates of monetary assets and liabilities denominated in foreign currencies are recognised in profit or loss except when deferred in other comprehensive income as qualifying cash flow hedges.

Foreign exchange gains and losses that relate to borrowings and cash and cash equivalents are presented in the Profit and Loss Account within 'finance income or costs'. All other foreign exchange gains and losses are presented in profit or loss within 'other operating income'.

2.4

Revenue

Turnover represents net invoiced sales of goods and services, excluding value added tax, and revenue grants received from Innovate UK where the revenue grants received are part of the ordinary trading activity of the company and where the company is acting as principal on behalf of member organisations of the Catapult. Grant income of £169.5m has been included within turnover in the year as per note 4.

2.5

Operating leases: the company as lessee

Rentals paid under operating leases are charged to profit or loss on a straight-line basis over the lease term.

Benefits received and receivable as an incentive to sign an operating lease are recognised on a straight-line basis over the lease term, unless another systematic basis is representative of the time pattern of the lessee's benefit from the use of the leased asset.

NOTES TO THE FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31 MARCH 2026

2.Accounting policies (continued)

2.6

Research and development

In the research phase of an internal project it is not possible to demonstrate that the project will generate future economic benefits and hence all expenditure on research shall be recognised as an expense when it is incurred. Intangible assets are recognised from the development phase of a project if and only if certain specific criteria are met in order to demonstrate the asset will generate probable future economic benefits and that its cost can be reliably measured. The capitalised development costs are subsequently amortised on a straight-line basis over their useful economic lives, which range from 3 to 6 years.

If it is not possible to distinguish between the research phase and the development phase of an internal project, the expenditure is treated as if it were all incurred in the research phase only.

2.7

Government grants

Government grants are accounted for using the accruals model. Elements of grants relating to future costs are deferred and released as the expense is recognised in the Profit and Loss Account. Grants are recognised when there is reasonable assurance that the company will comply with the conditions attached to the payments and the grants will be received. Grants of a capital nature are credited to deferred grants and released to turnover over the useful life of the assets concerned.

2.8

Interest income

Interest income is recognised in profit or loss using the effective interest method.

2.9

Pensions

Defined contribution pension plan

The company operates a defined contribution plan for its employees. A defined contribution plan is a pension plan under which the company pays fixed contributions into a separate entity. Once the contributions have been paid the company has no further payment obligations.

The contributions are recognised as an expense in profit or loss when they fall due. Amounts not paid are shown in accruals as a liability in the Balance Sheet. The assets of the plan are held separately from the company in independently administered funds.

NOTES TO THE FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31 MARCH 2026

2.Accounting policies (continued)

2.10

Current and deferred taxation

The tax expense for the year comprises current and deferred tax. Tax is recognised in profit or loss except that a charge attributable to an item of income and expense recognised as other comprehensive income or to an item recognised directly in equity is also recognised in other comprehensive income or directly in equity respectively.

The current income tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the balance sheet date in the countries where the company operates and generates income.

Deferred tax balances are recognised in respect of all timing differences that have originated but not reversed by the balance sheet date, except that:
∙The recognition of deferred tax assets is limited to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits; and
∙Any deferred tax balances are reversed if and when all conditions for retaining associated tax allowances have been met.

Deferred tax balances are not recognised in respect of permanent differences except in respect of business combinations, when deferred tax is recognised on the differences between the fair values of assets acquired and the future tax deductions available for them and the differences between the fair values of liabilities acquired and the amount that will be assessed for tax. Deferred tax is determined using tax rates and laws that have been enacted or substantively enacted by the balance sheet date.

2.11

Tangible fixed assets

Tangible fixed assets under the cost model are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management.

Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated useful lives, using the straight-line method.

Depreciation is provided on the following basis:

Office Equipment & Plant and Machinery
-
3 years
Fixtures and fittings
-
5 years

The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date.

Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in profit or loss.

2.Accounting policies (continued)

2.12

Cash and cash equivalents

Cash is represented by cash in hand and deposits with financial institutions repayable without penalty on notice of not more than 24 hours.

2.13

Financial instruments

The company has elected to apply the provisions of Section 11 “Basic Financial Instruments” of FRS 102 to all of its financial instruments.

Financial instruments are recognised in the company's Balance Sheet when the company becomes party to the contractual provisions of the instrument.

Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.

Basic financial assets

Basic financial assets, which include trade and other debtors, cash and bank balances, are initially measured at their transaction price (adjusted for transaction costs except in the initial measurement of financial assets that are subsequently measured at fair value through profit and loss) and are subsequently carried at their amortised cost using the effective interest method, less any provision for impairment, unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest.

Discounting is omitted where the effect of discounting is immaterial. The company's cash and cash equivalents, trade and most other debtors due within the operating cycle fall into this category of financial instruments.

Impairment of financial assets

At the end of each reporting period financial assets measured at amortised cost are assessed for objective evidence of impairment. If an asset is impaired the impairment loss is the difference between the carrying amount and the present value of the estimated cash flows discounted at the asset’s original effective interest rate. The impairment loss is recognised in profit or loss.

Financial assets are impaired when events, subsequent to their initial recognition, indicate the estimated future cash flows derived from the financial asset(s) have been adversely impacted. The impairment loss will be the difference between the current carrying amount and the present value of the future cash flows at the asset(s) original effective interest rate.

If there is a favourable change in relation to the events surrounding the impairment loss then the impairment can be reviewed for possible reversal. 2.Accounting policies (continued)

2.13
Financial instruments (continued)

Basic financial liabilities

Financial liabilities and equity instruments are classified according to the substance of the contractual arrangements entered into. An equity instrument is any contract that evidences a residual interest in the assets of the company after the deduction of all its liabilities.

Basic financial liabilities, which include trade and other creditors, bank loans and other loans are initially measured at their transaction price (adjusting for transaction costs except in the initial measurement of financial liabilities that are subsequently measured at fair value through profit and loss). When this constitutes a financing transaction, whereby the debt instrument is measured at the present value of the future payments discounted at a market rate of interest, discounting is omitted where the effect of discounting is immaterial.

Debt instruments are subsequently carried at their amortised cost using the effective interest rate method.

Trade creditors are obligations to pay for goods and services that have been acquired in the ordinary course of business from suppliers. Trade creditors are classified as current liabilities if the payment is due within one year. If not, they represent non-current liabilities. Trade creditors are initially recognised at their transaction price and subsequently are measured at amortised cost using the effective interest method. Discounting is omitted where the effect of discounting is immaterial.

Derecognition of financial assets

Financial assets are derecognised when their contractual right to future cash flow expire, or are settled, or when the company transfers the asset and substantially all the risks and rewards of ownership to another party. If significant risks and rewards of ownership are retained after the transfer to another party, then the company will continue to recognise the value of the portion of the risks and rewards retained.

Derecognition of financial liabilities

Financial liabilities are derecognised when the company's contractual obligations expire or are discharged or cancelled.

Judgements in applying accounting policies and key sources of estimation uncertainty

The preparation of the financial statements requires management to make judgements, estimates and assumptions that affect the application of accounting policies and reported amounts of assets, liabilities, income and expenses. Actual results may differ from these estimates.

Estimates and underlying assumptions are reviewed on an ongoing basis. Estimates are based on historical experience and other assumptions that are considered reasonable in the circumstances. The actual amount or values may vary in certain instances from the assumptions and estimates made. Changes will be recorded, with corresponding effect in the financial statements, when, and if, better information is obtained.

Critical judgements and sources of estimation uncertainty that management have made in the process of applying accounting policies disclosed herein and that have a significant effect on the amounts recognised in the financial statements relate to the following:

Estimates

Recoverability of grant debtors and provision for grant clawback (note 13)

The company's activities are funded by various grant agreements. The nature of these agreements is such that expenditure is funded where it meets specific criteria set out in the grant funding agreement. The company therefore makes an assessment as to whether it considers the expenditure to be in accordance with the funding agreements when recognising grant income. If the company considers that it is probable that any amounts will not be recoverable or that grant income may be clawed back by the funder, then an estimate of the provision is made.

Judgements

In the process of preparing the financial statements, no significant judgements were applied.
