Strategic Report for the Year Ended 31 December 2025
The Directors present their strategic report for the year ended 31 December 2025.
Principal activity
The principal activity of the Group is The principal activity of the company is that of a holding company.
Fair review of the business
Group turnover for the year was £11.06 million, broadly in line with the prior year (2024: £11.30 million), a decrease of 2.0%. However, profitability fell materially: gross profit reduced by 8.2% to £5.81 million as the gross margin narrowed from 56.1% to 52.6%, reflecting cost pressure in cost of sales, which grew 5.8% while turnover was flat to down.
Administrative expenses increased by 17.6% to £5.33 million (2024: £4.53 million), rising much faster than turnover. As a result, operating profit fell by 73.1% to £484,733 (2024: £1.80 million) and the operating margin declined from 15.9% to 4.4%. Profit before tax was £488,482 (2024: £1.86 million) and profit for the financial year was £362,301 (2024: £1.39 million), a reduction of 74%. The Directors consider that this reflects a year in which cost growth, particularly in overheads and employment costs following an increase in average headcount from 53 to 65, was not matched by commensurate revenue growth, and this has been a specific focus of Board discussion during and since the year end.
Net assets at 31 December 2025 were £4.26 million (2024: £4.64 million), a decrease of 8.3%. This reduction reflects the lower retained profit for the year combined with a dividend of £717,420 (2024: £736,325) that substantially exceeded the profit generated in the year, resulting in dividend cover of 0.47 times (2024: 1.89 times).

Strategic Report for the Year Ended 31 December 2025
Principal risks and uncertainties
• Margin and overhead risk – administrative expenses grew by 17.6% against a 2.0% decline in turnover during the year, compressing operating margin from 15.9% to 4.4%. The Board has commenced a structured review of overhead levels and cost allocation to restore margin over the medium term.
• Supply chain disruptions – global supply chain issues, including delays and shortages of raw materials and components, could affect the Group's ability to fulfil customer orders on time.
• Economic instability – fluctuating economic conditions, including inflation and changes in interest rates, can impact the cost of production and capital expenditure, affecting profitability and investment capabilities.
• Technological advancements – rapid technological change and the need for continual innovation pose a risk, as the Group must continue to invest in new technologies to remain competitive and meet evolving customer expectations.
• Regulatory changes – ongoing changes in environmental and safety regulations can increase operational costs and necessitate additional investment in compliance measures.
• Labour shortages – difficulty in attracting and retaining skilled labour can hinder production efficiency and increase operational costs; average headcount grew by 22.6% during the year, and retaining this expanded team is a Board priority.
• Customer and credit risk – the Group's revenue and trade debtor book (£1,461,270 at the year end) are exposed to changes in demand in the construction, waste management, manufacturing and agricultural sectors and to concentration risk on individual large contracts, mitigated in part by credit risk insurance held by Modular Safety Systems Ltd.
The Directors continue to review and, where possible, mitigate these risks through Board oversight, regular management reporting, and periodic strategy review.

Directors' Report for the Year Ended 31 December 2025
The Directors present their report and the for the year ended 31 December 2025.
Directors of the Group
The Directors who held office during the year were as follows:
The following director was appointed after the year end:
Dividends
The Directors have paid an final dividend in the period of £717,420, (2024; £736,325).
Future developments
Since the year end, unaudited consolidated management accounts for the six months to 30 June 2026 show Group turnover of £6.12 million against a budget of £7.15 million, a shortfall of 14.4%, although 12.4% ahead of the same period in 2025 (£5.44 million). Gross margin for the period was 46.6% (2025: 48.8%), and Group EBITDA was £639,132 (2025: £444,273), an EBITDA margin of 10.4%. Net profit for the period was £472,997 (2025: £326,533). This reflects a continuation of the pattern seen in the year under review, with overheads growing ahead of sales recovery, although trading remains ahead of the prior year.
Cash at bank stood at £2.49 million at 30 June 2026 (31 December 2025: £2.19 million), with the current ratio at 2.40 (31 December 2025: 3.29) and the quick (acid test) ratio at 1.79 (31 December 2025: 2.41), indicating that short-term liquidity remains strong notwithstanding the reduction in profitability. Debtor days at 30 June 2026 were 44.4 days (31 December 2025: 35.0 days) and creditor days were 79.7 days (31 December 2025: 52.5 days).
The Board's priorities for the current financial year include restoring operating margin through the review of overhead levels described above, continued investment in the Group's product range and workforce, and further strengthening of financial forecasting and cash flow visibility. The Directors will continue to monitor these matters closely and report further progress in next year's Strategic Report.
Going concern
The financial statements have been prepared on a going concern basis. The Directors have considered the Group's cash position, its operating cash generation during the year, available banking arrangements, and the trading and cash flow forecasts prepared for the twelve months following the date of approval of these financial statements, and consider it appropriate to adopt the going concern basis of preparation.

• | have been prepared in accordance with the requirements of the Companies Act 2006. |
Basis for qualified opinion on financial statements
Basis for opinion
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the auditor responsibilities for the audit of the financial statements section of our report. We are independent of the Group in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC’s Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our qualified opinion.
The corresponding figures for the financial year ended 31 December 2024 are unaudited.
Conclusions relating to going concern
In auditing the financial statements, we have concluded that the Director's use of the going concern basis of accounting in the preparation of the financial statements is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the Group's ability to continue as a going concern for a period of at least twelve months from when the original financial statements were authorised for issue.
Our responsibilities and the responsibilities of the Directors with respect to going concern are described in the relevant sections of this report.
Other information
The Directors are responsible for the other information. The other information comprises the information included in the annual report, other than the financial statements and our auditor’s report thereon. Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon.
Ezi Klamp Systems (Holdings) Limited
Independent Auditor's Report to the Members of Ezi Klamp Systems (Holdings) Limited
In connection with our audit of the financial statements, our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether there is a material misstatement in the financial statements or a material misstatement of the other information. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.
As described in the basis for qualified opinion section of our report, we were unable to satisfy ourselves concerning the inventory quantities held at 31 December 2025. We have concluded that where the other information refers to the inventory balance or related balances such as cost of sales, it may be materially misstated for the same reason.
Opinion on other matter prescribed by the Companies Act 2006
Except for the possible effects of the matter described in the basis for qualified opinion section of our report, in our opinion, based on the work undertaken in the course of the audit:
|
• |
the information given in the Strategic Report and Directors' Report for the financial year for which the financial statements are prepared is consistent with the financial statements; and |
|
• |
the Strategic Report and Directors' Report have been prepared in accordance with applicable legal requirements. |
Matters on which we are required to report by exception
Except for the matter described in the basis for qualified opinion section of our report, in the light of our knowledge and understanding of the Company and its environment obtained in the course of the audit, we have not identified material misstatements in the Strategic Report and the Directors' Report.
Arising solely from the limitation on the scope of our work relating to inventory, referred to above:
|
• |
we have not obtained all the information and explanations that we considered necessary for the purpose of our audit; and |
|
• |
we were unable to determine whether adequate accounting records have been kept |
We have nothing to report in respect of the following matters where the Companies Act 2006 requires us to report to you if, in our opinion:
• | adequate accounting records have not been kept by the parent Company, or returns adequate for our audit have not been received from branches not visited by us; or |
• | the parent Company financial statements are not in agreement with the accounting records and returns; or |
• | certain disclosures of Directors' remuneration specified by law are not made; or |
Ezi Klamp Systems (Holdings) Limited
Independent Auditor's Report to the Members of Ezi Klamp Systems (Holdings) Limited
Auditor Responsibilities for the audit of the financial statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.
The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:
|
• |
Identify and assess the risks of material misstatement of the financial statements, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal control. |
|
• |
Obtain an understanding of internal control relevant to the audit of the Company in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the Company’s internal control. |
|
• |
Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures made by the directors. |
|
• |
Conclude on the appropriateness of the directors’ use of the going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the Company’s, or the parent company’s, ability to continue as a going concern. If we conclude that a material uncertainty exists, we are required to draw attention in our auditor’s report to the related disclosures in the financial statements or, if such disclosures are inadequate, to modify our opinion. Our conclusions are based on the audit evidence obtained up to the date of our auditor’s report. However, future events or conditions may cause the Company, or the parent company, to cease to continue as a going concern. |
|
• |
Evaluate the overall presentation, structure and content of the financial statements of the Company, including the disclosures, and whether the consolidated financial statements represent the underlying transactions and events in a manner that achieves fair presentation. |
|
• |
Obtain sufficient appropriate audit evidence regarding the financial information of the entities or business activities within the group to express an opinion on the consolidated financial statements. We are responsible for the direction, supervision, and performance of the group audit. We remain solely responsible for our audit opinion. |
|
We communicate with those charged with governance regarding, among other matters, the planned scope and timing of the audit and significant audit findings, including any significant deficiencies in internal control that we identify during our audit. We also provide the directors with a statement that we have complied with relevant ethical requirements regarding independence and communicate with them all relationships and other matters that may reasonably be thought to bear on our independence, and where applicable, related safeguards.
|
|
|
• |
The engagement partner ensured that the engagement team collectively had the appropriate competence, capabilities and skills to identify or recognise non-compliance with applicable laws and regulations; |
|
• |
We identified the laws and regulations applicable to the Group and the Parent Company, through discussions with directors and other management, and from our knowledge and experience of the sector; |
|
• |
We focussed on specific laws and regulations which we considered may have a direct material effect on the financial statements of the operations of the Group and the Parent Company, including the Companies Act 2006, taxation legislation and data protection, anti-bribery, employment, environmental and health and safety legislation; |
Ezi Klamp Systems (Holdings) Limited
Independent Auditor's Report to the Members of Ezi Klamp Systems (Holdings) Limited
|
• |
We assessed the extent of compliance with laws and regulations identified above through making enquiries of management and inspecting legal correspondence; and |
|
• |
Identified laws and regulations were communicated within the audit team regularly and the team remained alert to instances of non-compliance through the audit. |
|
We assessed the susceptibility of the Group and Parent Company’s financial statements to material misstatement, including obtaining an understanding of how fraud might occur, by: |
|
|
• |
Making enquiries of management as to where they considered there was susceptibility to fraud, their knowledge of actual, suspected and alleged fraud; |
|
• |
Considering the internal controls in place to mitigate risks of fraud and non-compliance with laws and regulations; and |
|
• |
Understanding the design of the Group and Parent Company’s remuneration policies. |
|
To address the risk of fraud through management bias and override of controls, we: |
|
|
• |
Performed analytical procedures to identify any unusual or unexpected relationships; |
|
• |
Tested journal entries to identify unusual transactions; |
|
• |
Assessed whether judgements and assumptions made in determining the accounting estimates set out in the accounting policies were indicative of potential bias; and |
|
• |
Investigated the rationale behind significant or unusual transactions. |
|
In response to the risk of irregularities and non-compliance with laws and regulations, we designed procedures which included, but were not limited to: |
|
|
• |
Agreeing financial statement disclosures to underlying supporting documentation; |
|
• |
Reading the minutes of meetings of those charged with governance; |
|
• |
Enquiring of management as to actual and potential litigation and claims; and |
|
• |
Reviewing correspondence with HMRC, relevant regulators and the Group and Parent Company’s legal advisors. |
A further description of our responsibilities is available on the Financial Reporting Council’s website at: www.frc.org.uk/auditorsresponsibilities. This description forms part of our auditor’s report.

Accounting policies |
Summary of significant accounting policies and key accounting estimates
The principal accounting policies applied in the preparation of these financial statements are set out below. These policies have been consistently applied to all the years presented, unless otherwise stated.
Statement of compliance
These financial statements were prepared in accordance with Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006.
Basis of preparation
These financial statements have been prepared using the historical cost convention except that as disclosed in the accounting policies certain items are shown at fair value.
Basis of consolidation
The consolidated financial statements consolidate the financial statements of the Company and its subsidiary undertakings drawn up to 31 December 2025.
Ezi Klamp Systems (Holdings) Limited
Notes to the Financial Statements for the Year Ended 31 December 2025
A subsidiary is an entity controlled by the Company. Control is achieved where the Company has the power to govern the financial and operating policies of an entity so as to obtain benefits from its activities.
The results of subsidiaries acquired or disposed of during the year are included in the Profit and Loss Account from the effective date of acquisition or up to the effective date of disposal, as appropriate. Where necessary, adjustments are made to the financial statements of subsidiaries to bring their accounting policies into line with those used by the Group.
The purchase method of accounting is used to account for business combinations that result in the acquisition of subsidiaries by the Group. The cost of a business combination is measured as the fair value of the assets given, equity instruments issued and liabilities incurred or assumed at the date of exchange, plus costs directly attributable to the business combination. Identifiable assets acquired and liabilities and contingent liabilities assumed in a business combination are measured initially at their fair values at the acquisition date. Any excess of the cost of the business combination over the acquirer’s interest in the net fair value of the identifiable assets, liabilities and contingent liabilities recognised is recorded as goodwill.
Inter-company transactions, balances and unrealised gains on transactions between the Company and its subsidiaries, which are related parties, are eliminated in full.
Intra-group losses are also eliminated but may indicate an impairment that requires recognition in the consolidated financial statements.
Accounting policies of subsidiaries have been changed where necessary to ensure consistency with the policies adopted by the Group. Non-controlling interests in the net assets of consolidated subsidiaries are identified separately from the Group’s equity therein. Non-controlling interests consist of the amount of those interests at the date of the original business combination and the non-controlling shareholder’s share of changes in equity since the date of the combination.
Revenue recognition
Turnover comprises the fair value of the consideration received or receivable for the sale of goods and provision of services in the ordinary course of the company’s activities. Turnover is shown net of sales/value added tax, returns, rebates and discounts.
The company recognises revenue when the amount of revenue can be reliably measured, it is probable the future economic benefits will flow into the entity, and specific criteria have been met for each of the company activities.
Foreign currency transactions and balances
Non-monetary items measured in terms of historical cost in a foreign currency are not retranslated.
Tax
The tax expense for the period comprises current and deferred tax. Tax is recognised in profit or loss, except that a change attributable to an item of income or expense recognised as other comprehensive income is also recognised directly in other comprehensive income.
The current tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the reporting date in the countries where the company operates and generates taxable income.
Ezi Klamp Systems (Holdings) Limited
Notes to the Financial Statements for the Year Ended 31 December 2025
Deferred tax is recognised on temporary differences arising between the tax bases of assets and liabilities and their carrying amounts in the financial statements and on unused tax losses or tax credits in the company. Deferred income tax is determined using tax rates and laws that have been enacted or substantively enacted by the reporting date.
The carrying amount of deferred tax assets are reviewed at each reporting date and a valuation allowance is set up against deferred tax assets so that the net carrying amount equals the highest amount that is more likely than not to be recovered based on current or future taxable profit.
Tangible assets
Tangible assets are stated in the statement of financial position at cost, less any subsequent accumulated depreciation and subsequent accumulated impairment losses.
Depreciation
Depreciation is charged so as to write off the cost of assets, other than land and properties under construction over their estimated useful lives, as follows:
Business combinations
Business combinations are accounted for using the purchase method. The consideration for each acquisition is measured at the aggregate of the fair values at acquisition date of assets given, liabilities incurred or assumed, and equity instruments issued by the Group in exchange for control of the acquired, plus any costs directly attributable to the business combination. When a business combination agreement provides for an adjustment to the cost of the combination contingent on future events, the Group includes the estimated amount of that adjustment in the cost of the combination at the acquisition date if the adjustment is probable and can be measured reliably.
Goodwill
Goodwill arising on the acquisition of an entity represents the excess of the cost of acquisition over the Group’s interest in the net fair value of the identifiable assets, liabilities and contingent liabilities of the entity recognised at the date of acquisition. Goodwill is initially recognised as an asset at cost and is subsequently measured at cost less accumulated amortisation and accumulated impairment losses. Goodwill is held in the currency of the acquired entity and revalued to the closing rate at each reporting period date. Goodwill is amortised over its useful life, which shall not exceed ten years if a reliable estimate of the useful life cannot be made.
Amortisation
Amortisation is provided on intangible assets so as to write off the cost, less any estimated residual value, over their useful life as follows:
Investments
Investments in equity shares where the fair value can be measured reliably are initially measured at fair value, with changes in fair value recognised in the profit or loss account. Investments in equity shares where fair value cannot be measured reliably are measured at cost less impairment.
Cash and cash equivalents
Cash and cash equivalents comprise cash on hand and call deposits, and other short-term highly liquid investments that are readily convertible to a known amount of cash and are subject to an insignificant risk of change in value.
Trade debtors
Trade debtors are amounts due from customers for merchandise sold or services performed in the ordinary course of business.
Trade debtors are recognised initially at the transaction price. They are subsequently measured at amortised cost using the effective interest method, less provision for impairment. A provision for the impairment of trade debtors is established when there is objective evidence that the Group will not be able to collect all amounts due according to the original terms of the receivables.
Ezi Klamp Systems (Holdings) Limited
Notes to the Financial Statements for the Year Ended 31 December 2025
Stocks
Stocks are stated at the lower of cost and estimated selling price less costs to complete and sell.
The cost of finished goods and work in progress comprises direct materials and, where applicable, direct labour costs and those overheads that have been incurred in bringing the stocks to their present location and condition. At each reporting date, stocks are assessed for impairment. If stocks are impaired, the carrying amount is reduced to its selling price less costs to complete and sell; the impairment loss is recognised immediately in profit or loss.
Trade creditors
Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of business from suppliers. Accounts payable are classified as current liabilities if the Group does not have an unconditional right, at the end of the reporting period, to defer settlement of the creditor for at least twelve months after the reporting date. If there is an unconditional right to defer settlement for at least twelve months after the reporting date, they are presented as non-current liabilities.
Trade creditors are recognised initially at the transaction price and subsequently measured at amortised cost using the effective interest method.
Provisions
Provisions are recognised when the Group has an obligation at the reporting date as a result of a past event, it is probable that the Group will be required to settle that obligation and a reliable estimate can be made of the amount of the obligation.
Leases
Leases in which substantially all the risks and rewards of ownership are retained by the lessor are classified as operating leases. Payments made under operating leases are charged to profit or loss on a straight-line basis over the period of the lease.
Share capital
Ordinary shares are classified as equity. Equity instruments are measured at the fair value of the cash or other resources received or receivable, net of the direct costs of issuing the equity instruments. If payment is deferred and the time value of money is material, the initial measurement is on a present value basis.
Dividends
Dividend distribution to the Group’s shareholders is recognised as a liability in the financial statements in the reporting period in which the dividends are declared.
Defined contribution pension obligation
A defined contribution plan is a pension plan under which fixed contributions are paid into a pension fund and the Group has no legal or constructive obligation to pay further contributions even if the fund does not hold sufficient assets to pay all employees the benefits relating to employee service in the current and prior periods.
Contributions to defined contribution plans are recognised as employee benefit expense when they are due. If contribution payments exceed the contribution due for service, the excess is recognised as a prepayment.

3 Judgements in applying accounting policies and key sources of estimation uncertainty
The preparation of the financial statements requires management to make judgements, estimates and assumptions that affect the amounts reported for assets and liabilities as at the balance sheet date and the amounts reported for revenues and expenses during the year. However the nature of estimation means that actual outcomes could differ from those estimates.
The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised if the revision affects that period, or in the period of revision and future periods if the revision affects both current and future periods. The critical judgements and key sources of estimation uncertainty that have a significant effect on the amounts recognised in the financial statements are described below.
Critical judgements
Depreciation rates and residual values
Tangible fixed assets are depreciated over their useful economic lives taking into account residual values, where appropriate. The actual lives of the assets and residual values are assessed annually and may vary depending on a number of factors. In re-assessing assets lives, factors such as technological innovation, product life cycles and maintenance programmes are taken into account. Residual value assessments consider issues such as future market conditions, the remaining life of the asset and projected disposal values.
Sources of estimation uncertainty
Impairment of fixed assets
The company determines whether there are indicators of impairment of tangible asset. Factors taken into account consideration in reaching such a decision include the economic viability and expected future financial performance of the asset.
Stock provision
The company determines whether there are conditions that exist at the balance sheet date that indicates that the net realisable value of individual stock lines are less than the carrying value. Such indicators include post year end sales, and market demand.
Bad debt provision
The company determines whether there are conditions that exist at the balance sheet date that indicates the recoverable value of debtors is less than the carrying value. Such indicators include post year end cash receipts, and customer sales activity.
Dilapidation provision
The company determines the level of provision required for dilapidations based on its assessment of the likely cost of reinstating leasehold premises to the condition required under the terms of the lease. This assessment takes into account the condition of the property, the specific requirements of the lease, and estimates of the cost of the works involved, which are inherently uncertain until a schedule of dilapidations is agreed with the landlord, typically at or near lease expiry.
