Notes to the Financial Statements
Year ended 31 December 2025
1. General information
The company is a private company limited by shares, registered in England and Wales. The address of the registered office is 60 Rayleigh Road, Hutton, Brentwood, Essex, CM13 1BA, United Kingdom.
2. Statement of compliance
These financial statements have been prepared in compliance with Section 1A of FRS 102, 'The Financial Reporting Standard applicable in the UK and the Republic of Ireland'.
3. Accounting policies
Basis of preparation
The financial statements have been prepared on the historical cost basis, as modified by the revaluation of certain financial assets and liabilities and investment properties measured at fair value through profit or loss.
The financial statements are prepared in sterling, which is the functional currency of the entity.
Going concern
The financial statements have been prepared on a going concern basis, which is dependent upon the continued support of the group. The group has confirmed its intention to provide ongoing financial support to the company for the foreseeable future and to ensure that sufficient funding is available to enable the company to continue trading and meet its liabilities as they fall due. Accordingly, the directors consider it appropriate to prepare the financial statements on the going concern basis.
Revenue recognition
Turnover is measured at the fair value of the consideration received or receivable for goods supplied and services rendered, net of discounts and Value Added Tax. Revenue from the sale of goods is recognised when the significant risks and rewards of ownership have transferred to the buyer (usually on despatch of the goods); the amount of revenue can be measured reliably; it is probable that the associated economic benefits will flow to the entity; and the costs incurred or to be incurred in respect of the transactions can be measured reliably.
Income tax
The taxation expense represents the aggregate amount of current and deferred tax recognised in the reporting period. Tax is recognised in profit or loss, except to the extent that it relates to items recognised in other comprehensive income or directly in equity. In this case, tax is recognised in other comprehensive income or directly in equity, respectively. Current tax is recognised on taxable profit for the current and past periods. Current tax is measured at the amounts of tax expected to pay or recover using the tax rates and laws that have been enacted or substantively enacted at the reporting date.
Work in progress
Work in progress is valued on the basis of direct costs plus attributable overheads based on normal level of activity. Provision is made for any foreseeable losses where appropriate. No element of profit is included in the valuation of work in progress.
Financial instruments
A financial asset or financial liability is recognised only when the entity becomes a party to the contractual provisions of the instrument. Basic financial instruments are initially recognised at the transaction price, unless the arrangement constitutes a financing transaction, where it is recognised at the present value of the future payments discounted at a market rate of interest for a similar debt instrument.
4. Average number of employees

9. Prior year adjustment
During the year, the directors identified that a property previously classified as an investment property did not meet the definition of investment property under FRS 102, as it was held for development and subsequent sale. The property should therefore have been classified as work in progress within current assets.
Accordingly, the comparative figures have been restated to correct this error. The reclassification has no impact on the company's net assets or profit for the year.
The effect of the restatement was to decrease investment properties and increase work in progress by £3,005,698 at 31 December 2024.
10. Related party transactions
At the balance sheet date the company owed a group undertaking £51,190 (2024: £1,080,584), which is shown amongst creditors. The company has taken advantage of the exception granted under FRS102 section 33.1A not to disclose transactions with wholly owned subsidiaries within the group.
11. Controlling party
The ultimate parent undertaking is Mac Design Holdings Ltd, a company incorporated in England and Wales. The registered office address is 146 New London Road, Chelmsford, Essex, CM2 0AW.
