Notes to the Financial Statements

for the Period Ended 31 December 2025

1. Accounting policies

These financial statements have been prepared in accordance with the provisions of Section 1A (Small Entities) of Financial Reporting Standard 102

Tangible fixed assets and depreciation policy

Assets that are subject to depreciation or amortisation are assessed at each reporting date to determine whether there is any indication that the assets are impaired. Where there is any indication that an asset may be impaired, the carrying value of the asset (or cash-generating unit to which the asset has been allocated) is tested for impairment. An impairment loss is recognised for the amount by which the asset's carrying amount exceeds its recoverable amount. The recoverable amount is the higher of an asset's (or CGU's) fair value less costs to sell and value in use. For the purposes of assessing impairment, assets are grouped at the lowest levels for which there are separately identifiable cash flows (CGUs). Non-financial assets that have been previously impaired are reviewed at each reporting date to assess whether there is any indication that the impairment losses recognised in prior periods may no longer exist or may have decreased.

Valuation and information policy

Investments in subsidiaries are measured at cost less accumulated impairment. Investments in unlisted Company shares, whose market value can be reliably determined, are remeasured to market value at each reporting date. Gains and losses on remeasurement are recognised in the Statement of Comprehensive Income for the period. Where market value cannot be reliably determined, such investments are stated at historic cost less impairment. Investments in listed company shares are remeasured to market value at each reporting date. Gains and losses on remeasurement are recognised in profit or loss for the period.

4. Fixed investments

The Company holds 48 of the 120 allotted ordinary shares (40%) of Save My Exams Limited, a company incorporated in England and Wales (registered number 10730279) whose principal activity is the provision of online learning resources. The investment is stated at cost of £373,403 less any provision for impairment and is included within unlisted investments in note 5. The directors have considered whether the investment is impaired and, having regard to the trading performance and expected future cash flows of that company, consider that no impairment is required. The Company also holds 75% or more of the issued ordinary share capital of SME Residential Property Limited, a dormant company incorporated in England and Wales (registered number 15508409) whose registered office is 86-90 Paul Street, London EC2A 4NE. That company is accordingly a subsidiary undertaking of the Company. The Company has taken advantage of the exemption in section 399(2A) of the Companies Act 2006 and has not prepared group accounts, on the basis that at the end of the financial year the Company was subject to the small companies regime and was not a member of a group containing an undertaking of a kind described in section 399(2B). These financial statements present information about the Company as an individual undertaking and not about its group. Investments previously presented within current assets have been reclassified to fixed assets, the directors considering that presentation better reflects the purpose for which the investments are held. The comparative figures have been reclassified accordingly; there is no effect on net assets or on the result for either year.
