Small companies provision statement
This report has been prepared in accordance with the special provisions relating to the small companies regime under the Companies Act 2006.
The Trustees present their annual report and financial statements for the year ended 31 December 2025
The accounts have been prepared in accordance with the accounting policies set out in note 1 to the accounts and comply with the Trust's Articles and Memorandum of Association, the company's Act 2006 and “Accounting and Reporting by Charities: Statement of Recommended Practise applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)” (as amended for accounting periods commencing from 1 January 2016).
Objectives and activities
Charitable objectives
The Trust's objectives are to provide independent living accommodation for aged, poor or needful persons, by the provision of below market rents.
The Trust’s five houses comprise 38 self-contained flats, providing mainly one-bedroom accommodation, with some two-bedroom flats. The flats are let as independent living tenancies, with a small number of assisted-living tenants receiving support from the staff with cleaning and catering.
A common area sun lounge and dining area provides space for social interaction and social events are organised on a regular basis.
Public benefit
The Trustees have paid due regard to guidance issued by the Charity Commission in deciding what activities the Trust should undertake. The charity is a public benefit entity.
History and background
The John A. Thompson Memorial Trust is a registered charitable company, owning five adjoining properties, in common grounds, in an attractive area of Southsea near canoe lake and the seashore. The Trust has been in Southsea since 1967, but its origins go back to 1932, to a mission founded by the reverend John Thompson in Battersea.
Staff
John A.Thompson Memorial Trust
Trustees' Report
A new Trust Manager was appointed in April 2025 and has brought new ideas and streamlined processes, embracing the modern world, such as using Indeed for recruitment, having found Out There to be of insufficient value. She has introduced Bright HR, an app for tracking staff hours, holidays etc, replacing an old manual and paper process. The website has been updated and the marketing materials have been refreshed.
The Deputy Manager retired after more than 25 years of valued service. A new DM has been recruited, who has also brought fresh energy and ideas, and we hope that she will be able to spend more time with fundraising.
The Trust has taken legal advice in relation to changes in Employment Law to ensure that employment contracts are up to date.
The Trust's remuneration policy aims to offer fair pay to attract and retain appropriately qualified staff to deliver the charity's aims.
Tenants
When flats have been vacated and following the necessary cleaning and refurbishment, we have been reasonably successful in getting them filled quickly, to maintain a revenue stream.
There have been some challenges with residents whose physical or mental health has deteriorated while they’ve been at the Trust and, if there is insufficient support from their family, it can be difficult to encourage them to move to more suitable accommodation, noting that the Trust offers independent living.
The Residents’ handbook has been updated and we are reviewing any changes to contracts required by the changes to the Renters’ Act. For example, residents have asked if they can keep pets, which historically has not been permitted.
The Properties
The Trust owns five properties in Southsea, at numbers 24, 26 and 28 Festing Road and 9 and 11 Craneswater Park.
Further upgrade and maintenance work was performed on all houses, with a total spend of approximately £100000 for the year. This is expected to be much lower in 2026 but still significant, due to the age of the properties.
Utilities
Following a detailed review with energy consultants, E.ON Next was selected as the gas and electricity supplier. Unfortunately, and despite repeated efforts to solve the situation, they don’t seem to be able to invoice with a fixed monthly direct debit, which does not help with cash management.
Achievements and Performance
Financial review
Rents are reviewed annually and were increased by an amount slightly below the local authority's guidance for their comparable properties. Income was insufficient to cover expenditure, so £20000 was withdrawn from the Trust’s investment account with Fidelity. It is intended to restore this as soon as possible and then further build the reserves. Reserves currently stand at approximately £100k, which is deemed insufficient for the potential needs of the Trust.
Donations have not been forthcoming for some time, limiting the revenue stream. There will be renewed focus in this area during 2026. Without donations, it is very difficult to provide the tenants with the below market rent, for which we strive. The increased staff costs resulting from the changes to National Insurance and increase in minimum wage, along with increased energy costs, all add to this challenge.
John A.Thompson Memorial Trust
Trustees' Report
Reserves policy
It has been the policy of the Trust that unrestricted funds which have not been designated for a specific use should be maintained at a level at least equivalent to between three and six months’ expenditure. The Trustees consider that reserves need to be above this level, not only to cover any reductions in income but also to cover significant and unexpected maintenance costs. This has not been achieved.
Accountants
The Trust’s accountants were changed from Carpenter Box to Murray, McIntosh, O’Brien (MMO).
Investments
The Articles and Memorandum of Association grant the Trustees wide powers of investment. Investments are held with Fidelity to generate income and capital growth and are invested with a low-risk philosophy. During the year, the IFA was changed from Ascot Lloyd to Southern Wealth Associates, due to a lack of support from Ascot Lloyd.
Risk management
The Trustees actively review the major risks faced by the Trust on a regular basis. They believe that the financial risk can be managed by an annual budgetary review and maintaining reserves at current levels. The Trustees have also examined other operational and business risks faced by the charity and confirm that they have established systems to mitigate risks.
Future developments
The principal focus continues to be on strengthening the financial position of the Trust, by minimising expenditure and seeking income from donations. In the meantime, the Trust will continue to provide support for the beneficiaries.
Structure, governance and management
Governing document
The company was incorporated on 25 May 1964 and is limited by guarantee. The company is registered as a charity. The company is governed by the Articles and Memorandum of Association, amended 21 April 2004. The Trust is governed by the Board of Trustees
Trustees
An additional trustee, Peter Smithin, was recruited in April 2026. Recruitment of Trustees continues to be a challenge.
The Trustees, who are also the directors for the purpose of company law, and who served during the year were:
Mrs DM Pearsall
Ms P Robinson
Mr P Jones (resigned mid-2026)
Miss S Eardley-Stiff
Mr P J Smithin (appointed 14 April 2025)
John A.Thompson Memorial Trust
Trustees' Report
All Trustees have complied with the HMRC ID verification requirements.
New trustees are recruited to complement the existing board. Potential trustees are encouraged to attend the trustee meetings and other social functions in the complex. The Trust Manager will also give new and potential trustees a tour to familiarise them with the work carried out by the Trust. None of the trustees has any beneficial interest in the company.
All of the Trustees are members of the company and guarantee to contribute 5 pence (one shilling) in the event of a winding up.
There is trustee indemnity insurance in place
The Trustees meet on a monthly basis, to review the Trust's affairs.

Independent Examiner's Report to the trustees of John A.Thompson Memorial Trust ('the Company')
I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 December 2025.
Responsibilities and basis of report
As the charity’s trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (‘the 2006 Act’).
Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity’s accounts as carried out under section 145 of the Charities Act 2011 (‘the 2011 Act’). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act.
An independent examination does not involve gathering all the evidence that would be required in an audit and consequently does not cover all the matters that an auditor considers in giving their opinion on the accounts. The planning and conduct of an audit goes beyond the limited assurance that an independent examination can provide. Consequently I express no opinion as to whether the accounts present a ‘true and fair’ view and my report is limited to those specific matters set out in the independent examiner’s statement.
Independent examiner’s statement
Since the Company's gross income exceeded £250,000 your examiner must be a member of a body listed in section 145 of the 2011 Act. I confirm that I am qualified to undertake the examination because I am a member of ICAEW, which is one of the listed bodies.
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:
|
1. |
accounting records were not kept in respect of John A.Thompson Memorial Trust as required by section 386 of the 2006 Act; or |
|
2. |
the accounts do not accord with those records; or |
|
3. |
the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a ‘true and fair view' which is not a matter considered as part of an independent examination; or |
|
4. |
the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities [applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)]. |
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

Accounting policies |
Summary of significant accounting policies and key accounting estimates
The principal accounting policies applied in the preparation of these financial statements are set out below. These policies have been consistently applied to all the years presented, unless otherwise stated.
Statement of compliance
The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)) (issued in October 2019) - (Charities SORP (FRS 102)), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006.
Basis of preparation
John A.Thompson Memorial Trust meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy notes.
Going concern
The trustees consider that there are no material uncertainties about the charity's ability to continue as a going concern nor any significant areas of uncertainty that affect the carrying value of assets held by the charity.
Income and endowments
All income is recognised once the charity has entitlement to the income, it is probable that the income will be received and the amount of the income receivable can be measured reliably.
Donations and legacies
Donations are recognised when the charity has been notified in writing of both the amount and settlement date. In the event that a donation is subject to conditions that require a level of performance by the charity before the charity is entitled to the funds, the income is deferred and not recognised until either those conditions are fully met, or the fulfilment of those conditions is wholly within the control of the charity and it is probable that these conditions will be fulfilled in the reporting period.
John A.Thompson Memorial Trust
Notes to the Financial Statements for the Year Ended 31 December 2025
Deferred income
Deferred income represents amounts received for future periods and is released to incoming resources in the period for which, it has been received. Such income is only deferred when:
- The donor specifies that the grant or donation must only be used in future accounting periods; or
- The donor has imposed conditions which must be met before the charity has unconditional entitlement.
Expenditure
All expenditure is recognised once there is a legal or constructive obligation to that expenditure, it is probable settlement is required and the amount can be measured reliably. All costs are allocated to the applicable expenditure heading that aggregate similar costs to that category. Where costs cannot be directly attributed to particular headings they have been allocated on a basis consistent with the use of resources, with central staff costs allocated on the basis of time spent, and depreciation charges allocated on the portion of the asset’s use. Other support costs are allocated based on the spread of staff costs.
Charitable activities
Charitable expenditure comprises those costs incurred by the charity in the delivery of its activities and services for its beneficiaries. It includes both costs that can be allocated directly to such activities and those costs of an indirect nature necessary to support them.
Governance costs
These include the costs attributable to the charity’s compliance with constitutional and statutory requirements, including audit, strategic management and trustees meetings and reimbursed expenses.
Taxation
The charity is considered to pass the tests set out in Paragraph 1 Schedule 6 of the Finance Act 2010 and therefore it meets the definition of a charitable company for UK corporation tax purposes. Accordingly, the charity is potentially exempt from taxation in respect of income or capital gains received within categories covered by Chapter 3 Part 11 of the Corporation Tax Act 2010 or Section 256 of the Taxation of Chargeable Gains Act 1992, to the extent that such income or gains are applied exclusively to charitable purposes.
Tangible fixed assets
Individual fixed assets costing £100.00 or more are initially recorded at cost, less any subsequent accumulated depreciation and subsequent accumulated impairment losses.
Depreciation and amortisation
Depreciation is provided on tangible fixed assets so as to write off the cost or valuation, less any estimated residual value, over their expected useful economic life as follows:
|
Asset class |
Depreciation method and rate |
|
Freehold land & buildings |
No depreciation |
|
Plant & machinery |
20% reducing balance |
|
Fixtures & fittings |
20% reducing balance |
John A.Thompson Memorial Trust
Notes to the Financial Statements for the Year Ended 31 December 2025
Fixed asset investments
Fixed asset investments, other than programme related investments, are included at market value at the balance sheet date. Realised gains and losses on investments are calculated as the difference between sales proceeds and their market value at the start of the year, or their subsequent cost, and are charged or credited to the Statement of Financial Activities in the period of disposal.
Unrealised gains and losses represent the movement in market values during the year and are credited or charged to the Statement of Financial Activities based on the market value at the year end.
Stock
Stock is valued at the lower of cost and estimated selling price less costs to complete and sell, after due regard for obsolete and slow moving stocks. Cost is determined using the first-in, first-out (FIFO).
Trade debtors
Trade debtors are amounts due from customers for merchandise sold or services performed in the ordinary course of business.
Trade debtors are recognised initially at the transaction price. They are subsequently measured at amortised cost using the effective interest method, less provision for impairment. A provision for the impairment of trade debtors is established when there is objective evidence that the charity will not be able to collect all amounts due according to the original terms of the receivables.
Cash and cash equivalents
Cash and cash equivalents comprise cash on hand and call deposits, and other short-term highly liquid investments that are readily convertible to a known amount of cash and are subject to an insignificant risk of change in value.
Trade creditors
Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of business from suppliers. Accounts payable are classified as current liabilities if the charity does not have an unconditional right, at the end of the reporting period, to defer settlement of the creditor for at least twelve months after the reporting date. If there is an unconditional right to defer settlement for at least twelve months after the reporting date, they are presented as non-current liabilities.
Trade creditors are recognised initially at the transaction price and subsequently measured at amortised cost using the effective interest method.
Fund structure
Unrestricted income funds are general funds that are available for use at the trustees discretion in furtherance of the objectives of the charity.
Designated funds are unrestricted funds set aside for specific purposes at the discretion of the trustees.
