The presentation currency of the financial statements is the Pound Sterling (£).
| 2. | STATEMENT OF COMPLIANCE |
| 3. | ACCOUNTING POLICIES |
Basis of preparing the financial statements
Change in accounting period
The financial statements have been prepared for the longer period of 18 months and therefore the amounts presented in the financial statements (including the related notes) are not entirely comparable with the previous period of 12 months.
The reason for the extended period of reporting is for the company's financial year end to be more inline with financial year ends of the other companies within the group.
Going concern
These financial statements have been prepared on a going concern basis. The company ceased trading on 1 December 2023 and had net liabilities at the balance sheet date.
The director confirms that the company is to be dormant for the foreseeable future.
The company is currently able to meet its liabilities as they fall due with support from Vergo Pest Management Limited, a connected company.
After considering these matters, the director considers it appropriate to prepare the financial statements on a going concern basis. These financial statements do not include any adjustments that would be required if the company were unable to continue as a going concern.
Turnover
Turnover is measured at the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes.

Financial instruments
A financial asset or a financial liability is recognised only when the entity becomes a party to the contractual provisions of the instruments.
Basic financial instruments are initially recognised at the transaction price, unless the arrangement constitutes, in effect, a financing transaction, where it is recognised at the present value of the future payments discounted at a market rate of interest for a similar debt instrument.
Debt instruments are subsequently measured at amortised cost.
Taxation
Taxation for the period comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.
Current or deferred taxation assets and liabilities are not discounted.
Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.
Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date.
Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the period end and that are expected to apply to the reversal of the timing difference.
Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.
Hire purchase and leasing commitments
Assets obtained under hire purchase contracts or finance leases are capitalised in the balance sheet. Those held under hire purchase contracts are depreciated over their estimated useful lives. Those held under finance leases are depreciated over their estimated useful lives or the lease term, whichever is the shorter.
The interest element of these obligations is charged to profit or loss over the relevant period. The capital element of the future payments is treated as a liability.
Rentals paid under operating leases are charged to profit or loss on a straight line basis over the period of the lease.
Pension costs and other post-retirement benefits
The company operates a defined contribution pension scheme. Contributions payable to the company's pension scheme are charged to profit or loss in the period to which they relate.

| 6. | DEBTORS: AMOUNTS FALLING DUE WITHIN ONE YEAR - continued |
During the year, the company provided connected companies with interest-free loans totalling £116,393, (2024 - £116,393). This balance has been determined as irrecoverable, however, it has not been formally waived. As a result, a provision for impairment of the total loan receivable has been recognised to reduce the carrying value of the loan to £Nil within debtors, and the corresponding expense has been recognised in the profit and loss account.

| 9. | DISCLOSURE UNDER SECTION 444(5B) OF THE COMPANIES ACT 2006 |
The Report of the Auditors was qualified on the following basis:
During the audit it was found that adequate accounting records could not be obtained in multiple areas. This is detailed below:
1. Verification of Opening Balances, Revenue, and Reserves
We were unable to verify the opening balances brought forward from the prior financial year ended 31 March 2024 because the income recorded in that prior period could not be verified. Since opening balances enter into the determination of the current period’s financial performance, cash flows, and closing equity balances, we were unable to determine whether any adjustments were necessary regarding the revenue and net results recorded in the current year's income statement. Furthermore, due to the lack of evidence supporting these opening figures, we were unable to verify the accuracy, classification, and completeness of the opening or closing balances of the Company's Reserves.
2. Income on Cessation of Trade
During the prior accounting period, the Company underwent a cessation of trade. Management applied an adjustment for income resulting from this cessation during this financial period to the value of £10,422. However, we were not provided with sufficient appropriate audit evidence to verify the validity, measurement, and completeness of this adjustment. Consequently, we were unable to satisfy ourselves by alternative means as to whether the income adjustment arising from the cessation of trade is fairly stated.
3. Bank Balances
The Company was unable to provide official bank statements or independent bank confirmations for one bank account covering the financial period. As a result, we could not confirm the existence or valuation of the Company’s cash at bank, nor could we verify any unrecorded transactions or bank reconciliations.

Matters required to report by exception
Notwithstanding our disclaimer of an opinion on the financial statements, in the light of the knowledge and understanding of the company and its environment obtained in the course of the audit performed subject to the pervasive limitation described above, we have not identified material misstatements in the directors’ report.
Arising from the limitation of our work referred to above:
| - | we have not obtained all the information and explanations that we considered necessaryfor the purpose of our audit; and |
| - | we were unable to determine whether adequate accounting records have been kept. |
