STRATEGIC REPORT
FOR THE PERIOD ENDED 31 DECEMBER 2025

Introduction

The directors present their strategic report for Wefco (Gainsborough) Limited (the "company" or "Wefco")  for the period ended 31 December 2025.

Change of Accounting Reference Date

Following the company’s acquisition by the CGH Group (“the Group”) during the period, the directors resolved to change the company’s accounting reference date to 31 December in order to align with that of the wider Group. As a result, the current financial period covers the fifteen months from 1 October 2024 to 31 December 2025 and is therefore longer than twelve months. The comparative figures, which relate to the year ended 30 September 2024, cover a twelve-month period and accordingly, are not directly comparable with the current period.

Business review

The results for the period and the financial position of the company are shown in these financial statements.

The period was defined by a transformational development in the company’s ownership. During the period, Wefco became part of the CGH Group, an international industrial group operating multiple manufacturing facilities and sales offices across Europe and beyond. This represents the most significant strategic milestone in the company’s recent history and marks the beginning of a new phase of development.

Becoming part of the CGH Group has provided access to broader strategic support, enhanced resources, expanded geographical reach, and increased opportunities for collaboration across the Group. Operating within the Group framework gives Wefco access to shared engineering expertise, cross-market experience, and technological synergies, supporting the delivery of complex international projects while strengthening long-term operational stability and access to new markets. Overall, this represents a highly positive step forward, positioning both the business and the wider Group for sustained growth, improved resilience, and long-term success that can be shared with customers through the successful delivery of projects.

Against this backdrop of change, the company delivered a strong trading performance and maintained healthy profitability throughout the period. Revenue remained robust across the fifteen-month period, supported by sustained demand across the company’s core markets and continued success in securing new work. The business achieved a solid profit and sustained healthy margins, reflecting disciplined cost management and ongoing operational improvement.

This performance reflects the resilience provided by the breadth of the company’s product portfolio. Revenue continued to be led by underground fuel tanks, tanks for industry, pressure vessels, and LPG products, with the diversity of the offering providing protection against softer conditions in individual industrial sectors amid ongoing macroeconomic pressure and geopolitical uncertainty.

The company’s two operating sites - Britannia Works in Gainsborough and the satellite facility at Blyton Grange - continued to operate at good levels of capacity, with the integration of the Cookson & Zinn product range now fully embedded within the business.

STRATEGIC REPORT (CONTINUED)
FOR THE PERIOD ENDED 31 DECEMBER 2025

Future Developments

The company’s strategic focus remains on sustainable growth, operational excellence, and innovation, now further strengthened by its position within the CGH Group. Key priorities for the coming period include:

∙Aligning operational and strategic initiatives with the wider objectives of the CGH Group
∙Leveraging Group synergies, capabilities, and shared expertise
∙Increasing capacity utilisation across both the Gainsborough and Blyton Grange sites
∙Expanding presence in core and adjacent markets, particularly those aligned with the energy transition and new technology infrastructure
∙Continuing investment in people, infrastructure, and process improvement
∙Advancing digitalisation and automation to enhance productivity, efficiency, and quality

The company enters the new financial period with a strong order book, providing good forward visibility and underpinning confidence in continued growth. The directors remain confident in the long-term prospects of the business, supported by a solid financial position, a skilled and committed workforce, and the strategic backing of the CGH Group.

Principal risks and uncertainties

The company considers its exposure to risks on an ongoing basis and implements policies and procedures to mitigate these risks. The key risks are summarised below:

Liquidity and cashflow risk

The company seeks to manage financial risk by maintaining adequate liquidity to meet its operational and financial commitments. The main liquidity and cash flow risk arises from timing differences between the collection of trade receivables and the payment of trade payables. This risk is managed through careful cash flow monitoring and effective working capital management.

Interest rate risk

The company continues to finance its operations through a mix of retained earnings and finance leases (principally the company’s hire purchase facility). Exposure to fluctuations in interest rates on finance lease liabilities is effectively managed through fixed-rate financing arrangements, providing certainty over future financing costs.

Credit risk

The principal credit risk relates to trade receivables. This is managed through robust credit control procedures, including credit checking, monitoring of debtor ageing profiles, and active collection processes.

Fraud risk

The company recognises the risk of loss arising from internal or external fraud. This is mitigated through segregation of duties, defined authorisation limits, regular reconciliation and management review, and the strengthened financial controls and oversight that accompany the company’s integration into the CGH Group’s governance framework.

Business integration risk

Integration into the CGH Group introduces a degree of transitional risk as systems, processes, and reporting are aligned with those of the wider Group. The directors manage this through structured integration planning, close collaboration with Group management, and the retention of experienced local leadership to ensure continuity of service to customers.

Financial key performance indicators

The directors monitor performance against a range of financial and non-financial key performance indicators. The principal measures, together with the comparative figures from the last filed accounts, are set out below. As noted above, the current period covers the fifteen months ended 31 December 2025 while the comparative covers the twelve months ended 30 September 2024.

Revenue for the fifteen-month period was £17.1 million (2024: £14.8 million). The gross margin was 31.8% (2024: 31.2%), and profit before tax was £1.7 million (2024: £0.9 million). EBITDA for the period was £2.2 million (2024: £1.3 million).

Capital expenditure during the period was £0.33 million (2024: £0.2 million), reflecting continued investment in plant, equipment and digital systems.

∙A strong trading performance, with robust revenue and healthy profitability sustained throughout the fifteen-month period
∙Continued strong order intake, particularly within clean energy and infrastructure-related markets
∙Further investment in plant, equipment, and digital systems, including an upgrade to the company’s accounting system, to support scalability and efficiency
∙Ongoing development of the workforce, supporting both operational capability and succession planning
∙High levels of customer satisfaction and repeat business

The company remains guided by its core values of Safety, Quality, Teamwork, Continuous Improvement, Community, Sustainability, Innovation, and Integrity.

STRATEGIC REPORT (CONTINUED)
FOR THE PERIOD ENDED 31 DECEMBER 2025

Strategic Objectives

The directors, together with the CGH Group, set the company’s strategic direction. The company’s overarching aim is to build a profitable, sustainable engineering business that serves its customers reliably across its core markets while realising the benefits of Group membership. The principal strategic objectives, and the company’s current position against each, are summarised below.

Profitable, sustainable growth

The company’s vision is to deliver innovative engineering solutions and sustainable growth, and to build a strong and lasting position across a broad range of market sectors. In pursuit of this, the directors are focused on strengthening the company’s core services, pursuing measured expansion, embedding continuous improvement, and investing in the company’s facilities, equipment, processes and people.

Such as developing cleaner energy technologies and other industrial developments, the directors consider that the engineering sector is well placed for growth. The company intends to maintain and grow the resources needed to respond to changing industry needs and trends, to serve these markets as a reliable and chosen partner, and to continue developing its product portfolio in line with advances in the industry.

The company aims to grow revenue and profitability at a sustainable rate, which means growth that the company can fund and resource without compromising product quality, safety or financial stability. Progress is measured through the revenue, gross margin, profit before tax and EBITDA indicators set out above.

Operational excellence and capacity utilisation

A key objective is to increase capacity utilisation across both the Gainsborough and Blyton Grange sites and to improve delivery performance and quality. Progress is monitored through internal operational measures including output, on-time delivery and quality / non-conformance rates.

Investment and digitalisation

The company continues to invest in plant, equipment and digital systems, including the upgrade to its accounting system, and to advance automation. Progress is measured through the level of capital expenditure set out above and the realisation of the efficiency benefits those investments are intended to deliver.

People and capability

The company aims to develop its workforce and strengthen succession planning to support its operational capability. Progress is monitored through the output capacities and achievements, together with internal measures of recruitment, retention and training.

Integration with the CGH Group

A current objective is the orderly alignment of the company’s systems, processes and reporting with those of the wider Group, while retaining the local expertise and customer relationships that underpin the business.

∙certain disclosures of directors' remuneration specified by law are not made; or
∙we have not received all the information and explanations we require for our audit.

Responsibilities of directors

As explained more fully in the Directors' responsibilities statement set out on page 5, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

In preparing the financial statements, the directors are responsible for assessing the Company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the Company or to cease operations, or have no realistic alternative but to do so.

INDEPENDENT AUDITORS' REPORT TO THE MEMBERS OF WEFCO (GAINSBOROUGH) LIMITED (CONTINUED)

Auditors' responsibilities for the audit of the financial statements

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an Auditors' report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.

Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:

∙Obtained an understanding of the nature and sector of the Company along with reviewing the financial performance;

∙Discussions with management to identify areas of laws and regulations that could reasonably be expected to have a material effect on the financial statements based on our understanding of the Company and through discussion with management (as required by auditing standards);

∙We also considered laws and regulations in areas that directly affect the financial statements including financial reporting (including related company legislation);

∙We evaluated directors and management's incentives and opportunities for fraudulent manipulation of the financial statements;

∙We communicated the identified laws and regulations throughout our audit team to ensure that they were alert of any indications which would highlight any non-compliance during the audit;

∙Reviewed copies of the monthly management reports from throughout the period and any that have taken place after the period end;

∙Matters were also discussed with the finance director during the planning process and throughout the audit fieldwork, together with those charged with governance, in relation to any cases of fraud or non-compliance of laws and regulations which may have taken place during the period or post year end;

∙Review of transactions (including journals) using data analytic software; and

∙Review of legal costs and related correspondence.

Because of the inherent limitations of an audit, there is a risk that we will not detect all irregularities, including those leading to a material misstatement in the financial statements or non-compliance with regulation. This risk increases the more that compliance with a law or regulation is removed from the events and transactions reflected in the financial statements, as we will be less likely to become aware of instances of non-compliance. The risk is also greater regarding irregularities occurring due to fraud rather than error, as fraud involves intentional concealment, forgery, collusion, omission or misrepresentation.

A further description of our responsibilities for the audit of the financial statements is located on the Financial Reporting Council's website at: www.frc.org.uk/auditorsresponsibilities. This description forms part of our Auditors' report.

NOTES TO THE FINANCIAL STATEMENTS
FOR THE PERIOD ENDED 31 DECEMBER 2025

2.Accounting policies (continued)

2.4

Revenue

Turnover is measured at the fair value of the consideration received or receivable, net of discounts and value added taxes. Turnover includes revenue earned from the sale of goods and from the rendering of services. Turnover from the sale of goods is recognised when the significant risks and rewards of ownership of the goods have transferred to the buyer. Turnover from the rendering of services is recognised by reference to the stage of completion of the contract. The stage of completion of a contract is measured by comparing the costs incurred for work performed to date to the total estimated contract costs.

For long-term manufacturing contracts where revenue is recognised by reference to the stage of completion, the Company measures progress using a cost-to-cost input method, based on actual costs incurred as a proportion of the latest estimated total contract costs. The assessment of total estimated contract costs, forecast costs to complete and the resulting percentage of completion is reviewed on a monthly basis by both the production and finance teams to ensure that revenue and the associated work in progress balance are recognised appropriately. Any revisions to estimated contract costs or stage of completion are recognised prospectively in the period in which they are identified.

2.5

Operating leases: the Company as lessee

Rentals paid under operating leases are charged to profit or loss on a straight-line basis over the lease term.

Benefits received and receivable as an incentive to sign an operating lease are recognised on a straight-line basis over the lease term, unless another systematic basis is representative of the time pattern of the lessee's benefit from the use of the leased asset.

2.6

Leased assets: the Company as lessee

Assets obtained under hire purchase contracts and finance leases are capitalised as tangible fixed assets. Assets acquired by finance lease are depreciated over the shorter of the lease term and their useful lives. Assets acquired by hire purchase are depreciated over their useful lives. Finance leases are those where substantially all of the benefits and risks of ownership are assumed by the Company. Obligations under such agreements are included in creditors net of the finance charge allocated to future periods. The finance element of the rental payment is charged to profit or loss so as to produce a constant periodic rate of charge on the net obligation outstanding in each period.

2.7

Interest income

Interest income is recognised in profit or loss using the effective interest method.

2.8

Finance costs

Finance costs are charged to profit or loss over the term of the debt using the effective interest method so that the amount charged is at a constant rate on the carrying amount. Issue costs are initially recognised as a reduction in the proceeds of the associated capital instrument.

2.9

Borrowing costs

All borrowing costs are recognised in profit or loss in the period in which they are incurred.

NOTES TO THE FINANCIAL STATEMENTS
FOR THE PERIOD ENDED 31 DECEMBER 2025

2.Accounting policies (continued)

2.10

Pensions

Defined contribution pension plan

The Company operates a defined contribution plan for its employees. A defined contribution plan is a pension plan under which the Company pays fixed contributions into a separate entity. Once the contributions have been paid the Company has no further payment obligations.

The contributions are recognised as an expense in profit or loss when they fall due. Amounts not paid are shown in accruals as a liability in the Statement of financial position. The assets of the plan are held separately from the Company in independently administered funds.

2.11

Current and deferred taxation

The tax expense for the period comprises current and deferred tax. Tax is recognised in profit or loss except that a charge attributable to an item of income and expense recognised as other comprehensive income or to an item recognised directly in equity is also recognised in other comprehensive income or directly in equity respectively.

The current income tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the reporting date in the countries where the Company operates and generates income.

Deferred tax balances are recognised in respect of all timing differences that have originated but not reversed by the reporting date, except that:
∙The recognition of deferred tax assets is limited to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits; and
∙Any deferred tax balances are reversed if and when all conditions for retaining associated tax allowances have been met.

Deferred tax balances are not recognised in respect of permanent differences except in respect of business combinations, when deferred tax is recognised on the differences between the fair values of assets acquired and the future tax deductions available for them and the differences between the fair values of liabilities acquired and the amount that will be assessed for tax. Deferred tax is determined using tax rates and laws that have been enacted or substantively enacted by the reporting date.

2.12

Intangible assets

Intangible assets are initially recognised at cost. After recognition, under the cost model, intangible assets are measured at cost less any accumulated amortisation and any accumulated impairment losses.

All intangible assets are considered to have a finite useful life. If a reliable estimate of the useful life cannot be made, the useful life shall not exceed ten years.

2.13

Tangible fixed assets

Tangible fixed assets under the cost model are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management.

FOR THE PERIOD ENDED 31 DECEMBER 2025

2.Accounting policies (continued)

2.13
Tangible fixed assets (continued)

Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated useful lives, using the straight-line method.

Depreciation is provided on the following basis:

Freehold property
-
2%
Plant and machinery
-
10%, 20% and 33%
Motor vehicles
-
20%

The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date.

Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in profit or loss.

2.14

Stocks

Stocks are stated at the lower of cost and net realisable value, being the estimated selling price less costs to complete and sell. Cost is based on the cost of purchase on a first in, first out basis. Work in progress and finished goods include labour and attributable overheads.

Work in progress is measured by reference to the stage of production at the reporting date. For contract-specific manufacturing projects, the carrying value of work in progress is determined using actual costs incurred relative to the latest approved budgeted costs, which is used as an indicator of the percentage of production completed. The estimated stage of completion, together with the forecast costs to complete, is reviewed on a monthly basis by both the production and finance teams to ensure that work in progress is stated at an appropriate value and reflects the progress of each contract.

At each reporting date, stocks are assessed for impairment. If stock is impaired, the carrying amount is reduced to its selling price less costs to complete and sell. The impairment loss is recognised immediately in profit or loss.

2.15

Debtors

Short-term debtors are measured at transaction price, less any impairment. Loans receivable are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method, less any impairment.

2.16

Cash at bank and in hand

Cash is represented by cash in hand and deposits with financial institutions repayable without penalty on notice of not more than 24 hours.

2.17

Creditors

Short-term creditors are measured at the transaction price. Other financial liabilities, including bank loans, are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method.

2.Accounting policies (continued)

2.18

Provisions for liabilities

Provisions are recognised when an event has taken place that gives rise to a legal or constructive obligation, a transfer of economic benefits is probable and a reliable estimate can be made.

Provisions are measured as the best estimate of the amount required to settle the obligation, taking into account the related risks and uncertainties.

Deferred tax liabilities are also presented within provisions but are measured in accordance with the accounting policy on taxation.

Increases in provisions are generally charged as an expense to profit or loss.

2.19

Financial instruments

The Company has elected to apply the provisions of Section 11 “Basic Financial Instruments” of FRS 102 to all of its financial instruments.

Financial instruments are recognised in the Company's Statement of financial position when the Company becomes party to the contractual provisions of the instrument.

Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.

Basic financial assets

Basic financial assets, which include trade and other debtors, cash and bank balances, are initially measured at their transaction price (adjusted for transaction costs except in the initial measurement of financial assets that are subsequently measured at fair value through profit and loss) and are subsequently carried at their amortised cost using the effective interest method, less any provision for impairment, unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest.

Discounting is omitted where the effect of discounting is immaterial. The Company's cash and cash equivalents, trade and most other debtors due with the operating cycle fall into this category of financial instruments.

Impairment of financial assets

At the end of each reporting period financial assets measured at amortised cost are assessed for objective evidence of impairment. If an asset is impaired the impairment loss is the difference between the carrying amount and the present value of the estimated cash flows discounted at the asset’s original effective interest rate. The impairment loss is recognised in profit or loss.

Financial assets are impaired when events, subsequent to their initial recognition, indicate the estimated future cash flows derived from the financial asset(s) have been adversely impacted. The impairment loss will be the difference between the current carrying amount and the present value of the future cash flows at the asset(s) original effective interest rate.

If there is a favourable change in relation to the events surrounding the impairment loss then the impairment can be reviewed for possible reversal. The reversal will not cause the current carrying amount to exceed the original carrying amount had the impairment not been recognised. The impairment reversal is recognised in the profit or loss.

NOTES TO THE FINANCIAL STATEMENTS
FOR THE PERIOD ENDED 31 DECEMBER 2025

2.Accounting policies (continued)

2.19
Financial instruments (continued)

Basic financial liabilities

Financial liabilities and equity instruments are classified according to the substance of the contractual arrangements entered into. An equity instrument is any contract that evidences a residual interest in the assets of the Company after the deduction of all its liabilities.

Basic financial liabilities, which include trade and other creditors, bank loans and other loans are initially measured at their transaction price (adjusting for transaction costs except in the initial measurement of financial liabilities that are subsequently measured at fair value through profit and loss). When this constitutes a financing transaction, whereby the debt instrument is measured at the present value of the future payments discounted at a market rate of interest, discounting is omitted where the effect of discounting is immaterial.

Debt instruments are subsequently carried at their amortised cost using the effective interest rate method.

Trade creditors are obligations to pay for goods and services that have been acquired in the ordinary course of business from suppliers. Trade creditors are classified as current liabilities if the payment is due within one year. If not, they represent non-current liabilities. Trade creditors are initially recognised at their transaction price and subsequently are measured at amortised cost using the effective interest method. Discounting is omitted where the effect of discounting is immaterial.

2.20

Dividends

Equity dividends are recognised when they become legally payable. Interim equity dividends are recognised when paid. Final equity dividends are recognised when approved by the shareholders at an annual general meeting.

3.

Judgements in applying accounting policies and key sources of estimation uncertainty

The preparation of the financial statements requires management to make judgements, estimates and assumptions in applying the company's accounting policies to determine the reported amounts of assets, liabilities, income and expenses. The estimates and associated assumptions are based on historical experience and various other factors that are believed to be reasonable under the circumstances. Actual results may differ from these estimates. The estimates and underlying assumptions are reviewed on an ongoing basis.

Revenue recognition and work in progress

The recognition of revenue and valuation of work in progress on manufacturing contracts requires judgement in assessing the stage of completion of each contract. The Company determines the stage of completion by comparing costs incurred to date with forecast total contract costs.

The key source of estimation uncertainty is the forecast total cost to complete each contract. This estimate is based on costs incurred to date, remaining work and expected future costs. Changes in estimated costs to complete may affect the stage of completion and, consequently, the amount of revenue, profit and work in progress recognised.
