Principal Activity
OBJECTS AND ACTIVITIES
The objectives of the charity are:
To promote the efficiency and effectiveness of charities working in the arts and cultural sector (as defined) and to promote the effective application of resources for charitable purposes by non-charitable bodies working in that sector for the public benefit, by improving the governance of such charities and bodies so as to enhance their long tern viability by:
(i) providing training and support in topics relevant to governance, including but not limited to, project development, audience development, partnerships and collaboration with third parties, the use of information and the development of business and organisational skills generally,
(ii) providing mentoring and facilitating network opportunities for those involved in the administration and management of those bodies and charities; and
(iii) promoting and carrying out research in subjects relevant to governance and viability including but not limited to good business practice and the dissemination of the useful results of such reseach.
Review of the Business
Since the dissolution of its subsidiary, Cultivate 2 Limited  in 2022, Cultivate-EM has operated in a very limited capacity.  Its only source of income has arisen through licensing its brand in connection with activities undertaken by Vanessa Rawlings-Jackson.  These activities are all in connection with projects that promote the objects of the charity.
Future Developments
The Trustees continue to be cognisant that the charity is presently operating at such a modest level, and has such limited resources, that it is sensible for them to consider whether it is appropriate that the charity should continue, or whether it would be better to transfer its funds to another registered charity with similar objects.   A decision on this matter was expected to be made during the period October 2024 to  March 2025.  However, as some significant future work prospects emereged in this period the decision was postponed and is now expected to be made in the next six months.   In the period since the year end the Trusstees have resolved to pass over the residual charity funds to Horsecross Arts  Limited (charity No SC022400} for the purpsoe of promoting philanthropy for the benefit of the public in connection with arts activities.
Directors
The directors who held office during the year were as follows:
Geoffrey Horley
Simon Ruding
Shona Powell
Tim Challans

Statement of Directors' Responsibilities
The directors are responsible for preparing the Directors' Report and the financial statements in accordance with applicable law and regulations.
Company law requires the directors to prepare financial statements for each financial year. Under that law the directors have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). Under company law the directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the company and of the surplus or deficit of the company for that period. In preparing the financial statements the directors are required to:
  • select suitable accounting policies and then apply them consistently;
  • make judgments and accounting estimates that are reasonable and prudent;
  • prepare the financial statements on the going concern basis unless it is inappropriate to presume that the company will continue in business.
The directors are responsible for keeping adequate accounting records that are sufficient to show and explain the company's transactions and disclose with reasonable accuracy at any time the financial position of the company and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.
The directors are responsible for the maintenance and integrity of the corporate and financial information included on the company's website. Legislation in the United Kingdom governing the preparation and dissemination of financial statements may differ from legislation in other jurisdictions.
