NOTES TO THE FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31 DECEMBER 2025
Arkay Holdings Limited is a private company, limited by shares, incorporated in England and Wales. The registered number of the company is 11928438. The registered office is Henwood House, Henwood, Ashford, Kent, TN24 8DH.
2.Accounting policies
|
|
|
Basis of preparation of financial statements
|
The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006. The disclosure requirements of Section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.
The financial statements are presented in UK Sterling pounds (£) and rounded to the nearest pound.
The following principal accounting policies have been applied:
An entity is a going concern unless management either intends to liquidate the entity or to cease
trading, or has no realistic alternative but to do so. This must be at least, but is not limited to, twelve
months from the date on which the financial statements are authorised for issue.
During the financial period, the subsidiary of the company appointed a liquidator, with the subsidiary immediately ceasing trade. Due to this, the director anticipates the company have no realistic alternative but to cease operation in the foreseeable future.
The company is therefore not considered to be a going concern at the time the financial statements
are authorised for issue.
The financial statements have been prepared on a basis other than that of going concern basis. This
basis includes, where applicable, writing the company's assets down to net realiseable value, and
making provisions in respect of contracts which have become onerous at the balance sheet date.
There have been no significant alterations to the existing accounting policies as these are
considered to give a true and fair view.
Finance costs are charged to profit or loss over the term of the debt using the effective interest method so that the amount charged is at a constant rate on the carrying amount. Issue costs are initially recognised as a reduction in the proceeds of the associated capital instrument.
All borrowing costs are recognised in profit or loss in the year in which they are incurred.
Tax is recognised in profit or loss except that a charge attributable to an item of income and expense recognised as other comprehensive income or to an item recognised directly in equity is also recognised in other comprehensive income or directly in equity respectively.
The current income tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the balance sheet date in the countries where the Company operates and generates income.

NOTES TO THE FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31 DECEMBER 2025
2.Accounting policies (continued)
Tangible fixed assets under the cost model are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management.
Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated useful lives, on the basis detailed below.
Depreciation is provided on the following basis:
|
|
|
|
|
Long-term leasehold property
|
|
|
|
The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date.
Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in profit or loss.
Investments in subsidiaries are measured at cost less accumulated impairment.
Short-term debtors are measured at transaction price, less any impairment. Loans receivable are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method, less any impairment.
|
|
|
Cash and cash equivalents
|
Cash is represented by cash in hand and deposits with financial institutions repayable without penalty on notice of not more than 24 hours. Cash equivalents are highly liquid investments that mature in no more than three months from the date of acquisition and that are readily convertible to known amounts of cash with insignificant risk of change in value.
Short-term creditors are measured at the transaction price. Other financial liabilities, including bank loans, are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method.
Equity dividends are recognised when they become legally payable. Interim equity dividends are recognised when paid. Final equity dividends are recognised when approved by the shareholders at an annual general meeting.

NOTES TO THE FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31 DECEMBER 2025
The auditors' report on the financial statements for the year ended 31 December 2025 was qualified.
The qualification in the audit report was as follows:
Recoverablility of amounts owed by group undertakings
As noted in the accounting policy 2.7 and in accordance with the Financial Reporting Standard 102, short-term debtors are measured at transaction price, less any impairment. At the balance sheet date, the amount recognised as owed from group undertakings is £211,496. This mainly relates to amounts owed by the subsidiary company, Arkay Building Services Limited, which went into liquidation in the year under review. Based on the information obtained during the audit, in our opinion the recoverable amount of this balance is £72,283. We therefore consider amounts owed from group undertakings to be overstated by £139,213.
Classification of debtors in the comparative year
In the previous financial year an amount of £61,713 was recognised in other debtors. This was in relation to VAT recoverable on an intergroup transaction within that year. This balance was incorrectly classified as an other debtor as VAT was not applicable in this transaction and therefore should be represented in amounts owed by group undertakings.
The audit report was signed on 25 September 2026 by Andrew John Childs FCA (Senior Statutory Auditor) on behalf of Magee Gammon.
