Strategic Report
for the Year Ended 31 December 2025

The directors present their strategic report for the year ended 31 December 2025.

REVIEW OF BUSINESS
The results for the year ended 31 December 2025 show turnover of £30,268,213 (2024: £18,012,750), driven primarily by increased intercompany cost-plus reselling services fees charged to Toast, Inc., together with higher income from fintech and software subscription services. Profit before taxation for the year amounted to £194,550 (2024: £- 450,122). Management continues to monitor financial and operational performance through key metrics, including revenue growth, profitability and employee numbers. The directors are satisfied with the overall performance of the business during the year and its financial position at year end.

PRINCIPAL RISKS AND UNCERTAINTIES
The company is exposed to a range of financial, operational and other risks, including managing its rapid growth, retaining and growing customer base and product adoptions, relationship with third-party partners, legal and regulatory risks, and macroeconomic factors. However, given that the company is compensated by Toast Inc. on a cost plus basis, it ultimately bears limited to no operational risk associated with these aforementioned risks.

Report of the Independent Auditors to the Members of
Toasttab UK Limited

Opinion
We have audited the financial statements of Toasttab UK Limited (the 'company') for the year ended 31 December 2025 which comprise the Statement of Comprehensive Income, Statement of Financial Position, Statement of Changes in Equity and Notes to the Financial Statements, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice).

In our opinion the financial statements:
-give a true and fair view of the state of the company's affairs as at 31 December 2025 and of its profit for the year then ended;
-have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and
-have been prepared in accordance with the requirements of the Companies Act 2006.

Basis for opinion
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

Conclusions relating to going concern
In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.

Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.

Our responsibilities and the responsibilities of the directors with respect to going concern are described in the relevant sections of this report.

Other information
The directors are responsible for the other information. The other information comprises the information in the Strategic Report and the Report of the Directors, but does not include the financial statements and our Report of the Auditors thereon.

Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon.

In connection with our audit of the financial statements, our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact. We have nothing to report in this regard.

Report of the Independent Auditors to the Members of
Toasttab UK Limited

Opinions on other matters prescribed by the Companies Act 2006
In our opinion, based on the work undertaken in the course of the audit:
- the information given in the Strategic Report and the Report of the Directors for the financial year for which the financial statements are prepared is consistent with the financial statements; and
- the Strategic Report and the Report of the Directors have been prepared in accordance with applicable legal requirements.

Matters on which we are required to report by exception
In the light of the knowledge and understanding of the company and its environment obtained in the course of the audit, we have not identified material misstatements in the Strategic Report or the Report of the Directors.

We have nothing to report in respect of the following matters where the Companies Act 2006 requires us to report to you if, in our opinion:
- adequate accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or
- the financial statements are not in agreement with the accounting records and returns; or
- certain disclosures of directors' remuneration specified by law are not made; or
- we have not received all the information and explanations we require for our audit.

Responsibilities of directors
As explained more fully in the Statement of Directors' Responsibilities set out on page three, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

In preparing the financial statements, the directors are responsible for assessing the company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the company or to cease operations, or have no realistic alternative but to do so.

Report of the Independent Auditors to the Members of
Toasttab UK Limited

Auditors' responsibilities for the audit of the financial statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue a Report of the Auditors that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.

The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:

In identifying and assessing risks of material misstatement in respect of irregularities, including
fraud and non-compliance with laws and regulations, we considered the following:

- the nature of the industry, control environment and business performance;
- results of our enquiries of management about their own identification and assessment of the risks
of irregularities;
- any matters we identified having obtained and reviewed the company's documentation of their
policies and procedures relating to:
- identifying, evaluating and complying with laws and regulations and whether they were aware of
any instances of non-compliance;
- detecting and responding to the risks of fraud and whether they have knowledge of any actual,
suspected or alleged fraud;
- the matters discussed among the audit engagement team regarding how and where fraud might
occur in the financial statements and any potential indicators of fraud.

As a result of these procedures, we considered the opportunities and incentives that may exist
within the organisation for fraud and identified the greatest potential for fraud in the following
areas: revenue recognition, payroll costs, and the presentation of non-underlying items within the
financial statements. In common with all audits under ISAs (UK), we are also required to perform
specific procedures to respond to the risk of management override.

We also obtained an understanding of the legal and regulatory framework that the company
operates in, focusing on provisions of those laws and regulations that had a direct effect on the
determination of material amounts and disclosures in the financial statements. The key laws and
regulations we considered in this context included Companies Act 2006 and tax legislation.
In addition, we considered provisions of other laws and regulations that do not have a direct effect
on the financial statements but compliance with which may be fundamental to the company's ability
to operate or to avoid a material penalty.

Audit response to risks identified

In addition to the above, our procedures to respond to risks identified included the following:

- reviewing the financial statement disclosures and testing to supporting documentation to assess
compliance with provisions of relevant laws and regulations described as having a direct effect on
the financial statements;

- enquiring of management concerning actual and potential litigation and claims;
- performing analytical procedures to identify any unusual or unexpected relationships that may
indicate risks of material misstatement due to fraud; and
- in addressing the risk of fraud through management override of controls, testing the
appropriateness of journal entries and other adjustments, assessing whether the judgements made

Report of the Independent Auditors to the Members of
Toasttab UK Limited

in making accounting estimates are indicative of a potential bias, and evaluating the business
rationale of any significant transactions that are unusual or outside the normal course of business.

We communicated relevant identified laws and regulations and potential fraud risks to all
engagement team members and remained alert to any indications of fraud or non-compliance with
laws and regulations throughout the audit.

There are inherent limitations in our audit procedures described above. The more removed the
laws and regulations are from financial transactions, the less likely it is that we would become
aware of non-compliance. Auditing standards also limit the audit procedures required to identify
non-compliance with laws and regulations to inquiry of the Directors and other management and
the inspection of regulatory and legal correspondence, if any. Material misstatements that arise
due to fraud can be harder to detect than those that arise from error as they may involve deliberate
concealment or collusion.

A further description of our responsibilities for the audit of the financial statements is located on the Financial Reporting Council's website at www.frc.org.uk/auditorsresponsibilities. This description forms part of our Report of the Auditors.

Use of our report
This report is made solely to the company's members, as a body, in accordance with Chapter 3 of Part 16 of the Companies Act 2006. Our audit work has been undertaken so that we might state to the company's members those matters we are required to state to them in a Report of the Auditors and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the company and the company's members as a body, for our audit work, for this report, or for the opinions we have formed.

Significant judgements and estimates
In the application of the Company's accounting policies, which are described in note 2, the directors are required to make judgements, estimates and assumptions about the carrying amounts of assets and liabilities. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates. The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised if the revision affects only that period or in the period of the revision and future periods if the revision affects both current and future periods.

The following are the critical judgements that the directors have made in the process of applying the company's accounting policies and that have the most significant effect on the amounts recognised in the financial statements:

Accounts Receivable and Provision for Bad Debts
The directors assess each financial year whether there is objective evidence that a debtor is impaired. When assessing impairment of debtors and other amounts receivable, the directors consider all relevant factors including the nature of the debtor, the age of outstanding amounts receivable, recent correspondence and historical experience in cash collected from debtors.

Stock Based Compensation
The Black-Scholes option-pricing model is used to determine the estimated fair value of stock option awards by Toast, Inc. The estimate is based on the terms and conditions applicable to the grant of options and assumptions as defined by the parent company.

Turnover
Turnover consists primarily from services provided to Toast, Inc., the ultimate parent undertaking, as well as sales of hardware/software and their installation fees to third party customers.

Turnover is based on contracted values and is recognised as follows:-

- Services and installation: on completion of the work.
- Hardware and shipping: on despatch.
- Software: over the period of the license.

Turnover is stated net of Value Added Tax and after the deduction of any discounts or rebates.

Tangible fixed assets
Tangible fixed assets are stated at cost less accumulated depreciation.

Depreciation is provided so as to write down the cost of the assets over their useful economic lives. A rate of 33.33% straight line is used.

All financial assets and liabilities are initially measured at transaction price (including transaction costs), unless the arrangement constitutes a financing transaction. If an arrangement constitutes a financing transaction, the financial asset or financial liability is measured at the present value of the future payments discounted at a market rate of interest for a similar debt instrument.

Financial assets and liabilities are offset in the balance sheet when, and only when there exists a legally enforceable right to set off the recognised amounts and the company intends either to settle on a net basis, or to realise the asset and settle the liability simultaneously.

Financial assets are derecognised when and only when a) the contractual rights to the cash flows from the financial asset expire or are settled, b) the company transfers to another party substantially all of the risks and rewards of ownership of the financial asset, or c) the company, despite having retained some, but not all, significant risks and rewards of ownership, has transferred control of the asset to another party. Financial liabilities are derecognised only when the obligation specified in the contract is discharged, cancelled, or expires.

Balances are classified as payable or receivable within one financial year if payment or receipt is due within one financial year or less. If not, they are presented as falling due after more than one financial year. Balances that are classified as payable or receivable within one financial year on initial recognition are measured at the undiscounted amount of the cash or other consideration expected to be paid or received, net of impairment.

2. ACCOUNTING POLICIES - continued
Taxation
Current tax, including UK corporation tax and foreign tax, is provided at amounts expected to be paid (or recovered) using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.

Current tax assets and liabilities are offset only when there is a legally enforceable right to set off the amounts and the company intends either to settle on a net basis or to realise the asset and settle the liability simultaneously.

Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date where transactions or events that result in an obligation to pay more tax in the future or a right to pay less tax in the future have occurred at the balance sheet date. Timing differences are differences between the company's taxable profits and its results as stated in the financial statements that arise from the inclusion of gains and losses in tax assessments in periods different from those in which they are recognised in the financial statements.

Unrelieved tax losses and other deferred tax assets are recognised only to the extent that, on the basis of all available evidence, it can be regarded as more likely than not that there will be suitable taxable profits from which the future reversal of the underlying timing differences can be deducted.

Deferred tax is measured using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date that are expected to apply to the reversal of the timing difference.

Deferred tax assets and liabilities are offset only if: a) the company has a legally enforceable right to set off current tax assets against current tax liabilities; and b) the deferred tax assets and deferred tax liabilities relate to income taxes levied by the same taxation authority on the company and the company intends either to settle current tax liabilities and assets on a net basis, or to realise the assets and settle the liabilities simultaneously, in each future period in which significant amounts of deferred tax liabilities or assets are
expected to be settled or recovered.

Foreign currencies
Monetary assets and liabilities denominated in foreign currencies are translated into GBP at the exchange rates prevailing at the balance sheet date. Gains and losses resulting from transactions in foreign currencies are included under administrative expenses in the statement of comprehensive income.

Leasing commitments
The company's lease costs are expensed to profit and loss on a payable basis.

Share based payments
The stock-option and restricted share incentive program, to which certain employees of the company are participating in, is that of Toast, Inc., the ultimate parent company.

Under the program three different award types were granted 1) Incentive Stock Options 2) Restricted Stock units (RSUs) 3) Non-Qualified Stock Options.

Toasttab UK Limited accounts for stock compensation in accordance with FRS 102 Section 26. Stock-based awards are measured at fair value on the grant date and compensation cost is recognized over the service period, net of estimated forfeitures. Compensation cost is recognised on an accelerated attribution basis for all awards for each separately vesting portion of the award over the applicable vesting period. Stock compensation for each tranche is recognized as the number of shares in the tranche times the grant date fair value divided by the period between the grant date and the vesting period. The stock-based awards are equity-settled by Toast, Inc.

Stock options vest upon satisfaction of service conditions, generally over a period of four to five years.

The Black-Scholes option-pricing model is used to determine the estimated fair value of stock option awards by Toast, Inc. The estimate is based on the terms and conditions applicable to the grant of options and assumptions as defined by the Parent Company.

The fair value of restricted stock unit awards, or RSUs, is determined based on the closing market price of Toast, Inc. common stock on the date of the grant. Toast, Inc. estimates a forfeiture rate to calculate the stock-based compensation expense for all awards based on an analysis of actual historical experience and expected employee attrition rates.

Under the terms of an intragroup recharge agreement, the parent undertaking recharges the Company for the economic cost of the shares issued to employees upon exercise. This recharge is recognized as a debit entry directly within the Share-based Payment Reserve to the extent of the cumulative IFRS 2 share-based payment expense previously recognised.

Any recharge in excess of the historical fair value recognized for the awards is accounted as an equity transaction with the parent undertaking. Such excess is recognised directly in equity through a transfer between the share-based payment reserve and retained earnings within the Statement of Changes in Equity.

The company has availed of the exemption under Financial Reporting Standard 102 not to disclose the details of share-based payments on the basis that it meets the criteria set out in FRS 102.1.12 for reduced disclosures and is a wholly owned subsidiary of Toast, Inc., whose consolidated financial statements are publicly available.
