NOTES TO THE FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31 DECEMBER 2025
2.Accounting policies (continued)
The financial statements have been prepared on the going concern basis which the Directors consider appropriate for the reasons outlined below and where they have reviewed cash flow forecasts for a period of at least 12 months from the date of signing these financial statements. The Company has made a profit for the financial year of £49,175 (2024: £18,086) and has net assets of £76,230 (2024: £27,055).
The Directors have made an assessment of the Company’s ability to continue as a going concern, including any impacts of the current economic downturn, and are satisfied that the Company has the resources to continue in operation for the foreseeable future.
The turnover of the Company is primarily attributable to fees earned for providing administrative, company secretarial and contract management services through a Company Management Agreement ("CMA"). As a result, the ability of the Company to continue as a going concern is based on the ability of its affiliated entity which it provides services to Rock Road London Limited.
The Directors have reviewed the cashflow forecast of the subsidiary which operates a full fleet of buses and are on lease until October 2036. The contracted rentals are on a ‘hell or high water’ basis (i.e. the operator’s obligation to pay rent under the lease is not dependent on whether the buses are used or passenger demand). The Directors believe it is highly likely that the buses will continue to be leased after the end of the current lease due to the demand for zero emission buses to phase out buses which rely on diesel and the cost of leasing or buses beyond 2036 relative to the expected cost of a new bus in 2036. The cashflows under these rental payments are more than sufficient to service debt repayments falling due during this time. The forecasts include a variety of scenarios the Directors consider to be appropriate with the information available as of the date of approval of these financial statements, including, but not limited to, risk in relation to the credit worthiness of the lease rental counterparty and the availability of cash reserves to fund operating expenditure.
Under both its base-case scenario and reasonably plausible downside scenarios, the Directors consider that the Company is well positioned to manage risk during this period of economic uncertainty. Consequently, the directors are confident that the Company will have sufficient funds to continue to meet its liabilities as they fall due for at least 12 months from the date of approval of the financial statements and therefore have prepared the financial statements on a going concern basis.
Turnover is recognised to the extent that it is probable that the economic benefits will flow to the Company and the turnover can be reliably measured. Turnover is measured as the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes. The following criteria must also be met before turnover is recognised:
Management services income is recognised over a specified period of time based on the method that represents the stage of completion in delivery of the services.
Government grants received in respect of specific deliverables are credited to the income statement and presented as other income.
Interest income is recognised in profit or loss using the effective interest method.

NOTES TO THE FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31 DECEMBER 2025
2.Accounting policies (continued)
Finance costs are charged to profit or loss over the term of the debt using the effective interest method so that the amount charged is at a constant rate on the carrying amount. Issue costs are initially recognised as a reduction in the proceeds of the associated capital instrument.
Tax is recognised in profit or loss except that a charge attributable to an item of income and expense recognised as other comprehensive income or to an item recognised directly in equity is also recognised in other comprehensive income or directly in equity respectively.
The current income tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the reporting date in the countries where the Company operates and generates income.
These are separate financial statements of the Company. Investment in subsidiary is carried at cost less impairment.
The Company only enters into basic financial instruments transactions that result in the recognition of financial assets and liabilities like trade and other debtors and creditors, loans to related parties and investments in non-puttable ordinary shares.
