The Directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared in accordance with the provisions applicable to companies subject to the small companies regime.
The directors have chosen to not file a copy of the company’s profit and loss account under section 444 (5A) Companies Act 2006.

1.	Accounting policies

	Statutory information
	The company is a private company limited by shares and registered in England and Wales. The company's registered number and registered office address can be found on the Company Information page.

	Statement of compliance
	The financial statements have been prepared in accordance with the Companies Act 2006 and FRS 102 The Financial Reporting Standard applicable in the UK and Republic of Ireland including Section 1A Small Entities.

	Functional and presentation currency
	The financial statements are presented in sterling and this is the functional currency of the company.

	Going concern
	Subsequent to the balance sheet date, the Directors resolved to apply for voluntary strike-off of the Company. The Company has ceased trading activities and intends to settle outstanding balances prior to dissolution. Consequently, the directors do not consider the going concern basis of accounting to be appropriate. These financial statements have therefore been prepared on a break-up basis. Assets have been stated at their estimated values and liabilities at the amounts expected to be settled.

	Current taxation
	Current tax is recognised on taxable profit for the current and past periods. Current tax is measured at the amounts of tax expected to pay or recover using the tax rates and laws that have been enacted or substantively enacted at the reporting date.

	At the balance sheet date, the company owed £86 (£nil) to its parent company, Trustestate Technologies Limited. The loan is unsecured, interest-free, and repayable on demand.

4.	Events after reporting date
	On 21 July 2026, the director filed form DS01 to strike the company off the register, with a first Gazette notice published on 28 July 2026. The intercompany balance owed to Trustestate Technologies Limited of £86 as at 31 December 2025 is expected to be waived prior to dissolution. No further adjustment to these financial statements is required as a result.

5.	Parent-subsidiary relationships
	The company's immediate and ultimate parent undertaking is Trustestate Technologies Limited, a company registered in England and Wales.

6.	Change in reporting period and impact on comparability
	These financial statements have been prepared for the 13 month period from 1 December 2024 to 31 December 2025. The comparative figures cover the period from incorporation on 13 November 2023 to 30 November 2024, being a period of 12.5 months. The comparative period is therefore not directly comparable with the current period.
